NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Glendale as follows:

1. The Council finds, determines, and declares that Gay's Automotive & Towing, Inc. and Mid Valley Towing, Inc., are the most qualified proposers to serve as OPTS for Districts 1 and 2 respectively because each firm possesses the competence, experience, expertise, facilities, equipment, personnel, financial wherewithal, and other resources necessary to perform dependable towing and garaging services, to ensure quality service, and to provide utmost customer satisfaction.

2. The City Council hereby accepts the proposal of each of the two most qualified proposers; and awards each of these firms a contract thereby giving each the special privilege and exclusive right to identify itself as one of the city's "Official Police Tow Services", to operate within the following designated Districts: District 1 - Gay's Automotive & Towing, Inc.; District 2 - Mid Valley Towing, Inc.; and to furnish the public with vehicle towing and storage services when requested by the Police Department.

3. The City Council hereby authorizes staff to: 1) negotiate with the tow operators, determined to be the most qualified, amendments to the draft agreement attached to the RFP as long as such amendments do not substantially increase risk to the city, and 2) negotiate a contract term of five (5) years with two (2) optional renewal terms of two (2) years each, where exercise of an option term would be at the Chief of Police's sole discretion subject to the City Manager's approval.

4. The City Council further hereby specifies that the contract for each OPTS provider is conditioned upon the OPTS provider's fully performing the obligations described in the criteria, requirements, and standards in the RFP and the contract.

5. This Resolution takes effect immediately upon its adoption.
