RESOLUTION OF THE COUNCIL OF THE CITY OF GLENDALE, CALIFORNIA,
DISPENSING WITH COMPETITIVE BIDDING AND AUTHORIZING THE PURCHASE AND INSTALLATION FROM KILLSWITCH, INC., OF TWO SPECIALIZED RIGGING
SYSTEMS AT THE ALEX THEATRE
WHEREAS, the Alex Theatre is engaged in a 10-year Capital Improvement Project to bring the Theatre’s appearance, amenities, and audio/visual equipment up to the industry standards;
WHEREAS, staff is recommending Council authorize dispensing with competitive bidding for the acquisition and installation of industry-standard, system compatible rigging system through a single source in lieu of the regular bidding process in order to ensure the Alex Theatre has industry-standard technology that will enable the Alex Theatre to remain viable and competitive as a regional live-theatre venue now and in the future;
WHEREAS the proposed rigging system contract with Killswitch, Inc. includes the engineering, installation, and upkeep of two separate rigging systems; The first to hang on a new LED wall above the stage and the second rigging installation for new LED lighting compatible with the broadcast quality multi-camera video system purchased in 2025;
WHEREAS, because of the integrated nature of the equipment needed, this requested upgrade requires an expert vendor, Killswitch, Inc., who is capable of procuring, installing and integrating compatible rigging components at the Alex Theatre and coordinating the specifications of various equipment pieces to ensure proper functionality;
WHEREAS, sole sourcing the acquisition and installation of updated rigging equipment that is owned and not rented provides a financial benefit because the City will be able to procure items currently locally available in lieu of bidding out items, which would otherwise be potentially subject to new tariffs and supply chain delays, whereas this local vendor has items in stock that can be delivered and ready for use within 30 days;
WHEREAS, the City Council finds there is a need to ensure that the Alex Theatre remains viable and competitive as a live-performance venue, and that purchasing new, instead of renting, the rigging equipment will help manage on-going costs; and WHEREAS, the City Council finds it is in the best interest of the City of Glendale to dispense with competitive bidding and to authorize the Interim Director of Finance - Purchasing to issue purchase order agreements with Killswitch, Inc. for the installation of two new rigging systems at the Alex Theatre.
2 NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF GLENDALE, CALIFORNIA:
1. That the foregoing facts are deemed to be a true and correct and a basis for dispensing with competitive bidding;
2. That the City Council hereby dispenses with competitive bidding and authorizes the Interim Director of Finance - Purchasing to issue purchase orders with Killswitch, Inc., for the acquisition and installation of new rigging systems to hang on a new LED wall above the stage, and rigging for new LED lighting that is compatible with the upgraded camera equipment, as more specifically set forth above and in the report to the City Council dated June 3, 2025; and
3. The Interim Director of Finance - Purchasing is authorized to approve and execute necessary agreements to implement this resolution.
