RECOMMENDATION
That the City Council approve the Second Amendment to the Amended and Restated City Attorney Employment Agreement with Michael J. Garcia.
ANALYSIS
On September 2, 2011, the City Council appointed Michael J. Garcia as the City Attorney for the City of Glendale. On July 26, 2011, the City and Mr. Garcia executed a City Attorney Employment Agreement (“First Employment Agreement”). The City and Mr.
Garcia executed an Amended & Restated Employment Agreement dated June 9, 2015.
On April 16, 2024, the City and Mr. Garcia entered into a First Amendment to the Amended & Restated Employment Agreement (“First Amendment”). The Council and City Attorney have engaged in negotiations on a Second Amendment.
The Council has considered the matter and directed the preparation of a Second Amendment to the Amended and Restated City Attorney Employment Agreement (“Second Amendment”). If approved, the Second Amendment will amend the Agreement as follows:
• Extend the Term of the Agreement by twenty-four (24) months to October 16, 2027; • Effective the commencement of the first pay period that incudes August 19, 2025 (August 10, 2025), adjust the City Attorney’s salary to Three Hundred and Thirty- Two Thousand Dollars ($332,000) per year (or $27,666.67 per month); • Effective August 19, 2026, the City Council to give reasonable and good faith consideration to a market adjustment in its sole discretion. • Adjust the severance to a lump sum payment based on the City Attorney’s then-current monthly salary, equal to 12 months or the remaining term of the contract, whichever is less.
The proposed Second Amendment is attached as Exhibit 3. In addition to a motion approving the Second Amendment and authorizing the Mayor to sign, it is also recommended that Council adopt a resolution adjusting the salary range for the City Attorney so that the Agreement, as amended, is consistent with the approved salary schedule.
STAKEHOLDERS/OUTREACH
Not applicable.
FISCAL IMPACT
The Second Amendment will have an annual fully loaded cost (salary and benefits) of $27,460. The Office of the City Attorney’s budget can absorb this cost and therefore no new appropriation is being requested at this time.
ENVIRONMENTAL REVIEW (CEQA/NEPA)
This matter is exempt from CEQA under Section 15061(b)(3) as there is no reasonable possibility that the Amendment will have a significant effect on the environment. 9c3
