Professional Services Agreement
Between the CITY and Adminsure Inc.
AMENDMENT NO. 1
This Amendment No. 1 to the Adminsure Inc. Agreement is made on the date last executed (hereinafter referred to as “EFFECTIVE DATE"), between the City of Glendale (hereinafter referred to as "CITY"), a municipal corporation, and Adminsure Inc. (“PARTY”).
RECITAL
1. WHEREAS, on July 1, 2023, the CITY and PARTY entered into a not-to-exceed contract (hereinafter referred to as “AGREEMENT"), between the City of Glendale and Adminsure Incorporated, for advisory services for Workers’ Compensation claims, hearings, and internal procedures within the Human Resources Department.
2. WHEREAS, the parties wish to amend the Agreement consistent with the terms set forth herein.
NOW THEREFORE, in consideration of the PARTIES’ mutual promises, the PARTIES agree to amend the AGREEMENT as follows:
Section 1. SERVICES is amended as follows:
The three-year AGREEMENT for advisory services provided by PARTY, originally in the amount of $2,650,474.00, is hereby increased by $2,590,000.00, for a revised total amount not to exceed $5,240,474.00. The cost of services shall not increase at the time the request is submitted and shall continue to be billed in accordance with the terms of the AGREEMENT, effective July 1, 2023. This amendment allows for the extension of the contract for two additional one-year renewal periods, with a final expiration date of June 30, 2028. Additionally, as the CITY is no longer operating under a hybrid program, PARTY shall no longer be involved in internal procedures within the CITY’s Human Resources Department.
Section 2. Except as stated above, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect.
Section 3. Digital Signatures:
The PARTIES deem a copy of this Amendment that bears a digital signature as having the same legal effect, for all purposes, as delivery of a signed original of this Agreement or the amendment, and each digital signature will have the same legal force and effect as a handwritten signature.
WHEREFORE, the parties have caused this Amendment No. 1 to Contract #8002129 to be duly executed on the date set forth opposite their signature.
