2 RESOLUTION NO.
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GLENDALE,
CALIFORNIA, DISPENSING WITH COMPETITIVE BIDDING AND AUTHORIZING
THE CITY MANAGER OR A DESIGNEE TO EXECUTE AN AGREEMENT WITH
CONNEXIONZ LIMITED, FOR THREE YEARS WITH TWO OPTIONAL TWO-YEAR EXTENSIONS, IN AN AMOUNT NOT TO EXCEED $1,923,000, TO PROVIDE BUS
TECHNOLOGIES FOR BEELINE TRANSIT OPERATIONS
WHEREAS, the City of Glendale provides Beeline fixed-route bus service for the community and provides real-time passenger information; and WHEREAS, the Beeline’s current hardware and software that facilitate transmission of real-time passenger information have performance limitations, for instance, inability to share real-time information with third-party trip-planning applications, that can be rectified only by replacement; and
WHEREAS, the Beeline’s other bus technology systems, including the Automated Voice Announcement System, which facilitates compliance with the Americans with Disabilities Act, and onboard surveillance system, which enhances passenger safety, deters crime, addresses customer services issues, and protects against liability, have far surpassed their useful lives and require replacement; and WHEREAS, the City desires to replace the foregoing systems with upgraded bus technologies to improve transit operations and passenger convenience; and WHEREAS, the City additionally desires to implement a new Automatic Passenger Counter system, which counts passengers entering and exiting buses and tracks real-time passenger loads, to enhance data collection for federal reporting requirements; and
WHEREAS, the City has received State of California (“State”) Transit and Intercity Rail Capital Program (TIRCP) grant funding and local match funds to procure the new bus technologies system; and
WHEREAS, the City, as a subrecipient of both federal and state grant funds, and to qualify for any potential, future federal or State funding, must comply with State and Federal Transit Administration (FTA) procurement and contracting requirements; and WHEREAS, the City initially released a Scope of Work to the California Integrated Travel Project (“Cal-ITP”) Mobility Marketplace, a joint initiative between the California Department of Transportation and California State Transportation Agency, received proposals, and selected a vendor; and

2 WHEREAS, Cal-ITP staff, however, informed the City that other purchasing cooperatives meet federal purchasing requirements and provide better cost savings for the City; and, indeed, contracting with Connexionz, Ltd. through The Interlocal Purchasing System (TIPS) purchasing cooperative affords the City cost-savings; and WHEREAS, the Council finds that sufficient funds exist to authorize the City Manager to execute a three-year agreement, with two optional two-year extensions, for a total of seven years, with Connexionz, Ltd., to provide bus technologies for the City’s transit services; and
WHEREAS, an exemption to competitive bidding may be found where the Council determines it is in the best interest of the City to dispense with competitive bidding; and WHEREAS, given the significant utility of bus technology systems to the City’s transit operations, it appears that adequate justification exists and it is in the City’s best interest―upon recommendation of the Director of Public Works―to dispense with competitive bidding and authorize the City Manager or a designee to execute an agreement with Connexionz, Ltd., to provide the Beeline bus technologies systems.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GLENDALE:
1. The foregoing facts are deemed to be true and correct, and are a basis for dispensing with competitive bidding, approving a contract award through The Interlocal Purchasing System.
2. The Council hereby:
A. Dispenses with competitive bidding;
B. Authorizes the City Manager or a designee to enter into and execute an agreement— subject to approval as to form by the City Attorney— with Connexionz, Ltd., for three years with two optional two-year extensions, in an amount not to exceed $1,923,000.
