RESOLUTION NO. _____________________
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GLENDALE, CALIFORNIA, DISPENSING WITH COMPETITIVE BIDDING; AND AUTHORIZING THE CITY MANAGER OR A DESIGNEE TO EXERCISE THE CITY’S OPTION TO
RENEW ITS ELDERLY NUTRITION PROGRAM LOWER TIER SUBAWARD
AGREEMENT WITH TRIO COMMUNITY MEALS, LLC, FOR A TWO-YEAR PERIOD AT MEAL RATES INCREASED BY 6% EFFECTIVE DECEMBER 1, 2026, AND BY ADDITIONAL 3% EFFECTIVE DECEMBER 1, 2027.
WHEREAS, since 1979, the City of Glendale (“City”) has provided meal service to adults 60 years of age and older with Elderly Nutrition Program (“ENP”) funding administered by the Los Angeles County Aging & Disabilities Department (“County AD”); and
WHEREAS, County AD requires that one of 18 pre-approved caterers provide ENP meal services; and
WHEREAS, on August 29, 2022, the City’s Community Services & Parks Department issued a Request for Proposals (“RFP”) for one of the 18 pre-approved caterers to provide ENP meal services with County AD funding; and WHEREAS, the City received one proposal—from TRIO Community Meals, LLC (“TRIO”), a longtime provider of senior nutrition services and the nation’s largest; and WHEREAS, TRIO not only submitted a responsible and competitive proposal, but also has a demonstrated history of excellent performance for the City; and WHEREAS, following the RFP process, the City entered into a Lower Tier Subaward Agreement (“Agreement”) with TRIO for a period of four (4) years beginning December 1, 2022, and ending November 30, 2026, with an option for the City to renew the Agreement for an additional two-year period beginning December 1, 2026, and ending November 30, 2028; and
WHEREAS, the Agreement provides that the City shall pay TRIO $4.56 for each hot/cold meal or boxed lunch prepared, and $4.75 for each frozen meal home-delivered; and
WHEREAS, the Agreement does not authorize, and the RFP did not contemplate, an increase in the amount payable to TRIO for each prepared or homedelivered meal; WHEREAS, since the City and TRIO entered into the Agreement, TRIO has absorbed increases in the costs of food, fuel, transportation, labor, and other operational expenses; and
WHEREAS, despite incurring increased costs, TRIO has provided the City with high-quality meals and maintained reliable service throughout the initial, four-year term of the Agreement; and
WHEREAS, during economically challenging periods predating the initial term of the operative Agreement, TRIO has worked to contain costs and hold down the City’s meal rates; and
WHEREAS, should the City exercise its option to renew the Agreement for an additional two-year term, TRIO has requested a per-meal rate increase of 6% effective December 1, 2026, and an additional 3% effective December 1, 2027; and WHEREAS, renewing the Agreement with TRIO, a caterer closely familiar with applicable senior nutrition requirements, meal standards, delivery expectations, and program operations minimizes transition risks and helps to ensure uninterrupted services to vulnerable older adults; and
WHEREAS, renewing the Agreement with TRIO also provides significant operational value, as contracting with a different caterer would require a new RFP, transition planning, menu and meal coordination, staff training, logistical adjustments, and potentially significant service disruption, which may jeopardize County AD grant funding; and
WHEREAS, based upon TRIO’s demonstrated history of excellent performance and the importance of maintaining uninterrupted meal service to the City’s older adult population, it appears that adequate justification exists and it is in the City’s best interest—upon the recommendation of the Director of Community Services & Parks—to dispense with competitive bidding and authorize the City Manager or a designee to exercise the City’s option to renew its ENP Lower Tier Subaward Agreement with TRIO for a two-year period at meal rates increased by 6% effective December 1, 2026, and by an additional 3% effective December 1, 2027.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF GLENDALE, CALIFORNIA:
1. The foregoing facts are deemed to be true and correct and are a basis for dispensing with competitive bidding and authoring renewal of the City’s ENP Lower Tier Subaward Agreement at increased meal rates.
2. The Council hereby:
A. Dispenses with competitive bidding; and
B. Authorizes the City Manager or a designee to exercise the City’s option to renew its ENP Lower Tier Subaward Agreement with TRIO Community Meals, LLC, for a two-year period at meal rates increased by 6% effective December 1, 2026, and by an additional 3% effective December 1, 2027.
