BACKGROUND:

On February 24, 2022, the City Council a pproved a Management Plan for the City to assume direct management of the Goleta Comm unity Center effective January 1, 2023.

Council authorized the City Manager to negot iate one-year lease agreements with the Goleta Community Center (GVCC) organization’s current long-term tenants on the same substantive terms they had with the GVCC. Long-term sublease tenants of the GVCC include the Community Action Commission, (DBA CommUnify) providing Head Start and Early Head Start Programs, the Rainbow Childhood Education (Rainbow School) providing early childhood education, and Kevin Long Fitness providing fitness training.

DISCUSSION:

Staff met with the current long-term tenants and drafted leases with similar terms to their current subleases with the GV CC. Table 1 below provides additional information about 1 Meeting Date: December 20, 2022

Each new lease begins with
an 18-month term and then will be subject to annual renewal for 12 months at the start of the new fiscal year on July 1, 2024, unless prior written notice is provided. Upon determination of management of the Goleta Community Center, the lease agreements will either transfer to a new facility lessor/operator or remain under City management. Each lease agreement has a pr ovision to allow for the succession or transfer of the agreement to another party if needed.

See Attachments 1, 2 and 3 for the proposed lease agreements.

GOLETA STRATEGIC PLAN:

The actions recommended in this report are related to the following goals and objectives from the City of Goleta’s 2021-23 Strategic Plan.

Strategic Goal: 6.3. Support the continued vigor and vitality in Old Town Objective: 6.3.2. Investigate future management options of the Goleta Valley Community Center and secure a long-term agreement fo r the management of the facility and operations.

FISCAL IMPACTS:

These leases collectively generate $239,688.00 in revenue annually or $19,974 monthly, which supports the operation of the Community Center. Each lease has a provision for a CPI increase to rents each fiscal year. For the six months left in current FY 22/23 staff anticipates $119,844 in revenue to received fiscal year end.

ALTERNATIVES:
2 Meeting Date: December 20, 2022

Page 3 of 3 ends

Council could choose not to approve the leases or have staff renegotiate with the tenants; however, not approving or renegotiating will ext end the time it takes for each tenant to secure space to provide important community services and potentially have an interruption in their ability to provide those services.

Both CommUnify and Rainbow School have r equested a longer init ial term than the proposed 18 months. Staff plan to return to Council for consideration of the request to extend the initial term following the completion of the Goleta Community Center strategic planning process in the spring of 2023. They have indicated that a longer lease can be helpful for licensing and grant application purposes. Alternatively, given the important role that these institutions play at the Goleta Community Center, Council could provide the City Manager with the authority to agree to a longer initial term (e.g., 5.5 years, expiring June 30, 2029) now.

THIS COMMERCIAL LEASE AGREEMENT (the “ Lease”) is made and entered into by and between CITY OF GOLETA, a California municipal corporation (“ Landlord”) and COMMUNITY ACTION COMMISSION of SANTA BARBARA COUNTY (DBA CommUnify), (“Tenant”), under the following terms and conditions:

Description of the Leased Premises. Landlord hereby leases to Tenant and Tenant hereby leases from Landlord a portion of the building(s) located at 5681 Hollister Avenue, Goleta, CA , known as Building B , play areas, associated with Building B, and parking spaces in the main parking lot associated with the main building, commonly known as Building A, all of which shall be , referred to as “Premises” as shown in Exhibit A “map of CommUnify lease area” . The Premises are further described as follows:

Premises 1: Exclusive use of Rooms 9, 10, 11, 12 and kitchen area in the building commonly known as Building B, at 5681 Hollister Avenue, Goleta, CA (4,933 square feet).

Premises 2: Play areas associated with Building B at 5681 Hollister Avenue, Goleta, CA, bounded by chain link fencing and Building B.

Premises 3: Exclusive use of six (6) parking spaces at the Goleta Community Center parking lot identified as CommUnify “Pool Vehicles” parking spaces and one (1) additional parking space for the Head Start Program van.

Term, Occupancy, and Renewal.
a. Term. The term shall start on January 1, 2023 and expire on June 30, 2024 but the term shall automatically renew for another 12 months unless either party provides written notice of termination 60 days prior to the expiration of the term (“Term”).

Rent. The rent during the term of this Lease shall be $5,763.00 per month for Premises 1, $1,295.00 per month for Premises 2 and $504 per month for Premises 3 for a total of $7,562.00 per month, subject to increase as provided in Section 3C. (“Rent”). Tenant shall, commencing on January 1, 2023, and continuing thereafter on the first (1 st) day of each and every month during the term of this Lease, pay to Landlord, in advance, Rent without setoff, deduction or demand. a. Late Charge. Tenant acknowledges that late payment by Tenant to Landlord of Rent will cause Landlord to incur costs not contemplated by this Lease. If any payment of Rent due from Tenant is not received by Landlord within five (5) days after it becomes due, Tenant shall additionally pay to Landlord the greater of $100 or 5% of the overdue rent as a late charge. b. Interest on Unpaid Rent. Rent or other charges as provided in t his Lease not paid
within five (5) days of the date due shall, in addition to any late charges under Section 3A , bear interest at the lesser of the maximum legal rate or 5% per annum from the date due until paid. 5 65266.00300\40497345.1

2 c. Annual Adjustment. Beginning on July 1, 2023, Rent shall increase annually at the end of each 12-month period by any increase in the Consumer Price Index (“CPI”) as determined by the U.S. Bureau of Labor Statistics for all Urban Consumers for the Los Angeles Area over the previous calendar year. Should the CPI be discontinued, the index used for comparison shall be a comparable index as designated by the Bureau. It is recognized by both parties that the Index for any month is not published for approximately two months. Tenant shall, therefore, continue to pay the current Rent paid by Tenant until such time as the new Rent is calculated and, at that time, Tenant shall, within ten (10) days of Rent that has been adjusted for CPI, pay the CPI adjusted Rent t. In no event shall Rent ever decrease below the prior year’s Rent even if the CPI is negative.

In years where CPI is negative, the Rent shall remain the same as the prior year’s Rent. d. T
enant may lease additional space from Landlord on an “as available” basis, for which Tenant will be charged the current commercial rental rates. e. F air Market Rent Acknowledgement . Landlord and Tenant agree the lease value of the Premises as of the January 1, 2023 is less than the fair market value, based on the value of surrounding commercial property. The difference between the fair market value and the rate applied to square footage in this Lease shall be considered to be a share of cost contribution made by Landlord in support of Tenant’s programs.

Place of Payment of Rent . Rent and all other sums which shall become due under this Lease, including but not limited to late charges and additional rent, shall be payable by hand delivery or mail at the office of the Landlord located at 130 Cremona Drive, Suite B, Goleta, CA 93117, Attn: Finance Director, or at such other place as Landlord may designate from time to time in writing. Mailed payments must be received (not postmarked) by Landlord by the date due.

Parking “Pool Vehicles”. Tenant’s employees that leave a private vehicle on the main parking lot while using a Tenant Pool Vehicle, must park their private vehicle in the parking stall of the Pool Vehicle they are using. Private vehicle must also display a window sticker ( CAC Parking Pass), so that Landlord knows the vehicle is authorized to park in the main parking lot.

Condition of, and Improvements to, Premises.
a. Maintenance of Premises. Premises shall be maintained as provided in Exhibit B. b. Improvements. Under this Lease, Landlord shall have no obligation or responsibility, actual or implied, to install, construct, accommodate, or make any improvements to the Premises prior to, or as a condition of, Tenant's occupation of the Premises, except as described in Exhibit B, if any.
c. As-Is Condition. Tenant warrants and agrees that Tenant has inspected the Premises. Tenant agrees to take possession of the Premises in an AS -IS condition (which exists on the date this Lease is signed) and Tenant further agrees that, except as expressly contained in Exhibit B (if at all), Landlord shall have no responsibility for any repairs or improvements to the Premises, prior to, or as a condition of, Tenant's occupation of the Premises. Landlord makes no representations regarding the condition, status, compliance with laws or suitability for a particular purpose for Tenant's use.
6 65266.00300\40497345.1

3 d. Condition Upon Surrender. Upon termination of this Lease, Tenant shall surrender the Premises to Landlord in as good condition as when received, ordinary wear and tear and damage by fire, earthquake, or act of God excepted, and including any repairs or improve ments made by Tenant. If Tenant fails to maintain the Premises in good order and repair in accordance with Exhibit B, after thirty (30) days' prior written notice, Landlord may, at its option, make such maintenance and repairs in accordance with Exhibit B, and Tenant shall pay the reasonable cost thereof as additional rent hereunder within ten (10) days after receipt of a written statement therefor. In the event the giving of thirty (30) days' prior notice may, in Landlord’s sole discretion, result in additional damage to the Premises, Landlord may make such maintenance and repairs in accordance with Exhibit B, at Tenant's expense, without thirty days' prior written notice.

Use. The Premises shall be used only for the operation of early ch ildhood education, classrooms, offices, play yards and kitchen space. Tenant shall not use any portion of the Premises for purposes other than those specified without first obtaining the written consent of Landlord.

Tenant shall not do, bring, or keep anything in, on, or about the Premises which will in any way increase the premium rate or cause the cancellation of any fire or other insurance upon the Premises or the buildings on which the Premises are located or any of its contents.

Compliance with Laws/Hazardous Materials.
a. Tenant, at Tenant's expense, shall comply with and cause all of Tenant's agents to comply with all applicable laws, ordinances, rules and regulations of governmental authorities applicable to the Premises or the use or occupancy thereof, including, without limitation, the law commonly known as the Americans With Disabilities Act and California Code of Regulations Title 8, Sections 3281 through 3299 (collectively, “Laws”). b. Tenant shall not cause or permit any Hazardous Materials, as defined under the California Health and Safety Code, to be brought upon, kept, used, discharged, deposited or leaked in or about the Premises or the building by Tenant or any of Tenant's agents or by anyone in the Premises (other than Landlord or its agents, employees or contractors), and sha ll indemnify Landlord against same.
c. I

Landlord discloses that the Premises have not undergone inspection by a Certified Access Specialist as referenced in California Civil Code Section 1938 subsection (e) which provides: “ A Certified Access Specialist (CASp) can inspect the subject premises and determine whether the subject premises comply with all of the applicable construction-related accessibility standards under state law. Although state law does not require a CASp inspection of the subject premises, the commercial property owner or lessor may not prohibit the lessee or tenant from obtaining a CASp inspection of the subject premises for the occupancy or potential occupancy of the lessee or tenant, if requested by the lessee or tenant.

The parties shall mutually agree on the arrangements for the time and manner of the CASp inspection, the payment of the fee for the CASp inspection, and the cost of making any repairs necessary to correct violations of construction-related accessibility standards within the premises.” Pursuant to the foregoing Section 1938(e), Tenant acknowledges and agrees that, if Tenant wishes to have the Premises inspected by a CASp: (i) Tenant must notify Landlord on or before the date when Tenant executes this Lease pursuant to the election below; (ii) the inspection will be at Tenant's sole cost and expense; (iii) the inspection must be scheduled through Landlord and in 7 65266.00300\40497345.1

(1) T enant shall fail to pay when due any rent or any other monetary sum payable under this Lease.
(2) Tenant shall fail to observe, keep or perform any of the other terms, covenants, agreements or conditions contained in this Lease. (3) Tenant shall become bankrupt or insolvent or make a transfer in fraud of creditors, or make an assignment for the benefit of creditors, or take or have taken against Tenant any proceedings of any kind under any provision of the Federal Bankruptcy Act or under any other insolvency, bankruptcy or reorganization act and, in the event any such proceedings are involuntary, Tenant is not discharged from the same within thirty (30) days thereafter. 7 b. Landlord's Remedies. If any default by Tenant shall occur, and following notice of default as required by this Lease (for the period applicable to the default under the applicable provision of this Lease), Landlord shall have the following remedies in addition to all other rights and remedies provided by law or equity, to which Landlord may resort cumulatively or in the alternative.
(1) L
andlord shall have the immediate option to terminate this Lease and all rights of Tenant hereunder by giving written notice of such intention to terminate. In the event that Landlord shall so elect to terminate this Lease, then Landlord may recover from Tenant:
(a) The worth at the time of award of any unpaid rent which had been earned at the time of such termination; plus
(b) The worth at the time of award of the amount by which the unpaid rent which would have been earned after termination until the time of award exceeds the amount of such rental loss Tenant proves could have been reasonably avoided; plus (c) The worth at the time of award of the amount by which the unpaid rent for the balance of the term after the time of award exceeds the amount of such rental loss that Tenant proves could be reasonably avoided; plus
(d) Any other amount necessary to compensate Landlord for all the detriment proximately caused by Tenant 's failure to perform its obligations under this Lease or which in the ordinary course of things would be likely to result therefrom; and (e) At Landlord's election, such other amounts in addition to or in lieu of the foregoing as may be permitted from time to time by applicable law.

As used in Subparagraphs (a) and (b) above of this section , the “worth at the time of award” is computed by allowing interest at the maximum rate an individual is permitted by law to charge. As used in subparagraph (c) above, the “ worth at the time of award ” is computed by discounting such amount at the discount rate of the Federal Reserve Bank of San Francisco at the time of award plus one percent (1%).
(2) In the event of the vacation or abandonment of the Premises by Tenant, or in the event that Landlord shall elect to reenter as provided herein or shall take possession of the Premises pursuant to legal proceeding or pursuant to any notice provided by law, then Landlord shall have the remedy specified by Civil Code Section 1951.4, in which Landlord may from time to time recover all rental as it becomes due or relet the Premises or any part thereof for the account of Tenant on such term or terms and at such rental or rentals and upon such other terms and conditions as Landlord in its sole discretion may deem advisable, with the right to make alterations and repairs to the Premises.
(3) No reentry or taking possession of the Premises by Landlord pursuant to this section shall be construed as an election to terminate this Lease unless a written notice of such intention be given to Tenant or unless the termination thereof be decreed by a court of competent jurisdiction.
11 65266.00300\40497345.1

8 Estoppel Certificate. Tenant shall execute and deliver to Landlord within ten (10) days of request a commercially reasonable estoppel statement. Landlord and Tenant intend that any estoppel statement delivered pursuant to this Section may be relied upon by any mortgagee, beneficiary, purchaser or prospective purchaser of the building or any interest therein and failure to execute and return such estoppel shall be a material breach of the Lease.

Attorneys' Fees. If either party commences an action against the other party arising out of or in connection with this Lease, the prevailing party shall be entitled to have and recover from the losing party reasonable attorney's fees and costs of suit.

Notices. Any notice required or permitted to be given hereunder must be given in writing.

1 COMMERCIAL LEASE AGREEMENT
THIS COMMERCIAL LEASE AGREEMENT (the “ Lease”) is made and entered into by and between CITY OF GOLETA, a California municipal corporation (“ Landlord”) and RAINBOW CHILDHOOD EDUCATION, INC., a California corporation (“ Tenant”), under the following terms and conditions:

Description of the Leased Premises. Landlord hereby leases to Tenant and Tenant hereby leases from Landlord a portion of the building(s) located at 5689 Hollister Avenue, Goleta, CA , commonly known as Building C, and play area associated with Building C, all of which shall be referred to as “Premises”, as shown in Exhibit A “map of Rainbow School lease area” . The Premises are more specifically described as follows:

Premises 1: Exclusive use of Rooms 8, 10, 11, 12, and 13, in Building C and adjacent play area bounded by chain link fencing, at 5689 Hollister Avenue, Goleta, CA (5,195 square feet). E xclusive use of the children’s restroom in the main building, commonly known as Building A, except when Landlord closes the restroom in main building during construction.

Premises 2: Exclusive use of Rooms 6 and 7 in Building C and adjacent play areas at 5689 Hollister Avenue, Goleta, CA (2,000 square feet).

Term, Occupancy, and Renewal.
a. Term. The term shall start on January 1, 2023 and expire on June 30, 2024 but the term shall automatically renew for another 12 months unless either party provides written notice of termination 60 days prior to the expiration of the term (“Term”).

Rent. The rent during the T erm of this Lease shall be $8,328.00 per month for Premises 1 (“Premises 1 Rent”) and $3,206.00 per month for Premises 2 (“Premises 2 Rent”), for a total of $11,534.00 per month, subject to increase as provided in Section 3C ( Premises 1 Rent and Premises 2 Rent shall collectively be referred to as “Rent”) . For Premises 1 Rent, Tenant shall, commencing on January 1, 2023 and continuing thereafter on the first (1st) day of each and every month during the Term of this Lease, pay to Landlord, in advance, Premises 1 Rent without setoff, deduction or demand. For Premises 2, Tenant shall, commencing on the January 1, 2023 and continuing thereafter on the fifteenth (15th) day of each and every month during the T erm of this Lease, pay to Landlord, in advance, Premises 2 Rent without setoff, deduction or demand. a. Late Charge. Tenant acknowledges that late payment by Tenant to Landlord of Rent will cause Landlord to incur costs not contemplated by this Lease. If any payment of Rent due from Tenant is not received by Landlord within five (5) days after it becomes due, in addition to payment of Rent, Tenant shall additionally pay to Landlord the greater of $100 or 5% of the overdue Rent as a late charge.
19 65266.00300\40497431.1

2 b. Interest on Unpaid Rent. Rent or other charges as provided in this Lease not paid within five (5) days of the date due shall, in addition to any late charges under Section 3A , bear interest at the lesser of the maximum legal rate or 5% per annum from the date due until paid. c. Tenant shall, therefore, continue to pay the current Rent paid by Tenant until such time as the new Rent is calculated and, at that time, Tenant shall, within ten (10) days of notice of Rent that has been adjusted for CPI, pay the CPI adjusted Rent . In no event shall Rent ever decrease below the prior year’s Rent even if the CPI is negative. In years when CPI is negative, the Rent shall remain the same as the prior year’s Rent.
d. T

d. Condition Upon Surrender. Upon termination of this Lease, Tenant shall surr ender
the Premises to Landlord in as good condition as when received, ordinary wear and tear and damage by fire, earthquake, or act of God excepted, and including any repairs or improvements made by Tenant. If Tenant fails to maintain the Premises in good order and repair in accordance with Exhibit B, after thirty (30) days' prior written notice, Landlord may, at its option, make such maintenance and repairs in accordance with Exhibit B , and Tenant shall pay the reasonable cost 20 65266.00300\40497431.1

Use. The Premises shall be used only for the operation of early childhood education, classrooms, offices, and play yards. Tenant shall not use any portion of the Premises for purposes other than those specified without first obtaining the written consent of Landlord. The parties shall mutually agree on the arrangements for the time and manner of the CASp inspection, the payment of the fee for the CASp inspection, and the cost of making any repairs necessary to correct violations of construction-related accessibility standards within the premises.” Pursuant to the foregoing Section 1938(e), Tenant acknowledges and agrees that, if Tenant wishes to have the Premises inspected by a CASp: (i) Tenant must notify Landlord on or before the date when Tenant executes this Lease pursuant to the election below; (ii) the inspection will be at Tenant's sole cost and expense; (iii) the inspection must be scheduled through Landlord and in coordination with Landlord or the building’s property manager; (iv) any repairs or modifications necessary to correct any violation of construction- related accessibility standards that is noted in the CASp report shall be Tenant’s responsibility; and (v) Tenant must provide a copy of the CASp report to Landlord on completion.
