AUTHORITY/BOARD OF THE GONZALES MUNICIPAL ELECTRIC UTILITY APPROVING AMENDMENT NO. 1 TO THE EMPLOYMENT AGREEMENT FOR
CITY MANAGER/SUCCESSOR AGENCY DIRECTOR/SUCCESSOR HOUSING

WHEREAS, after a thorough recruitment process, the City of Gonzales/Successor Agency/Successor Housing Agency/Electric Authority/Municipal Electric Utility (“Council”) negotiated and entered into an Employment Agreement for City Manager/Director/Executive Director/Executive Director/Executive Director (“Manager”) services with Carmen Gil in June of 2023; and
WHEREAS, per Section 9 of the Agreement, the Council was to perform an annual evaluation of Gil’s job performance, and said evaluation was completed on August 5, 2024; and WHEREAS, as a result of said evaluation, the Council has agreed to an amendment to Manager Gil’s Employment Agreement increasing the Manager’s administrative contracting authority from $5,000 to $50,000.
NOW, THEREFORE, BE IT HEREBY RESOLVED by the City Council of the City of Gonzales, the City Council as the Board of the City of Gonzales Successor Agency to the Soledad Redevelopment Agency, the City Council as the Board of the Gonzales Successor Housing Agency, the City Council as the Board of the Gonzales Electric Authority and the City Council as the Board of the Gonzales Municipal Electric Authority, that “Amendment No. 1 to Employment Agreement,” a copy of which is attached hereto as Exhibit “A” and by this reference incorporated herein, between the City/Successor Agency/Successor Housing Agency/Electric Authority/Municipal Electric Utility and Carmen Gil, is hereby approved. The Mayor/Chair/Chair/Director/Director is hereby authorized to execute said Amendment on behalf of the City/Successor Agency/Successor Housing Agency/Electric Authority/Municipal Electric Utility.
BE IT FURTHER RESOLVED that a copy of Amendment No. 1 shall be appended to City Manager/Director/Executive Director/Executive Director/Executive Director Gil’s original Employment Agreement.
PASSED AND ADOPTED by the City Council/City Council Acting as Successor Agency Board of the Gonzales Redevelopment Agency/Board of the Gonzales Successor Housing Agency/Board of the Gonzales Electric Authority/Board of the Gonzales Municipal Electric Utility at a regular meeting duly held on the 16th day of September, 2024, by the following vote:

AMENDMENT NO. 1 TO EMPLOYMENT AGREEMENT FOR CITY
MANAGER/SUCCESSOR AGENCY DIRECTOR/SUCCESSOR HOUSING AGENCY
EXECUTIVE DIRECTOR/GONZALES ELECTRIC AUTHORITY EXECUTIVE
DIRECTOR/GONZALES MUNICIPAL ELECTRIC UTILITY EXECUTIVE

THIS AMENDMENT No. 1 is made by and between the City of Gonzales, the City of Gonzales as the Successor Agency to the Gonzales Redevelopment Agency, the Gonzales Successor Housing Agency, the Gonzales Electric Authority, and the Gonzales Municipal Electric Utility hereinafter collectively called “EMPLOYER” or “City,” and Carmen Gil, hereinafter called “Gil.” This Amendment shall have an effective date of October 3, 2024.
In consideration of the mutual covenants contained herein, the parties agree to the following amendment to the referenced provision of that “Employment Agreement City Manager/Successor Agency Director/Successor Housing Agency Executive Director/Gonzales Electric Authority Executive Director/Gonzales Municipal Electric Utility Executive Director (hereafter “the Agreement”) approved by the City by way of Joint Resolution No. 2023-34 on June 5, 2023:
1. Section 3. Duties. The last paragraph is replaced with the following:
In order to facilitate the foregoing duties, Gil shall have the authority to enter into contracts on behalf of the City/Successor Agency/Successor Housing Agency/Electric Authority/Electric Utility on an administrative basis in an amount up to but not to exceed Fifty Thousand Dollars ($50,000.00). Gil shall report all contracts entered into in the amount of Five Thousand Dollars ($5,000.00) or more in her City Manager’s Reports to the Council and all expenditures shall be shown on the City warrants lists regularly presented for Council review and approval.
2. With the exception noted above, all other terms and conditions of the Agreement shall remain in full force and effect.
