 On August 14th Staff discusses the bids with the Financing Team  Webster Bank is the bidder that provides the lowest interest rate that is 24.5 basis points lower than the cover (2nd Place) bid
 Webster Bank provides additional flexibility for optional prepayment of the private placement on interest payment dates of September 1st or March 1st as follows:
 Term Sheet is signed on Friday, August 15th with a “locked in” rate of 4.425%, assuming the financing is closed by September 26th
5  The debt service coverage ratio pursuant to the Installment Purchase Contract is 120%.
 The City is required to set rates, fees and charges at the beginning of each Fiscal Year which are reasonably
expected to yield estimated Net Revenues which are at
least equal to 120% of debt service due in such Fiscal Year.

 Should the City not be able to set rates, fees and charges at a level which are reasonably expected to yield 120%
coverage of debt service, the City is required to consult with a Rate Consultant within 120 days of the end of the fiscal year, adjust operational costs (if recommended by the Rate Consultant) and may transfer funds from the Rate Stabilization Fund, all to assist in making the required

1.20x debt service coverage.
6 Terms from initial bid were modified and
adjusted, as follows:
◦ Put in flexibility to allow for a larger Project Fund should construction bids come in higher
◦ Taxable Rate of 6% should the obligations become
taxable; Default Rate (missed payment) is an
additional 3% which is 7.425% or 9% if taxable
7  On Thursday, August 28th the City received construction bids for the Wastewater Project. The construction costs with contingencies are $4.8 million
 Based on the updated construction costs, the estimated par amount will be $4,940,000. Estimated average annual debt service will be approximately $380,899. Total debt service will be approximately $7,593,645.
 Estimated Cost of Issuance of approximately $138,844 is 2.81% of the estimated final par amount of $4,940,000. This is below the 3% to 5% amount of par for similar size Private Placements  This Private Placement saved costs over a Public Sale, which would have required a bond rating and associated fee,
preparation of an official statement, and ongoing continuing disclosure requirements
8  September 8, 2025 - City Council approval of
the Legal Documents
 September 10, 2025 – Final numbers and
legal documents circulated
 September 15-17 – City officials sign and
return legal documents to bond counsel
 September 24th Closing and Wastewater
Project Funds delivered to City’s Bank
