Clubhouse Overview
● Color Run: during our second week of summer we had a color rush week. We had kids do tye-dye, they brought white T-shirts and got to dye their shirts. We also had a “fun run” in which we told all of our members to wear white and they ran around the track in the back. staff threw color powder on them and their white shirts turned into a colorful display
● Hawaiian Summer Kickoff: at the beginning of summer we had a Luau party to kick off the summer. We invited all the kids to wear Hawaiian or beach attire to celebrate. We had a Tiki coloring contest, we had lais for all the kids to wear, we had a hula hoop contest, and a limbo contest. We decorated the club with Hawaiian theme decor and had beach music playing.
● Cooking Class: Every Monday afternoon Erica Lopez, one of our long-time YDP, runs a cooking class for all the members to take. They learn about the benefits of eating healthy, how to make better choices in snacks and eating, and how to make quick safe snacks. Some of the snacks they have already made are Yogurt parfaits, wraps, and quick small pizza bites. Some of the snacks they are also making include Tuna, Fruit salads, smoothies, ice cream, and burritos. ● Trinity Reading volunteers: Dan Chernow and the Trilogy volunteer group have been coming into the Library and reading with our members. They have been coming weekly on Mondays,
Wednesdays, and Fridays. They read to all our members or help them choose a book for them to read. The Volunteers include former education personnel, former teachers, and current community members. ● JR CEO: Yuliana Nelson from the Santa Maria Chamber has been coming in every Monday and Thursday to run a program called “Jr CEO”. Jr CEO teaches members from the age of 10 and up about how to open and run a business. It goes through all the steps small businesses take to open a business. Then at the end of the course, all members open a small booth, where we invite the community of Guadalupe to come and sell a product of their choice. Some members are selling bracelets, candles, slime, candy, and baked goods.

At the end of the day we announced the winner of the olympics with the winning team getting an Ice Cream party. This years winning team was Germany!

MANAGEMENT REPORTS
8. CITY ADMINISTRATOR: (Information Only)
A. City Administrator’s report for August 27, 2024
(Note: go to the City’s website at www.cityofguadalupe.org to view the complete report.) Mr. Bodem briefly went through his report highlighting the following:
--The City/School staff meeting may occur sometime in September. Mutual issues of concern will be discussed.
--Pasadera Annual Review: The Pasadera development agreement requires an annual report prepared by the City Engineer. Finance is gathering information for the past few years which will go to Council in November. The end reporting date for this year’s report is October 31, 2024. --The City did not procure the grant funding from ATP for the sidewalk around the new school building but did receive $105,000 from the safe routes to school program. With a $300,000 shortfall for this project, other funding sources are being reviewed with Townsend Public Affairs Team. --SLO Cal Roots Update: Mr. Bodem participated in a “walk through” on Friday 8/23. Report is that things look good with a possible open date of mid-September. --Mr. Bodem recently met with the new Senior Account Executive, Jessica McGinnis, from Waste Management. To get ahead of the Cal Recycle compliance, Waste Management would like to start switching out the commercial trash dumpsters from green to black. Service will not be affected. --At the 8/13/24 City Council meeting, CM Hernandez asked how the City Council or staff can participate in the Comité parade. Mr. Bodem read a statement from Mr. Jose Nichols, which said, “The City Council is always welcome to participate in our Parade. Traditionally, we have saved a spot for them every year, but some years they opt, for whatever reason, not to participate. Also, the Guadalupe Fire Department is always welcome to participate. Having your folks participate just August 27, 2024 City of Guadalupe Council Meeting Minutes Page 3 of 7 makes the Parade a bit merrier plus it demonstrates, what perhaps is not always evident, the huge support that the City of Guadalupe has, and continues to have for the Comité’s events.” --Mr. Bodem came across a grant opportunity and thought of Guadalupe and possible non-profits who may benefit from this grant. An active non-profit in this sector in collaboration with the City would have a strong application. This opportunity would look to improve employment outcomes and reduce persistent economic inequities. Eligible applicants: Non-profit organizations, labor unions, tribal governments, community colleges, local workforce boards, and education and training provides. Match: 20% (in kind eligible).
9. DIRECTOR OF PUBLIC SAFETY: (Information Only)
A. Director of Public Safety report for August 27, 2024 B. Police Department report for July 2024
C. Fire Department report for July 2024
D. Code Compliance report for July 2024
(Note: go to the City’s website at www.cityofguadalupe.org to view the complete report.) Chief Cash spoke briefly on the following items:
--On Code Compliance, with the assistance of our City Attorney, we have completed the 261 Tognazzini abatement. It’s been boarded up, cleaned up and cars towed. Working with the City Attorney, we got the bill. We’ll be processing that. I’m assuming we’ll be working with the State Public Administrator so that we can get our reimbursement. That looks nice for that street. --We had a meeting at the Senior Center. I’m sure that the mayor will speak on this more. This is the Senior Advisory Committee meeting which went well. I only got in on the last part. I can leave that for the mayor to expand.
--Had a meeting today in San Luis Obispo with the Son Care Advisory Board. They supply service dogs.
They have one (1) that is getting ready to graduate from prison. They asked if Guadalupe had any veterans or someone else who could use one. They’re willing to supply that free which is very nice. If anyone wants to send in a name of someone who might need one. I will be going to the ‘Donuts with Veterans’ this Thursday. I’d hate for us to miss out on that. That’s a very good organization. There’s a huge waiting list. Any help would be appreciated.
Mayor Julian said, “You should contact Deek Segovia of the Vietnam Veterans of America (VVA). He was in Reno this past week at a conference. They’re really connected.” Chief said, “I’ll make contact with Mr. Segovia. This group, Son Care, really want to help us here in Guadalupe so that’s really good.”
The mayor asked, “The home at 261 Tognazzini, is that been resolved in terms of ownership?” City Attorney Sinco said, “No heirs were found…no successors. The property owner died indigent. The Public Administrator’s involved because there was no one to pay for her funeral, so the County stepped in and handled that. They’ve been in the process of trying to find somebody to take over the property, so they can get back taxes and their costs. No one’s been found. The last I heard they’re August 27, 2024 City of Guadalupe Council Meeting Minutes Page 4 of 7 seeking appointment to resolve the estate. Once they receive that appointment, I will receive notice and file our claim. Then they’ll sell the property.” Mayor Julian said, “I think the residents in the area would like to see this come to resolution.”
10. HUMAN RESOURCES MANAGER: (Information Only)
A. Human Resources report for July 2024
Ms. Estrada, HR Manager, reported on the following:
--Recruitment:
PD has a new Police Officer starting on 9/3. Also, an offer was extended to a Police Recruit who is now in the background process.
Fire Engineer position has been posted with no applicants to date. Other recruitment sources to be reviewed.
Public Works Director has shown little activity. Posting has been refreshed. Grant Administrator has been reopened/posted. Facility Rental Coordinator posting has received little activity but has been refreshed.
A new Finance Clerk was hired with a start date of 8/05/24. --Labor negotiations are ongoing with the Police Officers’ Association (POA). --Wastewater and Fire teams are currently in the planning stages for required training. --Drafting of the City Personnel Policy Manual has begun. --Open enrollment for healthcare begins 9/16 through 10/11. Any additions/changes will become effective 1/01/2025. More information to follow regarding rates and what needs to be done and when.
--Partnering with City Administrator to create a plan for Team Building activities which is needed.
Keeping those simple, low cost, but getting the team together to have some fun. --Two long-term workers’ compensation claims are still under active monitoring.
Mayor Julian asked, “Facility Rental Coordinator position. Isn’t there someone in that position now? Is that person still here?” Ms. Estrada said, “Yes, that person is still here but is only temporary. It needs to be filled on a regular basis.” CM Furness asked, “Aren’t we going through interviews…or didn’t we have background checks for the Grant Administrator?” Ms. Estrada said, “We did. That was mentioned in the last meeting. The position had been reposted with active recruiting now occurring.”
August 27, 2024 City of Guadalupe Council Meeting Minutes Page 5 of 7 CM Hernandez asked, “I think it would be great to host an open house next year to give an update on what’s happening with the City and the different departments. Maybe something in the upcoming months. This would be a way to connect with our community. There’s funding for translators in the budget.” Mayor Julian said, “A lot of cities have the ‘State of the City’ which may do that…where we talk about departments. The department heads…or most of them are here. Before Covid, Todd, Chief, and I would meet at Riverview with the people there. That worked really well. Maybe some of us and department heads can go meet at Riverview, The Little House, or anywhere else…even at the Social Club.” CM Costa, Jr. said that the Little House by the Park has moved to Riverview on Calle Cesar E.
Chavez. The mayor said, “We’ll follow The Little House wherever they go…the Community Changers.”
REGULAR BUSINESS
11. FUTURE AGENDA ITEMS
No additional future items were added to the list.
12. ANNOUNCEMENTS – COUNCIL ACTIVITY/COMMITTEE REPORTS
CM Robles: Free basic computer training is to be offered in Guadalupe. Any resident can learn or sharpen their computer skills. You can learn how to use the internet, email, search for jobs, etc. The training will run from October 8th to November 14th at Riverview Townhomes…Tuesdays & Thursdays, 5:30 p.m. to 7:30 p.m. You can contact Alondra Rodriguez at 805-964-4710 ext. 4401 for more information and how to register.
CM Costa, Jr.: Friday, August 30th, is “Movie Night” at Le Roy Park. There will be a snack bar there with proceeds benefiting the cheerleading group for the Bulldogs. Also, the first game for the Bulldogs will be this weekend in Lompoc.
CM Hernandez: Annis (Barajas) and I will have a meeting with Fish & Wildlife next month to see if we have an opportunity for outdoor access. There is property before Oso Flaco Lake that is a great are for hiking. It would be free for everybody. Mayor Julian said that we need more of that.
One Guadalupe resident, Eddie Hernandez, was recently recognized as “Hometown Hero” in Santa Maria. Many of you know him. He was Director of the Boys & Girls Club here in Guadalupe. His banner is posted up in Santa Maria as a “Santa Maria Hometown Hero”.
City Clerk Villegas: On Wednesday, August 20th, there was the fundraiser, “Day of Hope” to benefit the work at Mission Hope. Guadalupe had two teams and raised over $1,300. Donations are continuing to come in for this fundraiser.
Mayor Julian: On August 15th, there were meetings with SBCAG and APCD. There were some issues and complaints that APCD was trying to control the missile launchings at VSFB. That proved not to be true because the launching is controlled by the government. The issue is with the Coastal August 27, 2024 City of Guadalupe Council Meeting Minutes Page 6 of 7 Commission in terms of the number of launchings because they’re in the coastal zone. APCD has nothing to do with the control of missile launchings.
APCD is building a new North County office located at 1011 West McCoy here in Santa Maria. That used to be Segura Security. So, APCD has an office in Santa Barbara, and they bought the building on McCoy, off of Blosser.
On August 23rd, there was a ‘Mayor and City Manager Forum” which meets every quarter. This quarter they worked with VSFB. City of Lompoc received 1.0+M to study how the impact… say, for instance, water was disrupted, and there was 14 days without water. Or there was internet interruption for a number of days, and VSFB looking at knowing that they would be targeted for any of these things. The good part of what was going on here was VSFB is looking at not only cities around the area, but what do they do when it comes to emergencies. What happens if the water system goes out? What happens if the electricity goes out? What about housing? The government can’t build enough housing for the build-up of troops. There are 7,000+ civilian employees. They’re looking at apartments. We’re building a lot of homes for new arrivals at the base. They’re looking at regional emergency management.
The mayors and city managers meetings are really important. The next meeting is in Santa Maria on October 25th. Pretty impressive. There was a woman in cybersecurity infrastructure. I didn’t want to bring up that we got hit. Everybody else could see it. I have information that will be sent with contacts to look at our insecurities…potential insecurities.
On Tuesday, August 20th, there was a meeting with the Guadalupe Senior Advisory Committee. There was the discussion of Advisory Committee membership. Ms. Margaret Weiss from Santa Babara County Master Plan for Aging was introduced. We are moving forward with AARP registration.
KEYT/KCOY paid a visit this afternoon, Tuesday, August 27th, for a project update at the Royal Theatre. They did a pretty good blurb on it. We went inside the theatre. Al Ramos, from Rancho de Guadalupe Historical Society, gave an update on why the Royal Theatre is important to the community here in Guadalupe.
Next Thursday, September 5th, is the monthly Food Bank distribution. Renovations are being made to the Senior Center which is expanding the home environment for the seniors. We’re doing a lot of moving around for the Food Bank area. They want to fully utilize the center to make it more inviting for seniors.

Agenda Item No. 8E
REPORT TO THE CITY COUNCIL OF THE CITY OF GUADALUPE
Agenda of September 10, 2024
_______________________________ _________________________________ Prepared by: Approved by:
Jeff van den Eikhof, City Engineer Todd Bodem, City Administrator SUBJECT: Authorize the purchase of electrical vehicle chargers for the 303 Obispo EV Charging Project and the Amtrak Transit Hub Project
RECOMMENDATION:
It is recommended that the City Council authorize the City Administrator to purchase ChargePoint charging stations through the City’s cooperative purchasing contract with Sourcewell.
DISCUSSION:
The City has received two grants to help implement electric vehicle (EV) charging. The first is the Affordable Housing and Sustainable Communities Program Grant, which is approximately $5.2 million.
That money is earmarked for several projects, including the EV/Bus Charging Station Project at 303 Obispo Street and the Transit Hub Renovation Project at the Amtrak Station, which includes an EV charging station. The second grant is the Clean California Grant Program (CCLGP) Cycle 2 for $816,000, which was received for the Transit Hub Renovation Project.
The City Engineer has worked closely with the Santa Maria Regional Transit (SMRT) to ensure that the City of Guadalupe’s future electric vehicle charging infrastructure is compatible with SMRT’s system. The City of Santa Maria has been implementing an EV and Electric Bus charging infrastructure using ChargePoint chargers. The ChargePoint chargers have also been implemented at the Santa Barbara MTB bus yard.
The EV/Bus Charging Station Project at the Corporation Yard at 303 Obispo Street will include four Level 2 chargers for overnight charging of fleet vehicles and one Level 3 bus charger. The Transit Hub Renovation Project will include one public Level 3 charger at the Amtrak Station. The software included with the chargers will allow the City to control the pricing and use of the public charging station and allow the charging of City fleet vehicles.
The City of Guadalupe participates in the Sourcewell cooperative purchasing program. This program allows the City to procure equipment without going through the competitive solicitation process.
Jeff van den Eikhof
ChargePoint is an approved vendor through Sourcewell, and they have provided a quote with a 10% discount if the City purchases the equipment before the end of the year.
Once purchased, the charging stations will be delivered to the City Corporation Yard and stored until the projects are ready for their installation. The design for the EV/Bus Charging Station is nearly complete, and staff anticipates sending this project out for bid in early 2025 for construction in the summer of 2025. Design proposals were recently received for the Transit Hub Project, and staff anticipates bringing a design service agreement to the City Council for approval in September/October 2024. Once approved, the project will enter the design phase. Construction is expected to start in the Fall 2025.
FISCAL IMPACT:
The Affordable Housing and Sustainable Communities Program Grant and the Clean California Grant Program will cover the costs of the chargers. Additionally, City Staff has been negotiating with PG&E, which has an EV Charger Rebate program that offers a rebate of up to $144,000, capped at 50% of the purchase cost.

Building Inspections Log - August 2024
4875 El Camino Real • Atascadero, CA 93422 • Phone: 805-470-1910 • eikhofdesigngroup.com City Engineer Report
August 2024
The following is a list of projects in various construction, design, or planning stages. • Miscellaneous Measure A Work—The City Engineer attended the August TTAC meeting in Solvang.
SBCAG decided to hold in-person-only meetings twice a year. The TTAC/JTAC/PTAC meetings are typically held virtually over Zoom.
• Various Caltrans Projects – Held meetings with Caltrans project manager regarding GBA meeting, and Caltrans Right-of-Way Division regarding easement at Hwy 1/166. • Amtrak Station Improvements (Transit Hub) – On August 30, 2024, proposals were received from four engineering/architect firms to provide design services for the Transit Hub project. A review team will evaluate the proposals and bring a recommendation to the City Council for a design service agreement. Depending on the project costs, the project may include public restrooms, electric vehicle charging infrastructure, bicycle amenities, pervious pavers, improved signage, and site beautification upgrades. The total project funding is $1.3 million. • Central Park Renovation Project—The project is in its final stages of development. Construction is anticipated to begin in Summer 2025.
• Leroy Park Phase II Improvements—The City Engineer is awaiting review and approval by the USDA.
Once the funding has been approved, the City Engineer will be ready to send the project out to bid. • 303 Obispo Street Site Improvements – The design of the 303 Obispo Street Site Improvements is nearly complete. City staff holds bi-weekly meetings with PG&E and the design team regarding the project. The City Engineer met with ChargePoint on-site to discuss the charging stations. A staff report has been prepared for the first Council meeting in September to approve the purchase of the electrical chargers. The project includes charging facilities for future electric buses and electric fleet vehicles.
• Highway 1 and Pioneer Lift Stations – The Highway 1 Lift Station is currently waiting for the electrical switch gear to be provided. This equipment has an approximate 50-week lead time.
Caltrans approved a revised Caltrans Encroachment Permit for the Pioneer Lift Station. The Highway 1 Lift Station contractor has been submitting various material and equipment submittals for review.
The Pioneer Lift Station cannot be constructed until the Highway 1 Lift Station is completed.
However, due to the long procurement process for switchgear, the City Engineer intends to bid the Pioneer Lift Station this Fall for construction in Fall 2025. The City Engineer is requesting a schedule extension from the California Department of Water Resources, which is funding IRWM Round 2 for the Pioneer Lift Station.
Agenda Item No. 9D
The City Engineer meets regularly with the Department of Housing and Urban Development (HUD), which oversees the Highway 1 Lift Station Project funding. The City Engineer also met several times with Dudek who is assisting multiple County agencies with the IRWM Cycle 2 funding. • Waste Water Treatment Plant Improvements – MKN is working with WWTP staff and the Regional Board to bring the City’s wastewater treatment plant into compliance with our current permit. The required Title 22 Report was prepared and submitted to the Water Board. The Water Board returned the document with comments. MKN is working on the revisions.
The City Engineer has been coordinating with the County regarding irrigation for plants on the berm they installed along the Santa Maria River. The County has requested irrigation water from the WWTP. However, the Water Board will not allow the use of reclaimed water until the Title 22 Report has been approved. The Title 22 Report will be resubmitted to the Water Board for review during the first week in September.
The Biolac portion of the WWTP is not functioning correctly. A dredging project was put out to bid to remove sludge from the Biolac pond. No bids were received at the posted closing time. The Municipal Code allows the City Engineer to negotiate the work if no bids are received. Upon consultation with the City Attorney, the City Engineer will begin negotiating with a contractor for the work. An agreement will be brought to the City Council for approval. The work will coordinate with the repair of the Biolac system.
• City Hall Improvements—An RFP is being prepared to bring a design team on board to prepare plans and specifications for the renovations and repairs to City Hall. A recommendation will be brought to the City Council in a few months to approve the consultant agreement. As an Essential Services Building, most of the work on City Hall will entail structural and seismic upgrades, including walls, roof, foundation repair, and rot repair. The project will also include various improvements to the Public Safety portions of the building. Due to the amount of design work needed, the anticipated start of construction will be sometime in 2025.
• 2025 Pavement Improvements—Design work is ongoing on the 2025 Pavement Improvement Project. Depending on the funding available, the project will include Obispo Street from Main Street to Ninth Street and West Main from Guadalupe Street to Julia Drive. • Royal Theater —The City Engineer worked with Tom Brandeberry to prepare bid documents for the Royal Theater.
• Water Tank Inspections – The City Engineer reviewed proposal for tank cleaning and inspections and prepared a service agreement for the City Administrator’s signature. • Parade Encroachment Permit – The City Engineer reviewed and signed the Caltrans Encroachment Permit application for Club Comite Civico Mexicano.
Development
The following developments, which require engineering review/oversight, are in various phases. • 12th Street Apartment
o The City Engineer coordinated with the Contractor regarding improvements in the City rightof-way. • Pasadera
o The City Engineer has started working on the Annual Report. This report will be brought to the City Council for approval in November.
o The City Engineer has been working with the developer and Bethel Engineer on the Lot 1 South Tract Map.
• Guadalupe Jr. High School – The City Engineer reviewed revised utility plans and worked with the Finance Department to revise the utility connection fees. 1 PUBLIC SAFETY DIRECTORS REPORT

1 Agenda Item No. 12
REPORT TO THE GUADALUPE CITY COUNCIL
Agenda of September 10, 2024
______________________________ _____________________________ Prepared by: Approved by:
Philip F. Sinco, City Attorney Todd Bodem, City Administrator SUBJECT: Approve an Agreement and Mortgage document granting a first priority lien to the Economic Development Administration (EDA) on the Royal Theater property.
RECOMMENDATION:
It is recommended that the City Council adopt Resolution No. 2024-55 approving the Agreement and Mortgage document granting a first priority lien to the Economic Development Administration (EDA) on the Royal Theater property, authorizing the Mayor to sign the document on behalf of the City, and directing that the document be recorded.
BACKGROUND:
The Royal Theater Renovation Project (“Project”) is being undertaken by the City to reconstruct, rehabilitate, and renovate, the Royal Theater to historic standards and to construct additional amenities as part of an effort to create jobs, and for economic development of the City’s downtown.
Over the course of the last five (5) years, the City has diligently worked to raise funding needed for the Project. In total, the City has secured or is in the process of securing more than $10 million in grants and other financing, including a $4.89 million grant from Economic Development Administration (EDA). The EDA grant is contingent upon several factors, including granting the EDA a first priority mortgage on the Project property.
The property where the existing Royal Theater is located is one of the three parcels that were acquired by the City’s former redevelopment agency (former RDA) in January 2001 from the former property owner, Henry Garcia, Jr. and Olivia Garcia 1 The other two (vacant) parcels were immediately adjacent to the property where the Royal Theater is located. The former RDA executed a note secured by a deed of trust with Henry Garcia, Jr. and Olivia Garcia for these three parcels, agreeing to pay them the amount of $90,000 by the end of 2010. This note was subsequently modified by mutual agreement in 2011 when Olivia Garcia was paid the full amount she was owed, but Henry Garcia agreed to extend the City’s payments to him until October 2020. 1 The legal owner of these properties was actually “Henry Garcia, Jr. and Olivia Garcia, as Trustees under that certain trust dated August 24, 1978.” For convenience, even though title to the properties was held by a trust, Henry and Olivia Garcia will be referred to herein as the “property owners” and as individuals with shared ownership.
Philip F. Sinco
2 When the state abolished all redevelopment agencies in 2011, the former RDA’s assets were transferred to a “successor agency” which was charged with “winding down” all of the activities of the former redevelopment agency, including transferring all of its assets as provided by the law. In particular, successor agencies were required to prepare a Long-Range Property Management Plan that would provide how assets would be transferred.
The three parcels related to the Royal Theater were transferred to the City in 2018 pursuant to the provisions of the Long-Range Property Management Plan, which required that the property be developed and used for a community performing arts center.
In connection with the Project, the City was required to merge the three separate parcels because construction of a building and amenities would occur on two or more of the parcels, which is not permitted by the state Building Code. This process began in 2022 and was completed in July 2023.
As part of this process, the City was required to obtain a preliminary title report which showed that the deed of trust securing for the former note between the City and the former property owner (the “Garcia loan”) was still on the record of title, even though the final payment had been paid in October 2020. When the final payment was made to Henry Garcia in October 2020, a “substitution of trustee and full reconveyance” document should have been obtained from the former property owners and recorded to remove the deed of trust recorded against the properties. Since the City did not obtain and record this document, the deed of trust remained “on title.” Because of the requirements of the EDA grant, the deed of trust needed to be removed from title, otherwise, the EDA’s lien cannot have first priority. Regrettably, the City had only two mailing addresses for the former property owners (that is, no phone number(s) or email address(es)). In November 2023, the City attempted to contact these individuals by certified mail, using the mailing addresses it had, but this effort was not successful. Further investigative activity was undertaken to locate one or both of them. This activity finally resulted in making contacting with Olivia Garcia in June 2024. This contact eventually resulted in the City receiving a substitution of trustee and full reconveyance document signed by both Henry and Olivia Garcia, which the City recorded on July 22, 2024. Now that this has been done, the City owns the (merged) Royal Theater property “free and clear” and may execute a document granting the EDA the first priority lien against the Project property to secure its grant funds and ensure they are used for the purposes of the grant.
DISCUSSION:
The document attached hereto as Attachment 2 entitled “Agreement and Mortgage” has been approved by the EDA. The terms of the EDA grant requires that the form and substance of the document granting it a first priority lien must be satisfactory to EDA.
Among other things, the Agreement and Mortgage requires that the City will:
• compensate the federal government if at any time during the useful life of the Project (which is deemed to be twenty (20) years) the Project (or any property acquired with use of the grant funds) is no longer used for the purposes of the grant or disposed of. 3 • allow the EDA to review and approve any leases of the Project to ensure it is consistent with the purposes of the grant.
• maintain hazard insurance on the Project and keep the Project property in good condition and repair.
• indemnify the EDA if it is required to expend any funds to repair, maintain, or preserve the Project property.
The City Council is requested to approve the Agreement and Mortgage document, and authorize the Mayor to sign it on behalf of the City, so that the City may receive the benefit of the EDA grant funds for the Project.
FISCAL IMPACT:
None.

WHEREAS, under government-wide regulations set out at 2 CFR part 200 and EDA’s regulations governing the Award at 13 CFR Chapter III, any transfer or conveyance of Project Property or any portion thereof must have the prior written approval of EDA; WHEREAS, in accordance with PWEDA, EDA is not authorized to permit transfer or conveyance of Project Property to parties that are not eligible to receive EDA grants unless EDA is repaid the Federal Share as defined at 13 CFR § 314.5 (“Federal Share”) or unless the authorized purpose of the Award is to develop land in order to lease or sell it for a specific use, in which case EDA may authorize a lease or sale of the Project Property or a portion thereof if certain conditions are met;
WHEREAS, the aforesaid Award from EDA provides the purposes for which the Grant Amount may be used and provides, inter alia, that Mortgagor will not sell, lease, mortgage, or otherwise use or alienate any right to, or interest in the Project Property, or use the Project Property for purposes other than or different from those purposes set forth in the Award and the ATTACHMENT 2 EXHIBIT 1
2 60077041.1
Grant Application made by Mortgagor therefor, such alienation or use being prohibited by 13 CFR part 314 and 2 CFR part 200; and
WHEREAS, Mortgagor and EDA desire to establish an obligation for and first priority lien on Project Property in favor of EDA in the event that the Project Property is used, transferred, or alienated in violation of the Award, 13 CFR Chapter III, or 2 CFR part 200; NOW THEREFORE, Mortgagor does hereby grant and convey unto EDA, its successors and assigns, a mortgage and a lien on said Project Property to secure Mortgagor’s obligation (i) to comply with the terms and conditions of the Award and the regulations set forth in 13 CFR Chapter III and 2 CFR part 200, and (ii) to use Project Property only for the purposes set forth therein for the Estimated Useful Life of Project Property. Mortgagor agrees that a debt, with interest thereon at the rate set forth in 31 U.S.C. § 3717, in the amount of the Federal Share, which amount shall be determined at the sole discretion of EDA in accordance with its authorities and regulations, such amount being either EDA’s pro-rata share of the fair market value of the Project Property, as further set forth at 13 CFR § 314.5, as that provision may be amended from time, the Grant Amount, or the amount actually disbursed under the Award (Indebtedness), shall be due and payable by Mortgagor to EDA upon the termination of the Award, or any attempt to use, transfer, or alienate any interest in Project Property in violation of the Award or of the regulations set forth in 13 CFR Chapter III or 2 CFR part 200 and does, moreover, agree that such Indebtedness shall be extinguished only through the full payment thereof to the Federal Government.
Mortgagor further covenants and agrees as follows:
1. Lease of Project Property:
If the Grant Application provides for and the Award authorizes Mortgagor to lease Project Property, each lease arrangement shall be subject to the prior written approval of EDA.
EDA must determine that the applicable lease arrangement is consistent with the Grant Application and authorized general and special purpose(s) of the Award; will provide adequate employment and economic benefits for the area in which Project Property is located; is consistent with EDA policies concerning, but not limited to, non-discrimination, non-relocation, and environmental requirements; and that the proposed lessee is providing adequate compensation, as defined in 13 CFR § 314.1, to Mortgagor for said lease. Any lease agreement entered into by Mortgagor of the Project Property shall be subordinate, junior, and inferior to this Agreement and Mortgage, and any lease for which a memorandum of lease is recorded, shall, at EDA’s request, be expressly subordinated in writing and the written subordination recorded in the same manner as this Agreement and Mortgage
2. Charges; Liens:
Mortgagor shall protect the title and possession of all Project Property; pay when due all taxes, assessments, mechanic and/or materialmen liens, and other charges, fines, and impositions now existing or hereafter levied or assessed upon Project Property; and preserve and maintain the priority of the lien hereby created on Project Property, including any improvements hereafter made a part of the realty.
3. Hazard Insurance:
3 60077041.1
Mortgagor shall insure and keep insured all improvements now or hereafter created upon Project Property against loss or damage by fire and windstorm and any other hazard or hazards included within the term “extended coverage.” The amount of insurance shall be the full insurable value of said improvements but in no event less that the full replacement value of the improvements. Any insurance proceeds received by Mortgagor due to loss shall be applied to restoration or repair of any damaged Project Property, provided such restoration or repair is economically feasible and the security of this Agreement and Mortgage is not thereby impaired.
If such restoration or repair is not economically feasible or if the security of this Agreement and Mortgage would be impaired, Mortgagor shall use said insurance proceeds to compensate EDA for its Federal Interest. EDA’s Federal Interest, as defined at 13 C.F.R. § 314.2 (“Federal Interest”) shall be satisfied when amount received is equal to the Federal Share as that term is defined at 13 CFR § 314.5 (“Federal Share”).
4. Preservation and Maintenance of the Project Property:
Mortgagor shall keep Project Property in good condition and repair during the Estimated Useful Life and shall not permit or commit any waste, impairment, or deterioration of Project Property, but shall give notice written thereof to EDA without delay.
5. Indemnification
To the extent permitted by law, Recipient agrees to indemnify and hold the Federal Government harmless from and against all liabilities that the Federal Government may incur as a result of providing an award to assist, directly or indirectly, in the preparation of the Project Property or construction, renovation, or repair of any facility on the Project Property, to the extent that such liabilities are incurred because of toxic or hazardous contamination of groundwater, surface water, soil, or other conditions caused by operations of the Recipient or any of its predecessors (other than the Federal Government or its agents) on the Project Property. See also 13 C.F.R. § 302.19 (“Indemnification”).
6. Inspection:
EDA may make or cause to be made reasonable entries upon and inspection of Project Property by EDA or an authorized representative of EDA.
7. Condemnation:
The proceeds of any award or claim for damages, direct or consequential, in connection with any condemnation or other taking of Project Property, or any part thereof, or for any conveyance in lieu of condemnation shall be used by Mortgagor to compensate EDA for EDA’s Federal Share. EDA’s Federal Share of said condemnation proceeds shall be equal to that percentage which the Grant Amount bore to the total project costs under the Award for which the condemned property was acquired or improved. See also 13 CFR § 314.5 (“Federal Share”).
8. Recording of Agreement and Mortgage – Mortgagor’s Copy:
Mortgagor shall record this Agreement and Mortgage in accordance with the laws and rules of the County where Project Property is located, and shall ensure that the lien hereby granted is a first and prior lien on Project Property senior to all other interests save those which 4 60077041.1
may arise by operation of law. EDA shall be furnished with the original, recorded Agreement and Mortgage as executed.
9. Notice:
Any notice from EDA to Mortgagor provided for in this Agreement and Mortgage shall be sent by certified mail to Mortgagor’s last known address or at such address as Mortgagor may designate to EDA, except for any notice given to Mortgagor in the manner as may be prescribed by applicable law as provided hereafter in this Mortgage. Likewise, any notice from Mortgagor to EDA shall be sent by certified mail to EDA’s address.
10. Remedies:
Upon Mortgagor’s breach of any term or condition of the Award or any provision of this Agreement and Mortgage, then EDA, its designees, successors, or assigns may declare the Indebtedness immediately due and payable, and may enforce any and all remedies available including but not limited to foreclosure by an action brought either in a United States District Court or in any State Court having jurisdiction, but such action shall not be deemed to be a release or waiver of any other right or remedy to recover repayment thereof.
After any breach on the part of Mortgagor, EDA shall, upon bill filed or the proper legal proceedings being commenced for the foreclosure of this Agreement and Mortgage, be entitled, as a matter of right, to the appointment by any competent court, without notice to any party, of a receiver of the rents, issues, and profits of Project Property, with power to lease and control such Property, and with such other powers as may be deemed necessary.
11. Remedies Cumulative:
All remedies provided in this Agreement and Mortgage are distinct and cumulative to any other right or remedy under this Agreement and Mortgage, the Award, or related documents, or afforded by law or equity, and may be exercised concurrently, independently or successively.
12. Forbearance Not a Waiver:
Any forbearance by EDA in exercising any right or remedy hereunder, or otherwise afforded by applicable law, shall not be a waiver of or preclude the exercise of any right or remedy. The procurement of insurance or the payment of taxes or other liens or charges by EDA shall not be a waiver of EDA’s rights under this Agreement and Mortgage.
13. Release:
EDA and the Mortgagor agree that, so long as the possession and use of Project Property by Mortgagor has been only for the purposes set forth in the Award and Grant Application, then after the Estimated Useful Life of the improvements to Project Property, Mortgagor may request a release of the Federal Interest in accordance with 13 CFR part 314, which will not be withheld except for good cause, as determined in EDA’s sole discretion; provided, however, that in accordance with 13 CFR part 314, restrictions upon the religious use or discriminatory practices in connection with the use of Project Property shall survive this Agreement and Mortgage and any release thereof, which shall be evidenced by a separate recorded covenant.
5 60077041.1
14. Governing Law; Severability:
This Agreement and Mortgage shall be governed by applicable federal law, if any, and if there is no applicable federal law by state law, and nothing contained herein shall be construed to limit the rights the EDA, its designees, successors, or assigns are entitled to under applicable federal or state law. In the event that any provision or clause of this instrument conflicts with applicable law, such conflict shall not affect other provisions of this instrument which can be given effect without the conflicting provision, and to this end the provisions of this instrument are declared to be severable.
15. Authority to Execute Agreement and Mortgage:
Recipient represents and warrants to and covenants with EDA that Recipient has been duly authorized by Recipient’s governing body by all necessary action and has received all necessary third party consents to enter into this Agreement and Mortgage.
