CALIFORMIA ITEM NO. 6
COUNCIL AGENDA ITEM
April 19, 2022
PREPARED BY: Doug Dunford, City Manager
SUBJECT: First Amendment to Agreement for City Attorney Services
BACKGROUND/DISCUSSION
The City of Gustine entered into an agreement for city attorney services on July 7, 2015 providing for a flat monthly retainer amount based on the assumption that the City would require 15-20 hours per month of legal services. For several years, the number of hours spent on legal services for the City has averaged more than twice that amount.
The proposed First Amendment (attached) would amend the flat monthly retainer amount to reflect the fact that the City is requiring 35-40 hours per month of city attorney services. Specifically, the amendment would revise Section 3.7.2 to provide that the monthly retainer will be $8,500, beginning July 1, 2022. The amendment also makes other minor clarifications to the agreement.
FISCAL IMPACT
The amendment, if approved, will require a corresponding budget adjustment for city attorney services beginning in fiscal year 2022-23.
RECOMMENDATION
Recommend City Council approve the First Amendment to Agreement for City Attorney Services.
EXHIBIT(S)
A) First Amendment to the Agreement for City Attorney Services between City of Gustine and Best Best & Krieger LLP
FIRST AMENDMENT TO THE AGREEMENT FOR CITY ATTORNEY SERVICES
BETWEEN CITY OF GUSTINE AND BEST BEST & KRIEGER LLP
THIS FIRST AMENDMENT TO THE AGREEMENT FOR CITY ATTORNEY SERVICES BETWEEN CITY OF GUSTINE AND BEST BEST & KRIEGER LLP ("First Amendment") is entered into this 19th day of April, 2022, by and between the City of Gustine ("City"), a municipal corporation of the State of California, and Best Best & Krieger LLP, a limited liability partnership engaged in the practice of law ("BB&K"). The City and BB&K are sometimes collectively referred to herein as "Parties."
RECITALS
On or about July 7, 2015, the Parties entered into an Agreement for City Attorney Legal Services ("Legal Services Agreement") whereby BB&K agreed to serve as City Attorney for the City of Gustine and provide all legal services related thereto under the terms and conditions set forth in the Legal Services Agreement.
Section 3.7.2 of the Legal Services Agreement established a flat monthly retainer of $3,100 (annually adjusted by the CPI) for Basic Legal Services, as defined, based on the assumption that the City would require 15 to 20 hours per month on average of such services, and also provided that if the scope of Basic Legal Services changed, the Parties could consider an adjustment to the retainer amount.
For several years, the number of hours spent on Basic Legal Services for the City has averaged more than double the number of hours assumed in the Legal Services Agreement.
D. The Parties now desire to amend the Legal Services Agreement to provide for an increase in the retainer for Basic Legal Services, in accordance with the terms and conditions set forth below and in the Legal Services Agreement.
E. This First Amendment provides for an increase in the retainer effective July 1, 2022 to $8,500 per month.
AGREEMENT
NOW, THEREFORE IN CONSIDERATION FOR THE MUTUAL PROMISES
CONTAINED IN THIS FIRST AMENDMENT, BB&K AND THE CITY OF GUSTINE AGREE AS FOLLOWS:
1. Section 3.7.2. Section 3.7.2 of the Agreement is hereby replaced in its entirety with the following:
3.7.2. Basic Legal Services - Retainer. The Client shall pay for Basic Legal Services at the flat monthly retainer amount of $8,500 effective July 1, 2022. Travel time to attend regular City Council meetings shall be billed at 50% (fifty percent). In addition, Client shall receive a credit of $125 (one hundred twenty-five dollars) for each regular City Council meeting that BB&K does not attend, up SACRAMENTO AMS124054.1
to a maximum of two meetings per month. This credit shall be reflected in the following month's retainer. This flat monthly retainer is based on Client's current usage of Basic Legal Services in the amount of 35-40 hours per month on average. If the number of hours changes by a material increase or decrease from this current average, then the Parties may discuss an adjustment to the retainer amount to accommodate such a change. Such change would be at the sole discretion of the Client and would be reflected in an amendment to this Agreement.
Effective Date. The Effective Date of this First Amendment shall be April 19, 2022.
4. First Amendment. This First Amendment modifies the Legal Services Agreement only as provided above and does not change or modify the remaining provisions of the Legal Services Agreement.
IN WITNESS WHEREOF, BB&K LLP and City have executed this First Amendment to be effective on the first day on the date first above written.

GUSTINE CITY ITEM NO. 13
COUNCIL AGENDA ITEM
APRIL 19, 2022
PREPARED BY: Jami Westervelt, Economic and Community Development Director SUBJECT: Discussion of Multi-jurisdictional Housing Element
BACKGROUND/DISCUSSION
The City of Gustine is a member jurisdiction of Merced County Association of Governments (MCAG). As the Council of Governments (COG) for the County of lerced and its cities, MCAG serves as the regional transportation-planning agency. I idditional to transportation planning, MCAG also takes on other tasks involving collective effort by member jurisdictions. The existing structure, staffing capacity, and regional knowledge and relationships, make COG organizations logical alternatives for coordinating regional activities and projects.
The Regional Early Action Planning (REAP) program is a state of California funded grant program designed to help regions and jurisdictions with planning activities to meet the sixth cycle of the regional housing needs assessment (RHNA) and to spur affordable housing production. The San Joaquin Valley as a whole received nearly $19 Million in grant funds in round one - REAP 1.0. The funds went to valley-wide activities and direct allocations to the eight regional planning agencies in the Valley. MCAG received just over $1 Million for REAP (Exhibit C).
City staff has been serving on the Technical Workgroup for REAP. As with any State or Federal funding, REAP dollars come with specific allowable uses and prohibitions. In considering best use of the dollars, the Workgroup has discussed the idea of a Multi- jurisdictional Housing Element (MJHE), as a permissible use of funds that could work to assist each jurisdiction to meet its required housing element submissions.
The timeline for these funds at this point calls for quick decisions in order to complete work and spend the funds within the State's timelines. Consultants to the Workgroup and MCAG staff advise that the State of California is highly unlikely to extend deadlines.
Therefore, in order to stay on track for a MJHE, MCAG asked jurisdictions to confirm intentions at this time.
Exhibit A includes handouts from workgroup meetings and a recent workshop. The handouts point out that all jurisdictions face increased requirements for Housing Elements going forward. These requirements will result in substantial, additional cost and time commitments from staff over previous submissions.
Theoretical Advantages and Disadvantages
There exist pros and cons to any large-scale, multi-jurisdictional type planning. Any jurisdiction must weigh a number of cost assumptions if given the option whether to participate in the group effort. This becomes more difficult where there is not a reliable historical comparison due to changing circumstances.
The City cannot simply compare anticipated MJHE costs to costs from previous Housing Element efforts. First, because the new additional State requirements substantially increase costs. Second, because the City will have a different consultant than it has used in the past.
The consultant the City previously contracted with to develop and submit its Housing Element has confirmed he cannot work on the next Gustine Housing Element. He has semi-retired and is currently living outside the United States. Staff believes the City may have to pay a higher rate in contracting with a new consultant for housing element services going forward.
The below chart summarizes some of the components as relayed to the workgroup during meetings that the Council could consider in weighing pros and cons:
Consideration Multi-jurisdictional City Alone

City specific to each jurisdiction.
Local input Reflected throughout the Reflected throughout the development process and requires development process and local approval. requires local approval.
Whether the City of Gustine participates in the MJHE or opts to undergo the process solo again, the City must meet all the same requirements. Choosing the multi- jurisdictional approach does not mean REAP will pay for all the costs related to the City housing element. The City still must allocate funds for its housing element regardless. The multi-jurisdictional approach has potential to provide some cost savings for the City, recognizing that the City is not likely to receive a guarantee of that.
To clarify: if the City opts out of the multi-jurisdictional approach, it should not expect to receive REAP dollars to complete its own element either. The City simply will not benefit if it turns out that there are cost savings in the combined process. Assuming that at least some of the jurisdictions agree to the MJHE approach, the funds would presumably stay with the jurisdictions that remain in that effort.
The MCAG Governing Board approved the attached REAP funding table at its March 17 meeting (Exhibit B, page 3, "REAP 1 ACTIVITIES, (2) Suballocation (A) Regional Planning"). The table programs funds from REAP, including funding for the Multi- jurisdictional Housing Element.
MCAG has communicated that both the funding available and the final cost are not solid but rather best estimates. The amount to go toward the MJHE will fluctuate depending upon, as example, the costs of the Infrastructure Capacity Assessment taking place. Additionally, the final costs for the work itself ultimately depends upon the Consultant proposal responses and contract.
MCAG states that the cost to each City will correspond to the size of the effort related for that jurisdiction. MCAG provided a VERY rough cost estimates as an example at a recent workgroup meeting (Exhibit A, page 4).
While the City's previous consultant cannot take on the housing element for the City, he did provide feedback on housing element work going forward. He independently confirmed that there have been, "substantial changes in housing element law, and HCD's expectations for public process are much higher." He stated that the changes equate to a doubling of the prices without accounting for substantial workload for public meetings, website development and related required public-process activities.
Staff seeks Council input on consideration of City participation in a Multi-jurisdictional Housing Element approach. The clarification will allow staff to contribute meaningful feedback to the workgroup discussion and provide the general direction MCAG seeks at this time. This clarification does not indicate a formal commitment at this Council meeting.
FISCAL IMPACT
There is no fiscal impact at this time-discussion only.
RECOMMENDATION
City Council discuss the Multi-jurisdictional Housing Element concept and provide direction to staff for informing MCAG and the REAP workgroup and activities related to a Multi-jurisdictional Housing Element.

RE: Action: Recommend approval of REAP 1 funding allocation funding table
SUMMARY
MCAG needs to provide the California Department of Housing and Community Development (HCD) with a funding allocation summary table for the region's full allocation of $1 million in REAP 1 funds.
This item provides a draft summary table for consideration that reflects existing Board-approved uses and new activities as recommended by the REAP technical work group comprised of jurisdiction staff.
Staff is seeking the Technical Review Board's recommendation to the Governing Board to approve the funding allocation summary table and proceed with the development of the work products included.
REQUESTED ACTION
Approve the REAP 1 funding allocation summary table.
BACKGROUND
The San Joaquin Valley was awarded nearly $20 million in REAP 1 funding which has been allocated to a series of valley wide activities and to each of the eight planning agencies via a population-based formula. Through this process, MCAG was allocated $1,008,343 in REAP 1 funds with $223,147 specifically identified for RHNA and staffing support, and $785,196 for suballocations to jurisdictions in Merced County. The jurisdictions in Merced County recommended, and the Governing Board supported, to forgo suballocations to jurisdictions in order to pursue regional activities that will benefit all jurisdictions collectively.
DISCUSSION
The San Joaquin Valley funding was applied for in three rounds, each of which requires the region's fiscal agent, Fresno COG, to submit reporting documentation and new application material. The round 1 and 2 funding applications have been approved by HCD and those funds are available for use now.
However, HCD is still reviewing the 3d application for the final round of funds and has very recently requested Fresno COG to collect individual summary tables from each planning agency that specifies how their total award is being utilized across the eligible use categories. As such, staff has developed the following summary table consistent with the required reporting framework that reflects the REAP work group and Governing Board's decision to forgo individual suballocations and to pursue a variety of regional activities.

MCAG's Proposed REAP 1 Funding Allocation Summary Table CATEGORY ALLOCATION* BREAKDOWN
(1) RHNA & Administration $223,147

Total $1,008,343 $1,008,343
The two categories of work (1. RHNA and Administration, and 2. Suballocations) and the specific funding allocations to each category were established by the San Joaquin Valley REAP Committee at the launch of the REAP 1 program and are not subject to change. (1) The RHNA and Administration category includes the consultant contract responsible for developing the 6* cycle RHNA methodology and plan, as well as MCAG's staff time for program administration and management. MCAG receives 5% of the total award for program administration which includes invoicing, reporting and other financial accounting duties as a subrecipient of the Valley grant. Per the valley-wide application, planning agencies are also able to use additional funds from this category for overall program management and implementation which includes the coordination of the REAP work group, participation in the valley and state REAP work groups, procurement of services, management of contracts, etc.
The second category is (2) Suballocations. Section (A) Regional Planning includes a variety of proposed work products and efforts that are being recommended by the REAP technical work group. Section (B) Jurisdiction Allocations is $0 as previously decided by the jurisdictions and Governing Board.
REQUESTED ACTION
Approve the REAP 1 funding allocation summary table.

COUNCIL AGENDA ITEM
April 19, 2022
PREPARED BY: Doug Dunford, City Manager
SUBJECT: Resolution Terminating COVID-19 Local State of Emergency
BACKGROUND/DISCUSSION
On April 7, 2020, in accordance with local, state, and national guidance regarding the risks associated with the novel coronavirus (COVID-19), the City Council adopted Resolution 2020-2512, proclaiming a local state of emergency. This Resolution closed certain public parks and facilities for public health and safety reasons, authorized the City Manager to take certain regulatory actions necessary for preservation of public health and safety, prohibited price gouging, and tolled the time for taking actions on certain permits and applications. On May 5, 2020, the City Council adopted Ordinance 506, which suspended the portion of the Gustine Municipal Code regarding penalties and late fees for nonpayment of sewer and water service charges in response to COVID-19.
On June 11, 2021, the Governor lifted prior state orders pertaining to COVID-19, including the Stay-at-Home order. As of April 2022, over 80% of California's residents have received at least one dose of the COVID-19 vaccine, and over 70% are fully vaccinated. Merced County has experienced a dramatic reduction in cases and positivity rates, reflected by increasing ICU capacity over the past few months.
Accordingly, the conditions associated with the spread of COVID-19 have been reduced to such an extent that City staff are prepared to recommend termination of the local state of emergency. This will have the effect of automatically terminating the provisions of Resolution 2020-2512 and Ordinance 506, as well.
FISCAL IMPACT
There is no associated fiscal impact with this action.
RECOMMENDATION
Recommend City Council adopt Resolution terminating the local state of emergency and further terminating all provisions of Resolution 2020-2512 and Ordinance 506.
