COUNCIL AGENDA ITEM
OCTOBER 18, 2022
PREPARED BY: Tiffany Vitorino, Recreation Manager
SUBJECT: Christmas in the Park Celebration

BACKGROUND/DISCUSSION
The Recreation and Police departments are submitting a request to use City streets and ervices to noid the Annuid
eries to hoth the or tale aristmas in seats Come ration or day Decent l include a visit with Santa, characters, s'mores, crafts, train rides, a variety of vendors, and live music performances by local clubs and organizations. This year the Recreation department has also secured a Magician which will be added to the list of performances on the gazebo stage. The admission to the event is one canned food item, which will be donated to the Gustine Lions Club for distribution to local families in need over the Christmas holiday. Staff is requesting one street closure of 3rd Avenue from 6th Street to the alley way west of the fire department.

Staff would also like to have food vendors at this event to sell food from their specialized trailers and booths. Staff is requesting Council's authorization to allow these vendors in the park during the event. According to the Gustine Municipal Code Section 5-6-3, mobile kitchen type vendors are only allowed in manufacturing districts, except otherwise by special permission of the City Council during festivals, parades and other public events. If approved, these vendors will be responsible to obtain the necessary business license with the City, and with the assistance of the Recreation Manager, will be submitting the proper paperwork to Merced County Environmental Health Department to obtain the appropriate health permits.

FISCAL IMPACT
Staff will be asking for donations from local and surrounding businesses to be able to provide decorations and some prizes for the City-sponsored event. COUNCIL AGENDA ITEM
OCTOBER 18, 2022
PREPARED BY: Jesus Chavez, Public Works Director
SUBJECT: (Update) Authorize Interim City Manager to Execute Agreement with Merced County Public Works Roads Division for repairs to Carnation Road

BACKGROUND/DISCUSSION
At their regular meeting held on October 4, 2022, City Council approved an expenditure of $11,645 plus tax to collaborate with Merced County Roads to repave two sections of the City's portion of Carnation Rd. Merced County had identified the "most severe" sections of the road to repair, as part of their own road survey, and proposed to complete the repairs to those sections if the City would cover the cost of material.

During discussion for that item, it was requested that staff contact Merced County to inquire what the cost for material would be for repairing the entire City-owned portion of the road.

Mr, Wes Whitley, County Road Superintendent provided information that the total estimated material, including the prior approved 137 tons, would be 285 tons of Superior Asphalt Mix SC800. The County would cover costs of their equipment and labor.

Increasing the scope of this repair would allow Carnation Rd. to be repaired in its entirety from East Ave to the City's Wastewater Treatment Plant.

FISCAL IMPACT
Council has already approved an expenditure in the amount of $11,645 plus tax. Increasing the scope of work to include the entirety of the City's portion of the road requires an additional approval of $12,580 plus tax. Staff is requesting Council's approval to allocate Regional Surface Transportation Program (RSTP) funding to cover the cost of materials.

RECOMMENDATION
Staff recommends that the City Council authorize the Interim City Manager to enter into an agreement with Merced County Roads Division for the expanded repair of Carnation Road, and approve the allocation of $24,225 in RSTP funds to the cost of materials.

October 18, 2022
PREPARED BY: Jesus Jr Chavez, Public Works Director
SUBJECT: Emergency Temporary Repair at North Avenue Sewer Lift Station

BACKGROUND/DISCUSSION
On August 31, 2022 the North Avenue Sanitary Sewer Lift Station failed resulting in the sludge backing up and causing a potential spill in the street. Staff was able to redirect the sludge to the closest sewer manhole 400 feet away by pumping it with a small trash pump and a 2"- line. Staff barricaded the corner of Linden and North Avenue to provide room for the pump to operate.

Staff contacted Foster Pumps to do emergency repairs on the lift station, however, three days later the lift station continued having mechanical issues. Staff looked into different options for fixing the situation. Taking into consideration the limited availability of parts and the age of lift station, which is over 35 years old when the typical life span of a lift station is 15-20 years, staff decided the most cost effective and rapid solution would be to purchase a portable 6" diesel pump on a trailer that was retrofitted by Conco-West to bypass the existing pumps.

The temporary pump is set up in a float turn-on configuration. Once the floats sense a rise in the level it sends a turn on signal to the on-board module located on the trailer of the temporary pump. The temporary pump will then turn the diesel engine off when the float system detects low wastewater levels. These thresholds were established when the temporary pump was set up. The lift station where the temporary pump has been set-up is fully gated, which ensures the equipment is secured. Staff is currently working on a permanent solution and will return to Council in the near future.

Under Section 2-6-38(m) of the Gustine Municipal Code the City Manager is authorized in the case of an emergency threatening public health and safety to "take any directly related and immediate action required by that emergency, and procure the necessary equipment, services, and supplies for those purposes, without giving notice for bids to let contracts." Once the purchase is made, the code further requires the City Manager to report to the City.

Council the reasons why the emergency required dispensing with the competitive solicitation for bids process.

As stated above, the purchase of the temporary pump was an emergency purchase due to the potential health risks of the lift station failing. This staff report serves as notice to the City Council of the purchase in compliance with the Gustine Municipal Code.

FISCAL IMPACT
The total cost for the emergency repairs and purchase of the temporary pump station was $55,782.42. Staff is recommending that funding come from the Sewer Fund - Account No. 061-0520-530.201-00 (Other Contract Services).

RECOMMENDATION
Staff recommends that the City Council ratify and approve emergency repairs at the North Avenue Lift Station.

COUNCIL AGENDA ITEM
OCTOBER 18, 2022
PREPARED BY: Tiffany Vitorino, Recreation Manager
SUBJECT: Authorize the Interim City Manager to Enter into a Service Agreement with the Gustine Chamber of Commerce to Utilize the City of Gustine's Civic Rec Software

BACKGROUND/DISCUSSION
On December 1, 2021, the Recreation department launched their new Civic Rec Software. The system has many useful capabilities that benefit the department by allowing community members to rent facilities and register for all activities and events anytime without staff's assistance. Staff is able to set up automatic reporting that gives current updates on all the registrations. The software continues to grow its customer base and has been a success in saving staff time.

Staff has received a letter from the Gustine Chamber of Commerce asking to utilize the recreation software. Due to the Chamber having little resources this will allow them to organize their upcoming events with limited staff time. The system would be used for creating online registration for vendors and parade entries, initially for the Downtown Christmas event, with the possibility of adding other events that require registration.

Initial set up within the registration software will be done outside of normal business hours on a voluntary basis. Situational assistance can be done with minimal staff time.

With Council's approval this will also benefit the Recreation Department by expanding its customer base and acquiring additional vendor contact information for future City events.

The Chamber is currently assisting the Recreation Department with holiday tree decorations by fundraising for the supplies and fencing. The Chamber will continue to take responsibility of decorating the tree once Public Works has completed the installation of the tree on Main Street. The Chamber in addition assists the City in numerous volunteer activities such as the Christmas in the Park hot chocolate booth, partnerships for craft nights and other special events.

The Chamber has agreed to pay any fees that the City accrues from the Civic Rec System. The Recreation Department is recommending the City withhold 15% of the fees collected to compensate the City for the credit card fees and any extra situational staff time that transpires. If approved the Chamber will have limited access to the Civic Rec system and will only be able to see their event reports.

CivicRec deposits daily into the City's bank account. Reconciliation is done by journal entry to allocate the deposit to the applicable City accounts. Monies collected for the Chamber would need to be tracked with a specified account within the Recreation Fund. Through the accounts payable process, the City would calculate the monthly amount due to the Chamber to be approved at a regular council meeting via the warrant list.

FISCAL IMPACT
There is no anticipated impact, as the 15% withholding should cover any expense the City accrues by way of credit card fees and staff time.

RECOMMENDATION
Council to authorize the Interim City Manager to enter into a service agreement with the Chamber to utilize the City's CivicRec software for online registration and authorize withholding 15% of the fees collected by the Chamber for credit card fees and extra situational staff time.

To The Gustine City Council:

The Gustine Chamber is continuing our goal of making our events a success with limited resources, staff and volunteers.

The Chamber would like to ask councils permission to utilize their online system to create sign ups for vendors and parade entries with limited assistance from the Recreation Manager. We will pay all fees that the City accrues from the system.

With our board approval we would be willing to donate to The Recreation Department for using Tiffany's services.

We have had a conversation with Tiffany about this and she volunteered to help us out.

This can be set up in a separate area on the current Recreation website. This would allow assistance to our Executive Director to be able to organize and limit additional time.

Thank you for taking the time to address this request from us, and we look forward to hearing from you.

COUNCIL AGENDA ITEM
OCTOBER 18, 2022
PREPARED BY: Jami Westervelt, Economic and Community Development Director SUBJECT: Discussion and Direction on Multi-jurisdictional Housing Element

BACKGROUND/DISCUSSION
In March of 2022, the City Council discussed the possibility of participating in a countywide, Multi-Jurisdictional Housing Element (MJHE), which Merced County Association of Governments (MCAG) is coordinating.

The MJHE would assist all participating jurisdictions in meeting the new sixth-cycle requirements from the California Department of Housing and Community Development (HCD). HCD must certify housing elements by February 18, 2024 and legislative changes have increased the complexity and cost of the updates considerably for all jurisdictions.

The attached information sheet (Exhibit A) from MCAG discusses the MJHE.

City staff participates in the Regional Early Action Planning (REAP) program workgroup, which assisted in developing priorities for spending funds from the State of California under REAP 1.0. The REAP program is designed to help regions and jurisdictions with planning activities to meet the sixth cycle. The workgroup recommended the MJHE as a valuable assistance to jurisdictions and a suitable way to utilize a portion of the just over $1 Million Merced County jurisdictions received for REAP.

Council members provided feedback in support of participating in March. The key advantages to Gustine participating in the MJHE discussed at that meeting included:
• Opportunity to use Regional Early Action Plan (REAP) state funding toward updates required for all the jurisdictions.
• The City would not need its own RFP process.
• The City would not need to compete with other jurisdictions for consultants. • The City would save time related to all the above.
• The City expects to pay much less in its share of the MJHE than it would pay a consultant to develop a stand-alone document.
• The City and region may benefit by funders favoring regional efforts.

Based upon early feedback from all the jurisdictions, MCAG released an RFP for MJHE, with consultant interviews slated for October 18, 2022. Staying on track on the MJHE is extremely important due to both the deadline for housing elements and the spending requirements for the REAP 1.0 funds.

In order to participate in the MJHE, the jurisdictions including City of Gustine, will need to provide to MCAG a signed resolution confirming the commitment to go forward, including a commitment to the financial contribution required of each jurisdiction. The documents are due to MCAG no later than December 1, 2022.

Attached are drafts of both the Resolution template and the Cost Sharing Agreement.

Staff asks the Council to review the documents and provide comments and direction at this time, while there is time to provide the workgroup and MCAG any notes before the identical resolutions and individual cost sharing agreement amounts go to each governing body for signature.

Based upon early research and responses to the RFP, which were due Sept. 30, 2022, MCAG estimates the final MJHE contract cost at $1,000,000 with REAP 1.0 funding paying an estimated $480,000 of the costs. MCAG has included an additional $35,000 in the cost estimates to account for possible fluctuations in the draft numbers and has provided for a contribution of $550,000 between the six cities and Merced County.

The Cost Sharing Agreement attached was developed in consultation with the REAP workgroup. The original draft called for the City of Gustine to contribute $60,000 for its portion of the work but following discussion with the workgroup about the split, the Gustine amount now reflects $48,080. The split concept is based upon the idea that every jurisdiction, regardless of size, requires a certain amount of individualized work (reflected in the Base Cost and MCAG Admin columns) but that there are other activities where larger jurisdictions require more work and should pay for that (reflected in the Pro Rata Cost column.

If the City Participates, it must agree to pay to MCAG a deposit up front in order to assist with cash-flow for MCAG. Due to the nature of the organization, MCAG does not have reserves or the opportunity to borrow against other funds to float large billings on a reimbursable project. To cover initial needs, the agency asks for a deposit of 20% of the total project contribution from each jurisdiction. If participating, the City of Gustine will need to pay approximately $9,616 no later than the end of December 2022 as this deposit. The remainder would come due at currently undetermined times, based upon consultant billing requirements that MCAG will negotiate with the selected consultant.

FISCAL IMPACT
While the State requires the City to update its Housing Element, the City budget for 2022-23 does not appear to contain funds for work required to complete the work- whether as part of the MJHE or as the City completing its update alone. Staff believes the $48,080 in the MJHE represents a significant cost savings over what the City would expend for similar work if choosing not to participate in the MJHE. Staff is looking into grants and funding options to fund its portion, but nothing is confirmable at this time.

Barring any other funding, the City would need to pay out of its General Fund.

RECOMMENDATION
City Council discuss the Multi-jurisdictional Housing Element concept and provide direction to staff regarding future participation.

Merced County Sixth Cycle
Multi-Jurisdictional Housing Element
California housing element law requires every jurisdiction to prepare and adopt a housing element as part of their required general plans. Historically each jurisdiction has prepared its own separate general plan and housing element. However, with the onset of the new Affirmatively Furthering Fair Housing requirements for the sixth cycle housing elements, some jurisdictions in other regions are deciding to pursue a multi-jurisdictional housing element to address the added complexity and cost. This is a unique but increasingly popular approach to ensuring all local jurisdictions within the county are compliant with housing element law. Timely compliance is important as many grants and funding opportunities require a current housing element.

Challenges of 6th Cycle Housing Elements
• New legislation has increased the level of analysis and community engagement, added new requirements for suitable sites inventory, and robust requirements related to fair housing • The complexity of the new requirements equate to a substantial commitment in cost and staff time • The added components require more time - we need to start ASAP (due Feb 2024, and this typically takes 18-24 months to prepare)
• The housing element update will trigger other required general plan updates: safety element (SB 379) and environmental justice element (SB 1000)
Opportunities with a Multi-jurisdictional Effort
• Economies of scale: the required background report, standardized policies and programs, CEQA compliance, and a combined community engagement effort will save jurisdictions time and money • Compliance with housing element law for jurisdictions that may not have the staff or funding to pursue an individual housing element
• A cohesive approach to addressing new requirements and coordination with HCD, the state agency in charge of certifying the housing element
• Requires only one consultant procurement at a time when housing consultants are in high demand Target Timeline for Next Steps

9.15.22 MERCED COUNTY

MCAG GOVERNMENTS ASSOCIATION OF
HOUSING ELEMENT COMPLIANCE MAKES YOU ELIGIBLE FOR MORE FUNDING! Various state grant and loan programs require an HCD-certified housing element. Examples of active state funding sources that require housing element compliance for eligibility include:
• Permanent Local Housing Allocation (PLHA) • CalHOME Program • Affordable Housing and Sustainable Infill Infrastructure Grants (IIG) Communities (AHSC) • Prohousing Designation Program
• SB 1 Planning Grants • Local Housing Trust Fund Program (LHTF)

THERE ARE CONSEQUENCES FOR NOT HAVING AN UPDATED HOUSING ELEMENT In April 2021, California's Housing and Community Development (HCD) department issued guidance to cities and counties about the consequences of falling short in adopting or otherwise complying with previously adopted housing elements. There are serious penalties for not complying.

HCD is authorized to review any action or failure to act by a local government that it determines is inconsistent with an adopted housing element or housing element law. This includes failure to implement program actions included in the housing element. HCD may revoke housing element compliance if the local government's actions do not comply with state law. Examples of penalties and consequences of housing element noncompliance:

Law Suits and Attorney Fees
Local governments with noncompliant housing elements are vulnerable to litigation from housing rights' organizations, developers, and HCD. If a jurisdiction faces a court action stemming from its lack of compliance and either loses or settles the case, it often must pay substantial attorney fees to the plaintiff's attorneys in addition to the fees paid by its own attorneys. Potential consequences of lawsuits include mandatory compliance within 120 days, suspension of local control on building matters, and court approval of housing developments.

Loss of Permitting Authority
Courts have authority to take local government residential and nonresidential permit authority to bring the jurisdiction's General Plan and housing element into substantial compliance with State law. The court may suspend the locality's authority to issue building permits or grant zoning changes, variances, or subdivision map approvals - giving local governments a strong incentive to bring its housing element into compliance.

Financial Penalties
Court-issued judgements directing the jurisdictions to bring its housing element in substantial compliance with state housing element law. If a jurisdiction's housing element continues to be found out of compliance, courts can multiply financial penalties by a factor of six.

Court Receivership
Courts may appoint an agent with all powers necessary to remedy identified housing element deficiencies and bring the jurisdiction's housing element into substantial compliance with housing element law.

ITEM NO. 9

COUNCIL AGENDA ITEM
OCTOBER 18, 2022
PREPARED BY: Brad Kilger, Interim City Manager
SUBJECT: Discuss and Provide Direction Regarding Proposed 3rd Amendment to the Merced County Association of Governments Joint Powers Agreement

BACKGROUND
The City of Gustine is a member of the Merced County Association of Governments (MCAG) a Joint Powers Authority (JPA) formed by the cities of Gustine, Los Banos, Atwater, Merced, Livingston, and Dos Palos, and the County of Merced in 1967 under the provisions of California Government Code Section 6500 et seq. MCAG serves as the Metropolitan Planning Organization (MPO), Regional Transportation Planning Agency, and Local Transportation Authority for Merced County. The MCAG Governing Board includes a supervisor from each of the five county districts and an elected official from each of the cities. In addition to transportation planning, MCAG also administers the Transit Joint Powers Authority for Merced County, Merced County Regional Waste Management Authority, and Yosemite Area Regional Transportation System. MCAG is also responsible for the administration of Measure V, a half-cent transportation tax.

Attached is the July 21, 2022 MCAG staff report prepared by the MCAG staff for the Governing Board requesting direction on next steps for the renewal of the draft 3rd amended and restated JPA for MCAG (attached to staff report). The MCAG staff brought this matter to the Governing Board due to the request of the city managers of the six-member cities to be provided additional time to review and provide comments on the draft JPA. The city manager's letter requesting addition review time is also attached to the MCAG staff report.

The Background section of the MAG staff report provides a history of the JPA 3rd amendment's development and process of review by the member agencies. At the Governing Board meeting there was lengthy discussion among the members with the County representatives and Mayor Nagy questioning the need to grant further time given that the review and comment period had already been extended from 60 to 180 days per the request of the City of Merced. As stated in the June 21, 2022 letter from the city managers the justification for granting the additional time was that the expiration date of the current JPA was over a year away (July 18, 2023). After further discussion, Board member McDaniel withdrew his motion to release the draft 3rd amendment to the member agencies for approval and the Governing Board granted an additional 60 days for the city managers to submit their comments before releasing the 3rd amendment.

On September 22, 2022, Frank Splendorio, City Attorney for Atwater, submitted the attached memorandum on behalf of the six cities to Emily Hayden, legal counsel for MCAG. The memorandum listed several areas of concern with the draft 3rd amendment and asked for further discussion with MCAG staff before releasing the amendment to the member agencies for approval. In general, the items involved revising the effective date of the new JPA to after the legislative bodies of all members of the JPA have ratified it versus only two members as stated in the draft, include a term of 10 years with an option to extend an additional 10 years, require that all members must ratify amendments to the JPA versus 2/3rds, and retain the arbitration provisions with the inclusion of Judicial Arbitration and Mediation Services. The memorandum also requested that there be discussion regarding possible other legal updates and clarifications in the document, and indemnification amendments to be shared directly between legal counsels. It should be noted that the memorandum was sent to MCAG staff two days after the 60-day deadline, therefore the staff released the draft amendment to the member agencies for consideration on September 20, 2022.

DISCUSSION
Though neither the Interim City Manager or the City Attorney participated in the workshop and only recently have had the opportunity to review the history and information on this matter, the items raised in the cities' September 22, 2022 memorandum would appear to be beneficial to all parties and there would be merit in discussing them further. For example, the cities' request that the amended JPA should not be effective until all member agencies have approved it ensures that the city legislative bodies have buy-in. Adding a 10-year term would facilitate consideration of changes desired by the cities in the future. Requiring that any subsequent amendments to the JPA be approved by all of the member agency's legislative bodies, rather than 2/3 of the directors as currently provided, would ensure that proposed amendments go before the members' legislative bodies, not just their representatives. Making any disputes subject to arbitration, but open the process up to JAMS Mediation Arbitration and ADR Services, is always less expensive and more efficient than litigation.

In addition, the above requested changes are consistent with the principles set forth in the settlement agreement reached between MCAG and the cities of Merced, Atwater and Los Banos in April of 2021. The agreement addressed the concerns raised in the ratification and adoption of the JPA 2nd amendment. The settlement agreement specifically sets for that any new joint powers agreement or changes to the agreement would not become effect for a member agency unless the member agencies legislative body approved the JPA.

Another concern of the city representatives appears to be that they believe they have not been given a proper opportunity to provide meaningful input into the draft amendment. County representatives and the MCAG staff disagree, pointing out that the JPA was the subject of a lengthy workshop in November of last year and was distributed for comment for a 180-day period. The cities counter that one city did not have a representative at the workshop and unlike MCAG, legal counsel for several cities were not present. Also, supposedly efforts by the city attorneys to engage the MCAG legal counsel have not been fruitful. The cities point out that regardless of the time that has passed since the workshop was held, the current JPA does not expire for another 10 months (July 18, 2023), therefore it is important that the legislative bodies and legal counsels for each city can review and comment of the draft amendment before it is brought to them for ratification.

Based on the concerns raised by the city representatives, it appears the amendment process could have been more productive if there had been at least two steps in the development of the draft JPA 3rd Amendment. The first workshop would have been for the MCAG staff and legal Counsel to introduce their draft JPA. The Governing Board should have then directed each member to have their respective staff and city attorneys review the MCAG draft and discuss it with their respective legislative bodies.

A follow-up workshop would then have been held for the Governing Board members to each provide their responses and input to the MCAG draft. The Governing Board could have then decided if they wish to incorporate any of the individual member comments.

Mayor Nagy has requested that this issue be placed on the Council agenda for discussion. As the City of Gustine's representative to the MCAG Governing Board it is his desire to receive input from Council members on the concerns raised by the member cities regarding the draft 3rd amendment to the JPA agreement and whether Gustine should take a position recommending the Governing Board take such additional time as necessary to consider those concerns.

Re: MCAG JPA Comments from City Member Agencies
The collective member agencies of Atwater, Dos Palos, Gustine, Livingston, Los Banos, and Merced would like to thank the MCAG Board of Directors for allowing additional time to review and comment on the draft Joint Powers Agreement to be presented for renewal. It is understood that the JPA formation document expires on June 30, 2023 and it is the intent of the city member agencies to continue as members of MCAG. To prepare for the adoption of the document by each governing board, the following amendments to the draft document are requested by the city member agencies:

1. Effective Date (Article 4.1) - amend the effective date of the JPA to be after ratification of the last member agency's legislative body (the settlement agreement also requires all member agencies to adopt the new JPA)

2. Term (Article 4.2,3) - amend the term to be 10 years by unanimous consent of the member agencies, with an option to extend for a second 10 years by resolution of 2/3rds of the member agency's legislative bodies

3. Amendments (Article 12.1) - modify language to require amendments to the JPA document by resolution of all legislative bodies of member agencies, instead of 2/3rds of MCAG Board of Directors

4. Arbitration (Article 13.6) - retain arbitration clause, but modify to include utilization of JAMS

5. Various other legal updates and other clarifications throughout the document and indemnification amendments to be shared directly between legal counsels
We look forward to meeting with you and your team regarding possible amendments to present a final document to each member agency's legislative body for adoption.

RE: Action - Provide direction for next steps in the renewal of the draft 3° Amended and Restated Joint Powers Agreement for MCAG

SUMMARY
The MCAG Joint Powers Agreement (JPA) is set to expire July 18, 2023. The renewal of the JPA was the focus of a Governing Board Retreat in November 2021 during which the Governing Board members present agreed by consensus to a number of changes to the JPA as well as the process by which the renewal would occur. In February 2022, the Governing Board released the attached draft JPA to the member agencies for review and comment and agreed to an extended comment and review period to end July 6, 2022. The County of Merced is the only jurisdiction who provided comments before the deadline. On June 29, 2022 the City of Los Banos submitted a letter to the Executive Director on behalf of the six cities requesting additional time to review and submit comments. The letter did not specify a new deadline.

This item is requesting the Governing Board to provide direction on next steps which may include 1) approving an extension of the review/comment deadline, 2) releasing the draft JPA to the jurisdictions for execution, or 3) any other action as desired by the majority of the board.

REQUESTED ACTION

3) Any other action as desired by the board.

BACKGROUND
The Second Amended and Restated Joint Powers Agreement of MCAG became effective on July 18, 2013 with a term of 10 years after the date of execution. The Second Amended and Restated Joint Powers Agreement of MCAG (as Corrected and Ratified as of January 16, 2020) was approved and executed on January 16, 2020 and confirmed the expiration date of July 18, 2023. As part of a 337
Settlement and Release Agreement entered into by and between MCAG and the cities of Merced, Atwater, and Los Banos, the parties thereto agreed not to extend the expiration date of the JPA Agreement without first submitting any such extension to the legislative body of each member entity.

As such, the document is set to expire on July 18, 2023.

In November 2021, 8 of the 11 Governing Board Directors, representing six of the seven jurisdictions, attended a facilitated Board retreat to discuss the renewal of the MCAG JPA. The goal of the retreat was to develop consensus on the process by which the JPA would be updated and executed, and consensus agreement to any changes that would be made to the document. Staff and legal counsel walked the Directors through a number of proposed changes to the document and incorporated feedback received. The result of this process was a redline draft of the 3rd Amended and Restated Joint Powers Agreement for MCAG and the process/schedule included in this staff report.

On February 9, 2022 the draft 3'd amended and restated JPA and the agreed upon schedule that were developed at the Board retreat were shared with the Technical Review Board as part of their regular On February 17, 2022 the Governing Board discussed the draft JPA document, renewal process and schedule which included a 60-day review and comment period for the local jurisdictions. An extended review period of 120 days was requested by the City of Merced and approved by the Governing Board.

Ultimately, the Governing Board directed staff to distribute the draft JPA with the review and comment period of 120 days.

On March 8, 2022 the Executive Director distributed the draft 3rd amended and restated JPA to the jurisdictions (Directors and Executive Management) for review and comment with comments due on July 6, 2022.

DISCUSSION
On June 29, 2022, the attached letter was sent via email to the Executive Director and Emily Haden, legal counsel, by William Vaughn on behalf of the City of Los Banos and the cities of Livingston, Merced, Atwater, Gustine and Dos Palos. The letter states that "the six city members will need additional time beyond the 120-day review period in order to review the proposed changes and to submit comments and/or additional proposed changes." The letter also asks that the "MCAG governing board not take any further action on this matter until the six member cities have had further opportunity to review and comment." A new comment deadline was not suggested in the letter.

The following table reflects the schedule established at the Board retreat and subsequently distributed and discussed with the TRB for the review and ultimate renewal of the draft 3d amended and restated 338
JPA. Subsequent changes made to the schedule are noted in red.

At this time, staff is seeking board direction on the next step in the renewal of the agency's JPA which make include: 1) extending the review/comment period and establishing a new deadline, 2) releasing the draft JPA to the jurisdictions for execution, or 3) any other action as desired by the majority of the Governing Board.

RE: MCAG JPA Renewal Process/Proposed Third Amendment
Dear Ms. Guzman:

Thank you for your recent efforts concerning the above referenced matter/project. In response to your efforts, representatives of the six city members (Merced, Los Banos, Atwater, Livingston, (rustine, and Dos Palos) have met and discussed the following documents:
a) MCAG JPA Agreement renewal Process dated March 8, 2022; b) The Third Amended and Restated Joint Powers Agreement of Merced Association of Governments (redline and clean); and
c) List of Substantive Changes to JPA Agreement.

Please be advised that the six city members will need additional time beyond the 120 day review period in order to review the proposed changes and to submit comments and/or additional proposed changes. It should be noted that the current JPA Agreement does not expire until July of 2023 Which should give each of the member jurisdictions plenty of time to discuss and come to a consensus on proposed changes to the current agreement in the best interests of all the members.

We ask that the MCAG governing board not take any further action on this matter until the six member cities have had further opportunity review and comment. If you have any questions or concerns do not hesitate to contact Stephanie Dietz at 209-385-6834.

List of Substantive Changes to JPA Agreement
As developed by the Governing Board in November 2021
Preamble
• The effective date stated in the preamble has been modified to maintain a consistent definition of the effective date throughout the agreement. The revision references the definition of effective date in the definitions exhibit to the agreement.
• The list of jurisdictions is alphabetical.
• The list of previous agreement includes reference to all prior versions of the JPA Agreement/Cooperative Agreement.
• Statement that the county and cities are collectively referred to as the Agencies was removed because the definitions of Agencies and Members have been modified. Agencies refers to the county and each of the incorporated cities in Merced County. Members refers to those agencies that enter into this Third Amended and Restated Agreement. This change was made in order to avoid the expiration of the agreement if one or more agency has not approved it before July 18, 2023, and to allow for the possibility that an agency may no longer wish to participate as a member of MCAG.

Recitals
• The list of jurisdictions is highlighted because it is subject to change until all current members approve the new agreement.
• Paragraph 2(b) was modified to refer only to the areas for which MCAG receives funding.
• Paragraph 6 was corrected to reflect the correct designation of LTA.

Article 4
• After an extended conversation, the Board/city and county representatives recommended that a term should no longer be specified in the agreement.

MCAG has continued in existence for more than 50 years. Measure V is in place until 2036 and potentially beyond, and the majority of joint powers authorities and transportation agencies in California do not have specific terms in their joint powers agreements. Given the services performed by MCAG and the benefits it provides its members, the Board members/jurisdiction representatives felt that a term should not be specified.

Article 5
• The board recommended changing the term service area to boundary and setting forth the definition in Article 5.

Page 1 of 2 ends

342
Article 6
• The list of functions/powers was modified to correctly set forth all designations given to and functions performed by MCAG.

Article 7.4
• Subparagraph (a) was revised to specifically refer to the chair rotation schedule adopted by the Board in 2017.

Article 9
• Subparagraph (b) was modified to extend the notice of withdrawal from six months to one year and to require that the withdrawing member pass a resolution setting forth its intent to withdraw. An additional sentence was added stating that the withdrawal is effective at the end of the fiscal year in which notice is given.

The effect is that, depending on when a member gives notice, withdrawal could take two years.
• The Board/city and county representatives felt strongly that withdrawing members be required to bear the costs of withdrawal. Section 9.2 was added to address that issue.

Article 12
• Additional language was added to the amendments section that requires any changes to Article 4, which is the term, and Article 7.2, which addresses the number of directors, must be approved by 2/3rds of the members of MCAG. All members still have to agree to any changes to Article 10 re termination.

Article 13
• The arbitration clause was removed. The Board members/city and county representatives, including representatives of the cities of Los Banos and Atwater, discussed the arbitration clause and agreed that, while arbitration was a favored approach to resolving disputes for several years, the members of MCAG should not be boxed in as set forth in the current clause. The clause was removed entirely so as to allow for the possibility of mediation, arbitration, and litigation, the rules of which could be determined on a case-by-case basis. The Board felt that selecting a single arbitrator from the Merced County list for binding arbitration was not ideal for anyone involved as it forecloses the possibility of appeal and because the list of arbitrators in Merced County is limited and those with knowledge and experience of issues related to public agencies is even more limited.
