GALIFORNIA
1875 COUNCIL AGENDA ITEM
JANUARY 17, 2023
PREPARED BY: Melanie Correa, Administrative Services Director SUBJECT: Resolution Adopfing Updated City Council Agenda Policy
BACKGROUND/DISCUSSION
At their regular meeting on June 7, 2022, Council adopted resolution 2022-2626 adopting a City Council Agenda Policy. As was discussed during that meeting, many city councils in California have adopted some form of a comprehensive procedural manual to guide their activities and communicate the governance process to the public. It was further discussed that staff and the Council desire to work towards developing a more comprehensive manual for Gustine, to include subject matters such as: city council organization, general powers and responsibilities, council conduct and conflicts of interest, council communications, council interactions with staff, council compensation, and council commission and committee travel, expense, and reimbursement policies. Ultimately the goal of such a manual is to instill public confidence and trust in the fair operation and integrity of city government.
The proposed amendment up for consideration addresses adding two new agenda sections: "approval of the agenda" and "declaration of conflicts of interest". These amendments would amend the policy's agenda order section 2.5d. The new sections would be consecutively listed after roll call and before presentations.
The intent of approving the agenda would be for the Mayor, Council members or City staff to request changes to the order of the agenda. Any requested changes to the order will be made in the form of a motion and a vote will be taken. If no changes are requested, the agenda will be taken in the prescribed order. This section also applies to requests for continuance of items, requests for items to be pulled from the agenda, or items being heard in a different order than which they are listed on the published agenda.
The additional section related to declaration of conflicts of interest would serve as a reminder for any members of the Council to declare any conflict of interest with any scheduled agenda item. Examples of disqualifying financial interests as defined by the California Fair Political Practices Commission are listed in the attached BB&K Pocket Guides relating to the Political Reform Act and Section 1090 (prohibited interests in contracts) (Exhibits C and D). These laws are very complicated and fact-specific.
Council members are encouraged to consult with the City Attorney prior to any meeting when they believe they may have a conflict with a particular agenda item.

FISCAL IMPACT
There is no fiscal impact at this time.
RECOMMENDATION
Staff recommends that Council review and discuss the amended policy, and either approve the resolution adopting the policy or provide comments and further direction.

AMENDED VERSION (REDLINE EDIT)
January 17, 2023
CITY COUNCIL AGENDA POLICY
Adopted by Resolution No. 2022-2626 of the City Council on June 7, 2022
1. Purpose. This City Council Agenda Policy ("Policy") is intended to establish a clear, transparent procedure for City Council members, staff members, and members of the public to understand how City Council agendas are prepared, and to clarify how interested persons may request that items be placed on a future agenda, to ensure compliance with the Brown Act.
Rules for the Conduct of Council Meetings; Agenda Procedures.
2.1 Quorum and Voting Requirements. A majority of the City Council constitutes a quorum for the transaction of business. Some actions, such as the passage of an urgency ordinance or adoption of a resolution of necessity, require a super-majority vote. Resolutions, ordinances and orders for the payment of money require an affirmative vote of a majority of the total membership of the City Council. Except for those specified circumstances, a majority of a quorum may generally act on behalf of the City. In accordance with the Political Reform Act and the City's conflict of interest policy, a Council member with a financial conflict of interest regarding a matter before the Council must, prior to consideration of the agenda item, (1) publicly identify the nature of the conflict; and (2) leave the room while that matter is discussed or acted on. That member is not counted towards the quorum for that matter.
2.2 Decorum and Enforcement. Council members should preserve order and decorum, among each other and among the public, while the Council is in session. The Council may exclude or expel all persons from a meeting at which a disturbance has been created that will not allow the meeting to continue unimpeded. The Council may also take action to prohibit disruptive behavior and expel an individual who disrupts the meeting or engages in disorderly conduct. Action to prohibit disruptive behavior must be balanced against each individual's right to petition their government and exercise freedom of speech. Members of the public may be required to fill out a speaker card and submit it to the City Clerk, at the Council's discretion, but no member of the public will be required to provide their name or other personal information in order to speak or attend the meeting.
Pursuant to Resolution No. 2008-2060, adopted by the City Council on February 5, 2008, the Council operates pursuant to "Rosenberg's Rules of Order (revised 2011), Simple Rules of Parliamentary Procedure for the 21st Century" for purposes of Council discussions and action at all public meetings.
2.3 Regular Meeting and Requests for Agenda Materials. The Council shall hold its regular meetings on the first and third Tuesday of each month at 6:30 p.m. Meetings are held in the City Council Chambers at City Hall. Agendas may be accessed from the City's website. Pursuant to state law, and subject to a fee for the cost of the service, members of the public may file a written request for the City to mail agendas or agenda packets to an address provided by the requester. Such a request is valid for the calendar year in which it is made, and must be renewed annually to remain valid. Agenda packets may refer to bulky reports or documents that are not included for reasons of cost or inconvenience; the agenda will indicate where such materials are available for review.
2.4 Special, Emergency, and Adjourned Meetings.
(a) Special Meetings. The Mayor, or Mayor Pro Tem in the Mayor's absence, or a majority of the members of the Council, or the City Manager may at any time call a special meeting. At least 24 hours before a special meeting, written notice of the meeting - stating its time and place and the subjects to be considered - will be (a) delivered to the Mayor and each Council member personally or by other means; (b) posted on the Council's bulletin board, City website, and place of meeting; and (c) emailed to any agenda subscribers.
Only those items of business specified in the notice may be considered at a special meeting called in this manner.
(b) Emergency Meetings. The Council may hold an emergency meeting in emergency situations, as set forth in the City's Municipal Code and in state law.
(C) Adjourned Meeting. A properly called regular, special, or emergency meeting may be adjourned to a specified time and place. A copy of the notice of adjournment will be posted as specified on the door of the place where the meeting was held, within 24 hours after the time of adjournment. Further notice need not be given of an adjourned session of a properly called regular, special, or emergency meeting.
2.5 Regular Meeting Agenda.
(a) Setting and Posting of Agenda. The agenda of business to come before the Council at a regular meeting shall normally be closed at the end of 7 calendar days preceding the meeting. Under state law, the agenda for a regular meeting must be posted at least 72 hours prior to the scheduled convening of the regular meeting, and no items may be added to the agenda fewer than 72 hours prior to the meeting except as may specifically be allowed by state law.
(b) Placing Items on the Council Agenda. During the "Public Comment" portion of any meeting of the City Council, or by providing a request in writing to the City Clerk at any time, members of the public may request that an item be placed on a future agenda. The City Council shall discuss such request, come to a consensus as to whether to place it on a future agenda, and direct staff accordingly. Any Council member may request that an item be considered on a future agenda during the "City Council Reports" portion of any meeting; upon agreement by a consensus of the Council the item shall be placed on the soonest practical regularly scheduled Council meeting as determined by the City Manager. Staff reports shall not be prepared nor staff time spent on Council member requested items until City Council discussion has occurred and direction provided by the City Council, unless staff otherwise determines. The City Manager may add any item of business to a future agenda in his or her sole discretion.
(c) Agenda Packet Distribution. Each Council member shall be furnished a copy of the agenda and the packet of supporting agenda materials by 5:00 p.m. on the Friday preceding each regular meeting. The agenda and supporting materials will also be available for public inspection, distribution, and copying at that time.
d) Order of the Agenda. The business of the Council shall be taken up for consideration in substantially the following order, except as may be otherwise ordered:
1. Call to Order - Pledge of Allegiance
2. Roll Call
3. Approval of the Agenda
4. Declaration of Conflicts of Interest
5. Presentations
6. Public Comment
7. Consent Calendar
8. Administrative Agenda
9. City Department Reports
10. City Manager Report
11. City Council Reports
12. Closed Session Public Comment [only if a closed session follows]
13. Closed Session [on as-needed basis]
14. Adjournment
2.6 Discussion of Agenda Items. The City Council shall address agenda items in the following manner:
2 (a) Staff introduces the agenda item and presents the staff report.
(b) Council members may ask questions of staff regarding the item.
(c) The Mayor will invite public comment on the item.
(d) Having received all public testimony, the Council will deliberate on the item. At the conclusion of the discussion and before the motion is made, the Mayor will ask if there are any additional Council member comments or whether the
Council wishes to proceed on the action required for that item, if any.
(e) If appropriate, the Mayor will entertain a motion, including one that he or she may propose.
(f) If a motion has received a second, the Mayor will call for a vote and the City Clerk will record the vote.
2.7 Duty of Council Members to Vote. Every Council member should vote on every item unless prevented from doing so by virtue of an actual or potential conflict of interest under applicable state law. Any Council member who believes he or she has a conflict or potential conflict of interest must announce that at the initiation of discussion on that item, or when such conflict or potential conflict becomes apparent, and must refrain from taking any part in the debate, deliberation, or vote on that matter, except as allowed by state law. If a Council member is not sure whether he or she has a conflict with respect to an agenda item, he or she should make every effort to obtain advice from the City Attorney on that subject prior to the meeting.
2.8 Roll Call and Voice Votes. At a teleconference or "hybrid" (partially in person and partially virtual) meeting of the City Council, all votes will be taken by roll call only. At an in-person meeting of the City Council, a roll call vote may be requested at the discretion of the City Clerk, but otherwise all motions and adoptions of legislative action may be passed by voice vote.
2.9 Introduction and Passage of Ordinances. Ordinances are legislative acts by the Council that establish permanent and enforceable rules. The Council has the power to pass ordinances pursuant to Government Code section 37100, as long as those ordinances are not in conflict with the laws and Constitution of the State of California or the United States. Ordinances may be repealed or amended only by a subsequent ordinance.
3 Except for urgency ordinances, ordinances require two readings, which may be by title only, at separate City Council meetings. An ordinance is introduced during first reading, and given final approval at second reading.
Except for urgency ordinances and ordinances relating to an election, taxes or street improvements, ordinances become law thirty (30) days after the second reading. Matters that the Council determines warrant immediate action to preserve the public peace, safety, or health may be heard as urgency ordinances. An urgency ordinance may be adopted at first reading and will become effective immediately, as long as it is approved by a four-fifths vote of the Council. The City Clerk will ensure the City complies with all publication requirements associated with ordinances passed by the Council.
2.10 Adoption of Resolutions. Resolutions are legislative acts by the Council that are not codified, but are filed in the City Clerk's office. A resolution expresses the policy of the Council and may direct certain types of procedural or administrative actions. It may be modified only by subsequent resolution.
Resolutions may be used to state the Council's policy position on an issue or activity, and to formally document the Council's action on items such as, but not limited to, City contracts. A majority vote of the total membership of the Council will pass or defeat the resolution.
2.11 Consent Items. Items on the agenda that are considered by the City Manager to be routine and/or non-controversial shall be grouped together under the heading "Consent Calendar" and approved by a single vote of the Council. At the request of any Council member or any other person, a consent item will be "pulled" from that portion of the agenda and considered separately after approval of the remaining consent calendar. Items approved under the consent calendar will appear in the Council minutes in their approved form, as if they had each been approved individually.
2.12 Reports. Under the agenda headings for "Reports," the City Manager, department heads, and Council members may make reports on matters not appearing on the agenda. Also at this time, Council members or staff may identify issues or agenda items that should be addressed by the City Attorney or other staff, and may propose future agenda items. 4 IBBK

Avoiding Financial Conflicts of Interest
Should I Participate in this Decision?
The Political Retorm Act of 1974 (Gov. Code sections 81000-91014) forms the foundation for California's financial conflict of interest laws for public officials. The purpose is to cover both actual and apparent conflict of interest situations between a public official's private interest and his or her public duties.
The basic rule is that no public official shall make, participate in making or in any way attempt to use his or her official position to influence a governmental decision if he or she knows, or has reason to know, that he or she has a financial interest in the decision.
Nothing in this Pocket Guide should be construed as individual or group legal advice. Readers are cautioned to seek individualized legal assistance based on detailed analysis of particular facts and situations.
Who Should Use the Pocket Guide?
All decision-making public officials for local government agencies. Public officials include every member, officer, employee or consultant of a local government agency. Public officials may also include members of public agency boards, commissions and committees with decision-making authority. if you are a public official who may make, participate in making or in any way influence a public agency decision, use this Pocket Guide to help determine if vou have a potential financial conflict of interest that needs to be addressed.
Do I Have a Financial Conflict of Interest Under the Political Reform Act? Before making a decision or discussing a future decision of your public agency, try to answer the following four questions:
Will you be "i participating in a decision?"
You are "participating in a decision" of your public agency by doing any of the following:
Making an actual decision: Voting, making an appointment or taking an action that obligates or commits your public agency.
Contributing to the decision-making process: Making a recommendation or participating in negotiations surrounding the public agency decision.
Influencing the decision: Making your position known, discussing the decision with other agency officials, providing reports, or influencing others (such as staff or consultants) who are involved in the decision-making process.
Does the decision affect one or more of your "economic interests?" A financial conflict of interest can exist if the public agency decision you are participating in affects (positively or negatively) any of the Act's "economic interests" listed here:
Business Interest: Any for-profit business entity in which you or your immediate family (spouse and dependent children) have a direct or indirect investment worth $2,000 or more. You also have an economic interest in any business in which you are an employee, manager, officer, director, owner, partner or trustee, irrespective of whether you have an investment or receive income from the entity.
Source of Gross Income: A public official has an economic interest in any source of income that is either received by or promised to the official and totals $500 or more in the 12 months prior to the decision. Income is very broadly defined as "a payment received" with few exceptions. Examples include salary, wage, advance, dividend, interest, rent, proceeds from any sale, gift, loan, forgiveness or payment of debt, or community property interest in income of spouse. The FPPC regulations make it clear that a conflict of interest results whenever either the amount or the source of an official's income is affected by a decision. Also, a decision that foreseeably will materially affect an official's employer would generally necessitate a disclosure and disqualification even if the amount of income received by the official was not affected. Common exclusions from income include loans from commercial lending institutions in the ordinary course of business made on terms available to the general public, campaign contributions, government salaries and benefits, money inheritances and alimony or child support payments.
www.bbklaw.com 1
Pocket Guide for Public Officials Avoiding Financial Conflicts of Interest Gift Interest: Any gift (s) - cash, goods or services - promised or given to you in the past 12 months by a person, business or other entity totaling $520 or more in value. The dollar limit is adjusted biennially in odd- numbered years based on the CPI.
Real Property Interest: Any real property interest including ownership, mortgage, lease, easement or license, or option to acquire such interest in real property, located in the public agency jurisdiction owned directly or indirectly by you or your immediate family if the fair market value of the interest is $2,000 or more. Month-to- nonth tenancies are not considered an interest in real property. Interest in real property also includes a pro 'ata share of a business entity's real property or trust in which the public official or immediate family owns directly or indirectly, a 10 percent interest or greater.
Personal Financial Interest: Any personal expense, income, asset or liability of you or your immediate family.
The financial effect is material if you or your family will receive any measureable financial benefit or loss from the decision. Note that this economic interest does not apply whenever your economic interest falls within the source of income, business position, investments or real property economic interests as discussed above.
Will the public agency decision have a reasonably foreseeable "material financial effect" on any of your economic interests?
Participation in a decision that affects your economic interest creates a conflict of interest only if it is reasonably foreseeable (a realistic possibility) the effect is "material." Material means important or significant and often depends upon whether or not the interest is explicitly involved. For each economic interest you identified above as potentially affected by the decision, review the corresponding analysis below to determine if the effect is material.
Note: Materiality generally is presumed when the public official's economic interests are explicitly involved in the public agency decision (named as a party, initiates the proceeding or is the subject of the proceeding), unless the public official can demonstrate that the decision will not have a financial effect on the official or his or her Business, Source of Income and Gift Economic Interests - Explicitly Involved: Your economic interest is explicitly involved and the effect of the decision on your economic interest is presumed reasonably foreseeable if the financial interest is the "subject of the decision." Business, Source of Income and Gift Economic Interests - Not Explicitly Involved: Recent regulatory amendments make a reasonably foreseeable financial effect on a business entity material if it results in 1) a change in gross revenues or in the value of assets or liabilities by $1 million or 5 percent of annual gross revenues, or 2) a change in business expenses of $250,000 or more or of 1 percent of annual gross revenues.
In general, if the financial effect can be recognized as a realistic possibility and more than hypothetical or theoretical, it is reasonably foreseeable. If the financial result can be expected only in extraordinary circumstances not subject to the public official's control, it is not reasonably foreseeable. In determining whether a governmental decision will have a reasonably foreseeable financial effect on a financial interest other than an interest explicitly involved, described above, the following factors should be considered:
The extent to which the occurrence of the financial effect is contingent upon intervening events Whether you should anticipate a financial effect on your financial interest as a potential outcome under normal circumstances when using appropriate due diligence and care Whether you have a financial interest that is of the type that would typically be affected by the terms of the governmental decision
Whether the governmental decision will provide or deny an opportunity, or create an advantage or disadvantage for one of your financial interests, including whether the financial interest may be entitled to compete or be eligible for a benefit resulting from the decision This is not an exclusive list of all the relevant facts that may be considered in determining whether a financial effect is reasonably foreseeable.
Real Property Interest - Explicitly Involved: Your real property interest explicitly involved in a public agency decision is presumed reasonably toreseeable. Explicitly involved includes such matters as zoning, annexation, sale, lease, licensed or permitted use, taxes, fees and improved services to the property in which you have an interest. The decision's effect is presumed reasonably foreseeable if 1) the real property in which you have an economic interest is the "subject of the decision," 2) any part of the property in which you have an economic interest is within a 500-foot radius of the real property involved in the decision, unless it is clear the decision will not have a measureable impact on your property or 3) your property is located more than 500 feet, but less than 1,000 feet, from the property line, and the decision would change the parcel's development or income- producing potential, best use, character or market value.
Real Property Interest - Not Explicitly Involved: If the real property in which you have an economic interest is 1,000 feet or more from the property involved in the decision, your real property interest is not explicitly involved. The effect of the decision on your real property interest is presumed not to be material unless the specific circumstance of the decision and the nature of your property interest make it reasonably foreseeable the decision will have a significant financial effect on your real property interest. Factors include the www.bbklaw.com IBBK
Pocket Guide for Public Officials Avoiding Financial Conflicts of Interest development potential of the property, use of the property and character of the neighborhood Personal Financial Interest: The effect of the decision on your personal financial interest is material if the decision will result in a measureable financial benefit or loss of any personal expense, income, asset or liability of you or your immediate family.
Does the decision affect your economic interests differently than the "public generally?" Even if you answered "yes" to the first three questions, you have a financial conflict of interest only if the decision affects you differently than the public in general. A decision is indistinguishable from its effect on the public generally if you establish that a significant segment of the public is affected and the effect on your financial interest is not unique compared to the effect on the significant segment.
A significant segment of the public is at least 25 percent of:
Business Interest: All businesses or non-profit entities within your agency's jurisdiction.
Real Property Interest: All real property, commercial real property, or residential real property within your agency's jurisdiction.
Individuals: All individuals within your agency's jurisdiction.
A significant segment of the public is at least 15 percent of residential property within your agency's jurisdiction if the only interest you have in the decision is your primary residence.
Specitic rules exist for special circumstances involving public service and utility charges, general use or licensing fees, decisions with limited neighborhood effects, rental properties, required representative interests as part of a board or commission membership, states of emergency and governmental interests.
What Should I Do if a Financial Conflict Exists?
Do NOT participate in the decision
Disclosure and removal is required
State law requires you to publicly disclose your financial conflict of interest and excuse yourself from the meeting while the matter is being considered in open session. You generally do not have to excuse yourself on consent calendar items unless the item is pulled, but must publicly disclose your financial interest.
Violations of the Political Reform Act
Violation of the PRA can result in administrative fines, civil penalties and criminal sanctions.
Other Conflict of Interest Laws
There are two other key financial conflict of interest laws that apply to public officials that you may encounter either as a public employee, consultant or board member in the decision-making process:
Self-Interested Contracts (Government Code Section 1090) This key law prohibits you, as a local official or employee, from voting, discussing or negotiating a proposed contract or sale with your public agency if you will receive some financial gain or personal benefit from the contract or sale. Even if you abstain as a board member, the entire board or council is prohibited from entering into the contract. Any contract signed by a public agency board in violation of section 1090 is void. The rule is different if you are a decision-making employee not on the board or council. A public agency employee may disclose his or her financial interest in the public agency contract and be disqualified from any involvement, allowing the board or council to legally enter the contract. Violation of this law will void the contract or sale and may result in permanent forfeiture of office for elected officials. There are limited exceptions to this law beyond the scope of this Guide.
Campaign Contributions (Government Code Section 84308)
If you are an appointed publie offieiel, or if you are an elected public official serving on an appeinted beard er commiesien, this law prohibits you from participating in proceedings on licenses, permits or other entitlements that affect a person, business or other entity from which you have received a campaign contribution of $250 or more within the last 12 months.

Conflicts in Government Contracts
A Guide to Government Code S1090
California Government Code section 1090 prohibits members of the Legislature, state, county, district, judicial district and city officers or employees (and certain consultants) from having a financial interest in any contract made by them in their official capacity, or by any body or board of which they are members.
A contract made in violation of the section carries with it serious consequences. A willful violation of the law is punishable as a felony, and an official who willfully violates the law may be banned from office for life.
Prosecutors and the Fair Political Practices Commission (FPPC) can sue for civil penalties and the FPPC can impose administrative fines. The contract is void, and all benefits flowing from the contract obtained by the non-government entity may be restored to the government agency (disgorgement), without any offset for goods or services provided.
Nothing in this Pocket Guide should be construed as individual or group legal advice. Readers are cautioned to seek individualized legal assistance based on detailed analysis of particular facts and situations.
Who Should Use the Pocket Guide?
All members of local agency boards, city councils and county boards of supervisors, all local agency officers, employees and consultants who have responsibilities over a contracting decision or act in a "staff capacity," and are involved in any aspect of the making of a contract by a government entity are subject to section 1090.
Use this Pocket Guide to help determine if you are covered by section 1090, are involved in the making of a contract, have a financial interest in the contract, and whether any exceptions, exclusions or exemptions from the law might apply in a particular situation.
Do I Have a Disqualifying Conflict of Interest Under Section 1090? The FPPC applies a six-step analysis to determine whether an official or employee has a disqualifying conflict of interest under section 1090.
Am I subject to the provisions of section 1090?
All state, county, district, judicial district and city officers and employees are covered by the law. Additionally, an independent contractor acting as a consultant to a government agency, whether an individual, partnership or a corporation, who have responsibilities over the contracting decisions of the public agency or is serving in a "staff capacity," is considered an "employee" under section 1090 and is subject to the law.
Does the decision or action at issue involve a contract? One looks to general principles of contract law to determine whether a contract is involved in a process or decision. Sections 1090 and 1097 require that all transactions be viewed in a broad manner and avoid narrow and technical definitions of "contract." Under this law, "a contract" includes a request for proposal, MOU, construction contract, lease or other real property agreements, purchase orders and agreements, any exchange of goods or services for consideration whether in writing or not, and grants of money or property or other things of value.
Am I participating in the making of a contract?
"Making a contract" is broadly construed and includes participating in any way in the making of the contract, including involvement in matters such as preliminary discussions, negotiations, compromises, reasoning, planning, drawing of plans and specifications, solicitation for bids, as well as other similar actions. Also, in relation to a public body, such as a city council or district board, when members of a public board, commission or similar body have the power to execute contracts, each member is presumed to be involved in the making of all contracts by his or her board regardless of whether the member actually participates in the making of the contract.

Pocket Guide for Public Officials Conflicts in Government Contracts Do I have a "financial interest" in the contract?
A person covered by the law, who is in any way involved in the making of a contract, is deemed to have a financial interest in a contract if he or she might profit or suffer a loss from the contract in any way. Although section 1090 does not specifically define "financial interest," the term is liberally or broadly construed to include indirect, as well as direct, interests and may involve financial losses, or the possibility of losses, as well as the prospect of pecuniary gain. Certainty of gain or loss is not required. An indirect interest often arises when an official or employee has a business or financial relationship with a person or entity who is contracting with the government entity. It is an interest arising from, or related to, the contract itself. The test is whether the person has an interest that might in any way prevent the person from exercising absolute loyalty and undivided allegiance to the best interests of the public agency, objectively judged. The interest of a spouse is shared by the person making the contract.
Does either a "remote interest" or non-interest apply?
By law there are various statutory exceptions to section 1090's prohibition against an entire board or agency making a contract. Where the financial interest involved is deemed a "remote interest," as defined in section 1091, the contract may be made if 1.) the officer in question discloses his or her financial interest in the contract to the public agency, 2.) such interest is noted in the entity's official records and 3) the officer abstains from any participation in the making of the contract.
Section 1091 provides a list of 16 "remote interests." These provisions are complex and one should not rely on the application of these exceptions without first consulting with counsel or seeking the advice of the FPPC.
Non-interests apply to all persons covered by section 1090: Non-interests are set forth in section 1091.5 There are 13 of these statutory non-interests. In essence, these constitute a legislative recognition that certain financial interests are so remote or speculative as to not require disqualification from participating in the making of a contract, or which are designed to serve or accommodate some other public policy, such as one's interest in one's own salary from a government entity or the receipt of public services. A non-interest means a person is not disqualified from participating in the making of a contract. Some non-interests do still require the official to disclose the interest in the official records. Again, as with "remote interests," these non-interest exceptions are complex and one should seek the advice of legal counsel or the FPPC before relying on one of these statutory exceptions.
Does the Rule of Necessity apply?
The Rule of Necessity applies only to government entities, not individuals. In very limited circumstances, a Rule of Necessity has been applied to allow the making of a contract that section 1090 would otherwise prohibit. Under the Rule of Necessity, a government agency may acquire an essential good or service in an emergency when to delay the contract would be to the public detriment, or when no source other than that which triggers the conflict is available. When the Rule of Necessity applies, due to a conflict with an official on a multi-member board or body, the interested official must abstain from any participation in the decision.
What Are the Consequences if Section 1090 is Violated?
• A willful violation or aiding and abetting a willful violation is punishable as a felony, and carries a sentence of up to 3 years in state prison and a lifetime ban from holding office. • A prosecutor or the FPPC can bring a civil action to collect civil fines of up to $10,000 or three times the amount of the benefit received under the contract.
• The FPPC can impose administrative fines of up to $5,000 per violation. • The contract is void and suit may be brought to have the contract declared void. • All proceeds, payments and profits received or obtained as a result of the contract must be returned to the government entity.
• Because most section 1090 violations also violate the Political Reform Act's prohibition against having a financial interest in a governmental decision, the full array of penalties available under that Act also apply, including misdemeanor criminal liability, civil penalties, administrative fines and injunctive relief.

COUNCIL AGENDA ITEM
JANUARY 17, 2023
PREPARED BY: Melanie Correa, Administrative Services Director SUBJECT: Consider Resolution Accepting Completion for the ENGIE Solar Project, and Authorizing the City Clerk to file a Notice of Completion with Merced County
BACKGROUND/DISCUSSION
On November 5, 2019, City Council approved a resolution authorizing the approval of an agreement with Engie Services US, Inc. for interior and exterior lighting upgrades to City facilities, HVAC upgrades to the police department, and a VFD upgrade at Well #6. Also included in the project scope was four solar array canopies located at: City Hall parking lot, Henry Miller Park, Schmidt Park, and the Public Works Corporation Yard.
Many of the projects were completed in 2020, and all but one were complete by the end of 2021. Delays in switching the solar array at Henry Miller Park over to PG&E caused the project to be delayed in completion. The final switch over occurred in October, 2022, and after final verification that the City's rates were correctly classified, the entire project should be considered complete effective November 16, 2022.
A final inspection has been performed and the work was found to be in compliance with the plans and specifications, along with additional verification that the City's rates with PG&E are classified correctly. As such, the work should be accepted as complete and a Notice of Completion filed with Merced County.
FISCAL IMPACT
The project was originally slated to be funded by securing a 1% loan from the California Energy Commission in the amount of $2,249,604. Additional funding in the amount of $1,003,449 was approved as an inter-fund loan from the sewer fund though the LAIF program. The intent was to repay the sewer loan through the realized savings from the switch in rate tiers with PG&E.
After all expenses related to the project have been compiled, the total project expense comes to $2,650,033.76, lowering the amount necessary of the inter-fund loan to $400,429.76.
RECOMMENDATION
Staff is recommending that Council accept the work as complete, and authorize the Deputy City Clerk to record a Notice of Completion with Merced County.

COUNCIL AGENDA ITEM
JANUARY 17, 2023
PREPARED BY: Tiffany Vitorino, Recreation Manager
SUBJECT: Approve a Resolution Waiving Garage Sale Fees Twice a Year
BACKGROUND/DISCUSSION
On September 24, 2022, Mid Valley Disposal, with the assistance of the City of Gustine's Public Works Department, organized their first community clean up event. At this event citizens of Gustine were able to dispose of items by taking them to the City Corp Yard on East Ave. Eligible items included large objects such as couches, refrigerators, tires, and other household appliances. They were also able to bring papers for shredding and dispose of e-waste. These events are to assist residents to clear their garages, yards and houses and dispose of items that may not normally fit in their three can system. The event in September assisted over 250 residents and was a great success. According to Mid Valley Disposal community clean up events will occur twice a year, once in the spring, and again in the fall. The next event is scheduled for March 11, 2023 from 8:00AM to 12:00PM. The promotional flyer from Mid Valley Disposal is attached and will be distributed to residents in the February Ist utility billing.
City staff has identified this as a great opportunity to give our residents some encouragement to utilize these annual events and take the opportunity to clean and organize their homes and yards. Staff is asking council to consider having a City-Wide Garage Sale event by waiving garage sale fees the weekend prior to each community clean up event. By waiving the fees, it will give the residents an incentive of knowing they have somewhere to take their unsold items and not have to worry about taking a trip to the local dump. In addition, this will encourage the community to start their sorting and organizing early and not waiting for the last minute. Staff will synchronize the waived garage sale fee twice yearly in coordination with the scheduled community clean up events.
Garage sale permits are currently set up on the City's recreation online registration system. Residents planning a garage sale are able to go online and purchase the permits for $15.00. If the fee waiver is approved, a coupon code will be created and printed on the advertising materials. Residents will be able to go online to obtain their permit and use a coupon code that will waive the fees on the specific garage sale date listed on the flyer. Once the resident is registered, a permit is automatically issued and sent via email. Residents can also register in person at City Hall or the Police Department. The day before the garage sale weekend, City staff will make available a list of all participating addresses holding garage sales to boost sales and attract more people to town to peruse the sales. Staff is hoping this will also help encourage residents to participate.
FISCAL IMPACT
Garage sale fees are $15 per sale (for three consecutive days). Staff estimates approximately 20 sales in conjunction with the community clean up events, which would be a potential revenue loss of approximately $600 per year; however, the revenue loss could potentially be offset of saved costs of clean-up associated with illegal dumping.
RECOMMENDATION
Council approve the resolution establishing the waiver of all garage sale fees twice a year on specific dates scheduled by staff in collaboration with Mid Valley Disposal community clean up events.

WAIVING THE GARAGE SALE PERMIT FEES FOR GUSTINE RESIDENTS TWICE YEARLY TO

WHEREAS, the City of Gustine, in conjunction with Mid Valley Disposal, hosts a community cleanup day twice annually, generally scheduled in the Spring and Fall annually; and
WHEREAS, the City of Gustine wants to encourage residents to utilize the cleanup day service by offering community garage sale events preceding the community clean up events; and
WHEREAS, the City of Gustine recognizes the benefits of community garage sales and community clean up events, as means to discourage residents from illegal dumping practices both within and outside of city limits; and
WHEREAS, the City of Gustine wishes to waive the garage sale fees for these twice- yearly community events to encourage the maximum participation; and WHEREAS, participating residents will still need to register using the City's recreation registration online system to obtain a permit. Fees will be waived by use of an established coupon code to be advertised on the event marketing materials; and NOW, THEREFORE BE IT RESOLVED by the City Council of the City of Gustine that it does hereby authorize waiving fees associated with garage sale permits twice annually in coordination with scheduled community cleanup events organized by the refuse company.

PREPARED BY: Jesus Chavez, Jr, Public Works Director
SUBJECT: Consider Awarding Contract to Foster's Pumps Inc. for Well 6 Repair Project and to Authorize the City Manager to Execute the Agreement
BACKGROUND/DISCUSSION
The City of Gustine operates water well #6 that serves all of the City's residents and businesses with vital services. This well is located on the east side of Saputo Dairy Foods.
Staff was alerted that Well 6 was not operating as designed in that the water being pumped was not overcoming water system pressure and the water meter was reading 0-5 gallons/minute (gpm). City staff performed several tests, one was to close the valve to the City distribution system and pump the water to the waste system. Once the water was pumping to the waste system the water meter was registering 400 gpm, which indicates that the well is able to pump at max capacity and that there is an issue with the bowls, columns or well screen of the well. The findings were reported to Foster's Pump Inc., Anderson Pump Company, and Shannon Pump Company as part of a call for informal bids.
Foster's Pumps and Anderson Pump Company both suggested that exploration of the well would be the best course of action prior to providing information on how to fix the problem. Staff authorized Foster Pumps to begin exploratory work as part of their informal bid estimate #12150, which was the lower bid of the two submitted. The work consisted of labor and materials to pull the pump, video survey the well, bring all the materials to shop and evaluate for repairs. During the exploratory portion, Foster Pumps discovered several components of the well to be faulty. Foster's Pumps second quote includes pump repair, materials and install.
The repair is as follows: perform well rehabilitation to include all prep work, and re- installation of the water well pump. COUNCIL AGENDA ITEM
JANUARY 17, 2023
PREPARED BY: Anna Nicholas, City Manager
SUBJECT: City Council Approve a Resolution Ratifying the Local Emergency Proclamation dated January 13, 2023
BACKGROUND/DISCUSSION
During the months of December 2022 and January 2023, the City of Gustine, the Merced County region, and many parts of the State of California have experienced significant rainfall produced through atmospheric rivers. Some areas in the State have experienced flooding, power outages, downed trees, tornadoes, in addition to other complications that have caused property damage, economic impacts, and loss of life.
The local weather forecasts call for continued heavy wind activity and significant rainfall in relatively short time frames. The City has experienced complications from recent storm activity, which include, but are not limited to downed trees and extreme stress on our wastewater infrastructure due to the storm water system discharging to the wastewater system at the wastewater treatment plant.
Governor Newsom proclaimed a state of emergency on January 4, 2023 in response to the storm damages and continued forecasted weather patterns that could be conducive to further damage. Merced County proclaimed a local state of emergency on January 4, 2023, and was ratified by the Merced County Board of Supervisors on January 10, 2023. President Biden declared an emergency exists in the State of California due to the recent storm activity, on January 9, 2023.
Due to continued weather forecasts of ongoing activity from the atmospheric rivers, and the potential for serious damage to occur because of the storms, the Director of Emergency Services for the City of Gustine proclaimed a declaration of local emergency on January 13, 2023. The City of Gustine Municipal Code designates the City Manager as the Director of Emergency Services for the City of Gustine.
This proclamation is a proactive measure to ensure the City can more effectively respond to storm damage and related incidents, and to have the potential to recover losses that exist beyond our resources.
Pursuant to Chapter 4, Section 7-4-4, of the City of Gustine Municipal Code, the City Council shall take action to ratify the proclamation within seven days thereafter of the proclamation or the proclamation will have no further force or effect. The adoption of the resolution to ratify the proclamation will help to ensure the City of Gustine can access mutual aid if needed; to procure vital supplies or equipment as needed; and to execute all other things necessary and appropriate to protect the people and property within the City of Gustine from harm caused by the severe storms and impending forecasted storms.
FISCAL IMPACT
There is no fiscal impact with the ratification of the Emergency Declaration order.
RECOMMENDATION
Adopt the Resolution confirming the existence of a local emergency caused by the December 2022 and January 2023 storms, which ratifies the Proclamation issued January 13, 2023.
