AMENDMENT NO. 1 TO AGREEMENT BY AND BETWEEN THE CITY OF
HAWAIIAN GARDENS AND THE SALVATION ARMY FOR CRISIS SHELTER BEDS This Amendment No. 1 (“Amendment”) to the Agreement by and between City of Hawaiian Gardens, a California Municipal Corporation, (hereinafter “City” or “Organization”) and The Salvation Army, a California corporation, acting through its Bell Shelter (hereinafter “TSA” or “Contractor”) is entered into as of August 1, 2026.
WHEREAS, TSA and City entered into the Agreement dated August 1, 2025 (“Agreement”) for TSA to provide one (1) dedicated crisis shelter bed to the City.
WHEREAS, the term of the Agreement lapsed on July 31, 2026.
WHEREAS, TSA and City now desire to retroactively ratify their continued performance of the Agreement following its lapse.
WHEREAS, TSA and City also wish to amend the Agreement to extend the term of the Agreement through May 31, 2027, and set the level of compensation City will provide TSA.
Now, therefore, City and TSA agree as follows:
1. Recitals. The recitals listed above are true and correct and are hereby incorporated herein by reference.
2. Ratification. TSA and City hereby acknowledge, agree, and confirm that the Agreement has remained in full force and effect through their continued performance following the end of the term of the Agreement on July 31, 2026. All rights, obligations, and actions of TSA and City between July 31, 2026 and the execution of this Amendment are hereby ratified, confirmed, and validated.
3. Extension of Term. Section 3, Term of Contract of the Agreement is hereby deleted in its entirety and restated to read:
The initial term of this Agreement shall be from August 1, 2025 to July 31, 2026 (“Initial Term”). The Agreement shall be extended from July 31, 2026 to May 31, 2027 (“Extension Term”). References to the term of this Agreement shall be interpreted to mean both the Initial Term and Extension Term, unless otherwise specified.
Notwithstanding the foregoing, this Agreement may be terminated (a) by either Party, in the event of default by fifteen (15) days' written notice to the defaulting Party; or (b) by Organization without cause on thirty (30) days' written notice to Contractor. On termination in either event, Contractor shall cease to perform any additional services.
Contractor shall only be paid for any services properly rendered up to the time that notice of termination is served. Termination shall not provide cause to give Contractor a claim for damages for work to be performed after the time that notice of termination is served. 65320.00001\45432726.3
4. Compensation During Extension. Exhibit B is hereby deleted in its entirety and restated to read:
The Organization shall provide the following:
1) Referrals of individuals who are experiencing homelessness for consideration for acceptance into the Crisis Housing Program at The Salvation Army Bell Shelter. 2) During the Initial Term, Organization shall pay Contractor at the rate of $89 per bed per night for 1 reserved bed, not to exceed a total compensation of $32,485, for the Initial Term of this Agreement, paid monthly in arrears upon the presentation of an invoice.
3) During the Extension Term, Organization shall pay Contractor at the rate of $89 per bed per night for 1 reserved bed, not to exceed a total compensation of $28,184, for the Extension Term of this Agreement, paid monthly in arrears upon the presentation of an invoice.
5. Except as provided in this Amendment, all other terms of the Agreement remain in full force and effect.
