AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT
BY AND BETWEEN THE CITY OF HAWAIIAN GARDENS
AND SC CONSULTING FOR INFORMATION TECHNOLOGY SERVICES
This Amendment No. 1 (“Amendment”) to the Professional Services Agreement (“Agreement”) by and between City of Hawaiian Gardens, a California Municipal Corporation, (hereinafter “City”) and SC Consulting, a California limited liability company (“Consultant”) is entered into as of October 14, 2026 (together, “Parties”).
WHEREAS, the Parties entered into the Agreement, dated September 1, 2023 (“Agreement”), for Consultant to provide information technology services for the City, as set forth in Exhibit “A” of the Agreement.
WHEREAS, the term of the Agreement lapsed on August 31, 2026, but the Parties continued to both perform pursuant to the terms of the Agreement.
WHEREAS, the Parties now desire to ratify their continued performance of the Agreement following its lapse.
WHEREAS, the Parties also wish to amend the Agreement to extend the term of the Agreement through October 31, 2029 and to update the compensation paid to Consultant.
Now, therefore, the Parties agree as follows:
1. Recitals. The recitals listed above are true and correct and are hereby incorporated herein by reference.
2. Ratification. Parties hereby acknowledge, agree, and confirm that the Agreement has remained in full force and effect through their continued performance following the end of the term of the Agreement on August 31, 2026. All rights, obligations, and actions of the Parties between August 31, 2026 and the Effective Date of this Amendment are hereby ratified, confirmed, and validated.
3. Extension of Term. Section 1 of the Agreement is hereby deleted in its entirety and restated to read:
This Agreement shall commence on September 1, 2023 and shall remain and continue in effect until October 31, 2029, unless extended in writing by both parties, or sooner terminated pursuant to the provisions of this Agreement.
4. Services and Compensation. Exhibit “A” of the Agreement is hereby deleted in its entirety and replaced with Attachment “1” to this Amendment.
5. Effective Date. The Effective Date of this Amendment shall be November 1, 2026.

6. All terms, conditions, and other provisions of the Agreement are not affected by this Amendment and shall remain in full force and effect.
