AMENDMENT NO. 3 TO THE AGREEMENT BETWEEN THE CITY OF
HAWTHORNE AND THE CITY OF EL SEGUNDO FOR SUPPLEMENTAL LAW
ENFORCEMENT (JAIL) SERVICES
This Third Amendment (Amendment No. 3) to that certain agreement by and between the City of Hawthorne ("Hawthorne") and the City of El Segundo ("El Segundo"), California, both of which are California municipal corporations and general law cities (hereinafter referred to individually as a "Party" and collectively as the "Parties) is hereby entered into as of July 1, 2024 ("Effective Date").
RECITALS
A. On October 2, 2019, the Parties entered into an agreement for professional services for Hawthorne to provide Supplemental Jail services ("Agreement");
On November 10, 2020, the Parties amended the Agreement ("Amendment No. 1").
C. On July 1, 2021, the Parties entered into a Second Amendment to the Agreement ("Amendment No. 2") which changed the Section 3 of the Agreement to terminate the Agreement on June 30, 2024.
D. The Parties now desire to enter into a Third Amendment to the Agreement.
NOW, THEREFORE, in consideration of the Parties' performance of the promises, covenants, and conditions stated herein, the Parties hereby agree as follows:
Section 3 of the Agreement is hereby replaced by:
"Term of Agreement. This agreement shall terminate on June 30, 2027. Either party may terminate this agreement before June 30, 2027, at any time with a written notice and upon the disposition of all El Segundo jailed inmates from the Hawthorne jail. Any unpaid services provided until the termination will be pro- rated, to be paid proportionately.
Except as specifically amended by this Amendment No. 3, all other provisions of and erreement, Amendment No. 1 and Amendment No. 2 shal remain in ful force IN WITNESS THEREOF, the Parties hereto have executed this Amendment No. 3 on the day and year first shown above.
