MEMORANDUM OF UNDERSTANDING
This memorandum of Understanding (MOU) is entered into between the Boys & Girls Clubs of Carson (BGCC) and the City of Hawthorne.
By entering into this MOU, BGCC will offer a one-time STEM Lego Robotics Summer Camp Program operated at the City of Hawthorne from July 15th 2024 through July 26th, 2024.
TERMS OF UNDERSTANDING
Subject to its other provision, the term of this MOU shall be one month from the MOU's effective date, which shall be July 15th, 2024 unless terminated sooner as provided herein. The parties shall review the relationship and the goal associated with this MOU at least annually to ensure the fulfillment of its purpose and make any mutually agreed-upon revisions.
Either organization may terminate this MOU without penalties or liabilities.
PROGRAM DESCRIPTION
BGCC will collaborate with City of Hawthorne to provide the following programs) to students.
STEM Lego Robotics is an innovative hands-on STEM program in which students dream and discover new skills through LEGO® Robot Building kits. The series of workshops will encourage students to build collaborative, creative and critical thinking skills while being exposed to the endless possibilities of pursuing STEM aspirations. Through coding, students will be able to teach their robots how to dance, hold weighted items and race their robots through various obstacles.
STEM Robotics Members will:
Engage in hands-on learning activities
Receive curriculum aligned with NGSS state standards
Explore lessons based on real world topics, tying relevance back to STEM • Learn to value evidence
Make sense of problems and persevere in solving them
• Work in a collaborative team to design robots from the ground up, utilizing coding
THE CITY OF HAWTHORNE AGREES TO
BOYS & GIRLS CLUBS
OF CARSON
• Adhere to the goals, safety policies, and procedures for youth programs. • Assign a staff member to co-lead program with BGCC staff. • City of Hawthorne staff are to address all classroom behavior management matters, incident reporting, parent communication, etc.
• City of Hawthorne staff are to ensure proper registration of all students. • Implement the two-week program, for three hours per session. • Ensure student sign in daily to program and provide sign in sheets to the appropriate staff members.
BCC AGREES TO
• Assign two BGCC Club Staff to lead and implement the STEM Lego Robotics program. • Communicate any safety issues and needed support to City of Hawthorne assigned staff team.
• Provide up to 15 Lego Robotics Kits to keep at site.
• Loan up to 8 laptops for use during the STEM Lego Robotics program.
INSURANCE
City of Hawthorne, at its own expense, shall obtain and keep adequate insurance to satisfy its obligations under this MOU and shall provide BCC with acceptable evidence of policy or policies of insurance as specified below. Such insurance must (1) protect BGCC within the policy limits from claims and risks arising out of or in connection with activities performed by this MOU; (2) be maintained in full force and effect throughout the entire term of MOU; (3) include the "Boys & Girls Clubs of Carson" as an additional insured The City of Hawthorne shall promptly notify BCC if there is any material reduction in the level of insurance coverages and/or limits of any insurance coverage as may be required under this MOU. Such insurance shall include at a minimum provide:
1. General Liability and Sexual Misconduct Insurance with minimum limits of $1 million per occurrence/$3 million aggregate
2. Workers Compensation Liability with a minimum limit of $1 million per occurrence Evidence of Insurance Coverage: A certificate of insurance demonstrating compliance with the minimum level of coverage, limits of liability and terms and conditions as stated herein shall be provided by BCC within 10 days of the effective date of this MOU.
CRIMINAL BACKGROUND CHECKS

City of Hawthorne shall ensure that any employees, officers and agents of City of Hawthorne who work for the STEM Lego Robotics shall pass a criminal background check on an annual basis or duration of the program.
Name-based or fingerprint-based record searches may be used in any combination but shall, at a minimum, a) verify the person's identity and legal aliases through verification of social security, b) provide a national sex offender registry search, c) provide a comprehensive criminal search which includes a national search and d) provide a comprehensive local criminal search which includes a statewide criminal search and county level criminal search.
City of Hawthorne agrees that any and all employees, officers and agents will be barred from working at location should they:
a. Refuse to consent to a criminal background check
b. Make a false statement in connection with such criminal background check, c. Is registered, or is required to be registered on a state or national registry, sex offender, d. Has been convicted of a felony consisting or including the use of a. Murder,
b. Child abuse,
c. A crime against children, including child pornography, d. Domestic violence,
e. Abduction or human trafficking
f. Crime involving rape or sexual assault,
g. Arson,
h. Weapons or,
i. Physical assault or battery,
e. Has been convicted of a drug-related offense committed within the last five years.
PUBLICITY AND USE OF PROPRIETARY MARK
Each Party shall obtain prior written approval from the other Party prior to using the other Party's trademark or trade names, images or holdings (collectively, "Proprietary Marks") in connection with the activities under this MOU. Once approved, similar uses in the same context and format will not require additional approval. If this Agreement expires to terminate for any reason, each Party shall immediately discontinue using the other Party's Proprietary Marks.
SIGNATURE AUTHORITY AND APPROVAL
The individual signing below hereby warrants that they are duly authorized to execute and deliver the MOU on behalf of BCC and City of Hawthorne and that BGCC and City of Hawthorne enter into this MOU according to the terms outlined in this document.
