AGENDA ITEM NO. 13.

CITY OF HAWTHORNE
City Council

AGENDA BILL
For the meeting of 03/24/2026
Originating Department: Licensing
City Manager: Department Head:

SUBJECT:

Voluntary Transient Occupancy Tax Agreement between the City of Hawthorne (City) and Airbnb, Inc.

RECOMMENDED MOTION:

Staff recommends that the City Council approve the Voluntary Collection Agreement with Airbnb, Inc. and authorize the City Manager to Execute the Agreement and make any minor changes, if necessary.

DISCUSSION:

Airbnb, Inc. currently has partnerships with over 350 organizations generating over 10 billion in tourism taxes globally, 90 of which are in California. This includes, but is not limited to, Culver City, Los Angeles, and the City of Long Beach. The City would like to now partner with Airbnb to aid in the collection of its Transient Occupancy Tax (TOT). Our collaboration will allow a more streamlined process ensuring more accurate reporting, prompt TOT payments to the City and data regarding who is hosting in our city for compliance and statistical purposes. Short-term rental hosts will enjoy this benefit as TOT payments are included in the rental agreement, thereby saving them time and extra fees due to late submissions of TOT payments.

ECONOMIC DEVELOPMENT STRATEGIC PLAN:

Provide accurate reporting of TOT and a easier process for all Airbnb hosts.

FISCAL IMPACT:

None. As Airbnb aims to have compliant hosts and work with the City, this agreement will not have a fiscal impact on the City.

NOTICING PROCEDURE:
72 hours posted notice pursuant to the Ralph M. Brown Act.

(I-1) The Taxing Jurisdiction shall notify Airbnb, in writing, of any properly enacted changes to the Code/Statute/Regulation that, as required by applicable law, have consequences for the levying and collection of Taxes (including, but not limited to, tax rate, exemptions, tax base, etc.). Such notice shall be sent to [email protected], and shall be deemed to have been received upon receiving written confirmation of receipt. If the Taxing Jurisdiction does not notify Airbnb of the foregoing, the Platform will continue to determine the amount of Taxes due as if the changes had not taken effect. AGENDA BILL
For the meeting of 03/24/2026
Originating Department: Public Works
City Manager: Department Head:

SUBJECT:

Award of Water System Operations and Maintenance Agreement to Water Workforce and Authorization for the City Manager to Negotiate and Execute Agreement.

RECOMMENDED MOTION:

Staff recommends that the City Council approve the selection of Water Workforce for operation and Maintenance of the City's municipal water system and authorize the City Manager to negotiate and execute an agreement, subject to City Attorney approval.

DISCUSSION:

The City of Hawthorne owns and operates a portion of its municipal water system, which includes atreatment plant, four wells, four reservoirs,a high water tank, and associated water rights. The City's current 30-year lease agreement with California Water Service (Cal Water) is set to expire in August 2026, promptingthe City to evaluate future operationaland management options for the system. In response, the City released a Request for Proposals (RFP). While early interest included potential purchase of the system, those options were determined to be infeasible due to Proposition 218 constraints. As aresult, the City refined its approach and reissued an RFQ focused solely on qualification for operations and maintenance services.

Through acompetitive evaluation and interview process, the City received two proposals and identified Water Workforce (WWF)as themost qualified proposer. WWF demonstrated strong experience in water system operations, regulatory compliance, certified staffing, asset management, and full-service support including billing, maintenance, and system operations.Staff have since worked with the City Attorney's Office to negotiate a proposed agreement. The agreement outlines that WWF will operate and maintain the City's water system, while the City retains ownership ofall infrastructure and responsibility for capital improvements. The agreement includes financial transparency measures, reportingrequirements, and revenue-sharing provisions based on system performance.

Staff believes that, given the complexities associated with reestablishing City-led operations, includingthe need to hire specialized staff, significant upfrontcapitaland operationalcosts, and the likelihood of pursuingrate increases under Proposition 218, that it is not in the City's best interest to resume direct operation of the water system at this time. Accordingly, staff recommends awardingthe operations agreement to Water Workforce and authorizingthe City Manager to finalize, negotiate and renegotiate the agreement terms, includingan initial evaluation period to ensure performance and financialviability prior to any long-term commitment.

ECONOMIC DEVELOPMENT STRATEGIC PLAN:

Ensuring reliable and efficient operation of the City's water system supports economic development by maintaining essential infrastructure needed for residential, commercial, and industrial growth FISCAL IMPACT:

None.

OUTLINE OF TERMS
WATERWORKFORCE, INC. – CITY OF HAWTHORNE

OPERATION OF MUNICIPAL WATER SYSTEM
OVERVIEW: WaterWorkforce, Inc. (“WWF”) [entity to operate the system will have a different name and may operate as a subsidiary entity of WWF or under a fictitious business name] proposes to operate and maintain the City of Hawthorne’s (“City”) water distribution system for a fifteen (15) year term, with an initial one-and-a-half (1½) year evaluation term, to potentially be followed by the remaining thirteen-and-a-half (13½) years of the 15-year term. After completion of the initial one-and-half year evaluation term, WWF will make an Initiation Fee payment of $2,000,000 to the City, to be paid from WWF’s share of Adjusted Net Operating Income (“ANOI”) over a to be determined payment period, which will be defined in the parties’ Agreement. ANOI will be split semi-annually on a percentage basis upon true up of system gross revenues and operating expenses in determining ANOI. City will be responsible for all capital improvement expenditures.

Following is an outline of the terms that would be included in the Agreement that would memorialize the transaction.

1. Initial Transition Period:
a. Transition from current operator/lessee – City to directly assist and collaborate with WWF in the transition of important system information and documentation to ensure a smooth transfer of operational responsibility from the current lessee/operator to WWF. Information and documentation to be transferred to WWF shall include to the extent reasonably available to the City, but is not limited to, last two (2) years’ operating budgets with explanation of variances, current Source Water Assessment, most recent Water System Master Plan and update on current status of the 2026 Urban Water Management Plan. City will provide all such documentation to WWF within twenty-one (21) days of the parties’ execution of an agreement attesting to the transaction’s general terms through execution of a letter of intent.
b. 90-day Pre-Commencement Transition/Phase-In Period – WWF will not assume operational duties for the first ninety (90) days after the effective date of the Agreement and during such period, WWF will be compensated on a cost-plus basis (direct costs plus agreed markup for WWF’s initial net working capital investment, overhead and profit) to cover transition, knowledge transfer, and baseline assessment. WWF will provide a budget of anticipated costs for that 90- day period to City, which will be incorporated as an exhibit to the Agreement. That budget will include a not-to-exceed amount, subject to potential revision upon the parties’ agreement in the event of unanticipated expenses that exceed ten percent (10%) of the specified not-to-exceed amount. If such expenses exceed that ten percent (10%) threshold, then WWF shall be paid for those additional expenses and, if applicable, the early termination fee referenced in Section 2(b)(v), below, will be increased on a dollar-for-dollar basis.

In that case, the Assessment Period will end as of the date of that written notice to the City. b. Subject to subdivision (a), the first eighteen (18) months will be an Assessment Period for WWF and City to validate the economic viability of the operational structure:
i Check-ins every three (3) months to review operations, capital/reliability observations, and revenue performance versus projections and other related operational issues.
ii On or before the conclusion of month twelve (12) of the Assessment Period, City and WWF each has a one-time election, to be exercised in writing, to either to commit to proceed under the Agreement or to terminate the Agreement at the conclusion of month eighteen (18) of the Assessment Period. The City’s election under this subdivision (ii) may only be exercised in the event WWF fails to adequately perform under the Agreement, as determined by the City in its exercise of reasonable discretion, after WWF receives written notice from the City of specified performance deficiencies and fails to correct those deficiencies within a reasonable time. iii If WWF or City elects to terminate the Agreement, the parties may meet and confer to determine if any adjustments to the Agreement may resolve any issues WWF has identified or City has identified, as applicable. iv If WWF or City elects to terminate the Agreement, the parties must continue to abide by the Agreement through the termination date and WWF will support the City in finding and onboarding a new operator. v If WWF elects to terminate the Agreement, a termination fee in an amount to be negotiated and WWF’s continued performance through termination shall be secured by a performance bond in an amount equal to the sum of: WWF’s full cost to operate the system for six (6) months plus the applicable termination fee. Details regarding triggers to payment under the bond will be specified in the Agreement. The bond will terminate upon the earlier of (a) the date on which WWF notifies the City of its intent to perform under the Agreement as provided in Subdivision a, above; or (b) 10325-0001\3227674v4.doc

Certain conditions to have no cure period (i.e. falsity of representations, transfer/assignment violation, breach of confidentiality obligation, repeat defaults).

Cure to be subject to City’s step-in rights described below (Section 4(e)). b. If the City attempts to terminate the Agreement for cause and WWF disputes the breach or other circumstance on which the City bases the alleged cause, the parties will proceed under the dispute resolution process specified in the Agreement.
c. If City desires to terminate the Agreement for any reason other than cause, then a termination fee payable to WWF would apply to recover a negotiated amount to be determined to allow WWF to recover its investment in performing the Agreement.
