RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT NO. 1 TO AN AGREEMENT WITH INFOSEND, INC., INCREASING THE CONTRACT AMOUNT BY $75,000 AND NEGOTIATE A NEW CONTRACT FOR A THREE-YEAR TERM WITH THE OPTION TO EXTEND FOR TWO ADDITIONAL ONE-YEAR TERMS IN A NOT-TO-EXCEED AMOUNT OF $720,000 FOR THE INITIAL THREE-YEAR TERM AND $250,000 FOR EACH ADDITIONAL YEAR WHEREAS, the aforesaid parties have entered in that certain Agreement dated November 10, 2021, entitled “InfoSend Master Service Agreement,” for archiving and bill distribution services; and WHEREAS, the City’s current bill distribution system requires archiving services to fully implement the City’s bill payment and presentment functionality; and WHEREAS, Infosend, Inc. provides the necessary PDF archiving and billing distribution for all of the City’s water, sewer, and excise tax customers; WHEREAS, InfoSend, Inc., is the only vendor with the expertise necessary to provide these services; and WHEREAS, an increase in cost of services on hard goods as a result of inflation has exceeded the initially agreed upon costs of services; and WHEREAS, the Water Operating Fund (Fund 605) and Sewer Operating Fund (Fund 610) has sufficient funds to support these services.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Hayward that the City Manager is hereby authorized and directed to execute, on behalf of the City of Hayward, Amendment No. 1 to the agreement with Infosend, Inc., in the amount of $75,000, resulting in an amount not-to-exceed $486,000.
BE IT FURHTER RESOLVED, that the City Manager is hereby authorized and directed to negotiate and execute, on behalf of the City of Hayward, an agreement with InfoSend, Inc., for a three-year term in a total amount not-to-exceed seven hundred twenty thousand dollars ($720,000) with the option to extend for two additional one-year terms in a total amount not-to-exceed two hundred fifty thousand dollars ($250,000) per term.
