RESOLUTION AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE A COOPERATIVE PROCUREMENT CONTRACT WITH DELL TECHNOLOGIES FOR MICROSOFT SOFTWARE, SUBSCRIPTIONS, AND SERVICES FOR A THREE-YEAR CONTRACT IN AN AMOUNT NOT-TO-EXCEED $412,341.90 ANNUALLY, AND 5% CONTINGENCY OF $61,851.28 FOR A TOTAL CONTRACT AMOUNT OF $1,298,876.98 WHEREAS, the City through its current Microsoft Enterprise Agreement receives access to Microsoft software that is the primary software used daily by City staff in the operation and delivery of information technology services, including Microsoft Office 365, and Windows software; and WHEREAS, the County of Riverside, California has a Licensing Solution Provider Agreement, No. ITARC-00934, and a Master Microsoft Enterprise Agreement, No. 8084445 with Dell Marketing L.P. (together the “Riverside Agreements”); and WHEREAS, the City’s participation in the Riverside Agreements will facilitate timely acquisition of the Microsoft product licenses and support services as well as provide considerable cost benefits to the City; and WHEREAS, if the City had to utilize a formal bid process rather than participating in the Riverside Agreements, the City would be required to incur considerably more in costs; and WHEREAS, in lieu of a competitive bid process, and based on the pricing from the County of Riverside Agreement, the City now seeks approval to enter into a cooperative procurement contract with Dell Technologies for a term of three years beginning March 1, 2025 with a total not to exceed value of$1,298,876.98.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Hayward that the City Manager is hereby authorized to execute, on behalf of the City of Hayward, the Cooperative Procurement Contract between the City and Dell Technologies for the acquisition of Microsoft Software, Subscriptions and Services for an amount not to exceed $1,298,876.98 for a term of 3 years, effective March 1, 2025, in a form approved by the City Attorney.
BE IT FURTHER RESOLVED that the City Council of the City of Hayward hereby approved in the amount of $412,341.90 in the fund 730-30-0000-0001-17300-62120 per year for the duration of the contract plus 5% contingency of $61,851.28 for a total not to exceed $1,298,876.98.
