ADOPT A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT NO. 1 TO THE AGREEMENT WITH INVOICE CLOUD INC. TO
EXTEND THE TERM BY THREE YEARS IN AN AMOUNT NOT TO EXCEED $1,812,000, WITH AN OPTION FOR AN ADDITIONAL TWO -YEAR EXTENSION FOR A TO TAL AMOUNT NOT-TO-EXCEED $3,248,000 OVER FIVE YEARS, TO
CONTINUE PROVIDING UTILITY BILLING SERVICES
WHEREAS, the City entered into an Agreement with Invoice Cloud Inc., dated October 26, 2021, to provide utility billing services; and
WHEREAS, the three-year agreement expires May 30, 2025; and
WHEREAS, City staff has found Invoice Cloud’s electronic bill payment and presentment services satisfactory for facilitating utility billing and integrating with the water customer portal; and
WHEREAS, staff is requesting single source approval for Invoice Cloud Inc. to continue providing utility billing services; and
WHEREAS, the amended Initial Term of the contract shall be extended by a period of three years, after which the City will have the sole discretion to exercise the option for two one-year extensions; and
WHEREAS, the Water Operating Fund (Fund 605) and Wastewater Operating Fund (Fund 610) have sufficient funds to extend services with Invoice Cloud, Inc.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Hayward that the City Manager is hereby authorized to execute, on behalf of the City of Hayward, an amendment to the agreement with Invoice Cloud Inc. to continue utility billing services for three years in an amount not -to-exceed one million, eight hundred and twelve thousand dollars ($1,812,000), with the option, at the City’s sole discretion, to extend and increase the contract for two (2) additional years for a total amount not -to-exceed $3,248,000 over five years, in a form approved by the City Attorney.
