AMENDMENTNO. 1TOMEMORANDUMOFUNDERSTANDINGBETWEENTHECITYOFHAYWARDANDHAYWARDAREARECREATIONANDPARKDISTRICTFORTHELAVISTAPARKPROJECT THISAmendmentNo. 1totheMemorandumofUnderstanding (“MOU”), datedforconveniencethis _______ dayof ___________ 2025, isbetweentheCityofHayward (“City”), amunicipalcorporationoftheStateofCalifornia, andtheHaywardAreaRecreationandParkDistrict (“HARD”), aCaliforniaspecialdistrict, hereinafterreferredtoindividuallyasa “Party” andcollectivelyas “Parties,” andamendstheMOUwhichwasenteredintoonJanuary29, 2025, forthedesign, construction, funding, operationandmaintenanceofLaVistaParkinHayward, California. RECITALS: WHEREAS, byResolutionNo. 24-259, onDecember17, 2024, theCityCouncilauthorizedanddirectedtotheCityManagertoexecuteanewMemorandumofUnderstandingwiththeHaywardAreaRecreationandParkDistrictforthefunding, operations, andmaintenanceofLaVistaPark; andWHEREAS, CityandHARDexecutedtheaforementionedMOUonthe29thdayofJanuary, 2025; andWHEREAS, afterreceivingandreviewingconstructionbids, Staffdeterminedanadditional $6,444,000isneededtofullyfundtheconstructionofLaVistaParkincludingdesign, construction, administration, inspections, andtestingcosts; andNOW, THEREFORE, CityandHARDagreetothefollowingamendmentstotheMOUasfollows:
3. Funding of Construction of Park Project Improvements a) Park In-Lieu Fees. ThePartiesagreethatCitywillallocateNineteenMillionFourHundredForty-fourThousandDollars ( $19,444,000.00) inaccumulatedparkin-lieufees (QuimbyActfees) collectedbyCityasoftheEffectiveDatefromcertainresidentialdevelopmentprojectsinthecommunitiestobeservedbytheParkProperty, including, butnotlimitedto, theDeveloperFeeContribution (“ParkIn-LieuFees”). Inaddition, andasfurthersetforthinSection3(d), below, thePartiesagreethatCitywillallocateSixMillion, SevenHundredThousandDollars ($6,700,000.00) ofexistingand/orfutureparkin-lieufeescollectedbyCityfromdevelopersofresidentialdevelopmentprojectsincommunitiestobeservedbytheParkPropertytoHARDasareimbursementofaportionofHARD’sfinancialcontributiontotheProjectasdescribedinSection3(c), below.
