RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN
AMENDMENT OR AMENDMENTS TO THE PROFESSIONAL SERVICES
AGREEMENT WITH MAZE AND ASSOCIATES FOR AUDIT AND FINANCIAL
SERVICES FOR THE CITY OF HAYWARD, INCREASING THE MAXIMUM COMPENSATION AMOUNT FROM $389,807 TO A TOTAL MAXIMUM
COMPENSATION AMOUNT NOT-TO-EXCEED $750,000 IF THE CITY
EXERCISES OPTIONS TO EXTEND THE AGREEMENT FOR UP TO TWO
ADDITIONAL AUDIT CYCLES
WHEREAS, on March 26, 2024, The City Council awarded a contract to Maze & Associates for audit and financial services for a three-year term with up to two options to extend the term with pricing for those extensions based on CPI; and WHEREAS, the City’s current fiscal challenges have increased the level of audit work required to complete the Fiscal Year 2024-25 annual audit; and WHEREAS, the existing Agreement requires additional funds for completion of the Fiscal Year 2024-25 annual audit; and
WHEREAS; the City has the option to extend the term for up to two additional years in order for Maze & Associates to complete annual audits for Fiscal Year 2026-27 and Fiscal Year 2027-28.
NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Hayward that the City Manager is hereby authorized and directed to negotiate and execute an amendment or amendments to the agreement with Maze & Associates in a form approved by the City Attorney to provide audit and financial services City of Hayward with a total maximum compensation amount not-to-exceed $750,000 for a term necessary to complete the annual audit for Fiscal Year 2027-28 in the event the City exercises that option. All other provisions of the current Agreement remain the same and in full force and effect.
