SUBJECT: Negotiation Consulting Services (Amendment 2) - R3 Proposal Dear Mr. Roberts,
R3 Consulting Group, Inc. (R3) is pleased to submit this proposal to provide additional Negotiation Consulting Services for the City of Hercules (City).
R3 provides a range of services exclusively to municipal clients, including legislative compliance assistance to jurisdictions (e.g., SB 1383, AB 939, AB 341, and AB 1826), strategic solid waste plan development and implementation, and on-call diversion and sustainability support services. R3 has also helped numerous jurisdictions with negotiation support services like those requested by the City.
At your request, we are providing this proposal for further support in response to additional work needed to complete negotiations, including additional contingency budget given longer-than- anticipated negotiation time frames.
Our team had expected to conclude negotiations before November of 2023; however, it is now September 2024. Throughout this time, R3 attended regular check-ins with the City and Republic, as well as numerous additional meetings with the City. We have accomplished a number of important milestones in negotiations with Republic, including establishment of a draft agreement restatement which is currently being negotiated line-by-line with Republic.
The additional work proposed is as follows:
> Continuation of the agreement restatement negotiations, which includes a number of new deal points not anticipated by our initial proposal.
> Negotiation of the proposed rate adjustment associated with contract extension. • Completing the evaluation of the proposed program enhancements.
Presenting the proposed restated franchise agreement to City Council when negotiations are complete.
Project Budget and Team
R3 proposes to complete the additional items as a part of our negotiation support services at the additional cost of $15,000, making the total cost of this work and the total contract value at $65,000.
Rose Radford, Director, from R3's local Bay Area office, will be the Project Lead and primary staff for all negotiation tasks, with direct support from Scott Hanin, Principal, as well as other staff as needed.

The parties to this Contract Amendment do mutually agree and promise as follows:
2. Purpose. This Amendment No. 2 is being entered into to amend an existing contract between the City and Contractor which was approved by the City Council/City Manager of the City of Hercules on August 28, 2023. Said contract shall hereinafter be referred to as the "Original Contract" and is incorporated herein by reference.
3. Original Contract Provisions. The parties hereto agree to continue to abide by those terms and conditions of the Original Contract, and any amendments thereto, which are unaffected by this Contract Amendment Agreement.
4. Amendment. This Amendment No. 2 is intended to amend the Original Contract and previously approved amendments (collectively, the "Amended Contract") thereto to provide for additional compensation in an amount not to exceed $15,000, total contract amount $65,000.
5. Amendment Approval: This Amendment No. 2 is hereby approved by the City Council/City Manager of the City of Hercules on this day of 2024.
