Blue/Gold Star Markers 10 Revised December 2023

CARE OF THE MARKER
At the 2007 National convention in Boston, the NGC Board approved a recommendation to have the center rust spot deleted from the manufacturing process on all Markers.

This spot was the first part to become faded and many felt it should be removed.

SEWAH STUDIOS advises using mild soap and water to brighten letters on all Markers.

Blue/Gold Star Markers 11 Revised December 2023

INSTALLATION OF LARGE MARKERS

1. The Blue Star Marker and Gold Star Families Marker are delivered with eight setscrews in the mounting base of the Marker. Once the Marker is placed on the post, installation is completed by tightening these setscrews using an Allen wrench. Proper Marker alignment is achieved by adjusting the mounting screws.

2. All posts are made of extruded aluminum. The 7-foot, octagonal post is designed for a 36 inch insertion in the ground. To install, dig a hole 3 feet deep, approximately 12 inches in diameter, with a post-hole digger. Place the post in the center of the hole and use a level to plumb. Place the dirt back in the hole tamping it tightly around the post as the hole is filled. Fill to about 6 inches below the surface. The hole can be filled with cement, but it is not necessary and complicates removal if it needs to be replaced.

3. If using cement, cut the bottom out of a 5-gallon plastic bucket and place it down over the post to create a form for the cement. Fill the top of the hole with cement and bring the level up about 4 to 6 inches above the ground.

This will give a round curb around the base to help keep mowers clear.

4. Set the Marker on the post, tighten the setscrews and installation is complete.

5. A simple procedure can be done to theft-proof the Marker. After the setscrews are adjusted and the Marker is precisely positioned, use an electric drill to ream the flat surfaces out of the inside of the setscrews. Once this is done, the only way to get the Marker off the post is to drill the setscrews out completely. Most thieves will not risk being caught while doing this.

6. Marker installation is quick and simple. One person can do it with no problem.

NO OTHER INSIGNIA, SIGN or EMBLEM OF ANY KIND may be attached directly to the memorial marker or the post. In addition, changing the color of the markers is strictly prohibited.

NOTE: Sewah Studios Marker posts are not designed to be installed in the right-of-way of state or federal highways.

They are not breakaway posts and are recommended to be installed at least 50 feet from the highway. (Information received from Brad Smith, President of Sewah Studios.)

PLANNING THE DEDICATION
DO NOT SET A DATE FOR THE DEDICATION UNTIL ASSURED THE MARKER WILL ARRIVE ON TIME. Please allow 24 weeks or more for delivery of the Marker from the time the order is received by Sewah Studios. After setting the dedication date, proceed with invitations and program.

As soon as possible, send invitations to NGC President, NGC Blue Star/Gold Star Memorial Chairman, State Blue Star/Gold Star Memorial Chairman, Gold Star Families President for Gold Star Families Markers, State President, District Director, State Executive Board, local garden club members, organizations involved in the project, appropriate city or state officials and veterans groups.

Invitations should include date, time, place, sponsoring group, travel instructions and an RSVP name and address. The club may wish to include a brief description of the Blue Star or Gold Star Families Memorial Marker Program or club's Blue Star or Gold Star Families Project. To insure a well-attended event, allow enough time for busy schedules and travel time.

The club may also arrange for publicity and a printed program, if desired.

UNITED STATES OF AMERICA NATIONAL ANTHEM

THE STAR SPANGLED BANNER
Words by Francis Scott Key - 1814
Music by John Stafford Smith – 1780
Oh, say can you see by the dawn’s early light
What so proudly we hailed at the twilight’s last gleaming? Whose broad stripes and bright stars thru the perilous fight, O’er the ramparts we watched were so gallantly streaming? And the rocket’s red glare, the bombs bursting in air,
Gave proof through the night that our flag was still there.

Oh, say does that star-spangled banner yet wave,
O’er the land of the free and the home of the brave?
On the shore, dimly seen through the mists of the deep, Where the foe’s haughty host in dread silence reposes,
What is that which the breeze, o’er the towering steep, As it fitfully blows, half conceals, half discloses?
Now it catches the gleam of the morning’s first beam,
In full glory reflected now shines in the stream:
‘Tis the star-spangled banner! Oh long may it wave,
O’er the land of the free and the home of the brave.

And where is that band who so vauntingly swore,
That the havoc of war and the battle’s confusion,
A home and a country should leave us not more!
Their blood has washed out their foul footsteps’ pollution.

No refuge could save the hireling and slave,
From the terror of flight, or the gloom of the grave:

And the star-spangled banner in triumph doth wave,
O’er the land of the free and the home of the brave!
Oh! Thus be it ever, when freemen shall stand,
Between their loved home and the war’s desolation!
Blest with victory and peace, may the heav’n rescued land, Praise the Power that hath made and preserved us a nation.

Then conquer we must, when our cause it is just,
And this be our motto: “In God is our Trust.”
And the star-spangled banner in triumph shall wave,
O’er the land of the free and the home of the brave!

PATRIOTIC SONGS

AMERICA, THE BEAUTIFUL
Words by Katherine Lee Bates
Music by Samuel A. Ward
0 beautiful for spacious skies.

For amber waves of grain,
For purple mountain majesties
Above the fruited plain!
America! America!
God shed His grace on thee,
And crown thy good with brotherhood
From sea to shining sea!
0 beautiful for pilgrim feet,
Whose stern impassioned stress,
A thoroughfare for Freedom beat
Across the wilderness
America! America!
God mend thine every flaw
Confirm thy soul in self-control,
Thy liberty in law!
O beautiful for patriot dream,
That sees beyond the years,
Thine alabaster cities gleam,
Undimmed by human tears,
America! America!
God shed His grace on thee,
And crown thy good with brotherhood
From sea to shining sea!

GOD BLESS AMERICA
Words and Music by Irving Berlin
God bless America,
Land that I love,
Stand beside her and guide her
Through the night with a light from above.

From the mountains, to the prairies
To the oceans white with foam,
God bless America
My home, sweet home,
God Bless America
My home, sweet home.

DEDICATION FOR BLUE STAR MEMORIALS
We are here to pay tribute to our Armed Forces. While we go about our daily lives or while we sleep, the men and women in our Armed Forces fly our skies, sail our seas and guard our shores, ensuring our safety.

They stand ready at a moment's notice to defend our Country. We must not forget them, and, WE DO NOT! WE REMEMBER. With every step of the Honor Guard at the Tomb of the Unknown Soldier. WE REMEMBER. With every drumbeat on the Fourth of July.

When we Pledge Allegiance to the Flag of the United States of America, WE REMEMBER. At the sound of Reveille, WE REMEMBER. As the last lingering note of Taps resounds in the distance, WE REMEMBER.

In REMEMBERING today, we dedicate this Blue Star Marker to the honor and glory of all those men and women who have served, are now serving, and will serve in the Armed Forces of this great Nation.

It is with pride that the National Garden Clubs, Inc. joins with to perpetuate our Blue Star Memorial Marker Program with this Marker that stands as a symbol for

DEDICATION FOR GOLD STAR FAMILIES MEMORIAL MARKERS
We are here today to honor our Gold Star Families. While their Armed Forces Family Members were serving our country, their loved ones made the ultimate sacrifice. As a result, their survivors live daily lives with the pain of this sacrifice.

Their Mission is to offer honor, hope and healing through remembering their fallen heroes by coming together and sharing their pain and sorrow, to offer each other support and understanding, and to continue to live, not just exist, and navigate their lives in today’s world.

Gold Star Families endeavor to provide an atmosphere of emotional and psychological conduit for healing. These families are committed to educating others on how to respond, properly, when meeting someone who has lost a loved one in service to our country.

Today, let us remember the Gold Star families whose children will never know their father or mother, aunt or uncle; or the husband who will never hold their newborn child; and the parents who will never see their sons and daughters again.

WE MUST REMEMBER.

As we remember today, we dedicate this Gold Star Families Memorial Marker to honor all our Armed Forces of America families, whose loved one made the ultimate sacrifice defending the United States of America.

It is with pride and appreciation that the National Garden Clubs, Inc. joins with Gold Star Families, Garden Club and the State of

Meeting Date: October 22, 2024
Staff Report No. 24-CA-007
Honorable Mayor and Members of the Hermosa Beach City Council ADOPTION OF ORDINANCE NO. 24-1482 TO AMEND VARIOUS SECTIONS OF

THE HERMOSA BEACH MUNICIPAL CODE TO UPDATE THE TITLE AND ROLE OF

CERTAIN CITY PERSONNEL
CEQA: DETERMINING THE ORDINANCE IS NOT A PROJECT UNDER THE

CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA)
(City Attorney Patrick Donegan)
Recommended Action:

Staff recommends City Council:

1. Waive the full second reading and adopt by title only Ordinance No. 1482 of the City of Hermosa Beach, California, amending various sections of the Hermosa Beach Municipal Code to update the title and role of certain city personnel and determine that the ordinance is not a project under CEQA (Attachment 1); and

2. Direct the City Clerk to print and publish a summary ordinance in a newspaper of general circulation within 15 days following adoption and post a copy on the City’s bulletin for 30 days.

Executive Summary:

The creation of a new department, Administrative Services, and department head, Administrative Services Director, necessitates some amendments to the Hermosa Beach Municipal Code (“HBMC”) to accurately reflect the new titles and responsibilities for City personnel. Specifically, the duties and responsibilities in the HBMC allocated to the Director of Finance are being transferred to the Administrative Services Director. The City Council introduced on first reading and waived full reading of the ordinance at its September 24, 2024 meeting.

Background:

In its ongoing efforts to improve efficiency and better serve its residents and visitors, the City created the Administrative Services Department through the FY 2024–25 budget, by merging the former departments of Finance and Human Resources. Thus, the new director of this department—the Administrative Services Director—is now responsible for, among other things, the duties and responsibilities of overseeing the finance, personnel, and risk management functions of the City. The Director of Finance position was replaced with the new title and was phased out with the adoption of the Fiscal Year 2024–25

budget. At its September 24, 2024 meeting the City Council introduce and waived full reading of the ordinance.

Past Council Actions
Meeting Date Description
September 24, 2024 Council introduced on first reading and waived full reading of an ordinance amending the Hermosa Beach Municipal Code
to accurately reflect the new titles and responsibilities for Administrative Services Director.

Discussion:

There are various provisions in the Hermosa Beach Municipal Code that discuss the City’s Director of Finance and prescribe certain, but not all, of the duties of the Director of Finance. In order to align with the new duties and responsibilities of the Administrative Services Department and the Administrative Service Director, amendments to the HBMC are required to accurately reflect the duties and responsibilities of City personnel.

Specifically, the following HBMC sections are being amended in Attachment 1 to change all references to the “director of finance” to the “administrative services director”:
 HBMC § 2.16.020
 HBMC § 2.16.030
 HBMC § 2.16.040

Staff Report No. 24-AS-039
Honorable Mayor and Members of the Hermosa Beach City Council SIDE LETTER TO THE GENERAL AND SUPERVISORY EMPLOYEES’

MEMORANDUM OF UNDERSTANDING
(Interim Human Resources Manager Cynthia Stafford)
Recommended Action:

Staff recommends City Council approve the Resolution and Side Letter to the General and Supervisory Employees’ Memorandum of Understanding (Attachments 1 and 2).

Executive Summary:

The City of Hermosa Beach periodically needs to amend a Memorandum of Understanding (MOU) to ensure the document is continuing to meet the needs of the City and its employees. In this case, the City added a premium pay for a Public Works Inspector position to appropriately compensate the incumbent for obtaining a Penal Code 832(a) certification following completion of an introductory training course prescribed by the Commission on Peace Officer Standards and Training. This certification is required to issue citations under the City’s Municipal Code. The City met and conferred with the General and Supervisory Employees on this addition and reached agreement.

Background:

The Meyers-Milias Brown Act (MMBA) mandates that local public agencies negotiate with their respective bargaining units on matters concerning wages, hours, and working conditions. The Current MOU for the affected Bargaining Unit is effective from July 1, 2022, through June 30, 2025.

The MMBA allows agencies and the recognized employee associations to make mutuallyagreed upon adjustments to the MOU through side letters. These side letters address emerging issues without altering the core provisions of the existing MOU, provided the MOU does not include a "zipper clause."1
Through labor negotiations, the City strives to maintain competitive wages, hours, and working conditions in a high-cost geographic labor market ensuring the ability to retain and attract a high-quality workforce that delivers a wide range of services to the

Staff Report No. 24-CMO-048
Honorable Mayor and Members of the Hermosa Beach City Council INFORMATIONAL UPDATE ON CITY’S BROADCAST SYSTEM, CABLE

FRANCHISES, AND STREAMING OPTIONS FOR PUBLIC MEETINGS
(City Manager Suja Lowenthal and City Clerk Myra Maravilla) Recommended Action:

Staff recommends City Council receive and file the following informational update on the City’s broadcast system, cable franchises, and streaming options for public meetings.

Executive Summary:

At the October 8, 2024 City Council meeting, Mayor Pro Tem Seamann requested, and Mayor Francois supported, directing staff to return with an information item regarding the City’s broadcast system, cable franchises, and streaming options for public meetings.

This item outlines system upgrades, franchises, and current streaming options for public meetings.

A comprehensive upgrade of the Council Chambers Audiovisual and Broadcast System was completed in 2020 (CIP 672). The original design and scope (Attachment 1) of the upgrade project did not anticipate the impacts of the COVID-19 Pandemic, which necessitated fully virtual or hybrid public meetings. Since then, ongoing improvements to the Audiovisual and Broadcast System have enabled the City to support hybrid meetings with multiple streaming options for live and archived viewing. Prior to these upgrades, meetings could only be viewed in person or via Spectrum Channel 8 or Frontier Channel

31. Background:

The Digital Infrastructure and Video Competition Act of 2006 (DIVCA) shifted video franchising authority from local governments to the California Public Utilities Commission (CPUC), which now oversees state video franchises. Spectrum and Frontier currently hold state video franchises and provide cable services to Hermosa Beach.

The City's Spectrum broadcasting equipment has reached its end of life and requires an upgrade to continue providing PEG (Public, Educational, & Government) programming on Channel 8. The City has been collaborating with Spectrum to install fiber technology that will enable high-definition broadcasts. While this project is ongoing, it is expected to

Page 525 of 669 ends

City of Hermosa Beach | Page 2 of 7
take several months to complete. City staff is working with a Spectrum project manager to expedite the process (Attachment 7).

Current Streaming Options
Residents currently have several options to view City Council meetings, both live and archived:
 Zoom: Live streaming only.
 City Website: Available live and on replay through the 24/7 City Cable Channel or the eScribe platform located on the Agendas/Minutes/Videos page.  City YouTube Channel: Available live and on replay.
 REFLECT+: A streaming application provided through Cablecast that offers both live and replay options on various platforms, including iOS, Android, AppleTV, Amazon Fire, and Roku. Broadcasting Challenges and Coordination
Broadcasting public meetings to PEG channels involves the integration of the City’s audiovisual equipment with technology provided by cable companies. Successful broadcasts require coordination between the City’s Information Technology team, Western Audiovisual, Pegasus Studios, and City staff. In the event of technical interruptions, staff collaborates with all relevant teams to diagnose and resolve the issue to ensure seamless future broadcasts.

This update outlines the City’s efforts to maintain and enhance its broadcast capabilities, ensuring that public meetings remain accessible to all residents via multiple viewing platforms.

Cable/Video Franchises
Past Council Actions
Meeting Date Description
January 12, 2021 City Council waived first reading and introduced an ordinance repealing and replacing Chapter 5.16 relating to cable/video service franchises.

January 26, 2021 City Council waived full reading and adopted by title Ordinance No. 21-1424 repealing and replacing Chapter

5.16 relating to cable/video service franchises.

In January 2021, City Council adopted Ordinance No. 21-1424 (Attachment 6) repealing provisions related to local franchising that were no longer applicable to any cable operator and implemented and enforced its local authority preserved under the Digital Infrastructure and Video Competition Act of 2006 (DIVCA).

DIVCA went into effect on January 1, 2007, creating a new regulatory regime for state video franchising, essentially shifting franchising authority away from local governments to the California Public Utilities Commission (CPUC). Both Spectrum and Frontier hold state video franchises. While DIVCA shifts much of the regulatory authority over video providers to the CPUC, it does preserve some local government regulatory authority. For example, DIVCA allows local authorities: (i) to continue to collect franchise fees subject to a 5 percent cap; (ii) to collect PEG fees subject to certain limitations; (iii) to enforce customer service standards imposed under state and federal law; and (iv) to continue to impose right-of-way management and permitting requirements, subject to certain restrictions imposed by DIVCA.

City of Hermosa Beach | Page 4 of 7
Ordinance No. 21-1424 provides that all state franchise holders shall pay PEG fees in the amount of 1 percent of gross revenues. The PEG fees collected by the City—$14,244 in 2019-2020 and $10,444 in 2018-2019—were used for the Council Chambers AudioVisual Improvements.

Frontier (formerly Verizon)—Hermosa Beach PEG Channel 31 2006 Obtained 15-year local cable franchise from City to serve Hermosa Beach residents
2007 Obtained state franchise from CPUC covering residents in some other cities
2017 Renewed its state franchise for another 10-year term to March 8, 2027
September 15, 2020 Submitted application to CPUC to amend its state franchise to include Hermosa Beach, and 15 other cities
November 5, 2020 CPUC issued an amended state franchise to Frontier Spectrum (formerly Time Warner Cable) – Hermosa Beach PEG Channel 8 2007 Obtained a state franchise from CPUC
March 23, 2009 Amended its state franchise to include Hermosa Beach, when its local cable franchise with the City expired
2018 Renewed its state franchise for another 10-year term to January 2, 2028
Spectrum Equipment Upgrade
Past Council Actions
Meeting Date Description
June 11, 2024 City Council approved updating Spectrum equipment as part of the Fiscal Year 2024–25 budget adoption
The City’s current Spectrum equipment and technology are considered end of life and must be updated to continue PEG (Public, Educational, & Government) channel 8 service to Hermosa Beach residents. At its June 11, 2024 meeting, City Council approved updating the Spectrum equipment as part of the Fiscal Year 2024–25 budget adoption.

Project Overview: 13920141 (Attachment 7)
Service: High Definition (HD)—PEG Channel
Monthly Recurring Charge: $636
Non-Recurring Charge: $6,335
Term: 60 Months
Collected PEG fees can be applied towards capital expenditures related to improving broadcast of PEG channels but cannot be applied to operating costs according to DIVCA

law. PEG funds have been appropriated to cover the capital (non-recurring) costs for this project.

Although the City team has been working directly with Spectrum to upgrade its system to install fiber which would allow for high definition, the completion of this project is still months away. Staff is working with a Spectrum project manager to expedite implementation as soon as possible.

Construction is pending aerial pole permits from Frontier. Permit-approval is a state regulated process, and, unfortunately, Spectrum has little to no control over the timeline.

All required engineering work, including Circuit Design and Video Design, has been completed; and the encoder equipment to be installed at the City has been received. As soon as construction is completed, the encoder will be scheduled for installation.

Construction start date depends on when Spectrum obtains the permits. Spectrum expects construction to conclude by end of November 2024, barring any delays in acquiring required permits.

Once the encoder is installed, and a video-feed originated at the City passes a soak test (three days interval), the next and final step is Channel Build and go-live. This step has a longer time requirement, greater than 100 days. The current timelines projected point to a first quarter of 2025 launch date.

Recent interruptions to broadcasts and technical concerns:
 Issue: SCE power outages
Recommendation: Add uninterruptible power supply/backup battery to the audiovisual room
Consideration: Lack of space in audiovisual room for current equipment.  Issue: Overheating of equipment due to lack of direct air flow in the audiovisual room. The room frequently reaches temperatures in the 90’s unless doors are kept open, the Council Chambers A/C temperature is set low, and several fans are on in the room.

Recommendation: Upgrade RAM on laptops and install separate AC unit or AC split system in the audiovisual room. Public Works recommends that all data rooms should have their own separate AC split system since the equipment requires colder air than the rest of the Council Chambers.

Consideration: The approximate dollar amount for a separate AC split system in the audiovisual room is approximately $16,000. Staff will solicit additional quotes.  Issue: Laptop default display settings cause screen to sleep and go dark during meeting
Resolved: Laptop display settings have been changed to never sleep.  Issue: Laptop auto-restarts due to Microsoft updates occurring during meeting Resolved: Laptops are to remain on at all times to allow for scheduled Network patches to check for any needed Microsoft updates Friday–Sunday. Netrix Computer Support Technician, Robert Rodriguez, also checks for updates every Monday–Thursday morning. He is available on-call outside these hours for emergencies.

General Plan Consistency:

This report and associated recommendation have been evaluated for their consistency with the City’s General Plan. Relevant Policies are listed below:

Governance Element
Goal 1. A high degree of transparency and integrity in the decision-making process.

Policies:

Page 530 of 669 ends

City of Hermosa Beach | Page 7 of 7
 1.1 Open meetings. Maintain the community’s trust by holding meetings in which decisions are being made, that are open and available for all community members to attend, participate, or view remotely.

Infrastructure Element
Goal 7. A reliable and efficient telecommunications network available to every resident, business, and institution.

Policy:
 7.1 Accommodate future technologies. Encourage telecommunications providers and building developments to size infrastructure and facilities to accommodate future expansion and changes in the need for technology.

Fiscal Impact:

City Council approved updating the Spectrum equipment as part of the Fiscal Year 2024– 25 budget adoption. Ordinance No. 21-1424 provides that all state franchise holders shall pay PEG fees in the amount of 1 percent of gross revenues. The PEG fund balance as of 2023–24 is $194,039. Collected PEG fees can be applied towards capital expenditures related to improving broadcast of PEG channels but cannot be applied to operating costs according to DIVCA law. PEG funds in the amount of $6,335 for the Spectrum upgrade project capital (non-recurring) costs are currently budgeted.

Installing a separate AC unit or a split system in the Council Chambers Audiovisual room to prevent overheating and prolong the equipment lifespan would cost approximately $16,000. Staff will solicit additional quotes.

12 INDEMNIFICATION. CONSULTANT shall indemnify, defend with counsel approved by CITY, and hold harmless CITY, its officers, officials, and employees from and against all liability, loss, damage, expense, and cost (including without limitation reasonable attorneys fees, expert fees and all other costs and fees of litigation) of every nature arising out of or in connection with CONSULTANT's performance of work hereunder or its failure to comply with any of its obligations contained in this AGREEMENT, regardless of CITY’S passive negligence, but excepting such loss or damage which is caused by the sole active negligence or willful misconduct of the CITY. Should CITY in its sole discretion find CONSULTANT’S legal counsel unacceptable, then CONSULTANT shall reimburse the CITY its costs of defense, including without limitation reasonable attorneys fees, expert fees and all other costs and fees of litigation. The CONSULTANT shall promptly pay any final judgment rendered against the CITY (and its officers, officials, and employees)covered by this indemnity obligation. It is expressly understood and agreed that the foregoing provisions are intended to be as broad and inclusive as is permitted by the law of the State of California and will survive termination of this Agreement.

The requirements as to the types and limits of insurance coverage to be maintained by CONSULTANT as required by Section 17, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by CONSULTANT pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification.

Notwithstanding anything in this Agreement to the contrary, no provision of Section 12 shall be deemed effective until such time as CONSULTANT has been determined by a court or other tribunal of competent jurisdiction in a final judgment or order to have committed an error or act of omission and a claim against CONSULTANT has been proven. In addition, nothing contained herein shall be deemed to extend the statute of limitations for CONSULTANT’S professional negligence or willful misconduct. Finally, to the extent any provision of this Agreement has the effect of eliminating or otherwise adversely affecting CONSULTANT’S professional liability insurance coverage, such provision shall not be enforceable. 13 ASSIGNABILITY. This Agreement is for CONSULTANT’s professional services. CONSULTANT’s attempts to assign the benefits or burdens of this Agreement without CITY’s written approval are prohibited and will be null and void.

CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only.
15 AUDIT OF RECORDS. CONSULTANT agrees that CITY, or designee, has the right to review, obtain, and copy all records pertaining to the performance of this Agreement. CONSULTANT agrees to provide CITY, or designee, with any relevant information requested and will permit CITY, or designee, access to its premises, upon reasonable notice, during normal business hours for the purpose of interviewing employees and inspecting and copying such books, records, accounts, and other material that may be relevant to a matter under investigation for the purpose of determining compliance with this Agreement. maintain such records for a period of three (3) years following final payment under this Agreement.

CONSULTANT will keep all books, records, accounts and documents pertaining to this Agreement separate from other activities unrelated to this Agreement. 16 CORRECTIVE MEASURES. CONSULTANT will promptly implement any corrective measures required by CITY regarding the requirements and obligations of this Agreement. CONSULTANT will be given a reasonable amount of time as determined by the City to implement said corrective measures. Failure of CONSULTANT to implement required corrective measures shall result in immediate termination of this Agreement.
17 INSURANCE REQUIREMENTS.
a. The CONSULTANT, at the CONSULTANT’s own cost and expense, shall procure and maintain, for the duration of the contract, the following insurance policies:
i. Workers Compensation Insurance as required by law. The Consultant shall require all subcontractors similarly to provide such compensation insurance for their respective employees. Any notice of cancellation or non-renewal of all Workers’ Compensation policies must be received by the CITY at least thirty (30) days prior to such change. The insurer shall agree to waive all rights of subrogation against the CITY, its officers, agents, and employeesfor losses arising from work performed by the CONSULTANT for City.
ii. General Liability Coverage. The CONSULTANT shall maintain commercial general liability insurance in an amount of not less than two million dollars ($2,000,000) per occurrence for bodily injury, personal injury, and property damage. If a commercial general liability insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this Agreement or the general aggregate limit shall be at least twice the required occurrence limit. iii. Professional Liability Coverage. The CONSULTANT shall maintain professional errors and omissions liability insurance for protection against claims alleging negligent acts, errors, or omissions which may arise from the CONSULTANT’S operations under this Agreement, whether such operations be by the CONSULTANT or by its employees, subcontractors, or subconsultants. The amount of this insurance shall not be less than one million dollars ($1,000,000) on a claims-made annual aggregate basis, or a combined single-limit-peroccurrence basis. When coverage is provided on a “claims made basis,” CONSULTANT will continue to renew the insurance for a period of three (3) years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect.
b. Endorsements. Each general liability and professional liability insurance policy shall be issued by a financially responsible insurance company or companies admitted and authorized to do business in the State of California, or which is approved in writing by City, and shall be endorsed as follows. CONSULTANT also agrees to require all contractors, and subcontractors to do likewise.
i. “The CITY, its elected or appointed officers, officials, employees, and agents are to be covered as additional insureds with respect to liability arising out of work

Page 628 of 669 ends
Page 5 of 15 ends

performed by or on behalf of the CONSULTANT, including materials, parts, or equipment furnished in connection with such work or operations.” ii. This policy shall be considered primary insurance as respects the CITY, its elected or appointed officers, officials, employees, and agents. Any insurance maintained by the CITY, including any self-insured retention the CITY may have, shall be considered excess insurance only and shall not contribute with this policy.
iii. This insurance shall act for each insured and additional insured as though a separate policy had been written for each, except with respect to the limits of liability of the insuring company.
iv. The insurer waives all rights of subrogation against the CITY, its elected or appointed officers, officials, employees, or agents.
v. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the City, its elected or appointed officers, officials, employees, or agents.
vi. The insurance provided by this policy shall not be suspended, voided, canceled, or reduced in coverage or in limits except after thirty (30) days written notice has been received by the CITY.
c. CONSULTANT agrees to provide immediate notice to CITY of any claim or loss against CONSULTANT arising out of the work performed under this agreement. CITY assumes no obligation or liability by such notice, but has the right (but not the duty) to monitor the handling of any such claim or claims if they are likely to involve CITY. d. Any deductibles or self-insured retentions must be declared to and approved by the CITY. At the CITY’s option, the CONSULTANT shall demonstrate financial capability for payment of such deductibles or self-insured retentions. e. The CONSULTANT shall provide certificates of insurance with original endorsements to the CITY as evidence of the insurance coverage required herein. Certificates of such insurance shall be filed with the CITY on or before commencement of performance of this Agreement. Current certification of insurance shall be kept on file with the CITY at all times during the term of this Agreement.
f. Failure on the part of the CONSULTANT to procure or maintain required insurance shall constitute a material breach of contract under which the CITY may terminate this Agreement pursuant to Section 11 above.
g. The commercial general liability policy required by this Agreement shall allow City, as additional insured, to satisfy the self-insured retention (“SIR”) and/or deductible of the policy in lieu of the Consultant (as the named insured) should Consultant fail to pay the SIR or deductible requirements. The amount of the SIR or deductible shall be subject to the approval of the City Attorney and the Finance Director. Consultant understands and agrees that satisfaction of this requirement is an express condition precedent to the effectiveness of this Agreement. Failure by Consultant as primary insured to pay its SIR or deductible constitutes a material breach of this Agreement. Should City pay the SIR or deductible on Consultant’s behalf upon the Consultant’s failure or refusal to do so in order to secure defense and indemnification as an additional insured under the policy, City may include such amounts as damages in any action against Consultant for breach of this Agreement in addition to any other damages incurred by City due to the breach.
18 USE OF OTHER CONSULTANTS. CONSULTANT must obtain CITY’s prior written approval to use any sub-consultants while performing any portion of this Agreement. Such approval must

Page 629 of 669 ends
Page 6 of 15 ends

include approval of the proposed consultant and the terms of compensation. 19 FINAL PAYMENT ACCEPTANCE CONSTITUTES RELEASE. The acceptance by the CONSULTANT of the final payment made under this Agreement shall operate as and be a release of the CITY from all claims and liabilities for compensation to the CONSULTANT for anything done, furnished or relating to the CONSULTANT’S work or services. Acceptance of payment shall be any negotiation of the CITY’S check or the failure to make a written extra compensation claim within ten (10) calendar days of the receipt of that check. However, approval or payment by the CITY shall not constitute, nor be deemed, a release of the responsibility and liability of the CONSULTANT, its employees, sub-consultants and agents for the accuracy and competency of the information provided and/or work performed; nor shall such approval or payment be deemed to be an assumption of such responsibility or liability by the CITY for any defect or error in the work prepared by the Consultant, its employees, sub-consultants and agents. 20 CORRECTIONS. In addition to the above indemnification obligations, the CONSULTANT shall correct, at its expense, all errors in the work which may be disclosed during the City’s review of the Consultant’s report or plans. Should the Consultant fail to make such correction in a reasonably timely manner, such correction shall be made by the CITY, and the cost thereof shall be charged to the CONSULTANT. In addition to all other available remedies, the City may deduct the cost of such correction from any retention amount held by the City or may withhold payment otherwise owed CONSULTANT under this Agreement up to the amount of the cost of correction.
21 NON-APPROPRIATION OF FUNDS. Payments to be made to CONSULTANT by CITY for services preformed within the current fiscal year are within the current fiscal budget and within an available, unexhausted fund. In the event that CITY does not appropriate sufficient funds for payment of CONSULTANT’S services beyond the current fiscal year, the Agreement shall cover payment for CONSULTANT’S services only to the conclusion of the last fiscal year in which CITY appropriates sufficient funds and shall automatically terminate at the conclusion of such fiscal year.

Meeting Date: October 22, 2024
Staff Report No. 24-CMO-049
Honorable Mayor and Members of the Hermosa Beach City Council

TENTATIVE FUTURE AGENDA ITEMS
Attached is the current list of tentative future agenda items for Council’s information.

The tentative future agenda provides a preliminary preview of topics planned for discussion at upcoming City Council meetings over a specified period, typically the next three months. The items listed in this document are "tentatively" scheduled, meaning they are subject to change and should not be considered final until the official agenda for each meeting is posted. This document is a work in progress and offers a glimpse into the City's priorities and planned discussions, allowing stakeholders to anticipate and prepare for potential topics of interest.

Key Features of a Tentative Future Agenda Document:

1. Tentative Schedule: Each agenda item is assigned a tentative date, indicating when it is expected to be discussed. These dates are provisional and may be adjusted based on various factors.

2. Work in Progress: The document is continuously updated as new items emerge, priorities shift, or additional information becomes available. This flexibility ensures City Council can address the most pressing issues in a timely manner.

3. Transparency and Communication: By publishing a tentative future agenda, the City aims to maintain transparency with residents, businesses, and other stakeholders. It helps the community stay informed about potential topics of discussion and provides an opportunity for public engagement and preparation.

4. Fluid Scheduling: The scheduling of agenda items is fluid until the official agenda for a specific City Council meeting is posted. Changes can occur due to various reasons, such as new developments, additional preparatory work required, or changes in workload or priority.
