Terms and Conditions (continued)
capitalized terms have the same meanings as in your Account Agreement. If you receive any other communication from any source other than Schwab which purports to represent your holdings at Schwab (including balances held at a Depository Institution) you should verify its content with this statement.
Accrued Income: Accrued Income is the sum of the total accrued interest and/or accrued dividends on positions held in your Account, but the interest and/or dividends have not been received into your Account.
Schwab makes no representation that the amounts shown (or any other amount) will be received. Accrued amounts are not covered by SIPC account protection until actually received and held in the Account. AIP (Automatic Investment Plan) Customers: Schwab receives remuneration in connection with certain transactions effected through Schwab. If you participate in a systematic investment program through Schwab, the additional information normally detailed on a trade confirmation will be provided upon request.
Average Daily Balance: Average daily composite of all cash balances that earn interest and all loans from Schwab that are charged interest. Bank Sweep and Bank Sweep for Benefit Plans Features: Schwab acts as your agent and custodian in establishing and maintaining your Deposit Account(s) as a feature of your brokerage Account(s). Deposit accounts held through these bank sweep features constitute direct obligations of one or more FDIC insured banks ("Program Banks") that are not obligations of Schwab.
Funds swept to Program Banks are eligible for deposit insurance from the FDIC up to the applicable limits for each bank for funds held in the same insurable capacity. The balance in the Deposit Accounts can be withdrawn on your order and the proceeds returned to your brokerage Account or remitted to you as provided in your Account Agreement. For information on FDIC insurance and its limits, as well as other important disclosures about the bank sweep feature(s) in your Account(s), please refer to the Cash Features Disclosure Statement available online or from a Schwab representative. Cash: Any Free Credit Balance owed by us to you payable upon demand which, although accounted for on our books of record, is not segregated and may be used in the conduct of this firm's business. Dividend Reinvestment Customers:
Dividend reinvestment transactions were effected by Schwab acting as a principal for its own account, except for the reinvestment of Schwab dividends, for which an independent broker-dealer acted as the buying agent. Further information on these transactions will be furnished upon written request. Gain (or Loss): Unrealized Gain or (Loss) and Realized Gain or (Loss) sections ("Gain/Loss Section(s)") contain a gain or a loss summary of your Account. This information has been provided on this statement at the request of your Advisor, if applicable. This information is not a solicitation or a recommendation to buy or sell. Schwab does not provide tax advice and encourages you to consult with your tax professional. Please view the Cost Basis Disclosure Statement for additional information on how gain (or loss) is calculated and how Schwab reports adjusted cost basis information to the IRS.
Interest: For the Schwab One Interest, Bank Sweep, and Bank Sweep for Benefit Plans features, interest is paid for a period that may differ from the Statement Period. Balances include interest paid as indicated on your statement by Schwab or one or more of its Program Banks. These balances do not include interest that may have accrued during the Statement Period after interest is paid. The interest paid may include interest that accrued in the prior Statement Period. For the Schwab One Interest feature, interest accrues daily from the second-to-last business day of the prior month and is posted on the second-to-last business day of the current month. For the Bank Sweep and Bank Sweep for Benefit Plans features, interest accrues daily from the 16th day of the prior month and is credited/posted on the first business day after the 15th of the current month. If, on any given day, the interest that Schwab calculates for the Free Credit Balances in the Schwab One Interest feature in your brokerage Account is less than $.005, you will not accrue any interest on that day. For balances held at banks affiliated with Schwab in the Bank Sweep and Bank Sweep for Benefit Plans features, interest will accrue even if the amount is less than $.005. Margin Account Customers:
This is a combined statement of your margin account and special memorandum account maintained for you under Section 220.5 of Regulation T issued by the Board of Governors of the Federal Reserve System. The permanent record of the separate account as required by Regulation T is available for your inspection.
Securities purchased on margin are Schwab's collateral for the loan to you. It is important that you fully understand the risks involved in trading securities on margin. These risks include: 1) You can lose more funds than you deposit in the margin account; 2) Schwab can force the sale of securities or other assets in any of your account(s) to maintain the required account equity without contacting you; 3) You are not entitled to choose which assets are liquidated nor are you entitled to an extension of time on a margin call; 4) Schwab can increase its "house" maintenance margin requirements at any time without advance written notice to you. Market Price: The most recent price evaluation available to Schwab on the last business day of the report period, normally the last trade price or bid as of market close. Unpriced securities denote that no market evaluation update is currently available. Price evaluations are obtained from outside parties.
Schwab shall have no responsibility for the accuracy or timeliness of any such valuations. Assets Not Held at Schwab are not held in your Account or covered by the Account's SIPC account protection and are not otherwise in Schwab's custody and are being provided as a courtesy to you. Information on Assets Not Held at Schwab, including but not limited to valuations, is reported solely based on information you provide to Schwab. Schwab can neither validate nor certify the existence of Assets Not Held at Schwab or the accuracy, completeness or timeliness of the information about Assets Not Held at Schwab, whether provided by you or otherwise. Descriptions of Assets Not Held at Schwab may be abbreviated or truncated.
Some securities, especially thinly traded equities in the OTC market or foreign markets, may not report the most current price and are indicated as Stale Priced. Certain Limited Partnerships (direct participation programs) and unlisted Real Estate Investment Trust (REIT) securities, for which you may see a value on your monthly Account statement that reflects the issuer's appraised estimated value, are not listed on a national securities exchange, and are generally illiquid. Even if you are able to sell such securities, the price received may be less than the per share appraised estimated value provided in the account statement.
Market Value: The Market Value is computed by multiplying the Market Price by the Quantity of Shares.
This is the dollar value of your present holdings in your specified Schwab Account or a summary of the Market Value summed over multiple accounts. Non-Publicly Traded Securities: All assets shown on this statement, other than certain direct investments which may be held by a third party, are held in your Account.
Values of certain Non-Publicly Traded Securities may be furnished by a third party as provided by Schwab's Account Agreement. Schwab shall have no responsibility for the accuracy or timeliness of such valuations.
The Securities Investor Protection Corporation (SIPC) does not cover many limited partnership interests.
Schwab Sweep Money Funds: Includes the primary money market funds into which Free Credit Balances may be automatically invested pursuant to your Account Agreement. Schwab or an affiliate acts and receives compensation as the Investment Advisor, Shareholder Service Agent and Distributor for the Schwab Sweep Money Funds. The amount of such compensation is disclosed in the prospectus. The yield information for Schwab Sweep Money Funds is the current 7-day yield as of the statement period. Yields vary. If on any given day, the accrued daily dividend for your selected sweep money fund as calculated for your account is less than ½ of 1 cent ($0.005), your account will not earn a dividend for that day. In addition, if you do not accrue at least 1 daily dividend of $0.01 during a pay period, you will not receive a money market dividend for that period. Schwab and the Schwab Sweep Money Funds investment advisor may be voluntarily reducing a portion of a Schwab Sweep Money Fund's expenses. Without these reductions, yields would have been lower. Securities Products and Services: Securities products and services are offered by Charles Schwab & Co., Inc., Member SIPC. RE: Ongoing Landline Service Disruptions and AT&T’s Failure to Meet Repair Standards Dear Ms. Santana,
We are writing to express our concern regarding a series of incidents that have cut off landline service for our city and raise broader questions about AT&T’s compliance with its legal obligations as a carrier providing traditional telephone service to maintain, repair, and provide service in accordance with state-mandated timelines, including the requirement to resolve 90% of service repair tickets within 24 hours, (excluding Sundays, federal holidays, and delays beyond the carrier’s control, such as catastrophic events).
On Father’s Day, an incident occurred in Los Angeles County that impacted landline service in our city and some surrounding areas. AT&T initially communicated that repairs would be completed within a few days, then a week and then finally by Friday, June 27. However, on that very date, another “incident" occurred at a totally different location, just as services were promised for restoration. This second incident affected even more of our residents, despite the suggested location being geographically distinct from the first, not in or near to our city; and despite not being able to find any other communities outside of ours impacted by this second incident. As of June 27, we understand AT&T was still unable to find or share the exact location of this second incident.
The revised repair estimate is now July 31, 2025, over one month away as we head into wildfire season. This is completely unacceptable.
We have been told by AT&T that these incidents involve copper theft out of manholes, indeed that the second incident was likely to occur was predicted by AT&T staff on Father’s Day.
Obviously, copper theft is not a new phenomenon and AT&T should be prepared for it to happen. It is worth noting that other communities in Los Angeles County have been without landlines after simple copper theft for over 4 months, as widely reported in the media. We are deeply concerned by these delays, as well as by what appears to be a troubling sequence of events in terms of timing which inevitably raises questions from our residents about the adequacy of AT&T’s compliance, preparation and responsiveness when it comes to repairs,
essential to public safety, especially in communities vulnerable to power and cellular outages, wildfires and natural disasters.
We urge AT&T to take all reasonable steps to comply with its legal obligations to its landline customers, including:
• Maintaining a sufficient inventory of parts: including, but not limited to, copper wiring, cables, and DGP cards — is essential for timely repairs. We are repeatedly informed that cables are out of stock, DGP cards are “hard to come by,” or copper wire “can’t be found.” However, the production of landline components is neither obsolete nor unfeasible. It simply requires a consistent commitment to maintain supplier relationships, procure necessary parts, and stock components reasonably anticipated for repair needs.
• Employing and training technicians experienced in legacy infrastructure repairs: We are told that there are few technicians who know how to repair copper landlines. This is hardly an acceptable excuse. So long as AT&T uses copper infrastructure to serve its customers, AT&T must invest in training and retaining staff with expertise needed to service this essential infrastructure.
• Ensuring that customer service systems, including repair page websites, are functional with proper information during outages: During these outages, customers have been unable to reach appropriate assistance. Operators are often unfamiliar with the repair process or appear confused; no repair tickets are issued, and while callbacks are sometimes offered, they are typically limited to mobile numbers only. Billing credits have been difficult to obtain, and frustrated residents have turned to city staff as their primary point of contact for reporting issues.
In addition, the service reporting website has been down, the chat feature is nonfunctional, and incorrect information is shown when residents enter their addresses, often indicating that all lines are working when they are not. According to reports on social media across the region, these problems have persisted for months.
Many of our residents increasingly feel that AT&T’s delays and difficulties could be part of a broader AT&T strategy to push customers away from landlines — a concern that we take seriously. Landline service remains the most reliable form of communication during our increasingly frequent power safety power shut off (PSPS) outages and climate related emergencies. In Hidden Hills, cell and fiber services are not yet consistently reliable or available.
Without AT&T’s landline services, many of our residents, including our seniors, are left without any form of communication, especially during ever-frequent cellular, power and internet outages. We understand that even in communities with strong cellular and VoIP options, residents across California are increasingly finding during Red Flag warnings, high winds, flooding, mudslides, and other natural disasters — hard wired copper landlines lines are
the only reliable form of communication especially for receiving emergency alerts and evacuation notices.
We acknowledge that maintaining copper infrastructure comes with costs, and we understand why AT&T may prefer newer technologies for this reason. However, it should not be an "eitheror" situation, and communities cannot accept a quiet retreat from obligations that remain legally and ethically in force.
We are eager to work collaboratively with AT&T to prevent further copper theft. We request a full accounting of all manholes that impact our city so that our regional law enforcement and private security can help protect this infrastructure as has been done successfully around the country. Additionally, please share what AT&T has employed in terms of commonsensical theftdeterrent techniques such as:
• Locking manhole covers
• Applying traceable paint or markings, black paint, etc. to copper wiring • Installing surveillance equipment near vulnerable manholes • Deploying alarm sensors that trigger cover tampering as well securing covers regularly. We’ve found manhole covers in our own city left open, unattended to, inviting tampering and theft.
• Coordinating with local law enforcement to identify vulnerable infrastructure and provide briefings to deputies and patrol officers. If AT&T has not reached out to local agencies to ensure their teams know what to look for and where, then a critical layer of prevention is being neglected.
We are aware that theft prevention measures have had positive results in deterring copper theft in other states and should be employed by AT&T California. Theft deterrence is a simple reality and responsibility of doing business in California especially for the last few years, even if you’re a homeowner or small business. It is a basic and necessary step, not an extraordinary one.
We remain ready to partner with AT&T in any reasonable way to ensure our city’s residents are not left vulnerable and remain committed to ensuring landline service continues in California. We appreciate your immediate attention to this matter and look forward to a timely restoration of service — and to receiving the manhole locations and updates about new procedures that will ensure this does not happen again.
Respectfully,
The City of Hidden Hills City Council

RE: Response to Concerns Regarding Landline Service Disruptions and Copper Theft Dear Members of the Hidden Hills City Council,
We acknowledge receipt of your correspondence dated July 1, 2025, regarding the recent landline service disruptions affecting the City of Hidden Hills. While service was fully restored July 3, AT&T appreciates the opportunity to respond to the concerns raised and to reaffirm our commitment to the safety, connectivity, and service reliability of the communities we serve.
We recognize the role that traditional landline service continues to play in ensuring public safety, particularly in areas susceptible to power outages, wildfires, and other natural disasters. Maintaining uninterrupted and high-quality service for customers is our top priority.
Theft and vandalism of critical communications infrastructure are serious matters that disrupt services for our customers, public safety, and the community at large. We’re actively working with local law enforcement as they are investigating to find those responsible for the copper theft incidents impacting traditional voice services.
Please find below a detailed summary of our ongoing efforts to prevent copper theft, restore service in Hidden Hills, and uphold our regulatory obligations.
1. Copper Theft Prevention Measures – National and California Initiatives AT&T has implemented a comprehensive, multi-pronged strategy to deter copper theft and safeguard our infrastructure. These measures are informed by industry best practices and tailored to address the evolving nature of this threat:
• Scope of the Challenge: Copper theft is a challenge impacting the entire telecom industry. Between June and December 2024, the telecommunications industry recorded nearly 6,000 incidents of copper theft and infrastructure vandalism nationwide. Of these, approximately 1,805 incidents occurred in California. • Manhole Security Enhancements: AT&T has deployed locking mechanisms on manhole covers in highrisk areas and is actively expanding this initiative throughout California, including Los Angeles County.
We also weld the manhole covers in extreme high-risk areas. • Traceable Marking and Paint: Copper wiring is increasingly treated with traceable paint and black coatings to deter illicit resale and facilitate recovery. • Surveillance and Sensor Technology: In select locations, we have installed surveillance cameras and tamper-detection sensors to monitor vulnerable infrastructure and alert response teams to unauthorized access.
• Law Enforcement Coordination: We maintain active partnerships with local and state law enforcement agencies as they investigate to find those responsible. o We support initiatives such as the City of Los Angeles Heavy Metal Task Force, which has led to multiple arrests and the recovery of stolen materials.
o In June, we worked with the California State Attorney General to issue a statewide bulletin to educate local public safety officials on increasing enforcement. o We have sent multiple letters to all recyclers in California to educate and make them aware of what AT&T’s copper looks like and remind them of state laws that purchasing stolen copper is illegal. o We collaborate with local law enforcement on operations to address metal recyclers who illegally purchase our cable.
o In 2024, AT&T filed the first civil lawsuit against a recycler in California who has a record of purchasing stolen copper.
• Public Incentives: In California, AT&T offers a reward of up to $20,000 for specific and detailed information that leads to the arrest and conviction of individuals involved in copper cable theft or the attempted sale or purchase of stolen copper across the state. The public should report any unmarked (non-AT&T) vehicles or individuals cutting and removing cables. Tipsters with information can remain confidential and should call local law enforcement and AT&T Global Security at (800) 807‐4205. • Industry Collaboration: We participate in national task forces and industry coalitions to share intelligence, develop deterrence strategies, and advocate for enhanced legal penalties for copper theft.
2. Service Restoration Efforts in Hidden Hills
We deeply regret the recent service interruptions and the inconvenience experienced by your residents. The incidents that occurred were the result of deliberate copper theft at two geographically distinct locations.
While the second incident occurred outside the immediate vicinity of Hidden Hills, it affected the same set of customers, thereby compounding the outage.
Our response has included the following actions:
• Deployment of Emergency Repair Crews: Technicians were promptly dispatched to assess the damage and initiate repairs. The complexity of the damage and the need for specialized copper components have extended the restoration timeline.
• Supply Chain Acceleration: We have expedited the procurement and delivery of copper cables and have prioritized the Hidden Hills area within our repair operations. o The use of copper cables is declining rapidly. The equipment that supports our copper network is harder to source, but we have the materials to perform the repairs. o We have strategized and implemented a balance between the copper shortage and ongoing thefts/vandalism and an innovative repair process.
o Repairing a copper network is complex which can extend restoration times depending on the extent and repetition of the copper theft and vandalism. • Technical Workforce Development: AT&T continues to invest in the retention of technicians with expertise in legacy copper infrastructure. We are reallocating experienced personnel to regions with urgent repair needs.
The Honorable City Council - City of Hidden Hills
July 10, 2025
• Customer Support Enhancements: Our goal is to provide exceptional service to all of our customers, and we apologize for any inconvenience. We acknowledge the challenges experienced by residents in accessing accurate service information. Our customer service systems, including online repair portals and call center protocols, are undergoing upgrades to improve transparency, responsiveness, and accessibility for landline customers.
3. Commitment to Reliable Voice Service and Public Safety AT&T remains steadfast in its commitment to maintaining reliable voice service. We fully recognize that in Hidden Hills landline infrastructure is used by some customers during Public Safety Power Shutoffs (PSPS) and other climate-related emergencies.
We categorically reject any suggestion that our service delays are intended to discourage landline use. Our top priority is to keep our customers connected no matter what technology they choose. In addition, our modernization efforts are guided by a dual commitment to technological advancement and the maintenance of legacy services.
4. Path Forward and Collaboration
We welcome the opportunity to collaborate with the City of Hidden Hills to enhance infrastructure security and service reliability. In one example, we met with Fresno County Supervisors, District Attorney and Sheriff to discuss theft in the Valley. Ultimately, the County passed a new ordinance addressing copper theft and we participated in a press conference to show our support for the County’s efforts.
We also propose convening a joint briefing with city staff and public safety officials to review our theft deterrence protocols and explore additional protective measures.
We appreciate your continued partnership and advocacy on behalf of your residents. Statewide collaboration to combat future thefts and vandalism will continue with the Attorney General, local law enforcement, local government, industry and community leaders.
AT&T is committed to keeping our customers connected and implementing long-term solutions that will prevent future incidents.
Respectfully,
Susan Santana

Contractor shall defend the Indemnitees in any action or actions filed in connection with any Claim with counsel of the Indemnitees’ choice, and shall pay all costs and expenses, including all attorneys’ fees and experts’ costs actually incurred in connection with such defense. Contractor shall reimburse the Indemnitees for any and all legal expenses and costs incurred by Indemnitees in connection therewith.
2) Contractor shall pay all required taxes on amounts paid to Contractor under this Agreement, and indemnify and hold City harmless from any and all taxes, assessments, penalties, and interest asserted against City by reason of the independent contractor relationship created by this Agreement. law regarding Contractor and Contractor’s employees. Contractor shall indemnify and hold City harmless from any failure of Contractor to comply with applicable workers’ compensation laws. City may offset against the amount of any fees due to Contractor under this Agreement any amount due to City from Contractor as a result of Contractor’s failure to promptly pay to City any reimbursement or indemnification arising under this subparagraph A.2).
3) Contractor shall obtain executed indemnity agreements with provisions identical to those in this Section from each and every subcontractor or any other person or entity involved by, for, with or on behalf of Contractor in the performance of this Agreement. If Contractor fails to obtain such indemnity obligations, Contractor shall be fully responsible and indemnify, hold harmless and defend the Indemnitees from and against any and all Liabilities at law or in equity, whether actual, alleged or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to the acts or omissions of Contractor’s subcontractor, its officers, agents, servants, employees, subcontractors, materialmen, contractors or their officers, agents, servants or employees (or any entity or individual that Contractor’s subcontractor shall bear the legal liability thereof) in the performance of this Agreement, including the Indemnitees’ active or passive negligence, except for Liabilities arising from the sole negligence or willful misconduct of the Indemnitees, as determined by court decision or by the agreement of the Parties.
b. Workers’ Compensation Acts not Limiting. Contractor’s indemnifications and obligations under this Section, or any other provision of this Contract, shall not be limited by the provisions of any workers’ compensation act or similar act.
Contractor expressly waives its statutory immunity under such statutes or laws as to City, its officers, agents, employees and volunteers. c. Insurance Requirements not Limiting. City does not, and shall not, waive any rights that it may possess against Contractor because of the acceptance by City, or the deposit with City, of any insurance policy or certificate required pursuant to this Agreement. The indemnities in this Section shall apply regardless of whether or not any insurance policies are determined to be applicable to the Liabilities, tax, assessment, penalty or interest asserted against City.

Sec. 15) or under the Cartwright Act (Chapter 2 (commencing with Section 16700) of Part 2 of Division 7 of the California Business and Professions Code) arising from purchases of goods, services, or materials pursuant to this Contract. This assignment shall be made and become effective at the time City tenders final payment to Contractor without further acknowledgment by the Parties.
15. OWNERSHIP OF DOCUMENTS AND WORK PRODUCT: All documents, plans, specifications, reports, photographs, images, video files and media created or developed by Contractor pursuant to this Contract (“Written Products”) shall be and remain the property of City without restriction or limitation upon its use, duplication or dissemination by City. All Written Products shall be considered “works made for hire,” and all Written Products and any and all intellectual property rights arising from their creation, including, but not limited to, all copyrights and other proprietary rights, shall be and remain the property of City without restriction or limitation upon their use, duplication or dissemination by City. Contractor shall not obtain or attempt to obtain copyright protection as to any Written Products.
Contractor hereby assigns to City all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in City pursuant to the paragraph directly above.

The policy must include contractual liability that has not been amended. Any endorsement restricting standard ISO “insured contract” language will not be accepted. If Contractor is a limited liability company, the commercial general liability coverage shall be amended so that Contractor and its managers, affiliates, employees, agents and other persons necessary or incidental to its operation are insured.
2. Automobile Liability Insurance at least as broad as Insurance Services Office form CA 00 01 covering bodily injury and property damage for all activities of Contractor arising out of or in connection with the Services to be performed under this Agreement including coverage for any owned, hired, non-owned or rented vehicle, in an amount not less than $1,000,000.00 combined single limit for each accident. If Contractor does not use any owned, non-owned or hired vehicles in the performance of Services under this Agreement, Contractor shall obtain a non-owned auto endorsement to the Commercial General Liability policy required under subparagraph A.1) of this Exhibit C.
3. Workers’ Compensation Insurance as required by the State of California and Employer’s Liability Insurance with limits of at least $1,000,000.00 per accident for bodily injury or disease. All insurance policies required under this Exhibit C shall be issued by an insurer authorized by the State of California to transact business of insurance with a rating of at least a B+;VII in the latest edition of Best's Insurance Guide or by an insurer acceptable to the City’s Risk Manager.
C. Evidence of Insurance. Contractor shall provide certificates of insurance to City as evidence of the insurance coverage required herein, along with a waiver of subrogation endorsement for workers’ compensation. Insurance certificates and endorsements must be approved by the City’s Risk Manager prior to commencement of performance. City reserves the right to require complete, certified copies of all required insurance policies, at any time.
D. Additional Insured Status. The commercial general and automobile liability policies shall provide or be endorsed to provide that the City and its officers, officials, employees, and agents, and volunteers shall be additional insureds under such policies. -2- 12100-0001/2116871v3.doc Approved for use 3/30/18
E. Primary and Non-Contributing. The insurance policies provided by Contractor shall apply on a primary non-contributing basis in relation to any other insurance or self-insurance available to City. Any insurance or self-insurance maintained by City, its officers, employees, agents or volunteers, shall be in excess of Contractor’s insurance and shall not contribute with it.
F. Contractor’s Waiver of Subrogation. The insurance policies provided by Contractor shall not prohibit Contractor and Contractor’s employees, agents or subcontractors from waiving the right of subrogation prior to a loss. Contractor hereby waives all rights of subrogation against City.
G. Self-insured Retentions. Any self-insured retentions must be declared to and approved by the City’s Risk Manager. The City reserves the right to require that self-insured retentions be eliminated, lowered, or replaced by a deductible. Self-insurance will not be considered to comply with these specifications unless approved by the City’s Risk Manager.
H. Cancellations or Modifications to Coverage. Contractor shall not cancel, reduce or otherwise modify the insurance policies required by this Section during the term of this Agreement. The commercial general and automobile liability policies required under this Agreement shall be endorsed to state that should the issuing insurer cancel the policy before the expiration date, the issuing insurer will endeavor to mail 30 days’ prior written notice to City. If any insurance policy required under this Section is canceled or reduced in coverage or limits, Contractor shall, within two business days of notice from the insurer, phone, fax or notify City via certified mail, return receipt requested, of the cancellation of or changes to the policy.
I. City Remedy for Noncompliance. If Contractor does not maintain the policies of insurance required under this Section in full force and effect during the term of this Agreement, or in the event any of Contractor’s policies do not comply with the requirements under this Exhibit C, City may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, City may, but has no duty to, take out the necessary insurance and pay, at Contractor’s expense, the premium thereon. Contractor shall promptly reimburse City for any premium paid by City or City may withhold amounts sufficient to pay the premiums from payments due to Contractor.
J. Prohibition of Undisclosed Coverage Limitations. None of the coverages required herein will be in compliance with this Section 11 if they include any limiting endorsement of any kind that has not been first submitted and approved by the City in writing.
K. Separation of Insureds. A severability of interests provision must apply for all additional insureds ensuring that Contractor’s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the insurer’s limits of liability.
The policy(ies) shall not contain any cross-liability exclusions.
L. Timely Notice of Claims. Contractor shall give the City prompt and timely notice of claims made or suits instituted that arise out of or result from Contractor’s performance under this Agreement, and that involve or may involve coverage under any of the required liability policies.
M. Additional Insurance. Contractor shall also procure and maintain, at its own cost and expense, any additional kinds of insurance, which in its own judgment may be necessary for its proper protection and prosecution of the work.
-3- 12100-0001/2116871v3.doc Approved for use 3/30/18

THE CITY COUNCIL OF THE CITY OF HIDDEN HILLS DOES ORDAIN AS FOLLOWS:
SECTION 2. Incorporation of Recitals. The City Council hereby finds that the foregoing recitals are true and correct and are incorporated herein as substantive findings of this Ordinance.
SECTION 3. CEQA. The City Council finds that the proposed actions are statutorily exempt from the California Environmental Quality Act (“CEQA”). (State CEQA Guidelines, § 15060(c)(3).) Section 15378 of the State CEQA Guidelines provides that organizational or administrative activities of governments that will not result in direct or indirect physical changes in the environment do not qualify as a project subject to CEQA. Here, the proposed actions constitute an organization or administrative activity that will not result in direct or indirect physical changes in the environment because it involves the designation of FHSZs as recommended by the Office of the State Fire Marshal and amendments to the City’s Municipal Code regarding the same. Accordingly, the proposed actions are not a project subject to CEQA. Even if the proposed actions do qualify as a project subject to CEQA, they would be exempt from CEQA because it can be seen with certainty that there is no possibility that the proposed actions in question may have a significant effect on the environment for the same reasons referenced above. (State CEQA Guidelines, § 15061(b)(3).)
SECTION 4. Designation of Fire Hazard Severity Zones. The City Council hereby designates the Fire Hazard Severity Zones as recommended by the California Department of Forestry and Fire Protection pursuant to Government Code Section 51178. The map, approved by the City, is attached hereto as Attachment “A” entitled “City of Hidden Hills Fire Hazard Severity Zones” dated March 24, 2025, and hereby incorporated by reference. SECTION 5. Amendment to Municipal Code. Section 4-3-5 (Very High Fire Hazard Severity Zone Map) of Chapter 3 of Title 4 of the Hidden Hills Municipal Code is amended in its entirety to read as follows:
4-3-5 Fire Hazard Severity Zones
The Local Responsibility Area Fire Hazard Severity Zones map for the City of Hidden Hills dated March 24, 2025, as identified by the State Fire Marshal, is hereby adopted by the City of Hidden Hills and incorporated herein for all purposes. This map is available for inspection in the City Clerk's office at the Hidden Hills City Hall.
SECTION 6. Submittal to State and Posting. The City Clerk shall submit a copy of this Ordinance to the State Board of Forestry and Fire Protection within thirty (30) days of adoption and take any necessary and proper actions to post all notices required under Government Code Section 51179.
SECTION 7. Severability. If any section, subsection, subdivision, sentence, clause, phrase, or portion of this Ordinance for any reason is held to be invalid or unconstitutional by the decision of any court of competent jurisdiction, such decision shall not affect the validity of the remaining portions of this Ordinance. The City Council hereby declares that it would have adopted this Ordinance, and each section, subsection, subdivision, sentence, clause, phrase, or portion thereof, irrespective of the fact that any one or more sections, subsections, subdivisions, sentences, clauses, phrases, or portions thereof be declared invalid or unconstitutional.
SECTION 8. Custodian of Records. The documents and materials that constitute the record of proceedings on which these findings are based are located at City Hall for the City of Hidden Hills, located at Hidden Hills City Hall, 6165 Spring Valley Road, Hidden Hills, CA 91302. The City Clerk is the custodian of the record of proceedings.
