CERTIFICATE AS TO ARBITRAGE
I, Brett I. Miller, hereby certify that I am duly qualified and acting City Manager, of City of Hollister (the “Lessee”), and that in my official capacity as such officer, I am responsible for executing and delivering, on behalf of the Lessee, the Lease-Purchase Agreement dated September 10, 2022 (the “Agreement”), by and between Leasing 2, Inc. (“Lessor”) and the Lessee. This Certificate is being issued pursuant to Section 148 of the Internal Revenue Code of 1986, as amended (the “Code”), and the Treasury Regulations promulgated thereunder (the “Regulations”). The following facts, estimates and circumstances are in existence on the date of this Certificate or are reasonably expected to occur hereafter.

1. The Agreement provides for the acquisition and financing of certain equipment described therein (the “Equipment”) Pursuant to the Agreement, the Lessor is required to lease the Equipment to the Lessee and the Lessee is required to make rental payments with respect thereto, comprising principal and interest, on the dates and in the amounts set forth therein (the “Rental Payments”).

2.On the date hereof, Lessor will deposit into escrow to be held for the benefit of Lessee the amount of $342,438.24, which, together with interest earned thereon until disbursed if necessary, will be used to pay the costs of the Equipment in the amount of $342,438.24. In the event any interest income remains in escrow after payment of such Equipment cost, such amount shall be retained by Lessor as additional fee income.

3. The Lessee has entered into or will within six (6) months of the date hereof enter into contracts for the acquisition of the Equipment, which contracts will obligate the payment of all amounts held in escrow.

4. The Equipment will be acquired with due diligence and will be fully acquired on or before .

5.In any event, all of the spendable proceeds of the Agreement, including amounts held in escrow, will be expended on the Equipment within three (3) years from the date of execution of the Agreement. No proceeds of the Agreement will be used to reimburse the Lessee for expenditures made prior to the date of the issuance of the Agreement, unless Lessee shall have complied with the requirements of Section

1.150-2 of the Regulations. If applicable, a copy of Lessee’s official intent with respect to such reimbursement is attached hereto as attachment

1. 6. The original proceeds of the Agreement, and the interest to be earned thereon, do not exceed the amount necessary for the governmental purpose for which the Agreement is issued.

7. The interest of the Lessee in the Equipment has not been, and is not expected during the term of the Agreement, to be sold or otherwise disposed of by the Lessee.

8.No sinking fund will be maintained by the Lessee with respect to the Rental Payments.

9. The Agreement is not a “hedge bond” within the meaning of Section 149(g) of the Code. The Lessee expects to spend not less than 85% of the spendable proceeds of the Agreement within three years after the date hereof and less than 50% of the proceeds of the Agreement is invested in Nonpurpose investments having a substantially guaranteed yield for four years or more.

10.In the Agreement the Lessee has covenanted to take all actions necessary to ensure that the interest paid under the Agreement remains excludable from gross income under the Code. Such covenant includes, without limitation, the requirement to comply with the requirements of the Code relating to the rebate of arbitrage profit to the United States Government.

11.To the best of the knowledge and belief of the undersigned, the expectations of the Lessee as set forth above, are reasonable; and there are no present facts, estimates and circumstances which would damage the foregoing expectations.

ESCROW AGREEMENT

THIS ESCROW AGREEMENT (the "Escrow Agreement") is made and entered into as of September 10, 2022 ("Escrow Agreement Date"), by and among Leasing 2, Inc. or its assigns ("Lessor"), City of Hollister ("Lessee") and Old National Wealth Management ("Escrow Agent").

RECITALS

WHEREAS, Lessor and Lessee have entered into the Lease-Purchase Agreement dated September 10, 2022 (the "Lease"), pursuant to which the equipment more particularly described therein (the "Equipment") will be leased to the Lessee under the terms stated in the Lease;

WHEREAS, Lessor and Lessee desire to make funding arrangements for the acquisition of the Equipment, and Escrow Agent agrees to serve as escrow agent for such funding and acquisition;

WHEREAS, Escrow Agent is hereby notified that Lessor expects to assign all of its right, title, and interest in and to, but not its obligations under, the Lease and this Escrow Agreement to Santander Bank, N.A., including, in particular, but without limitation, and Lessor’s right to approve all payment requests submitted by Lessee and Lessor’s security interest in the Fund (as defined herein).

NOW THEREFORE, in consideration of the mutual agreements and covenant herein contained and for other valuable consideration, the parties hereby agree as follows:

1. Escrow Agent shall undertake the duties and obligations of escrow agent as set forth in this Escrow Agreement. Escrow Agent shall not be deemed to be a party to the Lease.

2. Lessor has delivered to Escrow Agent the sum of $ 342,438.24 ("Escrow Amount") for deposit by Escrow Agent in an Escrow Account established in connection with the Lease (the "Fund"). The Fund will be administered by Escrow Agent pursuant to the terms of this Escrow Agreement. Lessee acknowledges that Escrow Agent may commingle the Escrow Amount held by Escrow Agent for the benefit of Lessee with other funds held by Escrow Agent for its own account, so long as the Escrow Agent maintains segregation of the Fund on the books and records of Escrow Agent. The Escrow Amount shall not be the property of the Escrow Agent, notwithstanding the fact that it may be commingled with other funds of the Escrow Agent.

3. Deposits in the Fund shall be used to pay for the acquisition of the Equipment. The Equipment may be acquired as individual items or as groups of items. Escrow Agent shall make disbursements from the Fund in payment for the acquisition of each item or group of items of the Equipment promptly upon receipt of a properly executed Escrow Disbursement Request Form, in the form attached hereto as “Exhibit A”, for that portion of the acquisition of the Equipment for which payment is requested. Upon full acquisition of an item or group of items of the Equipment, any remaining cost of such item or group of items shall be disbursed promptly by the Escrow Agent upon receipt of a properly executed Acceptance Certificate and a corresponding Escrow Disbursement Request Form in the form attached hereto as “Exhibit A”, for that portion of the Equipment for which payment is requested. Payment by Escrow Agent shall be to the payee shown on the Escrow Disbursement Request Form. Escrow Agent may deduct overnight mailing fees from the Fund prior to any disbursement requested by Lessee in writing to be sent via overnight mail.

4. No fees are due to the Escrow Agent under this Escrow Agreement and neither the Lessee nor any assignee of Lessor shall be responsible for payment of any fees to the Escrow Agent.

5. Escrow Agent will invest the Fund, as specified by Lessor, in a Federated Government Obligation Money Market account, ticker GOSXX; provided, however, that notwithstanding anything herein, the yield on the Fund shall not be allowed to exceed the yield on the Lease. If the yield on the Fund at any time exceeds the yield on the Lease, the Lessor shall direct the Escrow Agent to invest the Fund in a lower yielding investment such that no arbitrage is earned on the Fund. Escrow Agent shall maintain the Fund until termination of the Fund pursuant to Section 6 hereof.

6. Upon execution of one or more Acceptance Certificates by Lessee and payment of acquisition costs by Escrow Agent for all the Equipment, this Escrow Agreement shall terminate and the Fund shall be closed. If not terminated earlier, this Escrow Agreement shall terminate and the Fund shall close on the date that is three years after the Escrow Agreement Date ("Termination Date"). Upon termination of this Escrow Agreement and closing of the Fund, Escrow Agent shall transfer all remaining principal in the Fund to Lessor and such amounts shall be applied by Lessor to Lessee’s next Rental Payment. Lessee agrees that any interest earned on the Escrow Amount held in the Fund in excess of the costs of the Equipment will be paid to Leasing 2, Inc.

7. Lessor and Lessee may by written agreement between themselves remove the Escrow Agent, at any time and for any reason, and appoint a successor escrow agent. Such removal shall not be effective until thirty (30) days after written notice thereof if provided to Escrow Agent.

8. Escrow Agent may at any time and for any reason resign as Escrow Agent by giving written notice to Lessor and Lessee of its intention to resign and of the proposed date of resignation, which date shall be not less than thirty (30) days after giving Lessee and Lessor written notice of intent to resign, nor less than thirty (30) days after being appointed by Lessor and Lessee.

9. Escrow Agent shall have no obligation under the terms of this Escrow Agreement to make any disbursement except from the Fund. Escrow Agent makes no warranties or representations as to the Equipment or as to performance of the obligations of Lessor or Lessee under this Escrow Agreement or the Lease.

10. Escrow Agent shall be entitled to rely in good faith upon any documents signed by a party hereto and shall have no duty to investigate the veracity of such documents. Escrow Agent (i) may assume that any person giving notice pursuant to the terms hereof is authorized to do so and (ii) shall not be liable for good faith reliance thereon.

11. Except to the extent it would invalidate the Lease or otherwise be prohibited by law, to secure the payment of all Lessee's obligations under the Lease, Lessee, grants to Lessor a security interest constituting a first lien on the Escrow Amount and on all amounts held in the Fund and any proceeds therefrom. Lessee hereby authorizes Lessor to prepare and file such financing statements, any amendments thereto and other such documents to establish and maintain such first lien and perfected security interest. Lessee hereby acknowledges the receipt of copies of the financing statements prepared by Lessor and hereby confirms the accuracy of the information contained therein. Lessee further agrees to execute such additional documents, including affidavits, notices and similar instruments, in form satisfactory to Lessor, which Lessor deems necessary or appropriate to establish and maintain its security interest, and upon assignment, the security interest of any assignee of Lessor, in the Equipment. To the limited extent required to perfect the security interest granted by Lessee to Lessor in the cash and negotiable instruments from time to time comprising the Fund, Lessor hereby appoints the Escrow Agent as its security agent, and the Escrow Agent hereby accepts the appointment as security agent, and agrees to hold physical possession of such cash negotiable instruments on behalf of Lessor.

12. The Lessor and Lessee, to the extent permitted by law, hereby agree to indemnify, defend, protect and hold the Escrow Agent, its affiliates, its officers, directors, agents and employees, harmless from and against any and all claims, losses, liability, damages, costs or expenses that the Escrow Agent may suffer or incur arising out of or in connection with the acceptance or administration of this Escrow Agreement or the performance of its duties hereunder, including reasonable attorneys’ fees, but excluding any losses, liability, damages, costs or expenses due to the Escrow Agent’s negligence or willful misconduct or its failure to act in accordance with the terms of this Escrow Agreement. This indemnity shall survive the termination of this Escrow Agreement or the removal or resignation of the Escrow Agent. The Escrow Agent agrees to indemnify, defend, protect and hold the Lessor, its affiliates, its officers, directors, agents and employees, harmless from and against any and all claims, losses, liability, damages, costs or expenses that the Lessor may suffer or incur arising out of or in connection with the acceptance or administration of this Escrow Agreement or the performance of its duties hereunder, including reasonable attorneys’ fees, but excluding any losses, liability, damages, costs or expenses due to the Lessor’s negligence or willful misconduct.

13. This Escrow Agreement may be amended only by written agreement executed by all the parties.

14. This Escrow Agreement may be executed in several counterparts, each of which shall be an original.

TITLE OF ITEM: INFORMATIONAL REPORT ON PLANS FOR FUTURE PROJECTS

FOR ANIMAL CONTROL

BRIEF DESCRIPTION: The City Council will review the report of the Hollister Police Animal Care & Services regarding plans to purchase city spay and neuter equipment.

RECOMMENDATION: Staff recommends City Council of the City of Hollister hear the report and provide input as to what direction they would like to proceed.

DEPARTMENT SUMMARY: The Hollister Police Department Animal Care and Services has been working on a plan to partner with a local veterinarian and have a city sponsored Spay and Neuter clinic. Plans were to be able to use the generous donation from Helen Ross to invest in something that would continue to give back to our community and pets within our city and county.

Initial plans were to use one of the city owned buildings at Park Hill to create the spay and neuter clinic. Unfortunately, that was not able to happen due to those buildings not being safe to use.

We have moved on to purchasing a trailer or a large vehicle specifically designed as a mobile spay and neuter clinic. Staff is in negotiations with local veterinarian who has initially committed to partnering with the Animal Shelter in providing low cost clinics in our community.

Staff has researched companies who provide specific Spay and Neuter vehicles. Staff has been only able to find two companies; Magnum Mobile Specialty Vehicles and La Boit Specialty Vehicles, Inc.

Staff has received quotes from both companies for the vehicles they can provide that have the equipment necessary to be an affective mobile spay and neuter vehicle.

La Boit Specialty Vehicles, Inc. can provide a 20 foot Mobile Spay and Neuter trailer for $223,922.00. Build time can take up to 18 months.

Magnum Mobile can provide a 25 foot Spay-Neuter/Veterinary Trailer for $160,075. Build time approximately 6-8 weeks.

Magnum Mobile also offers that they can also provide a 29 foot Mobile Spay and Neuter Dodge Diesel Self-contained Vehicle with all the necessary equipment for $257,145.00. If G.3
Packet Pg. 401

we can provide a purchase order, this vehicle may be available approximately January 2023.

All of the quotes are attached to this report. The Magnum 25ft. trailer does not have its own generator but most of all the other same equipment if offered in all the quotes. The larger the vehicle the more room there is inside to operate.

Staff would like to share the quotes with city council at this time and ask for input as to what direction our council would like staff to proceed.

Staff would recommend a decision to purchase a trailer or a self-contained vehicle and then proceed with purchasing requirements per our purchasing policy. However, staff has been advised by manufacturers delays in ordering the trailer or mobile self-contained vehicle may lead to longer delays in receiving the units (if another purchaser obtains the units in stock at this time).

TITLE OF ITEM: THE CITY COUNCIL WILL REVIEW THE REPORT OF THE

HOLLISTER POLICE ANIMAL CARE & SERVICES REGARDING NIGHT KENNEL

SERVICES

BRIEF DESCRIPTION: The City Council will review the report of the Hollister Police Animal Care & Services regarding night kennel operation services.

RECOMMENDATION: Staff recommends that the City Council authorize the Hollister Police Animal Care & Services to cease operations of the night kennels to the public.

DEPARTMENT SUMMARY: Hollister Animal Shelter night kennel operations were introduced for public use in 2014. The introduction of night kennel operations seemed like a safe haven for stray animals to be temporarily housed as they awaited reclaim by their owners. As time has progressed, animal services staff has witnessed the effects this outdated practice imposes on the animals in their care first hand.

In many instances what appeared to be animals dumped by their owners was and still is a very notable problem. The old night kennel structures lacked proper lighting, adequate space for animals to be housed safely, proper signage as to the intended use of the structures, and a video surveillance system capable of capturing any potential crime that may occur in or near the structure.

There have been many instances where the night kennels have harbored an atmosphere that allows citizens of San Benito County as well as surrounding Counties to abandon their responsibilities as pet owners with zero consequence or acco untability.

In many cases, animals have been left in the most egregious ways, such as leaving clearly injured animals to suffer without proper care for undisclosed periods of time.

The night kennels were closed for a number of months in March of 2021 due to staffing issues. During the closure of the night kennels, animal services staff saw a significant decrease in unclaimed animals.

Upon reopening the night kennels, animal services staff worked to troubleshoot and potentially find a way to minimize the issues previously identified in former night kennel procedures. Not only were the night kennels moved to a more open, accessible, and enclosed area, better lighting was provided, new signage was designed regarding the night kennel’s intended use, the housing structures were updated, and the camera surveillance system was updated as well.

G.4
Packet Pg. 420

Despite these recent efforts along with creating a new intake form for the public to complete in hopes to identify the origin of the stray animal to potentially ret urn it to its owner, staff is still experiencing a lack of compliance. Despite publishing an advisory regarding the proper use of the night kennels through Nixle, publishing an article with Benito Link regarding the kennels intended use, and publishing information regarding the night kennels on the Hollister Animal Shelter social media platforms, a clear disregard for outlined processes and protocols regarding the night kennels use has been identified by residents from within and outside our county.

In multiple instances since reopening the night kennels to the public, Animal Control Officers have had to investigate multiple cases of abandonment and potential animal cruelty. These instances have led Animal Control Officers to contact neighboring agencies when it has been discovered that animals had been dumped by their owners from Santa Clara, Santa Cruz, Monterey, and Merced Counties.

By thoroughly investigating these incidents, animal services staff has been fortunate to have held some animal owners accountable and educate them on the proper way to rehome, relinquish ownership, and provide care for an animal. In more severe cases, Animal Control Officers have pursued criminal prosecution when animals have been left in the night kennels severely injured and left to suffer without proper veterinary care.

Many surrounding counties at one point offered night kennel procedures for public use.

However, as the animal welfare industry evolves, animal welfare experts are finding that night kennels are an outdated practice with zero benefits to the community’s animals and the staff tasked with managing them.

Attached are statistics dating back from 2019 to July 26, 2022. These statistics depict a high intake rate of dogs originating from our night kennels as opposed to the public bringing them in over the counter during normal business hours. Additionally, these statistics depict more positive outcomes are generated through the public bringing in stray animals during regular business hours as opposed to leaving them in the night kennels as it has been identified that more often than not, the owner of the animal is the one to drop them off in the night kennels.

Another notable issue animal services staff has observed is animals originating from the night kennels often have severe behavioral or health issues. These animals are more than likely owned and when it becomes an inconvenience for the owner, their solution is to dump the animal instead of relinquishing ownership or rehoming the animal the right way.

Hollister Police Animal Care & Services is recommending ceasing operations of the night kennel services to the public. Citizens that find a stray animal after hours are encouraged to hold onto the animal until the following business day and post on social media sites in an additional attempt to locate an owner. If a stray animal is found sick or injured, please contact the non-emergency, twenty-four-hour line at 636-4331 and the appropriate agency will respond.

Benefits of discontinuing night kennel services:

 The City will no longer have to accrue the cost of injured or owned animals that are left in the night kennels without proper intake information being provided.  Decreases euthanasia rates. Statistics have shown high rates of animals possessing severe behavior issues or extensive medical issues are left in the night kennels without proper intake information, as opposed to strays brought in over the counter during business hours.
 Less strain on staff. The time spent investigating cases of potential abandonment or cruelty originating from the night kennels can be spent proactively enforcing local and state animal laws.
 Animals with obvious injuries will no longer be permitted to suffer for lack of compliance despite applicable protocols posted to multiple areas throughout the shelter entrance.

Other Counties:

 City of Chico Animal Shelter: Has never had night kennels available to the public.

Night kennels are only available to police officers that are picking up aggressive strays, quarantines, or safekeeping overnight. If the public find animals overnight, they are advised to hold them until morning and check/post to social media. If they cannot hold them, and a police officer is available, they will meet the finder of the animal at the shelter and house them in the night kennel are only available to police officers.  City of Palo Alto: Has never had night kennels. There are vari-kennels at their Police Department parking garage. After hours strays can be placed there by police officers overnight and the ACO’s will impound them in the morning.  Rohnert Park Animal Services: Discontinued night kennel operations fifteen years ago.

The biggest issues they noticed were animals from other jurisdictions being left in the kennels, as well as being inundated with animals above their capabilities to house. There is a 24-hour emergency veterinary hospital that the public can take found strays to. The ACO’s will then pick up the found stray animal the following business day.  Humane Society of Sonoma County: Does not offer night kennel services. There is a 24-hour veterinary hospital that will receive after hours stray animals. The ACO’s will then pick them up the following business day.
 Napa County Animal Shelter: Discontinued night kennel operations twenty years ago.

The biggest issues they faced were animals being dumped, and lack of proper information provided by finders of stray animals. Animal Services Officers are on duty until 11:00pm during the summer and 10:00pm during the winter and available to pick up stra y animals. If an Animal Service Officers are not available, law enforcement has the option to transport and house them to kennels at the shelter only available to them. If an officer is not available, the finder is advised to hold onto the animal until the following business day.
 City of Gilroy: Night kennels are not available for public use. If law enforcement is available to pick up a stray animal, they will do so and transport them to the San Martin G.4.a

Carlos Reynoso, Chief of Police
Integrity, Professionalism, Respect, Commitment, Accountability Animal Shelter. If not, the finder is advised to hold onto the animal until the following business day or leave it alone.
 City of Morgan Hill. Night kennels are not available for public use. If law enforcement is available to pick up a stray animal, they will do so and transport them to the San Martin Animal Shelter. If not, the finder is advised to hold onto the animal until the following business day.
 San Martin Animal Shelter: Services the entire County of Santa Clara. Night kennels are not available for public use. There are four kennel runs available to contracting municipalities such as Gilroy and Morgan Hill. Their law enforcement officers are able to place stray animals in secure dog runs until they can be impounded the following day.

Jaxx was left in our night kennels after hours.

No stray intake form was completed. Animal
Control Officers reviewed surveillance footage and
determined that the dog may have been dropped off
by its potential owner, as it was very fearful towards
staff, but appeared to know the person dropping him
off. The person’s license plate was ran and came
back to an address out of Watsonville, CA. ACO’s
worked to contact Watsonville Police Department
and request an ATC. Later that day, the owner came
in and confessed to abandoning her animal. The
woman was determined to reside in the City limits of
San Juan Bautista, CA. An area we do not service.

This stray cat was left in the Hollister Animal Shelter night kennels. Despite signage posted, stating NOT to
leave a sick or injured animal in the night kennels, this cat was left untreated with a very painful, ruptured abscess that required emergency surgery. This cat was left to
needlessly suffer throughout the night.

Bruno and Darla were left in the shelter night kennels after hours. After Animal Control Officers reviewed surveillance footage, both dogs appeared to possibly have been placed in the night kennels by their owners. ACO’s were able to
obtain a license plate and address for the potential owners.

The owners were determined to reside in County
jurisdiction. ACO’s made contact with the owners at their residence. The owners knew the night kennels were here and unattended after hours.

Bart was left in the shelter night kennels after hours. After Animal Control Officers reviewed surveillance footage, the dog appeared to possibly have been placed in the night
kennels by its owners. ACO’s were unable to obtain a license plate for the potential owner and the dog was too aggressive to scan for a microchip upon impoundment. After a few days, the dog was found to possess a microchip. ACO’s made
contact with the microchip company and determined the
owners resided in Santa Clara County. Contact was made and owners were informed that they must pick up the animal and surrender it within their corresponding county or face
criminal charges. The owners have yet to come and reclaim their dog. The owners however did state they knew the night kennels were unattended after hours and decided to place Bart in them.

On July 22, 2022 a female, white, Pitbull type dog was left in our night kennels. A stray intake form had not been completed despite many signs stating this is a requirement. Upon reviewing surveillance footage, it was determined that the animal may have potentially been abandoned by its owner. Animal Control Officers contacted the Gilroy Police Department and requested an ATC. An ATC was conducted and after questioning the residents, Hollister Animal Control Officers determined that the dog resided within Santa Clara County and was dropped off by its owners at our night kennels as the owner knew they were available and left unmanned.
