Administrator shall be responsible to Agency and Owner for marketing the Affordable Units and implementing the terms of the Affordable Housing Agreement. Administrator shall submit a Marketing Plan, in compliance with the requirements of the Affordable Housing Agreement, to both the Owner and the Agency as required under the Affordable Housing Agreement. All Affordable Units will be considered part of the Agency’s Affordable Housing Inventory so as to avoid confusion for potential buyers. While Owner’s sales personnel may be asked to participate in viewings and open houses and facilitate the execution of the sales contract process, personnel shall refrain from communicating with potential buyers concerning their eligibility to purchase the Affordable Units for sale, and shall refer all potential buyers of Affordable Units to Administrator as soon as reasonably practicable. See Attachment 3 for Timeline & Deliverables.
B. Administrator to Screen and Select Buyers. The Administrator will pre-screen and select the Eligible Buyers in accordance with the Affordable Housing Agreement and all applicable laws. All Eligible Buyers will be pre-screened with the Owners preferred lender – KBHS Home Loans. Eligible Buyers will be required to obtain mortgage lender prequalification (outside lender or Owner’s preferred lender) prior to entering in to a reservation and/or sales contract. The Administrator will assist the Owner in facilitating the close of escrow for all Affordable Units and will be responsible for obtaining all Eligible Buyer documents required under the Affordable Housing Agreement and depositing such documents into escrow. The Administrator will perform these functions in coordination with the Owner and its construction and delivery of the Affordable Units.
C. Eligible Buyers. The Affordable Units may initially be sold only to Eligible Buyers of the applicable Income Category as solely determined by Agency, in accordance with the terms of the Affordable Housing Agreement. Administrator will certify each prospective buyer’s household income to the Agency as soon as reasonably practicable and will submit income verification documentation and documentation of loan pre -approval to the Agency as required by the Affordable Housing Agreement. When the verification of an Eligible Buyer has been approved by the Agency, Administrator shall promptly notify Owner thereof, DocuSign Envelope ID: C585866B-C5E1-4D93-81D8-D1B4CA82DA5C G.2.f

and shall submit all paperwork to Owner so that owner may execute a purchase agreement with Eligible Buyer. If, at any time, there are more interested Eligible Buyers than Affordable Units available for sale, then the Administrator shall select the Eligible Buyer in a manner consistent with Agency policies and procedures in effect at the time of sale and as approved by Owner. Administrator shall comply with all applicable laws in the selection of Eligible Buyers to submit to the Agency pursuant to this Section, including, but not limited to, state and federal fair housing laws. Owner shall have no responsibility or liability for this determination. Please note that Eligible Buyers will select available homes based on what is included in the Opportunity Drawing. All homes in the Opportunity Drawing will be available for Eligible Buyers in order of ranking number assigned and/or submission order.
D. Mortgage Lending. If allowed by the Affordable Housing Agreement and to the extent allowed by California law, e ach Eligible Buyer must be pre-qualified with the Owner’s preferred lender, KBHS. The Administrator will maintain an approved loan officer list segmented by lender. At Owner’s request, Administrator shall include Owner’s preferred lender as an approved lender, so long as such lender has previously approved the Deed Restriction and all other Agency-required documents associated with the sale of the Affordable Units. Note: All lenders have a standardized process of being added to the list by going through an orientation and signing a lending agreement.
E. Sales Price. Sales prices for the Affordable Units shall be the Maximum Sales Price for such Affordable Units determined by the Agency and as agreed to by Owner, in accordance with the Affordable Housing Agreement.
F. Form of Purchase Agreement. The form of purchase and sale agreement that will be used for the sale of each Affordable Unit by Owner to the Eligible Buyer shall be the form that was approved for the Project by the California Department of Real Estate, subject to modification as required to comply with the Affordable Housing Agreement, including, but not limited to, the requirement for the Eligible Buyers to execute a Homebuyer Disclosure, Resale Restriction, Homebuyer/Agency Note, and Homebuyer/Agency Deed of Trust at closing. All Eligible Buyers shall also be required to execute and deliver Owner’s standard disclosure documents, warranties and other documents for sales of units within the project.
G. Notifications. The Owner shall endeavor to notify the Administrator of Affordable Unit availability at least 30 days prior to the expected date of issuance of the certificate of occupancy and provide regular updates with respect to the completion of the Affordable Unit, as the timeline changes.
H. Closing Documents. Promptly following Owner’s receipt of such documents from the applicable title company, Owner shall forward to the Administrator copies of the final buyer's and seller's settlement statements and all closing documents executed in connection with the sale. Administrator shall retain copies of the closing documents delivered by Owner and all other records related to compliance with its obligations under this Agreement for a period not less than the later of (i) two (2) years from the date of sale of each Affordable Unit and (ii) the time period required under the Affordable Housing Agreement, and upon five (5) business days' written notice, shall make them available (for inspection and copying) to Owner and, if required by the Affordable Housing Agreement, DocuSign Envelope ID: C585866B-C5E1-4D93-81D8-D1B4CA82DA5C G.2.f

the Agency. 4. Termination of Owner Role. Owner shall be released of all responsibilities and obligations under this Agreement with respect to an Affordable Unit upon the close of escrow for the sale of that Affordable Unit. However, nothing contained herein shall affect Owner's responsibilities, if any, to an Eligible Buyer with regard to construction and quality of an Affordable Unit purchased by such Eligible Buyer.
5. Duties of Administrator. Administrator shall carry out its responsibilities under this Agreement in accordance with the terms and conditions of this Agreement and all applicable laws. Administrator represents that it is familiar with the state and federal laws applicable to its duties hereunder, and Administrator represents that it will comply at all times with such laws. Administrator also acknowledges that services to be performed hereunder require a real estate license issued by the DRE, and Administrator agrees to keep its license active and in good standing at all times during the term of this Agreement. Administrator covenants to perform all obligations of Owner when and as required under the Affordable Housing Agreement. In performing its obligations hereunder, Administrator shall use the skill and care that a reasonably careful licensed real estate professional would use in similar circumstances.
6. Owner Rights Regarding Administrator. Upon the mutual agreement of Owner and Administrator, this Agreement may be terminated without cause at any time on thirty (30) days written notice. If the Administrator resigns or this Agreement is terminated, Owner shall have the right to appoint a successor to carry out the Administrator’s responsibilities. Upon any resignation or termination, Administrator shall act with due diligence and in good faith to turn over to its successor or to Owner all of its records related to the Project, and shall brief its successor or Owner personnel on the status of the Affordable Units. Upon termination of this Agreement by either party, any compensation paid in advance to Administrator, but not yet earned shall be fully refunded to and returned to Owner within ten (10) business days after such termination.
7. Administrator's Compensation and Expenses. Owner shall compensate the Administrator for its activities pursuant to this Agreement, in accordance with the schedule of compensation specified in Attachment 2. Administrator is a third-party consultant hired by the Owner and shall not be deemed to be a consultant or employee of Agency.
