Meeting Date: September 28, 2026
Subject: Biennial Review of the City of Hughson’s Conflict of Interest Code Enclosure: Exhibit “A” Conflict of Interest Code
Presented By: Dominique Romo, City Manager
Staff Recommendation:

Adopt Resolution No. 2026-29, amending the City of Hughson Conflict of Interest Code.

Discussion:

The Political Reform Act (Government Code Sections 81000–91014) requires every local governmental agency to review its Conflict‑of‑Interest Code biennially and submit a notice to the reviewing body indicating whether an amendment is necessary. For the City of Hughson, the City Council serves as the code‑reviewing body. The Act requires designated officials and certain employees to publicly disclose their personal assets and income and restricts them from participating in decisions that may affect their personal economic interests. The Fair Political Practices Commission (FPPC) administers these requirements, issues the Statement of Economic Interests (Form 700), and interprets the law’s provisions.

Persons holding the positions of Mayor, City Councilmember, Planning Commissioner, City Manager, City Attorney, and City Treasurer are required to file Form 700 annually pursuant to Government Code §87200 directly with the FPPC. In addition, local agencies must adopt a local Conflict‑of‑Interest Code that designates positions involved in making or participating in decisions that may foreseeably have a material financial effect. This Code must be reviewed every two years to determine whether amendments are needed.

The Hughson City Council last amended its Conflict‑of‑Interest Code on April 22, 2024, through adoption of Resolution No. 2024‑12. Staff recommend performing the required biennial review and reporting that the City’s Conflict of Interest Code is in need of amendments. New and/or updated language added is in blue, with language being removed marked with a strikethrough. The City’s legal counsel has reviewed and approved of the amendments.

The City Clerk is responsible for ensuring proper annual filing of Form 700 by designated officials in accordance with FPPC deadlines.

Fiscal Impact:

There is no fiscal impact to the City associated with approval of this item.

1 CITY OF HUGHSON

CONFLICT OF INTEREST CODE
The Political Reform Act (Government Code Section 81000, et seq.) requires state and local government agencies to adopt and promulgate conflict of interest codes. The Fair Political Practices Commission has adopted a regulation (2 California Code of Regulations Section 18730) that contains the terms of a standard conflict of interest code, which can be incorporated by reference in an agency's code. After public notice and hearing, the standard code may be amended by the Fair Political Practices Commission to conform to amendments in the Political Reform Act. Therefore, the terms of 2 California Code of Regulations Section 18730 and any amendments to it duly adopted by the Fair Political Practices Commission are hereby incorporated by reference. This regulation and the attached Appendices, designating positions and establishing disclosure categories, shall constitute the conflict of interest code of the City of Hughson (City).

Individuals holding designated positions shall file their statements of economic interests with the City, which will make the statements available for public inspection and reproduction (Gov.

Code Sec. 81008). Upon receipt of the statements for the Mayor/Council Members, City Manager, City Attorney, Planning Commissioners and Treasurer, the City shall make and retain copies and forward the originals to the Fair Political Practices Commission. All other statements will be retained by the City.

3010076-1
Meeting Date: September 28, 2026
Subject: Consideration of a Resolution Censuring Mayor George Carr for Conduct Inconsistent with the City of Hughson Code of Conduct for Elected Officials (StanRTA Matters)
Enclosures: Resolution No. 2026-30, Censuring Mayor George Carr Presented By: Andy Pinasco, City Attorney
RECOMMENDATION:

The City Council is requested to consider Resolution No. 2026-30. No staff recommendation is offered. Whether to censure a member of the City Council is a matter within the exclusive judgment and discretion of the City Council. City staff has had no role in this item. The City Attorney has prepared the resolution and this report only as to form, applicable authority, and procedure.

BACKGROUND AND OVERVIEW:

The Stanislaus Regional Transit Authority (StanRTA) is a joint powers authority formed in 2021 by the City of Modesto and the County of Stanislaus. StanRTA is a public entity separate from the City of Hughson. Its seven-member Board of Directors includes one Director representing the smaller cities of Stanislaus County. Mayor Carr was selected to fill that seat in February 2023, served as Chair of the StanRTA Board in 2024 and 2025, and resigned from the Board on December 17, 2025. The Hughson City Council did not appoint Mayor Carr to StanRTA, but the seat was available to him because he holds office as Mayor of Hughson.

StanRTA commissioned an independent workplace investigation into Mayor Carr’s interactions with StanRTA employees. StanRTA has publicly disclosed findings letters stating that the investigator sustained three allegations under StanRTA’s internal harassment policy.

One involved unwanted physical contact with a StanRTA employee in September 2024. The other two involved jokes made in the presence of StanRTA employees in May 2025 and September 2025. According to the disclosed letters, StanRTA considered its handling of the matter closed in light of Mayor Carr’s resignation. The investigation was commissioned and conducted by StanRTA, the public entity with jurisdiction over the employees involved.

In public statements reported in September 2026, Mayor Carr disputed portions of the findings, including the allegation that he kissed the employee, acknowledged making the jokes, and characterized his conduct as “poor judgment.” CITY OF HUGHSON AGENDA ITEM NO. 6.1
SECTION 6: NEW BUSINESS

Page 25 of 34 ends

3010076-1
APPLICABLE AUTHORITY:

The City of Hughson adopted a Code of Conduct for Elected Officials by Resolution No. 04-19 on February 9, 2004. The Code of Conduct establishes standards of behavior for all members of the City Council, including the Mayor, and addresses how members are to treat one another, City staff, constituents, and others with whom they come into contact in representing the City. Its Sanctions section provides that members who intentionally and repeatedly do not follow proper conduct may be reprimanded or formally censured by the Council. The Code of Conduct also provides that alleged violations outside the Council’s observation should be referred to the Mayor for investigation. That referral procedure cannot operate where the Mayor is the subject of the concern, and in this instance the matter was investigated by StanRTA.

The Council’s authority to censure a member is incident to its authority to govern its own proceedings and has been recognized by California courts. Under Government Code section 34903, the elected Mayor is a member of the City Council with all the powers and duties of a member, so the Council’s censure authority applies to the Mayor on the same basis as any other member. The United States Supreme Court has recognized a censure as protected speech by elected representatives concerning the public conduct of another elected representative.

The Mayor and each member of the City Council hold elective office and are not employees of the City. The Council’s authority over the conduct of a fellow elected member is limited, and censure is the expressive means available to the Council to state its disapproval. A censure does not remove the official from office and does not deprive the official of any statutory power, duty, or compensation.

DISCUSSION:

The proposed resolution relies on the sustained findings of StanRTA’s independent investigator, as set forth in the findings letters StanRTA has publicly disclosed, and on Mayor Carr’s own public statements. Based on that record, the resolution would find that the conduct described in the sustained findings, and in particular the conduct Mayor Carr has acknowledged, is inconsistent with the Code of Conduct. The provisions identified in the resolution include the Preamble, the roles and responsibilities of all Councilmembers and of the Mayor, the standards for conduct with City staff (which the resolution applies to employees of other public agencies with whom a member works in a position held by virtue of City office), the standards for conduct with the public, the principles of proper conduct, and the standards for conduct with other public agencies.

The resolution is limited in scope. For purposes of the resolution, a sustained finding means only that the investigator concluded it was more likely than not that the alleged conduct occurred and that the conduct as found violated StanRTA’s internal harassment policy. The resolution does not find that any disputed conduct occurred, does not adopt the investigator’s conclusions as its own legal conclusions, and makes no finding of unlawful conduct. It does not

Page 26 of 34 ends

3010076-1
purport to act for or bind StanRTA. It does not remove Mayor Carr from office, affect his vote or statutory powers, alter his compensation, change any committee assignment, or affect any StanRTA seat. Mayor Carr retains all rights and authority of the Office of Mayor.

The conduct addressed in the resolution occurred in Mayor Carr’s StanRTA role and not in City operations, meetings, or facilities. The Council’s interest arises because the StanRTA seat was available to him only by virtue of his office as Mayor of Hughson, and because the Code of Conduct applies to members in their dealings with others while representing the City and describes the obligation of members as continuous.

The Council may adopt the resolution as presented, adopt it with modifications within the scope of the agendized item, decline to adopt it, or continue the item to a future meeting.

Substantive changes to the findings would ordinarily warrant a continuance so that the revised resolution can be made available before the Council acts.

The resolution was included in the agenda packet distributed to each member of the City Council, including Mayor Carr, and posted in accordance with the Ralph M. Brown Act. Mayor Carr may address the Council regarding this item before the Council acts, and the presiding officer may wish to invite him to do so.

Mayor Pro Tem Randy Crooker will preside over this item pursuant to Government Code section 36802. Three affirmative votes of the five-member Council are required to adopt the resolution.

FISCAL IMPACT:

There is no fiscal impact associated with consideration or adoption of this resolution.

ENVIRONMENTAL REVIEW:

This action is not a project subject to the California Environmental Quality Act because it is an organizational or administrative activity of government that will not result in direct or indirect physical changes in the environment (CEQA Guidelines § 15378(b)(5)).

CITY OF HUGHSON

CITY COUNCIL
RESOLUTION NO. 2026-30

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HUGHSON CENSURING MAYOR GEORGE

CARR FOR CONDUCT INCONSISTENT WITH THE CITY OF HUGHSON CODE OF CONDUCT FOR

ELECTED OFFICIALS
WHEREAS, the City of Hughson (“City”) is a general law city, the government of which is vested in a city council of five members pursuant to California Government Code §§ 36501 and 34902; and
WHEREAS, the Mayor of the City of Hughson is a member of the City Council and has all of the powers and duties of a member of the City Council (Gov. Code § 34903), and is subject to the same rules of conduct and internal discipline as any other member; and WHEREAS, the City Council has inherent authority as a legislative body to express its collective views on the public conduct of its members, including through a verbal censure; the United States Supreme Court has recognized censure as protected speech by elected representatives concerning the public conduct of another elected representative (Houston Community College System v. Wilson (2022) 595 U.S. 468), and the California Court of Appeal has confirmed that a general law city council may consider a member’s acts and censure him by resolution (Braun v.

City of Taft (1984) 154 Cal.App.3d 332);
WHEREAS, the City Council adopted “A Code of Conduct for Elected Officials” (“Code of Conduct”) on February 9, 2004, by Resolution No. 04-19, which establishes standards of behavior for all members of the City Council and is designed to describe how Councilmembers should treat one another, City staff, constituents, and “others with whom they come into contact with in representing the City of Hughson”; and
WHEREAS, the Code of Conduct provides, among other things, that “elected officials are called upon to exhibit appropriate behavior at all times” and that Councilmembers shall “[s]erve as a model of leadership and civility to the community,” “[i]nspire public confidence in Hughson government,” and practice “civility and decorum in discussions and debate”; and WHEREAS, the Code of Conduct further provides that the Mayor “[a]cts as the official head of the City for all ceremonial purposes,” “[i]s recognized as spokesperson for City,” and “[l]eads the Council into an effective, cohesive working team”; and
WHEREAS, the Code of Conduct’s Sanctions section provides that “City Councilmembers who intentionally and repeatedly do not follow proper conduct may be reprimanded or formally

censured by the Council”; it further provides that, “[i]f violation of the Code of Conduct is outside of the observed behaviors by the Mayor or Councilmembers, the alleged violation should be referred to the Mayor,” who should ask the City Manager and/or the City Attorney to investigate and report findings; because that referral procedure runs through the Mayor, it cannot operate where the Mayor is the subject of the concern, and in this instance StanRTA, the public entity with jurisdiction over the employees involved, commissioned and completed an independent investigation;
WHEREAS, the Stanislaus Regional Transit Authority (“StanRTA”) was formed in January 2021 under Government Code § 6500 et seq. by a Joint Powers Agreement between the City of Modesto and the County of Stanislaus;
WHEREAS, under Sections 1.1, 2.1, and 3.1 of the Joint Powers Agreement, StanRTA operates as a public entity separate and apart from its Members, whose Members are the City of Modesto and the County of Stanislaus;
WHEREAS, the Joint Powers Agreement provides for a seven-member StanRTA Board of Directors, including one Director representing the cities in Stanislaus County other than Modesto and Turlock;
WHEREAS, on January 11, 2023, Hughson Mayor George Carr was selected to serve as the StanRTA Director representing the smaller cities of Stanislaus County; the Hughson City Council did not appoint Mayor Carr to StanRTA, but the seat was available to him only because he held elective office as Mayor of Hughson;
WHEREAS, Mayor Carr served as Chair of the StanRTA Board during calendar year 2024; WHEREAS, on February 27, 2025, the StanRTA Board elected Mayor Carr as Chair for calendar year 2025 by a 7–0 vote;
WHEREAS, on December 17, 2025, Mayor Carr resigned from the StanRTA Board, ending his service as Director and Chair;
WHEREAS, the StanRTA investigation concerns allegations arising from incidents in September 2024, May 2025, and September 2025, while Mayor Carr was serving as Director and Chair, involving StanRTA employees; the matters concern StanRTA, not City of Hughson operations, meetings, or facilities; Mayor Carr was acting in his StanRTA public-agency role, and not as presiding officer of the Hughson City Council;
WHEREAS, the Mayor and each member of the City Council hold elective office and are not employees of the City; the City Council’s authority over the conduct of a fellow elected member is limited, and censure is the expressive means available to the Council to state its disapproval;

Page 29 of 34 ends

3010010-2
WHEREAS, StanRTA commissioned an independent workplace investigation, conducted by an independent workplace investigation law firm, into Mayor Carr’s interactions with StanRTA employees; the investigation’s findings were memorialized in written findings letter(s) that StanRTA has disclosed and that are public records available to the City and to the public; the City Council relies on the sustained findings of StanRTA’s independent investigator, as set forth in those publicly disclosed findings letters, because StanRTA is the public entity with jurisdiction over the employees involved;
WHEREAS, according to the publicly disclosed StanRTA findings letters, the investigator sustained three allegations under StanRTA’s internal harassment policy, one involving unwanted physical contact with a StanRTA employee and two involving jokes made in the presence of StanRTA employees, as described in Section 2 below;
WHEREAS, for purposes of this Resolution, a “sustained” workplace-investigation finding means only that the investigator concluded it was more likely than not (a preponderance of the evidence) that the alleged conduct occurred and that the conduct as found violated StanRTA’s internal harassment policy; a sustained finding is not a determination by this Council that the conduct in fact occurred, is not a legal conclusion (including a finding of unlawful harassment under FEHA or any other statute), is not a criminal adjudication, and is not a judicial finding; WHEREAS, StanRTA’s harassment policy prohibits harassment, including unwanted contact and derogatory or sexual jokes that may interfere with an employee’s work performance or create an intimidating, hostile, or offensive work environment, and establishes procedures for investigating harassment complaints; and
WHEREAS, in public statements reported in September 2026, Mayor Carr disputed portions of the findings, including the kissing allegation, acknowledged making the jokes, and characterized his conduct with StanRTA as “poor judgment”; and
WHEREAS, the independent workplace investigation was completed after Mayor Carr’s resignation as Chair, and the StanRTA letter describing the investigator’s findings, which StanRTA has disclosed as a public record, stated that, in light of that resignation, StanRTA considered its handling of the matter closed; and
WHEREAS, the Code of Conduct provides that Councilmembers who intentionally and repeatedly do not follow proper conduct may be censured, and the StanRTA matters represent multiple instances over 2024–2025;
WHEREAS, this Resolution was included in the agenda packet for the September 28, 2026 regular meeting of the City Council, which was posted on September 25, 2026 in accordance with Government Code § 54954.2 and distributed to each member of the City Council, including Mayor Carr, in advance of the meeting; Mayor Carr was thereby afforded the opportunity to review this

Resolution before the meeting and to address the City Council regarding it before the Council acted; and
WHEREAS, consideration of this Resolution was placed on the agenda for the regular meeting of the City Council held on September 28, 2026, in compliance with the Ralph M. Brown Act (Gov.

Code §§ 54950 et seq.), and the matter was considered in open session; and WHEREAS, Mayor Pro Tempore Randy Crooker presided over consideration of this item pursuant to Government Code § 36802.

FINDINGS OF FACT
Section 1. Recitals Incorporated.

The above recitals accurately describe the sources on which the City Council relies and are incorporated herein by this reference.

Section 2. Findings.

Based on the sources identified in the recitals, including the sustained findings set forth in the StanRTA workplace-investigation findings letters that StanRTA has disclosed as public records, and the full record before the City Council, the City Council makes the following findings, limited to its assessment of Mayor Carr’s conduct as a Hughson elected official. (a) StanRTA’s independent investigator sustained three allegations under StanRTA’s internal harassment policy standard: (1) an allegation that, in September 2024, Mayor Carr kissed and touched a StanRTA employee, as to which the investigator concluded that the conduct as found violated StanRTA’s harassment policy prohibiting unwanted physical contact; (2) an allegation that, in May 2025, Mayor Carr made a joke referencing masturbation in the presence of StanRTA employees; and (3) an allegation that, in September 2025, Mayor Carr made a joke concerning sexual orientation in the presence of StanRTA employees. (b) The City Council finds that the conduct described in the sustained findings, and in particular the conduct Mayor Carr has acknowledged, is inconsistent with the standards of behavior established by the Code of Conduct for Elected Officials, as set forth in Section 3 below.
(c) The StanRTA matters concern the period when Mayor Carr held the StanRTA small-cities Director seat, which was available to him only because he held elective office as Mayor of Hughson. Although the Hughson City Council did not appoint Mayor Carr to StanRTA, he held the seat in connection with that public-agency role. The City Council finds that Mayor Carr has publicly acknowledged making the

Page 31 of 34 ends

3010010-2
May 2025 and September 2025 jokes and characterized his conduct as “poor judgment,” while disputing the kissing allegation.
(d) The City Council does not independently find that any disputed conduct occurred, does not adopt the investigator’s StanRTA policy conclusions as its own legal conclusions, and makes no finding of unlawful conduct, including unlawful harassment under FEHA or any other statute. The Council does not purport to make findings on StanRTA’s behalf or on behalf of the StanRTA Board. (e) The censure is limited to Mayor Carr’s conduct as a Hughson elected official. This Resolution has no effect on any StanRTA seat or appointment.

Section 3. Code of Conduct Provisions Implicated.

The City Council finds that the conduct described in the sustained findings of the independent StanRTA workplace investigation, and in particular the conduct Mayor Carr has acknowledged, is inconsistent with the following provisions of the Code of Conduct for Elected Officials (adopted February 9, 2004, Resolution No. 04-19).

1. Preamble: “Elected officials are called upon to exhibit appropriate behavior at all times.”

2. Overview of Roles and Responsibilities — All Councilmembers: “Fully participate in City Council meetings and other public forums while demonstrating respect, kindness, consideration, and courtesy to others”; “Serve as a model of leadership and civility to the community”; “Inspire public confidence in Hughson government.”

3. Overview of Roles and Responsibilities — Mayor: “Acts as the official head of the City for all ceremonial purposes”; “Is recognized as spokesperson for City”; “Leads the Council into an effective, cohesive working team.”

4. Council Conduct with City Staff: “Treat all staff as professionals. Clear, honest communication that respects the abilities, experience, and dignity of each individual is expected. Poor behavior towards staff is not acceptable.” The City Council considers these standards equally applicable to employees of other public agencies with whom a Councilmember works in a position held by virtue of City office.

5. Council Conduct with the Public: “Remember that despite population figures, Hughson is a small town at heart… Their behaviors and comments serve as models for proper deportment in the City of Hughson. Honesty and respect for the dignity of each individual should be reflected in every word and action taken by Councilmembers, 24 hours a day, seven days a week. It is a serious and continuous responsibility.”

Page 32 of 34 ends

3010010-2

6. Principles of Proper Conduct: Proper conduct includes “Modeling a professional manner” and “Keeping integrity intact”; “It all comes down to respect… Respect for one another as individuals.”

7. Council Conduct with Other Public Agencies: “Be clear about representing the City or personal interests”; “Councilmembers should be clear about which organizations they represent and inform the Mayor and Council of their involvement.” NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Hughson as follows:

1. Statement of Censure. The City Council hereby formally censures Mayor George Carr and expresses its strong disapproval of the conduct described in the sustained findings of the StanRTA investigation and the conduct Mayor Carr has publicly acknowledged, which the Council finds inconsistent with the City of Hughson Code of Conduct for Elected Officials.

This censure constitutes a formal public rebuke adopted on behalf of the City Council.

2. Express Limitations on Effect of Censure. This censure is an expression of the City Council’s disapproval and nothing more. This Resolution does not and shall not: (a) remove Mayor Carr from office or from any position on the City Council; (b) strip, suspend, or diminish the Mayor’s right to vote on matters before the City Council; (c) divest the Mayor of any statutory powers or duties held by virtue of his election to office; (d) affect any committee assignment held by the Mayor by virtue of his office; (e) reduce, suspend, or otherwise alter the Mayor’s compensation during his current term of office (Gov. Code § 36516.5); (f) impose any other penalty, sanction, or disability upon the Mayor; or (g) remove, replace, or otherwise affect any StanRTA seat or appointment. Any appointment, replacement, or removal concerning a StanRTA seat is governed by the Joint Powers Agreement and the applicable appointing bodies.

3. No Adjudication of Legal Liability. This Resolution expresses the City Council’s disapproval of the conduct acknowledged by Mayor Carr and the conduct described in the sustained findings of the StanRTA investigation, which the Council finds inconsistent with the Code of Conduct. It is not a determination that any disputed conduct in fact occurred, does not adopt the investigator’s policy conclusions as the Council’s own legal conclusions, and makes no finding of unlawful conduct, including unlawful harassment under FEHA or any other statute. This Resolution is not, and shall not be construed as, an adjudication of criminal guilt or civil liability. Nothing in this Resolution is intended to determine or establish any legal right, obligation, or status of any person. This Resolution does not purport to be an action of, or bind, StanRTA or its Board of Directors.

Page 33 of 34 ends

3010010-2

4. Reservation; No Admission. The adoption of this Resolution is not, and shall not be construed as, an admission by the City of Hughson of any employment relationship with, or employer authority over, Mayor Carr, who holds elective office and is not a City employee, or of any liability under the Fair Employment and Housing Act or any other law.

5. Call to Comply with the Code of Conduct. The City Council calls upon Mayor Carr to conduct himself at all times in accordance with the Code of Conduct for Elected Officials.

6. Direction to City Clerk. The City Clerk is hereby directed to enter this Resolution into the official records of the City of Hughson and to transmit a certified copy of this Resolution to Mayor Carr.

7. Severability. If any section, subsection, sentence, clause, phrase, or word of this Resolution, or any application thereof, is for any reason held to be invalid or unconstitutional by a court of competent jurisdiction, such decision shall not affect the validity of the remaining portions of this Resolution.

8. Effective Date. This Resolution shall take effect immediately upon its adoption.
