9 THIS AMENDMENT NO. 3, is effective this day of_ _ 2025, by and between 10 the Orange County Transportation Authority, 550 South Main Street, P.O. Box 14184, Orange California 11 92863-1584, a public corporation of the State of California (herein referred to as "AUTHORITY") and the 12 City of Huntington Beach, 2000 Main Street, Huntington Beach, California 92648, a municipal corporation 13 duly organized and existing under the constitution and laws of the State of California (herein referred to as 14 "CITY") each individually known as "Party" and collectively known as the "Parties". 15 WITNESSETH:
16 WHEREAS, by Agreement No C-3-2654 dated October 6, 2023 (Agreement), last changed by 17 Amendment No. 2 dated December 27, 2024, AUTHORITY and CITY entered into a cooperative 18 agreement, in cooperation and partnership with the California Department of Transportation, herein 19 referred to as "CALTRANS", for the specific terms, conditions, and funding responsibilities between the 20 AUTHORITY and CITY for improvements defined as adding one general purpose lane from Euclid Street 21 to Interstate 605 (I-605), plus adding an additional median lane which will be combined with the existing 22 high-occupancy vehicle (HOV) lane and operated as dual express lanes in each direction of the Interstate 23 405 (I-405) from State Route 73 (SR-73) to I-605, replacing and/or widening structures, and other additional 24 geometric and interchange improvements, including improvements to CITY-owned and operated streets, 25 and traffic facilities hereafter referred to as CITY FACILITIES potentially impacted by this project, all of 26 which are hereafter referred to as "PROJECT"; and

1 2 WHEREAS, CITY and AUTHORITY agree to extend the term of the Agreement by six (6) months 3 to allow for contract acceptance and closeout of the PROJECT; and 4 WHEREAS, the CITY's City Council approved this Amendment No. 3 on the day of 5 - 2025.
6 NOW, THEREFORE, it is mutually understood and agreed by the AUTHORITY and CITY that the 7 Agreement, is hereby amended in the following particulars only:
8 Amend ARTICLE 10. ADDITIONAL PROVISIONS, page 14 of 17, paragraph A, line 2, as 9 last changed by Amendment No. 2 dated December 27, 2024, to delete "June 30, 2025" as the expiration 10 date of the Agreement and, in lieu thereof, insert "December 31, 2025." 11 /
