These materials may be used by CITY as it sees fit.
HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT.

25-16466/380266 3 of 11
"CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY and its officers, elected or appointed officials, employees, agents and volunteers, from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) to the extent that the claims against CONSULTANT arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of CONSULTANT. The duty to indemnify, including the duty and the cost to defend, is limited as provided in California Civil Code Section 2782.8.
C. Regardless of whether subparagraph A or B applies, CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation.
This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONSULTANT.
PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement.

RE: On-Call Civil Engineering Professional Consulting Services - Environmental/Water Quality Dear Procurement Division,
Huitt-Zollars, Inc. is pleased to provide you with this proposal for On-Call Environmental/Water Quality Engineering Services. Navigating the maze of State and Federal environmental laws and regulations for controlling stormwater and urban runoff, performing commercial and industrial inspections, and implementing the citywide trash compliance plan require a multidisciplinary team comprised of exceptional specialists to lead the City successfully through this labyrinth. Huitt-Zollars and our proposed Project Manager, Miguel Hernandez, PE, PLS, QSD/P intend to be the team to do just that for the City of Huntington Beach. Our team is uniquely qualified based on:
Successful Grant Applications for Stormwater Infrastructure: Huitt-Zollars has successfully secured grant funding for the implementation of numerous stormwater infrastructure projects in Southern California, but also fulfilled grant funding requirements during the design and construction support of stormwater BMPs. Recent completions by Huitt-Zollars include federal (FEMA Emergency Fund, FHWA FAST, etc.), State (Prop 86, Prop 1, etc.), and local (OCTA Measure M2, LA County Measure CC, LA County Measure W, etc.) funding sources. Huitt-Zollars intends to apply its lessons learned and help seek upcoming grant opportunities.
Regional Implementation of Citywide Trash Compliance Program: Huitt-Zollars helped develop the Citywide compliance strategy to meet the Statewide Trash Amendments. Unlike many other Orange County Cities, Huntington Beach has opted for the implementation of regional storm water and trash capture BMPs. While the initial capital costs may be higher, Huitt-Zollars determined that the lifecycle cost of regional full capture device BMPs was lower than that of distributed BMPs, and does not add a burden to City maintenance staff. Huitt-Zollars will continue to identify regional, cost effective, opportunities for the City and potential stakeholders (County, Caltrans, etc.).
Experience in NDES Inspections: Huitt-Zollars understands that the City may seek for staff augmentation to perform the annual quota of commercial and industrial businesses, as required by the MS4 Permit. We have previously helped the City with such endeavors. Our team proactively monitors the evolutions and nuances in the State Permits related to the IGP. Our professionals bring more than 35 years of common experience in performing storm water quality inspections for local, county, state agencies, and private entities.

Expertise in LID BMP Design and Construction Support: Huitt-Zollars has extensive experience in developing plans, details, and specifications for both distributed and regional Low Impact Development (LID) BMPs. Our team has successfully designed and specified more than thirty LID BMPs in the past five years in Orange County and Los Angeles County. Huitt-Zollars has successfully implemented award- winning BMPs within the built environment, such as existing roadways or facility retrofits, but also with contaminated soils.
Our mutual success will also rely on in-house experience of other professionals showcased within the organizational chart and supporting resumes. We have included local Disadvantage Business Enterprises (DBEs) with Caltrans experience to cover a broad range of disciplines. This gives the City of Huntington Beach DBE availability and flexibility when working with contracts that include federal funding. Including in our team are:
Q3 Consulting, located in Foothill Ranch will assist our team with all things stormwater. Recently, HZ has been working with Q3 on the Trash Provisions Compliance Plan under the previous Huntington Beach On-Call.
Blue Ocean Civil Consulting (DBE, WOSB, SBE), located in Santa Ana, will support our team with commercial and industrial inspections, as well as with the implementation of the storm water program.
Jessica Cassman and Remi Candaele of Q3 have successfully worked together on storm water projects in Orange County for over 17 years.
VCS Environmental (DBE, WBE, SBE) located in San Juan Capistrano, will complement our team with Phase 1 ESAs and CEQA compliance. Remi Candale previously completed water quality and floodplain management studies to support an EIR in Coto de Caza.
Our team will be dedicated to providing high-quality products to the City of Huntington Beach.
This proposed is signed by an officer allowed to bind the company. This proposal is valid for a period of 180 days. We look forward to working with the City.
Sincerely,
HUITT-ZOLLARS, INC.

The City needs a qualified engineering and environmental firm to provide professional design services for environmental and water quality engineering assignments. The HZ Team offers a unique and diversified expertise to performing water quality compliance inspections of construction, industrial, and commercial sites, as well as selecting, evaluating, sizing, and specifying Treatment Control BMPs at both the scale of a project and the scale of a watershed We understand the complexity of the regulatory framework, the physiographic setting of the City, and demonstrate extensive experience in each aspect of water quality compliance, whether it be inspections, outreach, watershed studies, stormwater implementation program development, BMP design and specifications, and cost estimates, or grant applications for storm water projects. COORDINATION WITH OCSD FOR SEWER DIVERSION
Given the current statewide regulations to save water in response to the drought conditions, OCSD and the City may be benefit from exploring alternatives to increase water independence by relying on local sources, including the diversion of dry-weather runoff and storm water flows to the existing sewer network. HZ has a comprehensive understanding of the City's sewer infrastructure. Upon initial discussions with OCSD, we would recommend that a Citywide Sewer Diversion study be prepared to identify locations with sufficient sewer conveyance capacity.
PARTNERSHIP WITH CALTRANS AND OTHER ENTITIES
Caltrans District 12 has a set aside budget for joint stormwater projects with local agencies to meet the Statewide Caltrans MS4 Permit. Several potential joint projects that treat Caltrans right-of-way have already been discussed with Caltrans Staff, including Murdy Park, Franklin Dr, McCallen Park, and Robidoux Dr. Huitt-Zollars will continue to support the identification and implementation of joint projects. Other potential partners may be the County of Orange, OCWD, and the Cities of Fountain Valley, Westminster, and Costa Mesa.

Our HZ Team has extensive experience providing comprehensive site inspection in various settings. The purpose of the site inspections is to ensure necessary activities within the City comply with the MS4 permit by effectively prohibiting unauthorized non-stormwater discharges and reducing potential pollutant discharge to the maximum extent practicable.
Specifically:
Municipal Inspection of Food Service Equipment (FSE): Our team recognizes that FOG is one of the primary causes of sanitary sewer blockages. Based on the Santa Ana RWQCB, sanitary sewer system overflows in Orange County from sewer collection systems have caused numerous City beach closures, the primary economic activity of Huntington Beach. When inspecting FSEs, our HZ Team will ensure that reporting has been made, employees have been trained, kitchen-specific BMPs are fully implemented, and grease interceptors, if any, are adequately operated and maintained. Inspection records of grease interceptors will be requested. During the industrial inspections an inspection checklist will be completed and pictures will be taken to document the findings. All non-compliant FSEs will be cited and be further discussed with the City for follow-up inspections.
Municipal Inspection of Industrial and Commercial Sites: Prior to performing an inspection, our HZ Team will review the status of the previous inspections, including the risk level, violations that were previously identified and resolved, as defined in the City database. Visits will be scheduled ahead of time by calling each business for an appointment. If not responsive, Huitt-Zollars will visit the place in person to identify whether the business still exists.
During each visit, the City's inspection checklist will be completed and photos will be taken. Areas of focus will include: use of water to wash hardscape, trash in common areas, handling/storage of chemicals and oils, sweeping and debris removal, and making sure the business is aware of their post construction BMPS, among others. In the case where a violation is identified, the HZ Team will coordinate with the City to discuss the encountered conditions. Because these are City businesses, education of the local business staff and communication skills are key to convey the message and ensure that all violations are remediated adequately.

TEAM EXPERIENCE
To effectively incorporate advanced innovative designs into projects, it is imperative to understand that this team has been properly prepared. Our design process is interactive and responsive, engaging all stakeholders relevant to the success of the project. The professionals included in the organization chart have been specifically selected based on the described needs. Keeping the continuity of information and decision-making that is funneled through project managers is critical to the success of a our projects. The professionals for each task are the professionals you will see throughout the life of a project. We have also developed a working relationship with consultants that have been selected for projects. We have assembled the right team!
FAMILIARITY WITH STATE AND FEDERAL PROCEDURES
Huitt-Zollars has the experience to provide services that require State and Federal Procedures. Federal Work and associated federal procedures are a daily occurrence at HZ.
Experiences include:
• HZ helped OC Parks receive a $1.4 Million Grant for Measure M2 Environmental Cleanup. Work included technical studies and grant writing assistance. • HZ provided PS&E that met federal and state ADA requirements, worked included compliance to MS4 Permit, filing a CLOMR/LOMR, preparing a hydraulic study for Caltrans approval, and work with State Fire Marshal.
• Caltrans State Wide Permit Assistance with Storm Water Compliance Services since 2008.
• Experience and relationships to assemble teams that meet DBE requirements. • Familiar with Caltrans Local Assistance Procedures Manual (LAPM).
FINANCIAL RESPONSIBILITY
Huitt-Zollars' project management and supervision philosophy centers around the axiom, "Plan the Work and Work the Plan." The three key components of "Plan the Work" are scope, budget, and schedule. "Work the Plan" means adhering to the planned scope, budget, and schedule. The concept of "Working the Plan" does not mean it is a static, inflexible document, but rather a dynamic one that morphs and changes as the project's needs change. Our chosen project manager accepts the responsibility and accountability in establishing and maintaining these components. The Project Manager will develop a "Project Work Plan" that is reviewed with the City during kickoff. After the work plan is approved, it is reviewed with our assigned staff so that each team member can understand the expected level of effort and the product that needs to be delivered. Tasks that are performed will meet the required milestones as set by the project work plan. The project manager updates the PWP to reflect daily communicating.
In our 50 year history we have not encountered financial difficulty in the completion of projects of any sizes. Over the past three years, the firm has averaged $96 million in revenue. Our local branch has a capacity of $11.5 million. We have plenty of capacity for additional projects and will be able to provide the expected insurance coverages. Our accounting department will provide invoices in the Local Assistance Procedure Manual.
DEMONSTRATE TECHNICAL ABILITY
At Huitt-Zollars our vision is to provide high quality design services in all disciplines, to maintain a balanced practice with robust capabilities, and to deliver projects to public works clients. Our strategy in achieving this vision has been the enhancement of our design practice through our proposed team.

The 4-barrel reinforced concrete box culvert system will allow for crossing of the Cypress Channel which conveys approximately 4,000 cubic feet of storm water per second during the peak event. The constructed embankment will need to be excavated from the Prado dam area to compensate for the loss of stormwater storage capacity due to the roadway embankment. The length of the widening segment is 1,700 lineal feet, and the length of the extension segment across the Prado flood plain is 5,800 lineal feet (1.4 miles total). The total grading will be 400,000 cubic yards.
This project includes the preparation of preliminary and final roadway design plans, storm drain plans, street lighting plans, environmental documentation, soils analysis, traffic study and report, traffic signal plans, utility coordination, power pole relocation, raising of an existing electric tower, right of way needs assessment and document preparation, Caltrans coordination, permit processing, engineers estimates, bid administration and construction administration.
