The time for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A." These materials may be used by CITY as it sees fit.

HOLD HARMLESS
A. CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT.

B. To the extent that CONSULTANT performs "Design Professional Services" within the meaning of Civil Code Section 2782.8, then the following Hold Harmless provision applies in place of subsection A above:
25-16466/380279 3 of 11
"CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY and its officers, elected or appointed officials, employees, agents and volunteers, from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) to the extent that the claims against CONSULTANT arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of CONSULTANT. In no event shall the cost to defend charged to CONSULTANT exceed CONSULTANT's proportionate percentage of fault. However, notwithstanding the previous sentence, in the event one or more other defendants to the claims and/or litigation is unable to pay its share of defense costs due to bankruptcy or dissolution of the business, CONSULTANT shall meet and confer with CITY and other defendants regarding unpaid defense costs. The duty to indemnify, including the duty and the cost to defend, is limited as provided in California Civil Code Section 2782.8.

C. Regardless of whether subparagraph A or B applies, CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation.

This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONSULTANT.

PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above-mentioned insurance shall not contain a self-insured retention without the express written consent of CITY; however an insurance 25-16466/380279 4 of 11
policy "deductible" of Ten Thousand Dollars ($10,000.00) or less is permitted. A claims-made policy shall be acceptable if the policy further provides that:

A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements).

B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims.

CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement.

If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that insurance has been procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. CONSULTANT waives the right to receive compensation and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CITY.

10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall:

A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and
25-16466/380279 5 of 11
C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium.

CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY.

The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required.

11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder.

12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike manner.

CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the 25-16466/380279 6 of 11

Grant Applications - Federal (HBP), Metropolitan Water District, State Grant (Prop 1, Prop 84, etc.), and local OCTA Measure M2 funding are tied to local match requirements that are defined during the application process. The grant application is generally prepared based upon preliminary engineering schematics, a general understanding of the site conditions, and numeric performance goals. An increase in the final construction cost estimate may prove challenging. We highly recommend that preliminary engineering cost estimates capture representative earthwork quantity takeoffs, utility conflicts and relocation/replacement, construction cost escalation, and other costly items.

• Preliminary Design Phase: 12 weeks (including reviews) Final PS&E Phase: 24 weeks (including milestones reviews at 60%, 90%, and 95%) v Permitting: Project Specific
/ Bidding and Construction Support Phase: Project-Specific Utility Conflict Resolution
In our experience, crossings with existing sewer utility lines drive both horizontal and vertical alignments of the proposed storm drain. Each separate relocation of a guy wire will require a separate work order from SCE, including pole load analysis and a 6-month relocation process. Similarly, each relocation of Medium Pressure and High Pressure gas lines will require 4- and 9-months for SoCalGas to process, respectively. To identify potential conflicts between the existing infrastructure and future improvements, all existing utilities will be located, verified, and compile into the topography using a stepwise approach:
• Site Inspection and Coordination: conduct a site investigation that includes digital documentation. The findings will be used to formulate a project specific approach and scope of services. The information gather will identify utility purveyors in the project vicinity and assesses probable challenges during construction.
/ Research and Gather Record Data: Request records from utility purveyors. Record information will be verified during the topographic survey and compiled into a drawing. ADA ramps in the project vicinity that do not meet federal regulations will be identified and updated during design.

Methods Specific to Environmental/Water Quality
Compliance with Trash Provisions
Much has been learned since the development and implementation of the Trash Amendments Compliance Plan.
• Regional FCD BMPs, certified by the State Water Board, present a high initial capital cost but would alleviate the maintenance v Infiltration-based BMPs are deemed infeasible due to high moisture or local perched groundwater.
• The footprint and inherent depth of hydrodynamic separators and media filters would result in cost-prohibitive construction and challenging maintenance operations for City Staff.
• Inline nets in Santa Ana River would require extensive structural design and permitting from OC Flood Control District.
• High-Capacity Inline Trash baskets have proven cost-effective by McCallen Park.

The City owns and operates several pump stations throughout the City. Each pump station presents an ideal location for implementing and operating full capture devices. Numerous technologies have been evaluated including strainers but deemed not feasible due to maintenance.

Q3 has identified a feasible retrofit of the trash rack of the Atlanta Pump Station and the Hamilton Pump Station. A structural retrofit of the trash racks is deemed the most cost- effective option.

NDES Inspections
Our Team has extensive experience providing comprehensive site inspection in various settings for numerous Cities in Orange County. Specifically:

Municipal Inspection of Food Service Equipment (FSE): Our team is fully familiar with the educational materials for the City's FOG Program. When inspecting FSEs, our Team will ensure that reporting has been made, employees have been trained, kitchen-specific BMPs are fully implemented, and grease interceptors, if any, are adequately operated and maintained. Inspection records of grease interceptors will be requested.

Municipal Inspection of Industrial & Commercial Sites: Prior to performing an inspection, our Team will review the status of the previous inspections, including the risk level, violations that were previously identified , eig a bushes to a sponse. le
not responsive, our team members will visit the place in person to identify whether the business still exists.

During each visit, the City's inspection checklist will be completed and photos will be taken. Areas of focus will include: use of water to wash hardscape, trash in common areas, handling/storage of chemicals and oils, sweeping and debris removal, and making sure the business is aware of their post construction BMPs, among others. In the case where a violation is identified, our Team will coordinate with the City to discuss the encountered conditions. Because these are City businesses, education of the local business staff and communication skills are key to convey the message and ensure that all violations are remediated adequately.

Statement of Qualifications
On-Call Civil Engineering Professional Consulting Services Huntington Beach and Talbert Channels, Sheet Pile Repair Design-Build, Huntington Beach, CA (2019-2022)
Q3 Consulting prepared a detailed hydrology, hydraulic and scour analysis of the Huntington Beach and Talbert Channels, in conjunction with the prime consultant, to identify and evaluate the impacts and design constraints associated with potential alternatives to repair channel banks. Work included the preparation of flood hydrographs, 1D & 2D steady and unsteady channel hydraulics, and scour to support the channel repair design work and to be used as the basis for the future certification of the levee system.

A two-dimensional, unsteady flow model was used to appropriately analyze the system performance and take into consideration the tidal wetlands located along the lower reaches of the channels, the time variation of discharges to the channels from the local watersheds and storm water pump stations, and the risk and uncertainty associated with the effects of climate change and sea level rise (SLR). Channel hydraulics and scour calculations were completed in conformance with the requirements in Title 44 of the Code of Federal Regulation, Section

65.10 (44 CFR 65.10) for mapping of areas protected by levee systems.

Q3 prepared an assessment of climate change-induced impacts to flooding in southeast Huntington Beach and identify adaptation measure for the future conditions. The results of the assessment are intended for use by the City of Huntington Beach (City) and the California Coastal Commission (CCC) to make informed decisions regarding development projects and adaptation measures for southeast Huntington Beach. A 1D/2D rain-on-grid model was developed to determine that the current and future condition flood levels do not impact existing structures. Some street areas do experience flooding of 1-1.5 feet, for a duration of approximately 1 to 2 hours in a 100-year 24-hour storm event.

The additional street flooding will occur in future conditions and if desired, would most likely require increasing both storm drain conduit and inlet capacities and pump station capacities.

The Santa Ana Watershed Project Authority (SAWPA) contracted with members of the N2W team to update its Inland Empire Brine Line (IEBL) Master Plan. The Master Plan included analyses of IEBL users, hydraulic capacity (current and future), and brine quality. Team members specifically evaluated potential options for removing per- and polyfluoroalkyl substances (PFAS) from brine. The Master Plan Updated included evaluation of granular activated carbon (GAC) treatment as well as a few "emerging" treatment technologies selected by SAWPA. The N2W team members developed lifecycle cost models for each treatment technology, which considered capital and operating cost estimates for an average treatment system capacity of 30 MGD.

The technologies that were evaluated were determined to be uneconomical. Removing trace quantities of PFAS from a brine at a large scale may become more feasible in the future as other removal technologies mature. The Page - 18
