CITY OF TONE
IONE, CA 95640
IFORNIA
DATE: JULY 1, 2025
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: JOSH VARINSKY, CITY ATTORNEY
SUBJECT: LEASE AGREEMENT BETWEEN THE CITY OF IONE AND SGM, INC.
FOR THE CASTLE OAKS GOLF COURSE
RECOMMENDED ACTION:
Approve and authorize execution of the attached lease agreement between the City of lone and SGM, Inc. for the Castle Oaks Golf Course.
BACKGROUND / DISCUSSION:
The attached lease agreement between the City and SGM, Inc. ("SGM") is the culmination of discussions which began around July 2024, when the Sang-Hai Corporation first notified the City of its intent to vacate the Castle Oaks Golf Course.
The Sang-Hai Corporation previously operated the golf course pursuant to a lease agreement with the City executed in July 2011. The Sang-Hai Corporation is also the owner of the two other properties used for the golf course: the "Clubhouse Property" located at 1000 Castle Oaks Drive, and the "Maintenance Property" located at 1230 Shakeley Lane.
On April 30, 2025, the City Council approved an agreement with the Sang-Hai Corporation, where the City assumed operation and maintenance of the golf course for a temporary period while the Sang-Hai Corporation engaged interested purchasers. During this period, the Sang-Hai Corporation identified SM as its preferred purchaser and entered into contract with SGM.
The City and SGM then commenced discussions over a new long-term lease agreement for the golf course. The attached lease agreement is proposed for the Council's consideration. The following provides a summary of the terms and conditions contained in the lease agreement:
• SGM will lease the golf course lands from the City, and use the Clubhouse Property and Maintenance Property for continued golf course operations. • SGM will be responsible for all golf course operations and maintenance. • The lease term is fifty (50) years, with an option to extend the lease for another fifty (50) years.
• Rent payments are $1.00 for the first twenty-five (25) years, $25,000 for the next twenty- five (25) years, and $40,000 for the next fifty (50) years. The $25,000 and $40,000 rent payments are subject to index escalators every three (3) years. • SGM will commit $800,000 toward capital improvements to the golf course over the first twenty (20) years, with $400,000 to be spent within the first ten (10) years. • There will be a green fee discount program for City of lone residents. • For irrigation water, $75,000 will be paid annually to the City, subject to an index escalator every two (2) years. Payments will be made quarterly.
• The parties would also like the irrigation well located at the Wastewater Treatment Plant property to continue to be available as a backup source of irrigation water. The City will commit $15,000 toward upgrading this irrigation well as may be necessary, and the parties will share in the project costs above $15,000.
• Termination provisions are included in the agreement as well. In the event of any future transfer to a new owner/operator, the parties will cooperate to facilitate the transition, and the City retains a first right of refusal to acquire the Clubhouse Property and the Maintenance Property.
FISCAL IMPACT:
Under the previous lease agreement with the Sang-Hai Corporation, the City received $40,000 per year in rent. With the new rent provisions, the City would not receive rental revenue for the first twenty-five (25) years. The annual water payment is similar to what the Sang-Hai Corporation was paying for irrigation water. The City is also agreeing to further upgrade the irrigation well, as may be necessary to provide a supplementary source of water. In addition, with the planned capital improvements in the first twenty (20) years and SM's expertise, the conditions of the golf course lands are expected to improve significantly.
ENVIRONMENTAL DETERMINATION:
This lease is not considered a "project" under the California Environmental Quality Act ("CEQA"), as it is not approving any development project or physical change to the environment.
The land will continue to be used as a public golf course. This lease would further be exempt from CEQA pursuant to the following: CEQA Guidelines 15061(b)(3) (commonsense exemption), CEQA Guidelines 15301 (existing facilities), and CEQA Guidelines 15317 (open space contracts).

Any such purchase price agreed to by the Parties shall be memorialized in a purchase and sale agreement providing for a reasonable due diligence period. This right of refusal shall be binding on all successors in interest to Lessee. Lessee agrees to permit a notice in recordable form executed by it and City to be recorded against the Clubhouse Property in the official records of Amador County to evidence City's rights hereunder.

TO: THE HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL FROM: GEORGE LEE, CITY MANAGER
SUBJECT: PURCHASE OF PUMP #2 FOR CASTLE OAKS LIFT STATION RECOMMENDED ACTION: Approve purchase of new pump for Castle Oaks Lift Station FISCAL IMPACT: $24,367.80
BACKGROUND: During the first day of the Tracer Study in April 2025, Pump #2 at the Castle Oaks Lift Station failed. This pump was removed by Shape, Inc., who has generously provided a loaner pump at no charge. The Castle Oaks Lift Station is a critical piece of infrastructure, which is responsible for conveying all municipal wastewater, as well as Tertiary filter backwash water from the Tertiary Treatment Plant to the wastewater ponds. Given its high workload and importance to system operations, reliable pump performance is essential.
Given the age of the current pump (over 30 years old), and the small price difference of approximately $1,400, staff is asking that the Council approve the purchase of the new pump.

RE: ALLOCATION OF ACRA FUNDS
RECOMMENDED ACTION: Approve the re-allocation of funds allocated to Train Depot Park for a basketball court to the Horse Arena to purchase bleachers and arena panels FISCAL IMPACT: $50,000
BACKGROUND: In June we brought forth a request to accept funds allocated from ACRA for the installation of a basketball and tether ball court at Train Depot Park. After some vocal opposition from area residents, the council forwarded the request to the Planning Commission for their comments. After further outreach to other residents in the area, it became clear that this project would have further opposition. Therefore, we reached out to other organizations on potential use of the funds, and we received universal support for the funds to go to horse arena for the purchase of bleachers and additional panels. I recently went back to the ACRA board, and they unanimously approved the re-allocation of these funds to the Horse Arena. The board approved the re-allocation of these funds as they were for Horse Arena which is part of Howard Park which serves people in the region and more specifically because it was "shovel ready" as the funds has to be used quickly as they were from previous funds in the ACRA.
DISCUSSION: The volunteers of the Horse committee have provided an estimate, diagram and photo of the items for the Arena. The panels would be used for holding pens for rough stock at events, the bleachers would be used to provide a seating area for spectators. Both purchases will move the Arena improvements forward and provide a foundation to collect entry fees which will provide revenue for the City.
