AFFIDAVIT OF POSTING
I, Armando Hegdahl, Management Analyst, certify that I caused the AMENDED agenda for the regular meeting of the City Council, Irwindale Successor Agency to the Irwindale Community Redevelopment Agency, and Housing Authority, to be held on January 11, 2023, be posted at the City Hall, Library, and Post Office on January 10, 2023.

Background and Analysis:

Since September 29, 2021, the City Council, jointly with the Successor Agency, Housing Authority and Reclamation Authority have adopted resolutions declaring an exemption under AB 361, allowing the legislative bodies to meet via teleconference and forego the Brown Act's traditional agenda posting, physical access and quorum requirements for teleconferencing. The City Council, Successor Agency, and Housing Authority (collectively, "City") have reviewed and adopted joint resolutions every month, ratifying the existence of a local emergency and authorizing remote hybrid meetings for all legislative bodies.

The State of California has implemented a phased rollback of the executive orders that were implemented due to COVID-19. Various remaining orders that were previously set to expire on June 30, 2022, were extended on June 17, 2022 forthe duration of the state of emergency. The State's declared emergency continues to be in effect. Additionally, current guidance provided by the Los Angeles County Department of Public Health for reducing the risk of COVID-19 recommends social distancing from people outside your household when their vaccination status is unknown. As a result, the findings exist for the City to continue to conduct the public meetings under the AB 361 exemption, should this be the City's desire.

The attached joint resolution for the City Council, Successor Agency, and Housing Authority, make the findings necessary for the legislative bodies to declare an exemption under AB 361 as (1) there is an existing state of emergency declared by the Governor and (2) the Los Angeles County Department of Public Health's guidance recommends to social distance (about 6 feet away) from people outside your household or when vaccination status is unknown.

As a result, the joint Resolution modifies public meetings as follows:

Page 2 ends

a. AB 361, attached to the Resolution as Exhibit A, regarding teleconference requirements allows City legislative bodies to hold public meetings by teleconferencing or electronically, and in-person, without noticing the teleconferenced locations on the agenda, without making teleconferenced locations accessible to the public, without making physical locations accessible to the public, without posting agendas at teleconferenced locations, without requiring members of the legislative bodies to be physically present at the meeting, and without requiring a quorum of the members of the legislative body to participate from locations within the City's jurisdiction, as long as the agenda that is posted as normally required under the Brown Act (California Government Code 54950 et seq.) and indicates that members of the legislative body may be participating electronically, provides the teleconference or webinar access information by which the public may participate electronically, and lists the procedure for individuals with disabilities to request reasonable accommodations;
b. All public meeting agendas shall be posted at least 72 hours prior to a regular meeting and at least 24 hours prior to a special meeting; c. Members of the public will have the ability to access the meeting and directly address the legislative body via a call-in option, an internet-based service provider, or in-person. Members of the public who wish to access the meeting inperson shall comply with all health and safety protocols imposed for in-person attendance to promote social distancing;
d. In the event of a service disruption that prevents broadcasting of the meeting, the meeting will stop and no further action on the agenda items will occur until (1) an attempt to restore service for a 10-minute period, and (2) adjourning the meeting to a new date and time when an unresolved issue exceeds the 10-minute time period.

Fiscal Impact:

Conducting remote hybrid public meetings will require city staff to assist with the meeting and public participation, remotely or in-person. The fiscal impact will be based on the amount of staff required and the duration of the meeting. The fiscal impact for all Council and Commission meetings for the 30-day period beginning January 11, 2023 through February 12, 2023 is estimated to be approximately $900.

REDEVELOPMENT AGENCY, AND THE IRWINDALE HOUSING AUTHORITY BOARD DO HEREBY RESOLVE, DETERMINE, AND ORDER AS FOLLOWS:

SECTION 1. The City Council, Successor Agency Board, and Housing Authority Board determine that each of the findings set forth above is true and correct and incorporated herein by this reference.

SECTION 2. The City Council, Successor Agency Board, and Housing Authority Board hereby consider the conditions of the state of emergency as proclaimed by the Governor, the existence of emergency conditions in the City of Irwindale, and reaffirm, reauthorize, and continue the existence of a local emergency throughout the City. 01005.0001/845894.1

SECTION 3. The City Council, Successor Agency Board, and Housing Authority Board hereby find that the state of emergency declared by Governor Newsom on or about March 4, 2020 remains active and local health agencies continue to recommend measures to promote social distancing, and that the risk of infection due to COVID-19 can cause an imminent risk to attendees to in-person meetings, despite vaccination status, but especially for unvaccinated attendees, and/or those who are immunocompromised, thereby prompting the City Council, Successor Agency Board, and Housing Authority Board to reaffirm, reauthorize, and maintain the existence of a local emergency, as required by Government Code section 54953(e) et seq.

SECTION 4. Due to the COVID-19 pandemic, the County of Los Angeles Department of Public Health recommends social distancing amongst people not of the same household where vaccination status is unknown. Based on such facts, findings, and determinations, the City Council, Successor Agency Board, and Housing Authority Board authorize staff to conduct remote hybrid meetings for all public meetings regular and special, including City Council, Successor Agency to the Irwindale Community Redevelopment Agency, and Irwindale Housing Authority Board of Commissioners, all City Commission and committee meetings, and any other meetings that would normally take place in the City Council Chambers under the provisions of Government Code Section 54953(e). As a result, the public meetings are modified as follows:
a. AB 361, attached hereto as Exhibit A, regarding teleconference requirements, allows City legislative bodies to hold public meetings by teleconferencing or electronically, and in-person, without noticing the teleconferenced locations on the agenda, without making teleconferenced locations accessible to the public, without making physical locations accessible to the public, without posting agendas at teleconferenced locations, without requiring members of the legislative bodies to be physically present at the meeting, and without requiring a quorum of the members of the legislative body to participate from locations with the City's jurisdiction, as long as the agenda that is posted as normally required under the Brown Act (California Government Code 54950 et seq.) indicates that members of the legislative body may be participating electronically, provides the teleconference or webinar access information by which the public may participate electronically, and lists the procedure for individuals with disabilities to request reasonable accommodations; b. All public meeting agendas shall be posted at least 72 hours prior to a regular meeting and at least 24 hours prior to a special meeting; c. Members of the public will have the ability to access the meeting and directly address the legislative body via a call-in option, an internet-based service provider, or in-person. Members of the public who wish to access the meeting inperson shall comply with all health and safety protocols imposed for in-person attendance to promote social distancing;

SECTION 5. The City Manager/Executive Director or his designee is authorized and directed to take all actions reasonably necessary to carry out the intent and purpose of this Resolution, including, continuing to conduct open and public meetings in-person and remotely in accordance with Government Code section 54953(e) et seq., and other applicable provisions of the Brown Act, for all public meetings.

SECTION 6. Pursuant to Government Code section 54953(e)(4), the local legislative body will verify every 30 days that the exemption from traditional teleconference requirements under the Brown Act is still necessary. The legislative body must make findings no later than 30 days after the first teleconference and every 30 days thereafter that:
a. The legislative body has reconsidered the state of emergency circumstances; and b. Either (1) the state of emergency continues to directly impactthe ability to meet safely in person, or (2) state or local officials continue to impose or recommend measures to promote social distancing.

SECTION 7. The Chief Deputy City Clerk/Secretary to the Successor Agency/Authority Assistant Secretary shall certify the adoption of this resolution which shall take effect on January 11, 2023 and shall be effective until the earlier of (i) February 12, 2023, or (ii) such time the City Council adopts a subsequent resolution in accordance with Government Code section 54593(e)(3) to extend the time during which the City's legislative bodies may continue to teleconference without compliance with Government Code section 54953(b )(3).

CHAPTER 165
An act to add and repeal Section 89305.6 of the Education Code, and to amend, repeal, and add Section 54953 of, and to add and repeal Section 11133 of, the Government Code, relating to open meetings, and declaring the urgency thereof, to take effect immediately.
[Approved by Governor September 16, 2021. Filed with
Secretary of State September 16, 2021.]

LEGISLATIVE COUNSEL'S DIGEST
AB 361, Robert Rivas. Open meetings: state and local agencies:
teleconferences.
(1) Existing law, the Ralph M. Brown Act requires, with specified exceptions, that all meetings of a legislative body of a local agency, as those terms are defined, be open and public and that all persons be permitted to attend and participate. The act contains specified provisions regarding the timelines for posting an agenda and providing for the ability of the public to directly address the legislative body on any item of interest to the public.

The act generally requires all regular and special meetings of the legislative body be held within the boundaries of the territory over which the local agency exercises jurisdiction, subject to certain exceptions. The act allows for meetings to occur via teleconferencing subject to certain requirements, particularly that the legislative body notice e.ach teleconference location of each member that will be participating in the public meeting, that each teleconference location be accessible to the public, that members of the public be allowed to address the legislative body at each teleconference location, that the legislative body post an agenda at each teleconference location, and that at least a quorum of the legislative body participate from locations within the boundaries of the local agency's jurisdiction. The act provides an exemption to the jurisdictional requirement for health authorities, as defined. The act authorizes the district attorney or any interested person, subject to certain provisions, to commence an action by mandamus or injunction for the purpose of obtaining a judicial determination that specified actions taken by a legislative body are null and void.

Existing law, the California Emergency Services Act, authorizes the Governor, or the Director of Emergency Services when the governor is inaccessible, to proclaim a state of emergency under specified circumstances.

Executive Order No. N-29-20 suspends the Ralph M. Brown Act's requirements for teleconferencing during the COVID-19 pandemic provided that notice and accessibility requirements are met, the public members are allowed to observe and address the legislative body at the meeting, and that a legislative body of a local agency has a procedure for receiving and swiftly 92 RESOLUTION NO. 2023-05-3383

resolving requests for reasonable accommodation for individuals with disabilities, as specified.

This bill, until January 1, 2024, would authorize a local agency to use teleconferencing without complying with the teleconferencing requirements imposed by the Ralph M. Brown Act when a legislative body of a local agency holds a meeting during a declared state of emergency, as that term is defined, when state or local health officials have imposed or recommended measures to promote social distancing, during a proclaimed state of emergency held for the purpose of determining, by majority vote, whether meeting in person would present imminent risks to the health or safety of attendees, and during a proclaimed state of emergency when the legislative body has detennined that meeting in person would present imminent risks to the health or safety of attendees, as provided.

This bill would require legislative bodies that hold teleconferenced meetings under these abbreviated teleconferencing procedures to give notice of the meeting and post agendas, as described, to allow members of the public to access the meeting and address the legislative body, to give notice of the means by which members of the public may access the meeting and offer public comment, including an opportunity for all persons to attend via a call-in option or an internet-based service option, and to conduct the meeting in a manner that protects the statutory and constitutional rights of the parties and the public appearing before the legislative body. The bill would require the legislative body to take no further action on agenda items when there is a disruption which prevents the public agency from broadcasting the meeting, or in the event of a disruption within the local agency's control which prevents members of the public from offering public comments, until public access is restored. The bill would specify that actions taken during the disruption are subject to challenge proceedings, as specified.

This bill would prohibit the legislative body from requiring public comments to be submitted in advance of the meeting and would specify that the legislative body must provide an opportunity for the public to address the legislative body and offer comment in real time. The bill would prohibit the legislative body from closing the public comment period and the opportunity to register to provide public comment, until the public comment period has elapsed or until a reasonable amount of time has elapsed, as specified. When there is a continuing state of emergency, or when state or local officials have imposed or recommended measures to promote social distancing, the bill would require a legislative body to make specified findings not later than 30 days after the first teleconferenced meeting pursuant to these provisions, and to make those findings every 30 days thereafter, in order to continue to meet under these abbreviated teleconferencing procedures.

Existing law prohibits a legislative body from requiring, as a condition to attend a meeting, a person to register the person's name, or to provide other information, or to fulfill any condition precedent to the person's attendance.

This bill would exclude from that prohibition, a registration requirement imposed by a third-party internet website or other online platform not under the control of the legislative body.
(2) Existing law, the Bagley-Keene Open Meeting Act, requires, with specified exceptions, that all meetings of a state body be open and public and all persons be permitted to attend any meeting of a state body. The act requires at least one member of the state body to be physically present at the location specified in the notice of the meeting.

The Governor's Executive Order No. N-29-20 suspends the requirements of the Bagley-Keene Open Meeting Act for teleconferencing during the COVID-19 pandemic, provided that notice and accessibility requirements are met, the public members are allowed to observe and address the state body at the meeting, and that a state body has a procedure for receiving and swiftly resolving requests for reasonable accommodation for individuals with disabilities, as specified.

This bill, until January 31, 2022, would authorize, subject to specified notice and accessibility requirements, a state body to hold public meetings through teleconferencing and to make public meetings accessible telephonically, or otherwise electronically, to all members of the public seeking to observe and to address the state body. With respect to a state body holding a public meeting pursuant to these provisions, the bill would suspend certain req1.Jirements of existing law, including the requirements that each teleconference location be accessible to the public and that members of the public be able to address the state body at each teleconference location. Under the bill, a state body that holds a meeting through teleconferencing and allows members of the public to observe and address the meeting telephonically or otherwise electronically would satisfy any requirement that the state body allow members of the public to attend the meeting and offer public comment. The bill would require that each state body that holds a meeting through teleconferencing provide notice of the meeting, and post the agenda, as provided. The bill would urge state bodies utilizing these teleconferencing procedures in the bill to use sound discretion and to make reasonable efforts to adhere as closely as reasonably possible to existing law, as provided.
(3) Existing law establishes the various campuses of the California State University under the administration of the Trustees of the California State University, and authorizes the establishment of student body organizations in connection with the operations of California State University campuses.

The Gloria Romero Open Meetings Act of 2000 generally requires a legislative body, as defined, of a student body organization to conduct its business in a meeting that is open and public. The act authorizes the legislative body to use teleconferencing, as defined, for the benefit of the public and the legislative body in connection with any meeting or proceeding authorized by law.

This bill, until January 31, 2022, would authorize, subject to specified notice and accessibility requirements, a legislative body, as defined for purposes of the act, to hold public meetings through teleconferencing and 92 RESOLUTION NO. 2023-05-3383

to make public meetings accessible telephonically, or otherwise electronically, to all members of the public seeking to obseive and to address the legislative body. With respect to a legislative body holding a public meeting pursuant to these provisions, the bill would suspend certain requirements of existing law, including the requirements that each teleconference location be accessible to the public and that members of the public be able to address the legislative body at each teleconference location.

Under the bill, a legislative body that holds a meeting through teleconferencing and allows members of the public to observe and address the meeting telephonically or otherwise electronically would satisfy any requirement that the legislative body allow members of the public to attend the meeting and offer public comment. The bill would require that each legislative body that holds a meeting through teleconferencing provide notice of the meeting, and post the agenda, as provided. The bill would urge legislative bodies utilizing these teleconferencing procedures in the bill to use sound discretion and to make reasonable efforts to adhere as closely as reasonably possible to existing law, as provided.
(4) This bill would declare the Legislature's intent, consistent with the Governor's Executive Order No. N-29-20, to improve and enhance public access to state and local agency meetings during the COVID-19 pandemic and future emergencies by allowing broader access through teleconferencing options.
(5) This bill would incorporate additional changes to Section 54953 of the Government Code proposed by AB 339 to be operative only if this bill and AB 339 are enacted and this bill is enacted last
(6) The California Constitution requires local agencies, for the purpose of ensuring public access to the meetings of public bodies and the writings of public officials and agencies, to comply with a statutory enactment that amends or enacts laws relating to public records or open meetings and contains findings demonstrating that the enactment furthers the constitutional requirements relating to this purpose.

This bill would make legislative findings to that effect. (7) Existing constitutional provisions require that a statute that limits the right of access to the meetings of public bodies or the writings of public officials and agencies be adopted with findings demonstrating the interest protected by the limitation and the need for protecting that interest.

This bill would make legislative findings to that effect. (8) This bill would declare that it is to take effect immediately as an urgency statute.

The people of the State of California do enact as follows:

SECTION 1. Section 89305.6 is added to the Education Code, to read:

SEC. 6. It is the intent of the Legislature in enacting this act to improve and enhanc.e public access to state and local agency meetings during the COVID~ 19 pandemic and future applicable emergencies, by allowing broader access through teleconferencing options consistent with the Governor's Executive Order No. N-29-20 dated March 17, 2020, permitting expanded use of teleconferencing during the COVID-19 pandemic.

SEC. 7. The Legislature finds and declares that Sections 3 and 4 of this act, which amend, repeal, and add Section 54953 of the Government Code, further, within the meaning of paragraph (7) of subdivision (b) of Section 3 of Article I of the California Constitution, the purposes of that constitutional section as it relates to the right of public access to the meetings of local public bodies or the writings of local public officials and local agencies. Pursuant to paragraph (7) of subdivision (b) of Section 3 of Article I of the California Constitution, the Legislature makes the following findings:

(b) The Legislature finds and declares that Section 1 of this act, which adds and repeals Section 89305. 6 of the Education Code, Section 2 of this act, which adds and repeals Section 11133 of the Government Code, and Sections 3 and 4 of this act, which amend, repeal, and add Section 54953 of the Government Code, all increase and potentially limit the public's right of access to the meetings of public bodies or the writings of public officials and agencies within the meaning of Section 3 of Article I of the California Constitution. Pursuant to that constitutional provision, the Legislature makes the following findings to demonstrate the interest protected by this limitation and the need for protecting that interest:
(1) By removing the requirement that public meetings be conducted at a primary physical location with a quorum of members present, this act protects the health and safety of civil servants and the public and does not preference the experience of members of the public who might be able to attend a meeting in a physical location over members of the public who cannot travel or attend that meeting in a physical location. (2) By removing the requirement for agendas to be placed at the location of each public official participating in a public meeting remotely, including from the member's private home or hotel room, this act protects the personal, private information of public officials and their families while preserving the public's right to access information concerning the conduct of the people's business.

I
Background and Analysis:

On March 2, 2022, the City of Irwindale received formal notice from the County of Los Angeles (primary grantee) that the City of Irwindale (subrecipient) was awarded $67,518 in FY 2020 State Homeland Security Grant Program ("SHSGP") funds to offset the cost of a cybersecurity assessment for the City's technology infrastructure. With the SHSGP funds, the City will hire a Contractor to provide a security assessment of common Computer-Aided Dispatch (CAD) and Records Management System (RMS) operating systems. In addition, the Contractor will examine and identify Cloud storage systems for attack vulnerabilities; examine agencies' "third-party vendor" security Policies and Procedures; conduct unannounced penetration testing of selected operating and/or vendor systems; and provide follow-up training for information technology representatives.

In March 2021, Microsoft issued a notification regarding potential vulnerabilities from its Microsoft Exchange product. Since February 2021, there have been ongoing cyberattack from a group called HAFNIUM which was thought by security researchers to be affiliated with the Chinese state exploiting these vulnerabilities on thousands of organizations worldwide. In March, 2021, the Department of Homeland Security (OHS) and the Los Angeles Sheriff Department (LASO) contacted many local law enforcement agencies to advise computer systems were potentially compromised due to Microsoft Exchange vulnerability. Although it was determined the City of lrwindale's computer system was not compromised, made accessible to the public, or breached in any manner, it took city IT staff many hours to ensure normal operations. Adding a cybersecurity assessment service will not only further enhance the computer network protection but also identify any potential weaknesses of the Internet facing systems.

Over the past several months, the City of lrwindale's Information Technology Division has been in conversation with several vendors to potentially provide cybersecurity assessment services to the City of Irwindale/Irwindale Police Department. This was a very complex procurement due to several factors: 1) the exact detail of the City's IT infrastructure; 2) the unique nature of the services required; 3) discussion regarding the prior attempt to breech the City's cybersecurity defenses; and 4) the level of services required to maintain the security of the IT infrastructure, including third party assessments.

After careful review and consideration, staff is recommending that the City of Irwindale enter into a professional services agreement with AT&T using Federal and State awarded CALNET pricing to provide cybersecurity assessment services based on the firms understanding of the engagement, prior services provide to our City and others, and the pricing model.

Irwindale Municipal Code ("IMC") Sections 3.44.0SO(E) and (F) states that the City Council can dispense with bidding when "through cooperative purchasing with the state, the county, and other public agencies, the advantages of large-scale buying may be

Page 2 ends

obtained," and "when the purchase is beneficial to the interest of the city and is from a supplier who has been awarded a specific item or items in a contract resulting from a formal competitive bid process by another governmental agency within the state of California or by the federal government within the previous year." AT&T was awarded the Federal contract for flat rate internet services pricing through CALNET NEXTGEN Agreement No.: 20210426108/155674UA and State of California contract ID- IFB C4DNCS19.

AT&T has provided the City with two proposals that are each components of the Cybersecurity Assessment. The first component is to assess the City's cybersecurity, and the second seeks to determine the extent to which critical systems and sensitive information are vulnerable to compromise or attack, and provide solutions.

The quote provided to staff covers time and material costs for a system-wide cybersecurity assessment. Hourly rates were determined using the State of California approved pricing contract issued on April 14, 2022, with an expiration date of June 30, 2025.

It is therefore recommended that the City Council adopt Resolution No. 2023-02-3380, approving the 2020 State Homeland Security Program Sub-recipient Agreement, and Professional Services Agreement with AT&T for Cybersecurity Assessment Services.

Fiscal Impact:

There will be no fiscal impact to the General Fund. The total quote forthe AT&T consultant services is $50,500, which will be reimbursed from the City's participation in the reimbursement grant in the amount of $67,518 from the State of California Homeland Security Grant Program. The County of Los Angeles and the State of California, upon the receipt of goods by the City of Irwindale Police Department, will submit a claim for reimbursement. Reimbursement is expected to take 90-120 days.

Funds for this grant originate from the U.S Department of Homeland Security. Therefore this grant is considered a federal award and must be accounted for in the City's Federal Grants Fund 31. An additional General Fund appropriation of $67,518 is required to appropriate the budget in Fund 31 for this purchase. In addition, a revenue budget of $67,518 is also required to account for the receipt of the grant revenue upon reimbursement.

During remote work activities, AT&T Cybersecurity Consulting professionals will analyze the information gleaned from information gathered during the previous step. The objective is to identify critical issues and the risk from the associated issue and develop prioritized recommendations for improvement. AT&T Cybersecurity Consulting will review and evaluate City of Irwindale security posture against the NIST CSF Framework.

Reporting
Using the results from the previous steps, AT&T Cybersecurity Consulting will identify gaps between the City of Irwindale posture against the framework and document the findings from the previous work efforts with the prioritized recommendations to improve City of ltwindale security posture and compliance with the requirements.

As part of this activity, AT&T Cybersecurity Consulting will ensure that our recommendations and supporting rationale are clearly understood, actionable, and appropriate for City of Irwindale environment. AT&T Cybersecurity Consulting will present any documentation detailing our findings and recommendations in a draft form to provide City of hwindale with an opportunity to review, comment, correct, and approve the format and content prior to finalizing the deliverable documentation. This iterative process helps to ensure that City of Irwindale can make informed, incremental decisions regarding specific courses of action throughout this review.

Maturity Ratings
In addition to providing a narrative summary of our findings related to program maturity, AT&T Cybersecurity Consulting will assign a relative maturity rating to each so that City of Irwindale can gain a better understanding of their overall posture.

The maturity assessment will be organized around the content of City of Irwindale Program to be assessed.

AT&T Cybersecurity Consulting uses ratings based on maturity models commonly used within industry (e.g., Carnegie Mellon University's Capability Maturity Model or the Program Review for Information Security Management Assistance (PRJSMA) maturity levels) and will customize the scorecard to align with City of Irwindale Program functions.

While this numerical scoring model is based on a subjective evaluation of a particular process or control and consequently subject to minor inconsistencies and inaccuracies, it does provide a useful gauge of process capability and can be used to focus actions and priorities, as well as benchmark the program going forward. • Remediation Strategy and Roadmap Development
AT&T Cybersecurity Consulting will establish a remediation strategy to address the prioritization and remediation planning for the high risks identified during this engagement The remediation strategy will also allow for proper budgeting for necessary information security initiatives and a defendable prioritization model for implementation of these initiatives. AT&T Cybersecurity Consulting will establish the remediation strategy through a collaborative effort with the technology, business, and administration staff at City of Irwindale. AT&T Cybersecurity Consulting is aware of the criticality of obtaining buy-in and collaboration from internal groups, especially groups impacted by the remediation strategy; we will be happy to assist with and facilitate the process of publicizing and disseminating the proposed Security Strategy among relevant stakeholders, answering questions, and gathering and incorporating feedback.

AT&T Cybersecurity Consulting will develop a roadmap for implementation of the proposed remediation strategy. This roadmap sets the priorities and general timeframes for implementation of various strategic initiatives, and can be used for budgeting and other planning purposes. The roadmap also serves to focus the organization's efforts to avoid random imp"l,?!llentation efforts, or imp!;"r;ientations that become stalled because of missing dependencies.

Development of the roadmap will require a planning exercise with the appropriate management from impacted groups, especially groups participating in implementation of initiatives included in the roadmap. During this facilitated exercise, AT&T Cybersecurity Consulting will assist the client's information security management team to present and discuss priorities for information security initiatives. It is important that the (impacted) implementation groups are included in the planning for the roadmap; failure to include these groups can cause a situation where too much is being asked with not enough resources being available. AT&T Cybersecurity Consulting can assist with determination of existing resources, both monetary and personnel, before or during the roadmap development.

Once the planning exercise has been completed, the timeframes and approximate budgets can be laid out. These activities will take close coordination between the various stakeholders to arrive at realistic and achievable timelines and budget inputs. Cooperation among the responsible parties will also help with achieving buy-in among the stakeholders. The draft roadmap will be created from the components decided during the planning exercise. This draft will then be circulated amongst all the stakeholders for review and approval. AT&T Cybersecurity Consulting can assist in these reviews and discussions with stakeholders. Once the final roadmap has been agreed upon, it can be published to the applicable parties.

Managed Vulnerability Scanning Services Agreement from AT&T Consulting This document provides a service description of the Managed Vulnerability Program Service ("Service") from AT&T Consulting.

This Service Guide consists of the following parts:
• Service Description (SD)
• Pricing (P)
Vulnerability Scanning Service Description (SD)
SD-1. General
Vulnerability Testing seeks to determine the extent to which critical systems and sensitive information are vulnerable to compromise or attack. AT&T will provide managed vulnerability scanning of both the internal and external environments. This scanning will be conducted from an external perspective using a cloud-based Web portal to manage scans and track remediation workflow.

A virtual scan engine and/or host agents will be deployed within the client's environment to scan the internal hosts.

SD-2. Methodology
AT&T Cybersecurity Consulting will initiate both ad-hoc and scheduled automated scans and produce vulnerability scanning reporting as required by Customer and defined in the kick-off meeting. Information provided by Customer about the target environment will serve as an input for the automated scanning phase.

Prior to starting the assessment, AT&T Cybersecurity Consulting conducts a project initiation meeting where AT&T Cybersecurity Consulting and Customer mutually establish the rules of engagement. These rules will establish the hours of testing, identify hosts specifically excluded from testing, and will generally guide the efforts to perform a thorough test while minimizing business disruptions.

Host Identification
The scan solution uses host and service identification activities to identify specific system and application information on targeted hosts and networks. The solution gathers information on features such as open ports, operating system types, software versions, available services, and the applications providing those services. The scanner then uses this information to obtain lists of known or emerging vulnerabilities so the foundation for further testing can be established.

Vulnerability Scanning
The objective of this phase ls to identify hosts, services, and vulnerabilities in the target environment using a suite of customized tools. The scanner performs vulnerability Identification after identifying all hosts, ports, and available services. The result of the vulnerability identification step is an enumeration of possible vulnerabilities obtained through a combination of the various scanning and analysis tools.

• The client will allow or white-list AT& T's scanning servers in any intrusion prevention system in order to allow the scans to be conducted without interference.

Web Application Shielding Service Description (SD)
SD-5. General
Web Application Shielding is a cloud-based managed service that help prevent exploitation of web application or API vulnerabilities and protects them against DDoS attacks. It does this by:
• Deploying a unique technology "shielding" applications by front-ending them as a hardened proxy compensating for patching, logic, and code flaw vulnerabilities.
• Wrapping this technology with a fully managed service that constantly scans for new vulnerabilities, deploys new shields as required and reports on shielding efficacy. This helps protect web applications against the exploitation of vulnerabilities, allowing time to patch or rewrite the application code or to work with the software vendor or Saas partner to correct the code.
• An additional benefit is that it may immediately improve your cybersecurity posture as reported by publicly available assessment services and tools.

SD-6. Methodology
Upon commencement of our service AT&T Consulting will conduct a kick-off meeting (phone conference, or in person) as described in the "Communications Section" to establish rules of engagement and share critical information. This meeting will cover how to engage AT&T Consulting to start and stop activities, and establish emergency contacts.

AT&T Consulting's approach is highly collaborative and will work closely with the client during the engagement to ensure compliance with project timeframes and target scope. At any point during the engagement, items discovered on client assets that are determined to be of significant risk will be communicated as quickly as possible to the Points of Contact in a manner agreed upon during the kick-off meeting.

Each party will designate a Single Point of Contact (SPOC) that has the authority to represent such party and has decisionmaking authority for most matters. All material communications should be conducted through the SPOCs. Such communications should either be in writing or summed up in writing. However, it is recognized that for the sake of efficiency, there may be direct CONFIDENTIAL/PROPRIETARY DOCUMENT, NOTTO BE DISTRIBUTED OR REPRODUCED WITHOUT WRITIEN PERMISSION OF AT&T CORP. 4 AT&T Consulting Service Description I Statement of Work .. ~ Managed Vulnerability Program Services ::=3 AT&T Business ~ communications between AT&T Consulting team members and various client employees. Any conversation that may have a material outcome on the success of the engagement will be documented and sent to the SPOCs.

Rather than requiring patches, or code fixes, AT&T Cybersecurity leverages a separate shielded path to web applications with an existing library of thousands of generic shields (Signature, Behavioral & DDoS) available to be deployed to securely protect the web applications. They can be particularly useful for 3rd party and legacy applications where there are no development teams available. Shields apply fixes specific to your web applications. These shields can be deployed in hours, and they can be left in place for as long as needed. Shields modify web application behavior without touching a single line of code, offering protecting from even the most sophisticated attack.
• Fix web app vulnerabilities without touching a line of code or affecting functionality • Infrastructure protected by an aggregate of the world's largest DDoS scrubbing centers, with over 12Tbps capacity • Globally distributed network, peering with over 1,500 ISPs and deployable to over 180 datacenters • Fully managed, 24/7/365 risk reduction service, proactively monitored and maintained • A full suite of protection, threat analysis, and ongoing audit functions • Ongoing visibility and reporting in a custom dashboard • Assurance of ISO 27001 Information Security Certified Processes SD-7. SD-8. General
Vulnerability Testing determines the extent to which critical systems and sensitive information are vulnerable to compromise or attack. Penetration Testing seeks to exploit the vulnerabilities identified in order to gain access to critical systems, sensitive information, or a specified trophy. AT&T Consulting uses a combination of automated and detailed manual test steps to perform Penetration Testing. Information provided by the organization about the target environment will serve as an input for the automated scanning phase. AT&T Consulting will review the results of the automated test results for exploitable conditions in the environment. The team will then execute advanced, manual tests to identify and exploit additional, obscure vulnerabilities that the automated scans may have overlooked.

13 AGREEMENT FOR CONTRACT SERVICES

BETWEEN THE CITY OF IRWINDALE AND

AT&T CORPORATION
This AGREEMENT FOR CONTRACT SERVICES (herein "Agreement") is made and entered into this 11th day of January, 2023 by and between the CITY OF IRWINDALE, a California Charter City and municipal corporation ("City") and AT&T Corporation, a Delaware corporation ("Consultant"). City and Consultant are sometimes hereinafter individually referred to as "Party" and hereinafter collectively referred to as the "Parties." NOW, THEREFORE, the parties hereto agree as follows:

1. SERVICES OF CONSULTANT

1.1 Scope of Services. In compliance with all of the terms and conditions of this Agreement, the Consultant shall perform the work or services set forth in the "Scope of Services" attached hereto as Exhibit "A" and incorporated herein by reference. Consultant warrants that it has the experience and ability to perform all work and services required hereunder and that it shall diligently perform such work and services in a professional and satisfactory manner.

1.2 Compliance With Law. All work and services rendered hereunder shall be provided in accordance with all ordinances, resolutions, statutes, rules, and regulations of the City and any Federal, State or local governmental agency of competent jurisdiction.

1.3 Licenses, Permits, Fees and Assessments. Consultant shall obtain at its sole cost and expense such licenses, permits, and approvals as may be required by law for the performance of the services required by the Agreement.

1.4 Special Reguirements. Additional terms and conditions of this Agreement, if any, which are made a part hereof are set forth in the "Special Requirements" attached hereto as Exhibit "B" and incorporated herein by this reference. In the event of a conflict between the provisions of Exhibit "B" and any other provisions of this Agreement, the provisions of Exhibit "B" shall govern.

2. COMPENSATION

2.1 Contract Sum. For the services rendered pursuant to this Agreement, Consultant shall be compensated in accordance with the "Schedule of Compensation" attached hereto as Exhibit "C" and incorporated herein by this reference, but not exceeding the maximum contract amount of Ten Thousand and Five Hundred Dollars ($10,500.00) ("Contract Sum").

2.2 Invoices. Each month Consultant shall furnish to City an original invoice for all work performed and expenses incurred during the preceding month in a form approved by City's Director of Finance. By submitting an invoice for payment under this Agreement, Consultant is certifying compliance with all provisions of the Agreement. The invoice shall detail charges for all necessary and actual expenses by the following categories: labor (by sub01005.0001/849451.1 1 category), travel, materials, equipment, supplies, and subcontractor contracts. Subcontractor charges shall also be detailed by such categories. Consultant shall not invoice City for any duplicate services performed by more than one person.

City shall independently review each invoice submitted by the Consultant to determine whether the work performed and expenses incurred are in compliance with the provisions of this Agreement. Except as to any charges for work performed or expenses incurred by Consultant which are disputed by City, City will use its best efforts to cause Consultant to be paid within forty five (45) days of receipt of Consultant's correct and undisputed invoice; however, Consultant acknowledges and agrees that due to City warrant run procedures, the City cannot guarantee that payment will occur within this time period. In the event any charges or expenses are disputed by City, the original invoice shall be returned by City to Consultant for correction and resubmission. Review and payment by the City of any invoice provided by the Consultant shall not constitute a waiver of any rights or remedies provided herein or any applicable law.

2.3 Additional Services. City shall have the right at any time during the performance of the services, without invalidating this Agreement, to order extra work beyond that specified in the Scope of Services or make changes by altering, adding to or deducting from said work. No such extra work may be undertaken unless a written order is first given by the Contract Officer to the Consultant, incorporating therein any adjustment in (i) the Contract Sum for the actual cost of the extra work, and/or (ii) the time to perform this Agreement, which said adjustments are subject to the written approval of the Consultant. Any increase in compensation of up to ten percent (10%) of the Contract Sum but not exceeding a total contract amount of Five Thousand Dollars ($5,000) or in the time to perform of up to ninety (90) days may be approved by the Contract Officer. Any greater increases, taken either separately or cumulatively, must be approved by the City Council. No claim for an increase in the Contract Sum or time for performance shall be valid unless the procedures established in this Section are followed.

3. PERFORMANCE SCHEDULE
3 .I Time of Essence. Time is of the essence in the performance of this Agreement.

3.2 Schedule of Performance. Consultant shall commence the services pursuant to this Agreement upon receipt of a written notice to proceed and shall perform all services within the time period( s) established in the "Schedule of Performance" attached hereto as Exhibit "D" and incorporated herein by this reference. When requested by the Consultant, extensions to the time period( s) specified in the Schedule of Performance may be approved in writing by the Contract Officer but not exceeding thirty (30) days cumulatively.

3.3 Force Majeure. The time period(s) specified in the Schedule of Performance for performance of the services rendered pursuant to this Agreement shall be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of the Consultant, including, but not restricted to, acts of God or of the public enemy, unusually severe weather, fires, earthquakes, floods, epidemics, quarantine restrictions, riots, strikes, freight embargoes, wars, litigation, and/or acts of any goverrunental agency, including the City, if the Consultant shall within ten (10) days of the commencement of such delay notify the Contract Officer in writing of the causes of the delay. The Contract Officer shall ascertain the facts and the extent of delay, and extend the time for performing the services for the 01005.0001/849451.1 -2-
period of the enforced delay when and if in the judgment of the Contract Officer such delay is justified. The Contract Officer's determination shall be final and conclusive upon the parties to this Agreement. In no event shall Consultant be entitled to recover damages against the City for any delay in the performance of this Agreement, however caused, Consultant's sole remedy being extension of the Agreement pursuant to this Section. 3 .4 Term. Unless earlier terminated in accordance with Article 7 of this Agreement, this Agreement shall continue in full force and effect until completion of the services but not exceeding one (1) year from the date hereof, except as otherwise provided in the Schedule of Performance (Exhibit "D").

4. COORDINATION OF WORK

Instead, the City may give notice to Consultant of the default and the reasons for the default. The notice shall include the timeframe in which Consultant may cure the default. This timeframe is presumptively thirty (30) days, but may be extended, if circumstances warrant. During the period of time that Consultant is in default, the City shall hold all invoices and shall, when the default is cured, proceed with payment on the invoices. If Consultant does not cure the default, the City may take necessary steps to terminate this Agreement under this Article.

In addition, the Consultant reserves the right to terminate this Contract at any time, with or without cause, upon sixty (60) days' written notice to City, except that where termination is due to the fault of the City, the period of notice may be such shorter time as the Consultant may determine. In the event of termination without cause pursuant to this Section, the terminating party need not provide the non-terminating party with the opportunity to cure pursuant to Section 7.2.
