Background and Analysis:

California Government Code Section 53646 requires that the City Treasurer submit a quarterly report of  investments  (Investment  Report)  to  the  City  Council/Board  Members  for  review  and  compliance with the City’s adopted investment policy (City’s Investment Policy).

The attached Investment  Report  summarizes  the  cash  balances and investments as  of December  31, 2023, for each agency. The City of Irwindale’s balances include investments of all funds of the City and its  agencies,  which  are  pooled  to maximize  the  interest  yield.  The  cash  balances  in  the  general  and money market accounts also include all funds of the City and its agencies, which also earn interest on the pooled cash balances.  All investments comply with the City’s Investment Policy.

As previously noted, all funds held by the City, Successor Agency, Housing Authority, and Reclamation Authority are pooled to maximize interest yields. The Reclamation Authority Board is not scheduled to meet  again  until  March  13,  2024.  Therefore,  this  same  Investment  Report  will  be  included  in  the Reclamation  Authority’s  Agenda  for  that  meeting  for  review  by  the  Reclamation  Authority  Board  as well.

Fiscal Impact:

There is no fiscal impact to receive and file this report.

Background and Analysis:

On October 25, 2023, the City of Irwindale experienced a Zoom bombing during its regular City Council meeting.  A Zoom bombing occurs when multiple speakers  (usually in coordination) utilize  the public comment  period  of  a  public  meeting  to  engage  in  profane,  hateful,  racist,  or  otherwise  derogatory speech, unrelated to the business of the local agency.

At the meeting of November 8, 2023, then Mayor Pro Tem Albert F. Ambriz requested that a resolution be brought forward for City Council consideration, denouncing hate speech of any kind. The proposed resolution  reflects  the  commitment  of  the  City  of  Irwindale  to  diversity  and  the  protection  of  its community from acts of hate, discrimination and harassment.

Background and Analysis:

On January 8, 2024, Barry Blanset on behalf of Irwindale Lions Club, submitted a request to waive the rental fees for using the Irwindale Community Center every month beginning January 2024 through and including December 2024, and one Lions Club Speaker Competition on February 26, 2024.

The City of Irwindale’s Fee Adjustment Policy provides that Community Center facility use fees may be waived or reduced for applicants meeting the following criteria:

1. Recognized by the IRS as a non‐profit or charitable organization, organized primarily for veteran, patriotic, welfare, civic betterment, or charitable purposes, which has its principal meeting place within the City and has been organized and established in the City for a minimum continuous period of one year preceding the fee waiver application; and

2. Where it can be shown, through documentary proof, a financial hardship exists; or

3. Where the fee waiver would serve a public purpose by demonstrating that the use of the City facility will benefit the community.

The Irwindale Lions Club is a 501(c)(3) non‐profit organization established within the City of Irwindale for more than one year. It has its principal meeting place or office within the City. The Irwindale Lions Club sponsors programs and scholarships for the Irwindale community, food gift certificates for those in need, and helps fund other surrounding charities. Meetings at the Irwindale Community Center will be held on the 4th Tuesday of every month from 11:30 am to 1:30 pm.

The applicant’s request to waive facility rental fees meets the criteria for consideration of a fee waiver according to the City of Irwindale’s Fee Adjustment Policy by recognizing that the non‐profit organization of the Irwindale Lions Club is currently experiencing financial hardship due to a declining number of memberships following the COVID‐19 Pandemic. Moreover, the Lions Club provides a direct benefit to the community through its sponsorships and programs. The facility waiver will reduce the costs of the scheduled events and provide relief to the organization.

Fiscal Impact:

The approval of this item will result in a loss of $1,020.00 in Fiscal Year 2023‐2024 and $600.00 in Fiscal Year 2024‐2025 General Fund.

Background and Analysis:

In October  2023,  the  City  of Irwindale  received  proposals  through an  informal  bidding  process  from qualified contractors for the Irwindale Veterans Memorial Flag Poles Project with the following results:

Contractor Total Bid Price
E.C. Construction Co.  $ 23,070
Horizons Construction Co.  $ 26,600
R Dependable Construction, Inc.  $ 29,800

On October 4, 2023, the City issued a Purchase Order (P.O.) No. 0000007280 in the amount of $23,070 to E.C. Construction to install seven (7) flag poles, including the construction of their foundation for the Irwindale Veterans Memorial Flag Poles Project

During  the  construction  of  the  flag  pole  foundations,  the  contractor  encountered  numerous unforeseeable  circumstances  that  posed  challenges  in  the  excavation  of  the  foundation.   These challenges included conflicts with underground utilities and the discovery of large‐sized boulders. As a result,  it  became  necessary  to  relocate  two  underground  water  supply  lines  and  multiple  irrigation lines. Additionally, two electrical conduits were damaged during the process and required subsequent repairs.     Furthermore,  large‐sized  boulders  were  unexpectedly  encountered  during  excavation, requiring additional work and time to address.

Due to the unforeseeable site conditions, E.C. Construction has provided a cost breakdown on a time and material basis and demonstrated a cost increase from $23,070.00 to $39,650.48.  This represents a change  order  to  the  P.O.  of  $16,580.48.  As  per  the  Irwindale  Purchasing  Policy,  City  Manager  is authorized to award purchases of this type in the amount not exceed $30,000.00.  However, given that the  actual  work  required  to  complete  the  project  exceeds  this  amount  by  $9,650.48,  it  is  now presented to the City Council for approval.

This  project was  successfully  completed  within  the  approved  timeline  and  in   accordance  with  the specified plans and  specifications. Given  the unforeseen challenges and  the critical need  to have  the flagpoles installed before the Veterans Day Ceremony on November 11, 2023, staff recommends that the  City  Council  ratify  the  changes  in  the  contract  amount  and accept  the  improvements  and maintenance responsibility for Irwindale Veterans Memorial Flag Poles Project.

Phase  II  of  this  project  is  currently  budgeted  in  the  FY  2023/2034  CIP  as  the  Irwindale  Veteran’s Memorial Improvement Project.  Phase II will include the construction of concrete walk path, in‐ground uplights  for  the  flag  poles,  LED  lights  for  the  new  palm  trees,  and  Landscape  and  irrigation.   It  is anticipated that Phase II will begin construction in June of this year.

Fiscal Impact:

Funding  for  this  project  is  budgeted  in  the  FY  2023/2024  CIP  Budget  as  the  Irwindale  Veteran’s Memorial Improvement Project in the amount of $ 300,000 (Account Number 48‐80‐800‐45200‐8246).

Sufficient funding is available in the FY 2023‐24 budget to pay for this amount.

Background and Analysis:

The equipment items described in the attached list are computer hardware and electronic devices that have exceeded their useful life and are merely occupying storage space with no potential marketable value. These items have become obsolete, worn out, broken, or unsuitable  for City use. As such,  the Purchasing Manager has declared the equipment to be surplus property per the attached declaration.

Section  3.44.150  of  the  Irwindale  Municipal  Code  outlines  the  following  procedure  to  dispose  of surplus equipment:

1. All  departments  must  submit  to  the  purchasing  manager  reports  showing  all  equipment  no longer used or which have become obsolete or worn out.

2. The purchasing manager makes a declaration of the surplus equipment.

3. The item must be offered for sale on a competitive bid basis after proper notice to the public.

4. After a reasonable effort has been made to obtain competitive bids and no offers are received for any item, the purchasing manager is authorized to dispose of such item for the highest scrap value that can be obtained.

5. If a reasonable effort to do so procures no opportunity to sell the same for scrap, the purchasing manager may cause its destruction or any other disposition.

The  most  efficient  and  cost‐effective  method  of  securing  competitive  bids,  given  the  value  of  the equipment, is  through a public auction  service. Through  this method,  the City may likely  receive  the highest bid and the equipment may be sold in a single, efficient manner.  However, since the computer and  electronic  equipment  items  listed  have  no  real  resale  value,  they  are  more  appropriately considered electronic waste (e‐waste). Therefore, the purchasing manager, per the authority in Section

3.44.150 of the Irwindale Municipal Code, has determined that the most feasible way to dispose of this e‐waste  is  through  an  electronic  waste  recycler.  This  item  is  before  the  City  Council  in  the  spirit  of transparency, and no action is required by the City Council.

Fiscal Impact:

The computer and electronic items on the attached list have no significant resale value. Any potential residual funds from disposing the items as e‐waste through a recycler are anticipated to be nominal, if any, and would be credited to the General Fund.

On February 24, 2021, the City of Irwindale ("City") and Arakelian Enterprises, Inc. dba Athens Services ("Athens")  entered  into  a  Franchise  &  Facilities  Operations  Agreement  ("Agreement")  and Development Agreement No. 02‐2016 ("DA"), describing the construction and operation of a Materials Recovery Facility and Transfer Station (the "MRF/TS") along with a public Fueling Facility/Convenience Store and accessory improvements (collectively, the "Project").  The Agreement and DA include Exhibit "A": Facility Scope & Components which states, "Phase I shall include, at a minimum, the Construction and Debris, Self  ‐Haul  ‐Construction and Debris, Employee Area, and Convenience Store, each having the approximate square footage shown below."  The approximate square footage for the convenience store is shown as 2,578 sq ft.

On  December  22,  2023,  the  City  received  a  letter  from  Athens  legal  counsel  requesting  the development of  the  2,587  sq  ft convenience  store be postponed  to a  subsequent phase.  Given  that the Agreement and DA  specify  the construction of  the convenience  store as part of  Phase I, Athens' request would require, at a minimum, an amendment to the Agreement and DA.

It  is  therefore  recommended  that  the  City  Council  discuss  the  request  from  Athens  and  provide direction to staff.

Background and Analysis:

On October 10, 2018, the City Council adopted Resolution No. 2018‐72‐3066 establishing a Non‐Profit Community  Foundation  for  the  purpose  of  accepting  and  using  funds  donated  to  the  City  for community purposes.  On February 13, 2019,  the City Council approved  the Articles of Incorporation and the Bylaws of the Irwindale Community Foundation (ICF) that stated the Board of Directors shall be composed  of  one  sitting  member  of  the  Irwindale  City  Council;  two  (2)  residents  of  the  CIty  of Irwindale and two (2) representatives of businesses located in the City of Irwindale, who shall not be employees, commissioners, or elected officials of the City of Irwindale.

Per the ICF Bylaws, Section 3(a), Directors shall be appointed for a term of two (2) years.  The terms of the inaugural board were as follows:
(i) The councilperson's initial term shall end on June 30, 2022; (ii) The two City residents' initial terms shall end on June 30, 2022; and (iii) The two business representatives' terms shall end on June 30, 2020 On  June  30,  2024,  the  terms  of all  current  Boardmembers will expire,  creating  the  potential  for  five new  Boardmembers  to  be  seated  on  the  Foundation  Board.   Since  its  inception,  the  Board  has endeavored  to  support  several  programs  and  special  events  in  the  City  of  Irwindale.   The  Board continues  to  create an  identity  for  the ICF and explore  fundraising efforts  to  provide  future  funding opportunities for the Irwindale community.

Staff is presenting the following options for the City Council to consider with respect to the ICF Board appointments:

1. Amend the ICF bylaws to stagger the terms of the Boardmembers. The City Council may select any  combination  of  board  members  into  groups  of  two  and  three,  and  make  initial appointments  of  one‐year  terms,  with  subsequent  two‐year  terms  for  the  first  group;  and appointments of two‐year terms for the second group;

2. Make  no  changes  to  the  ICF  bylaws  and  maintain  the  existing  appointment  schedule  for Boardmembers with all terms expiring every two years; or

3. Provide other direction to staff
Should the Council wish to amend the ICF bylaws to stagger the terms of Boardmembers, staff would bring  forward  the  bylaw  amendment  for  approval.   Should  no  changes  be  made,  the  terms  of  the Boardmembers would continue to all expire on the same schedule, creating a scenario whereby there could be an entirely new Board every two years.
