Recommendation:

That City Council approves the Special Event Permit Application for the Kit Carson Mountain Men Days of 49 Wagon Train Parade.

Discussion:

The Kit Carson Mountain Men Wagon Train will be the main attraction for this event. The Wagon Train will arrive on Saturday April 26th and travel non-stop down Main Street. Resolution No. 2025-08
A Resolution of the City Council of the City Of Jackson Awarding a Contract for the Design and Construction of the Mattley Hillside Repair Project
WHEREAS, the City of Jackson (“City”) requires the design and construction of permanent slope stabilization for the Mattley Hillside Repair Project (the “Project”) which is further described in the Request for Proposals set forth in Exhibit A attached hereto (“RFP”); and WHEREAS, a landslide occurred several years ago on the slope between Mattley Street and the City parking lot, as described in the RFP. While the City has taken measures to prevent erosion, without additional mitigation, the site is at risk of further failure; and WHEREAS, the City previously solicited proposals for the Project as set forth in the RFP and received the proposal from Access Limited Construction (“ALC”) set forth in Exhibit “B” attached hereto (“ALC Proposal”); and
WHEREAS, pursuant to Public Contract Code section 22160 and section 22162, the City is authorized to procure design-build contracts public works projects in excess of one million dollars ($1,000,000), awarding the contract either the low bid or the best value; and WHEREAS, the estimated cost of this project is less than one million dollars, which would otherwise prevent the City from utilizing the design-build procurement method; and WHEREAS, due to the complexities of hillside stabilization, the design-build method is expected to be more cost-effective, reduce project risks, and expedite completion by integrating design and construction under a single contract. This approach minimizes delays associated with design-contractor disputes, ensures a more cohesive response to unforeseen site conditions, and allows for a more efficient allocation of resources, ultimately serving the City’s best interests; and WHEREAS, “[a] public entity's award of a contract, and all of the acts leading up to the award, are legislative in character. [T]he letting of contracts by a governmental entity necessarily requires an exercise of discretion guided by consideration of the public welfare[]”. (Mike Moore's 24-Hour Towing v. City of San Diego (1996) 45 Cal.App.4th 1294, 1303); and WHEREAS, “where competitive proposals work an incongruity and are unavailing as affecting the final result, or where competitive proposals do not produce any advantage, or where it is practically impossible to obtain what is required and to observe such form, competitive bidding is not applicable.” (Graydon v. Pasadena Redevelopment Agency (1980) 104 Cal.App. 3d 631, 636); and
WHEREAS, “[t]he law neither does nor requires idle acts.” (Civil Code, § 3532); and

Item 4m
82201.00006\43320420.3
WHEREAS, City staff has determined on the basis of the RFP and ALC Proposal that awarding a design-build contract for the Project to ALC without further competitive solicitation is in the best interest of the City as guided by consideration of the public welfare for the foregoing reasons (“Staff Findings”).

NOW THEREFORE, BE IT RESOLVED, by the City Council of the City of Jackson, California that:

1. The City Council adopts the Staff Findings as its own (“Council Findings”).

2. The City Manager or designee is hereby authorized and directed to enter into the contract with ALC consistent with the ALC Proposal and RFP (the “Proposed Contract”), subject to minor revisions, if any, approved by the City Manager and City Attorney to comply with applicable law or otherwise ensure that the City contracts for the Project on clear, unambiguous terms that are in the best interest of the City.

Consultant shall purchase a one (1) year extended reporting period A) if the retroactive date is advanced past the effective date of this Agreement; B) if the policy is cancelled or not renewed; or C) if the policy is replaced by another claims-made policy with a retroactive date subsequent to the effective date of this Agreement.
(iv) All required insurance coverages, except for the professional liability coverage, shall contain or be endorsed to waiver of subrogation in favor of the City, its officials, officers, employees, agents, and volunteers or shall specifically allow Consultant or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. Consultant hereby waives its own right of recovery against City, and shall require similar written express waivers and insurance clauses from each of its subconsultants.
(v) The limits set forth herein shall apply separately to each insured against whom claims are made or suits are brought, except with respect to the limits of liability.

Further the limits set forth herein shall not be construed to relieve the Consultant from liability in excess of such coverage, nor shall it limit the Consultant’s indemnification obligations to the City

h. Qualifying Insurers

(ii) If at any time during the life of the Agreement, any policy of insurance required under this Agreement does not comply with these specifications or is canceled and not replaced, City has the right but not the duty to obtain the insurance it deems necessary and any premium paid by City will be promptly reimbursed by Consultant or City will withhold amounts sufficient to pay premium from Consultant payments. In the alternative, City may cancel this Agreement.

Consultant's obligation to indemnify shall not be restricted to insurance proceeds, if any, received by the City, its officials, officers, employees, agents or volunteers.
b. Additional Indemnity Obligations. Consultant shall defend, with counsel of City’s choosing and at Consultant’s own cost, expense and risk, any and all Claims covered by this section that may be brought or instituted against the City, its officials, officers, employees, agents or volunteers. Consultant shall pay and satisfy any judgment, award or decree that may be rendered against the City, its officials, officers, employees, agents or volunteers as part of any such claim, suit, action or other proceeding. Consultant shall also reimburse City for the cost of any settlement paid by the City, its officials, officers, employees, agents or volunteers as part of any such claim, suit, action or other proceeding. Such reimbursement shall include payment for the City's attorney's fees and costs, including expert witness fees. 14. California Labor Code Requirements.
a. Consultant is aware of the requirements of California Labor Code Sections 1720 et seq. and 1770 et seq., which require the payment of prevailing wage rates and the performance of other requirements on certain “public works” and “maintenance” projects. If the services are being performed as part of an applicable “public works” or “maintenance” project, as defined by the Prevailing Wage Laws, and if the total compensation is $1,000 or more, Consultant agrees to fully comply with such Prevailing Wage Laws, if applicable. Consultant shall defend, indemnify and hold the City, its officials, officers, employees and agents free and harmless from any claims, liabilities, costs, penalties or interest arising out of any failure or alleged failure to comply with the Prevailing Wage Laws. It shall be mandatory upon the Consultant and all subconsultants to comply with all California Labor Code provisions, which include but are not limited to prevailing wages, employment of apprentices, hours of labor and debarment of contractors and subcontractors.

Page 72 of 87 ends

b. If the services are being performed as part of an applicable “public works” or “maintenance” project, then pursuant to Labor Code Sections 1725.5 and 1771.1, the Consultant and all subconsultants performing such Services must be registered with the Department of Industrial Relations. Consultant shall maintain registration for the duration of the Project and require the same of any subconsultants, as applicable. If any action is brought to interpret or enforce any term of this Agreement, the action shall be brought in a state or federal court situated in the County of Amador, State of California.

17. Attorneys’ Fees. In an action arising out of or in connection with this Agreement, the prevailing Party shall be entitled to reasonable attorneys’ fees and costs from the other Party.

18. Termination or Abandonment.
a. City has the right to terminate or abandon any portion or all of the work under this Agreement by giving ten (10) calendar days written notice to Consultant. In such event, City shall be immediately given title and possession to all original field notes, drawings and specifications, written reports and other documents produced or developed for that portion of the work completed and/or being abandoned. City shall pay Consultant the reasonable value of services rendered for any portion of the work completed prior to termination. If said termination occurs prior to completion of any task for the Project for which a payment request has not been received, the charge for services performed during such task shall be the reasonable value of such services, based on an amount mutually agreed to by City and Consultant of the portion of such task completed but not paid prior to said termination. City shall not be liable for any costs other than the charges or portions thereof which are specified herein. Consultant shall not be entitled to payment for unperformed services, and shall not be entitled to damages or compensation for termination of work.
b. Consultant may terminate its obligation to provide further services under this Agreement upon thirty (30) calendar days’ written notice to City only in the event of substantial failure by City to perform in accordance with the terms of this Agreement through no fault of Consultant.

Page 73 of 87 ends

Time is of the essence for each and every provision of this Agreement.

30. City’s Right to Employ Other Consultants.

31. Prohibited Interests.

Consultant maintains and warrants that it has not employed nor retained any company or person, other than a bona fide employee working solely for Consultant, to solicit or secure this Agreement. Further, Consultant warrants that it has not paid nor has it agreed to pay any company or person, other than a bona fide employee working solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, City shall have the right to rescind this Agreement without liability. If Consultant desires to exclude confidential information from disclosure, Consultant shall designate such confidential information as exempt from disclosure and provide the exemption as well as the factual basis for claiming the exemption. Although the California Public Records Act recognizes that certain confidential information may be protected from disclosure, City may not be in a position to establish that the information that Consultant submits is a trade secret or other protected information. If a request is made for information marked “Confidential”, “Trade Secret” or “Proprietary”, City will provide Consultant who submitted the information with reasonable notice to seek protection from disclosure by a court of competent jurisdiction. City is not obligated to attempt to protect information marked as “Confidential”, “Trade Secret” or “Proprietary” and will merely notify Consultant that a Public Records Act request has been received. The City Council of the City of Jackson does ordain as follows:

SECTION 1. Recitals. The above recitals are true and correct and hereby incorporated into this Ordinance.

SECTION 2. Amendment. Chapter 8.36 is hereby added to the Jackson Municipal Code as follows:

Jackson City Council
City of Jackson
33 Broadway
Jackson, CA 95642
Dear Members of the Council,
Planning is underway for the 27th Annual Celebrate Our Children Festival. This year’s event will be held on Saturday, April 26, from 11:00 am to 2:00 pm, at Argonaut High School in Jackson. Our theme is “Unlocking the MYSTERIES of Learning!” This is one of Amador County’s premier annual events for local families, and is the county’s largest free event designed for its children. It is one of the few opportunities for families to enjoy a day of fun at no cost, thanks to the generous donations from members of our community.

Our event has grown dramatically over the past 3 years, doubling prior attendance numbers in 2023. In 2024, we welcomed an unprecedented 1,000-plus attendees to this event from all over the county.

Based on results of Parent Surveys that we collected during and after last year’s Festival, residents from zip codes across the entire county came to Jackson to attend our event. Not only are families able to attend this event to interact and engage in positive ways with their children, learn about local resources available to them, and find more information on child care options available, our event also benefits the economy of Jackson.

In addition, we continue to use this event as our largest method of outreach, to help educate the community on the importance of affordable, accessible, and high quality child care. Child care is a critical component of every community’s economy and infrastructure… if parents don’t have child care, they can not go to work. This year’s event will feature over 50 booths hosted by local organizations and businesses. In particular, a spotlight on Amador County’s Universal PreKindergarten (UPK) Mixed Delivery system will also be featured, which includes local private preschool centers, State Preschool, Head Start/Early Head Start, Transitional Kindergarten (TK), after school programs, and licensed family child care providers.

Every year, we outreach to the community for sponsorships through mailings, our newsletter, social media, during meetings with partner organizations, during Chamber of Commerce Mixers, and submit sponsorship grant requests to available local sources. As a 501(c)3 non-profit organization, this recent growth of our event presents a need for more financial assistance when possible, so that we can continue to provide this beloved annual tradition. On average, the approximate total cost of this event has been $6,000 each year. We are respectfully requesting $1,500 from the City of Jackson’s Transient Occupancy Tax (TOT) Funds to help offset this cost. Yearly expenses include our annual vendor t-shirts, a new children’s book for every child who attends, music and entertainment, advertising, supporting free lunches for all festival-goers, and activity supplies.

Page 85 of 87 ends

Item 7c
If we were to be granted this request, the City of Jackson would be listed on the back of this year’s tshirts, receive exclusive banner placement at the event, recognition on all media outreach, and in our event guide.

We would like to take a moment to thank the City of Jackson Police Department for their very generous contributions to our free lunches at last year’s event, and we look forward to partnering with them again this year! We would also like to thank the City of Jackson Fire Department, who has been participating for many years by giving tours of their fire truck exhibits, displaying the large American flag over Argonaut Drive with their ladder truck (as seen in the attached photos), and helping to run the Bike Helmet Rodeo.

We look forward to partnering with them again this year, as well! These departments have been two exemplary examples of the City of Jackson’s community collaboration, and heartfelt generosity in giving back to the children and families of Amador County.

The Amador Child Care Council hopes that you will consider helping us to make our 27th Annual celebration another great day for the community. We have attached this year’s event flyer, brochure, and photos from last year’s celebration, for you to reference. We thank you very much for considering our request, and we invite you to visit our event on April 26th to enjoy the festivities! With sincere thanks,
