This Guarantee Agreement (this “Guarantee”), dated as of _______, 2025, is made and entered into by Waste Management, Inc., a Delaware corporation (“Guarantor”).

W I T N E S S E T H:

WHEREAS, USA Waste of California, Inc., a subsidiary of Guarantor (the “WM Subsidiary”) has entered into an Exclusive Franchise Agreement for Solid Waste, Recyclables, and Organic Waste Collection Services (the “Agreement”) effective as of [date] with the City of King, California (the “City”) pursuant to which WM Subsidiary has agreed to provide certain collection, disposal and processing services; and
WHEREAS, Guarantor will directly or indirectly benefit from the Agreement; NOW THEREFORE, in consideration of City entering into the Agreement, Guarantor hereby covenants and agrees as follows:

1. GUARANTY. Subject to the provisions hereof, Guarantor hereby irrevocably and unconditionally guarantees the timely payment when due of the financial obligations of WM Subsidiary (the “Obligations”) to City in accordance with the Agreement. To the extent that WM Subsidiary shall fail to pay any Obligations, Guarantor shall promptly pay to City the amount due.

This Guarantee shall constitute a guarantee of payment and not of collection. The liability of Guarantor under the Guarantee shall be subject to the following:

Guarantor’s liability hereunder shall be and is specifically limited to payments expressly required to be made in accordance with the Agreement (even if such payments are deemed to be damages) and, except to the extent specifically provided in the Agreement, in no event shall Guarantor be subject hereunder to consequential, exemplary, equitable, loss of profits, punitive, tort, or any other damages, costs, or attorney’s fees.

2. DEMANDS AND NOTICE. If WM Subsidiary fails or refuses to pay any Obligations, City shall notify WM Subsidiary in writing of the manner in which WM Subsidiary has failed to pay and demand that payment be made by WM Subsidiary. If WM Subsidiary’s failure or refusal to pay continues for a period of fifteen (15) days after the date of City’s notice to WM Subsidiary, and City has elected to exercise its rights under this Guarantee, City shall make a demand upon Guarantor (hereinafter referred to as a “Payment Demand”). A Payment Demand shall be in writing and shall reasonably and briefly specify in what manner and what amount WM Subsidiary has failed to pay and an explanation of why such payment is due, with a specific statement that City is calling upon Guarantor to pay under this Guarantee. A Payment Demand satisfying the foregoing requirements shall be deemed sufficient notice to Guarantor that it must pay the Obligations. A single written Payment Demand shall be effective as to any specific default during the continuance of such default, until WM Subsidiary or Guarantor has cured such default, and additional written demands concerning such default shall not be required until such default is cured.

4. SETOFFS AND COUNTERCLAIMS. Without limiting Guarantor’s own defenses and rights hereunder, Guarantor reserves to itself all rights, setoffs, counterclaims and other defenses to which WM Subsidiary or any other affiliate of Guarantor is or may be entitled to arising from or out of the Agreement or otherwise, except for defenses arising out of the bankruptcy, insolvency, dissolution or liquidation of WM Subsidiary.

Except as to applicable statutes of limitation, no delay of City in the exercise of, or failure to exercise, any rights hereunder shall operate as a waiver of such rights, a waiver of any other rights or a release of Guarantor from any obligations hereunder.

Guarantor consents to the renewal, compromise, extension, acceleration or other changes in the time of payment of or other changes in the terms of the Obligations, or any part thereof or any changes or modifications to the terms of the Agreement.

REPORT TO THE CITY COUNCIL
DATE: AUGUST 26, 2025
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: STEVEN ADAMS, CITY MANAGER
BY: AIMÉ ÁLVAREZ, ADMINISTRATIVE INTERN
RE: CONSIDERATION OF AN ORDINANCE AMENDING CHAPTER

2.08 OF THE KING CITY MUNICIPAL CODE PERTAINING TO

CITY MANAGER
RECOMMENDATION:

It is recommended the City Council introduce to be read by title only an Ordinance amending provisions of Chapter 2.08 of Title 2 of the King City Municipal Code pertaining to city manager residency requirements, open the hearing, allow for public testimony, close the hearing, waive first reading of the Ordinance, and approve the introduction of the Ordinance.

BACKGROUND:

The Municipal Code sets forth that the city manager shall be required to reside within the city. This code provision was last updated in 1996. Staff have identified that State law no longer allows the requirement for an employee to reside in the city, but it does allow requirements for employees to live within a reasonable distance. Therefore, an Ordinance making a minor amendment to this Code Section Ordinance is recommended to help ensure the City remains compliant with State law.

DISCUSSION:

California Government Code Section 50083 states that “no local agency or district shall require that its employees be residents of such local agency or district.” California Constitution Article 11, Section 10 (b) also states that “a city or county, including any chartered city or chartered county, or public district, may not require that its employees be residents of such city, county , or district; except that such

WHEREAS, the City of King establishes requirements for the position of city manager; and
WHEREAS, state law prohibits the City of King from requiring the city manager to reside in the city; and
WHEREAS, the City Council desires to ensure the city manager resides within a reasonable distance to help ensure the city manager can respond if an emergency were to take place, the city manager may be able to respond in a timely manner.

NOW THEREFORE, THE CITY COUNCIL OF THE CITY OF KING FINDS AND ORDAINS AS FOLLOWS:

SECTION 1. The above recitals are all true and correct and are hereby adopted as findings.

SECTION 2. The Ordinance is exempt from the California Environmental Quality Act (“CEQA”) because it can be seen with certainty that there is no possibility that it will have a significant effect on the environment. (CEQA Guidelines § 15061(b)(3).) Further, the adoption and implementation of this Ordinance is not a project, as defined in CEQA Guidelines section 15378, because it has no potential for resulting in physical change to the environment, either directly or indirectly, and is therefore not subject to environmental review under CEQA pursuant to CEQA Guidelines section 15060(c)(3).

SECTION 3. The Sub-Section of Chapter 2.08, Section 2.08.020 of the King City Municipal Code is hereby amended to read as follows; all other portions of Chapter 2.08 remain in full force and effect:

Section 2.08.020 Residence
Residence in the city at the time of appointment, shall not be required as a condition of appointment; provided, however, that within twelve months after the appointment of the city manager, he or she shall establish his or her residence within 55 travel miles from in the city, unless such time is extended by resolution of the city council. In no case may this extension exceed six months.

Item No. 11 (A)

REPORT TO THE CITY COUNCIL
DATE: AUGUST 26, 2025
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: STEVEN ADAMS, CITY MANAGER
RE: CONSIDERATION OF FEMA GOLF COURSE RESTORATION

PROJECT PROCESS UPDATE
RECOMMENDATION:

It is recommended the City Council direct staff to proceed with proposed steps for the Golf Course restoration improvements and Federal Emergency Management Agency (FEMA) and California Office of Emergency Services (CalOES) reimbursement process.

BACKGROUND:

Storms that occurred during the period of December 27, 2022 through January 31, 2023 caused the San Lorenzo Creek to severely flood the golf course. The flood damaged 6 holes on the course by washing away various features and depositing sediment, pollutants and invasive plants that have or will kill the turf.

Since that time, staff have been working on a project to restore the Golf Course.

Work to be done shall include demolition, removal, offsite disposal, grading, compaction, repair, and/or construction of fairways, greens, tee boxes, irrigation, golf cart paths, concrete sidewalks, and ramps at the King City Golf Course. Two bridges were also damaged which are proposed to be replaced.

The Golf Course restoration project is fully designed, and the environmental process has been completed and approved by FEMA. Bids have been received for the course restoration, but the low bid was in excess of $3 million over the original estimated allocation amount. Therefore, the City has requested the FEMA allocation be updated prior to the obligation of funds. Work on the bridges has been identified as a separate project and is still in the design phase.

CITY COUNCIL

CONSIDERATION OF FEMA GOLF COURSE RESTORATION PROJECT

PROCESS UPDATE
AUGUST 26, 2025
At the October 11, 2022 meeting, the City Council approved an agreement with First Tee Monterey County to operate the King City Golf Course and an amendment on November 8, 2022. The 2023 winter flood damage had a significant impact on the Golf Course operations and revenues. First Tee’s operations are funded from contributors for the purpose of youth programming, so they have tried to limit subsidies used to operate the Golf Course.

As a result, the agreement was amended in January 2024 to increase the payments to First Tee to address a portion of the financial impact. First Tee continued to operate the Golf Course at a loss through 2024 due to damage to the facility, so they requested additional financial assistance. At the March 25, 2025 meeting, the City Council approved a monthly subsidy of $15,000 for the period of April 1, 2025 through June 30, 2025. At the June 10, 2025 meeting, City Council approved an additional amendment extending the subsidy through the end of August to provide time to develop strategies on how to proceed.

Staff were directed to report on the options and recommendations at the August 26th meeting. No subsidies are budgeted past January 1, 2026. The Golf Course renovation project is facing several challenges due to delays, budget constraints, cost increases, and cash flow constraints. Specific concerns include the following:
• The high cost of the project and ongoing subsidies required due to the FEMA process delays may make the local match cost prohibitive for the City.
• Delays in FEMA reimbursements may create a cash flow problem for the City due to the high cost of the project, and accessing temporary loans could involve significant interest costs.
• The City may be at risk of making payments without receiving reimbursement for a portion of the costs due to delays in the FEMA process.

As a result, staff has been attempting to approach this project very carefully.

This year’s budget shortfall has made the situation more difficult. As a result, the City Council approved conditions for continuing the project during the Budget Study Session. The conditions included the following:
• FEMA approval of the allocation of the full cost of the project. • First Tee or establishment of a local non-profit agency partnering with First Tee to provide $175,000 of the total estimated $550,000 local matching funds for the project construction costs.

CITY COUNCIL

CONSIDERATION OF FEMA GOLF COURSE RESTORATION PROJECT

PROCESS UPDATE
AUGUST 26, 2025
• First Tee or establishment of a local non-profit agency partnering with First Tee to provide: 1) a line of credit at 0% interest; or 2) payment of the interest costs of a short-term low interest government assistance loan. • No further City subsidies after January 1, 2026.

At the August 12th meeting, the City Council also approved a contract for professional services to assist the City with the FEMA recovery and reimbursement process.

DISCUSSION:

Staff have made significant progress on the conditions with First Tee set forth by City Council. An agreement has been negotiated, and staff is optimistic regarding its approval. It would involve a 20-year agreement with two 5-year extensions in exchange for the $175,000 contribution toward the project costs and up to $50,000 in interest reimbursement payments.

However, staff’s efforts suffered a major setback because FEMA rejected the request to update the allocation amount for the project. Their normal process is to address cost increases at the end of the project construction. As a result, the increased project cost would not be reimbursed until closeout of the project which can sometimes take well over a year or multiple years. The result would be a potential cash flow problem or increased project costs for interest on a temporary loan. Staff confirmed that interest expenses would not be a reimbursable project expense.

The City’s consultants have been working closely with CalOES and FEMA representatives to identify another viable path to address the City’s constraints.

As a result, staff are submitting a formal request to the Director of CalOES to advance the funding for the FEMA project through a California Disaster Assistance (CDA) grant. If approved, CalOES would provide upfront payments to cover most of the project costs and they would be reimbursed by the FEMA payments as the project proceeds. This would eliminate the cash flow and interest payment concerns. It is anticipated that a decision will be provided by the Director of CalOES within 60 days.

The following steps are proposed:
• A review of the bids and scope of work be conducted by the City’s consultants and FEMA to verify that there are no identified issues that would risk a rejection of reimbursement payments.

CITY COUNCIL

CONSIDERATION OF FEMA GOLF COURSE RESTORATION PROJECT

PROCESS UPDATE
AUGUST 26, 2025
• City officials and staff will contact King City’s State legislators to request assistance in seeking approval for the CDA grant.
• If the CDA funding is approved, staff will sign the application to submit the project for obligation from FEMA.
• At that time, staff will seek First Tee Monterey County’s approval of the new operational agreement and present it to the City Council for consideration. • If the CDA funding is not approved, staff will return to the City Council with a status report and alternate strategies at the October 28th meeting. This will provide a 2-month period prior to elimination of operational subsidies. • Approval of the obligation is projected to take 90 days. Once the funding is obligated, it is recommended to proceed with award of the construction contract.
• After the funding is obligated, staff will also submit a request for what is referred to as a “version”, which provides another formal process for updating the allocation amount. That is a much lengthier process and may or may not be completed prior to completion of the project construction.

COST ANALYSIS:

The total estimated project cost for the Golf Course restoration project is $7,678,800.00. The current allocation amount under the FEMA application is $4,217,872.53. The projected cost for the bridge replacement project is $1,247,647.01.

The Golf Course project strategy is not a “project” for the purposes of the California Environmental Quality Act (CEQA) as it does not have the potential for resulting in either a direct physical change to the environment or a reasonably foreseeable indirect physical change in the environment. The environmental review process has been completed for the restoration project and the determination will be presented to the City Council for consideration when the award of bid is presented. No further action is required under CEQA for City Council action.
