“To manage Salinas Valley solid waste as a resource, promoting sustainable, environmentally sound and cost-effective practices through an integrated system of waste reduction, reuse, recycling, innovative technology, customer service, and education.”

BOARD OF DIRECTORS

MEETING HIGHLIGHTS
December 18, 2025
FAREWELL TO GENERAL MANAGER R. PATRICK MATHEWS
After a distinguished career spanning over 42 years in local government, including 17 years of dedicated service to the residents of the Salinas Valley as the General Manager of the Authority, R. Patrick Mathews retires. The Board of Directors and staff recognized and honored Mr.

Mathews for his exceptional leadership, dedication, outstanding contributions to environmental stewardship and public service, extending their heartfelt appreciation and wished him the best in all his future endeavors.

A FUTURE WITHOUT LANDFILLS
A presentation was given to the Board outlining the history of the Authority’s accomplishments and long-term financial recovery. It described how the agency has protected its constituents by managing solid waste in a sustainable and cost-effective way while improving its financial condition. The presentation highlighted a major turnaround from financial challenges since the formation of the agency to a strong positive net position by 2025, improved bond ratings from BBB to AA, diversified revenues with reduced reliance on landfill fees to fund recycling programs, and limited debt with bonds expected to be paid off by 2031. The presentation demonstrated sound financial management, long-term planning, and the combined efforts of the board, leadership, and staff in building a financially stable and environmentally responsible organization prepared for future needs.

APPROVAL OF THE RELEASE OF A FORMAL REQUEST FOR PROPOSALS FOR ADVANCED ORGANICS

RECOVERY TECHNOLOGY AT JOHNSON CANYON LANDFILL AND COMPOSTING FACILITY The Authority is exploring advanced organics recovery technologies at the Johnson Canyon Landfill to achieve its goals of diverting at least 75% of waste from landfill and maintaining a minimum of at least 50 years of disposal capacity. In August 2025, staff issued a Request for Expressions of Interest and Statement of Qualifications to identify technologies and contractors capable of recovering organic waste still present in the solid waste stream and converting it into useful products or energy. The solicitation was widely distributed and resulted in submittal of five proposals. All proposals included pre-processing such as mechanical separation, and technologies including anaerobic digestion, autoclaving, and composting. After review, staff determined all five vendors were qualified and should be invited to submit formal proposals through a Request for Proposals (RFP) process. The Board approved the release of the formal RFP, as advancing this effort will support phased-in development of expanded organics recovery, extend landfill life, and help member agencies comply with state organics reduction requirements under SB 1383.

JUNTA DIRECTIVA

ABSTAIN: Council Members:

Mayor Pro Tem DeLeon was concerned about more changes and bids being higher. Public Works Director/City Engineer Octavio Hurtado explained the bids are a year old which makes them no longer valid and that the other bids came in well above the Engineers Cost Estimate so updating the bid documents and soliciting new bids is the best course of action.

Action: Motion to approve consent agenda item B by Avalos seconded by Victoria.

RE: CONSIDERATION OF AWARD OF BID FOR THE CHEMICAL

CONTROLLER REPLACEMENT PROJECT, INCLUDING

ADOPTING FINDING OF A CATEGORICAL EXEMPTION,
PURSUANT TO SECTION 15301 OF THE CEQA GUIDELINES
RECOMMENDATION:

It is recommended City Council: 1) award the bid for the Chemical Controller Replacement Project as proposed by low bidder, Lincoln Aquatics, in the amount of $56,205.04; 2) authorize the City Manager to approve change orders up to 10%; and 3) adopt a finding of a Categorical Exemption, pursuant to Section 15301 of the CEQA Guidelines.

BACKGROUND:

The King City pool maintenance staff has been experiencing malfunction issues with the chemical controllers and their feeder systems. Service calls were made, and it is recommended the system be replaced due to age. The project consists of removing, disposing of existing chemical controllers and feeders; installation of new chemical controllers and feeder systems; and connecting them to existing electrical supply and control wiring system.

DISCUSSION:

The existing chemical controller and feeder system has experienced frequent malfunction incidents causing the pools to not receive sufficient chemicals to meet health department standards for a public pools. Since the project will cost less than $100,000, a 3-bid method is being used to procure the system replacement. Staff contacted Lincoln Aquatics, KSI an Aquafinity Company, and Spectrum Aquatics. Spectrum Aquatics responded they cannot offer chemical controllers.

The City received the following bids:

Contractor Base bid
Lincoln Aquatics $56,205.04
KSI an Aquafinity Company $93,502.76

Staff believes the bid by Lincoln Aquatics is a good bid and the City is achieving the necessary repairs and safety upgrades for continued future use of the pools.

COST ANALYSIS:

For this project, the total proposed appropriation with contingencies for this project is $61,825.54 to be paid for from the $400,000 appropriation received by Senator Anna M Caballero, to be used for City Park facilities.

ENVIRONMENTAL REVIEW:

Staff have performed a preliminary environmental assessment of this project and has determined that if it falls within the Categorical Exemption set forth in Section 15301 of the CEQA guidelines because the contract is for the maintenance and repair of existing streets, which will not result in the expansion of capacity of these streets. Furthermore, staff has determined that none of the exceptions to Categorical Exemptions set forth in the CEQA Guidelines, section 15300.2 apply to this project.

ALTERNATIVES:

The following alternatives are provided for Council consideration:

1. Award Bid of the Chemical Controller Replacement Project as proposed by low bidder, Lincoln Aquatics in the proposed amount of $56,205.04;

2. Reject bids and solicit new bids;

3. Do not award the Chemical Controller Replacement Project bid and direct staff to direct the funds to other City Park needs; or

4. Provide other direction to staff.

TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: STEVEN ADAMS, CITY MANAGER
RE: CONSIDERATION OF VICTIM SERVICE PROVIDER

TRANSITIONAL HOUSING ZONING AMENDMENT
RECOMMENDATION:

It is recommended the City Council direct staff to prepare an amendment to the Zoning Code establishing Victim Service Provider Transitional Housing as an allowed use in the R-2 Zone.

BACKGROUND:

Victim service providers are professionals and organizations offering crucial support, advocacy and resources (counseling, housing and legal aid) to survivors of crime, including domestic violence, sexual assault and stalking. Supporting victim service providers with transitional housing opportunities is an important component of the City’s efforts to address all types of housing needs. As a result, staff recommend a zoning amendment be considered to help accommodate this important need.

DISCUSSION:

Under State law, a residential use serving six or fewer persons must be treated the same as a family dwelling and permitted by right, without the need for a discretionary approval such as a conditional use permit (CUP). State law does not extend the same by-right allowance to facilities serving seven or more residents. The City’s 2023–2031 Housing Element identifies emergency shelters and transitional housing as special housing needs that must be addressed in King City, including housing for female-headed households and individuals experiencing homelessness or in need of emergency shelter.

King City provides a desirable location for victim service provider transitional housing because the District Attorney’s Office has established a Victim

Assistance Program at the King City courthouse building. Transitional housing is currently allowed in the C-2 Zone, but staff have determined that the R-2 zone would be more appropriate for this specific type of transitional housing. R-2 is the medium density residential district. A desirable property typically consists of a 3-bedroom residential facility with an additional room to serve as an office for a coordinator to be on-site on a part-time basis to coordinate assistance.

However, a conflict exists which creates a barrier for such a facility to locate in the R-2 zone. They are required to remain confidential, but transitional housing with over 6 inhabitants requires a CUP. A CUP can only be issued at a public hearing, which would violate the confidentiality requirements. The need to accommodate over 6 inhabitants is often needed if women participants have children.

To resolve this conflict, staff recommend the R-2 zoning district be amended to establish victim service provider transitional housing as an allowed use. This would eliminate the requirement for a CUP. Since staff are proposing to initiate the amendment process rather than from an applicant, it is recommended City Council approve initiating the zoning amendment process. A zoning amendment would then be prepared by staff and presented to the Planning Commission for recommendation and City Council for adoption.

COST ANALYSIS:

The only cost involved would be dedicating Community Development staff time.

No appropriation of funding would be necessary.

ENVIRONMENTAL REVIEW:

Appropriate environmental review would be conducted as part of the amendment process. Therefore, simply initiating the process is not a “project” for the purposes of the California Environmental Quality Act (CEQA) as it does not have the potential for resulting in either a direct physical change to the environment, or a reasonably foreseeable indirect physical change in the environment. No further action is required under CEQA for City Council action.

ALTERNATIVES:

The following alternatives are presented for Council consideration:

1. Approve staff’s recommendation;

2. Request additional information;

3. Direct staff to include other zoning districts;

4. Do not approve the process for amending the R-2 zone; or

RE: CONSIDERATION OF FY 2024-2025 AB 1600 IMPACT FEE
REPORT
RECOMMENDATION:

It is recommended City Council adopt a Resolution receiving and accepting the FY 2024-2025 AB 1600 Impact Fee Report.

BACKGROUND:

Government Code Sections 66000 et seq. (enacted by AB 1600) require local agencies to provide an accounting of impact fees imposed on development projects. These fees are intended to mitigate certain cost impacts of development projects on existing City facilities and infrastructure.

The basic accounting and reporting responsibilities require the City to provide a detailed reporting of the use of development impact fees every five years. The City must comply with two basic requirements. First, the City must report findings on the amount collected for each fee, the use of the fees, and any unexpended fees at year-end. The second requirement provides that the City shall establish separate capital facility accounts for improvements funded by each development impact fee. The City is required to make available to the public specific information on each account.

DISCUSSION:

Attached is the Impact Fee Report for the past 16 years ending in Fiscal Year 2024-2025. The attached report presents the information required per AB 1600 and is organized by Fund. As the report indicates, the City has utilized these

RE: CONSIDERATION OF APPROPRIATION FOR OPERATION SANTA
EVENT
RECOMMENDATION:

It is recommended the City Council approve appropriations for Operation Santa in the amount of $5,500 in FY 2025-26 and $13,500 in FY 2026-27.

BACKGROUND:

The City has been a sponsor of the Operation Santa event since its inception in December 2022, which is led by County Supervisor Chris Lopez. Santa Claus arrives in a military helicopter provided by Fort Hunter Liggett, and toys and food are distributed to hundreds of families in need from King City and Greenfield. The City’s financial participation has been funded by grants. However, the funding needs to be formally appropriated to adjust the account balances.

DISCUSSION:

Chevron Corporation has been a generous sponsor of the event for the past few years. Funding is used primarily to purchase the toys. The City had a remaining balance from grant funds of roughly $4,000 after last year’s event. This year, the City received another $15,000 grant and expended approximately $5,500.

Therefore, there will be a year-end balance of approximately $13,500 for next year.

COST ANALYSIS:

There is no impact to the City’s budget since the funding is derived entirely from grants.

Item No. 9 (H)

REPORT TO THE CITY COUNCIL
DATE: JANUARY 13, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: STEVEN ADAMS, CITY MANAGER
RE: CONSIDERATION OF ORGANIZATION AND STAFFING CHANGES
RECOMMENDATION:

It is recommended the City Council: 1) approve and authorize the City Manager to execute an amended contract with Eikhof Design Group to provide City Engineer and Public Works senior project management services to the City; 2) approve transfer of funding budgeted for the Public Works Director/City Engineer salary and benefits to the Public Works contract engineering services accounts; 3) approve reallocating one Fire Administrative Assistant position to one Fire Services Coordinator position; 4) approve a Second Amendment to the King City Confidential Employees Association (KCCEA) Memorandum of Understanding (MOU) to add the Fire Services Coordinator as a represented position; 5) adopt a Resolution approving an amended Salary Classification Plan; 6) approve the Fire Services Coordinator Job Description; and 7) approve recommended modifications to the fund cost allocation for the Planner, Accounting Technician and Customer Service Assistant positions.

BACKGROUND:

The Public Works Director/City Engineer recently announced that he will be resigning to accept another position. There is a shortage of individuals qualified for this position. As a result, staff are recommending deferring recruitment for a replacement and instead proposing contracting services and implementing organizational changes to address this important organizational function. An additional position modification is also proposed to address the need for confidential staffing in the Fire Department.

DISCUSSION:

It is proposed to fill the engineering and public works administrative functions through the following changes:

CITY COUNCIL

CONSIDERATION OF ORGANIZATION AND STAFFING CHANGES
JANUARY 13, 2026
• Contract with Eikhof Design Group for approximately 30 hours per week of city engineer and senior project management services.
• Restructure the Public Works Department to transfer the engineering division to the Community Development Department.
• The part-time Planner will return from the prior remote assignment to in-office work at City Hall.
• The Building Official will assist with a wider variety of Community Development Department inspections and plan checks.

The City has contracted with Eikhoff Design Group for design, plan check and project management services for several years. They are reasonably priced in comparison to many larger engineering firms. Therefore, they provide a costeffective option and will enable a smooth transition, which is important given the number of projects in the planning, design and construction phase. Their proposal is attached.

The City’s Planner position was converted to part-time a few years ago and assigned primarily to update the development code by working remotely. That position will now return to work in the office and assist in managing administrative tasks associated with ongoing capital projects and other Public Works functions.

Transferring engineering functions to the Community Development Department will consolidate all development plan check functions under one department, which will enhance coordination of processing project applications. Since both the Planner and Planning Technician work on both Planning and Public Works functions, it will also utilize staff in a more efficient and coordinated manner.

The Building Official has a variety of plan check and inspection experience.

Therefore, he can assist with some of the follow-up work on development applications previously performed by planning staff and the City Engineer. This will further increase cost efficiency, coordination and customer service.

Public Works Maintenance Services and the Public Works Superintendent will report directly to the City Manager as was done prior to creation of the in-house Public Works Director position. The Public Works Customer Service Assistant will also be transferred to the Community Development Department but will still provide clerical assistance to Public Works Maintenance Services. It will enhance improved coordination of operation of the front counter by placing all front counter staff under one director.

Staff have been making changes to establish a coordinated citywide management team. The Fire Department is the only department without a management level and

CONSIDERATION OF ORGANIZATION AND STAFFING CHANGES

confidential full-time staff position. The Administrative Assistant currently coordinates many personnel functions for the Fire Department. Therefore, it is recommended the position be upgraded to a Fire Services Coordinator position. It will require transferring the position to KCCEA to designate it as confidential.

Concurrently, staff are recommending a small change to the cost allocation for the Planner, Accounting Technician and Customer Service Assistant positions to increase the portion charged to the Sewer Fund. The Accounting Technician and Customer Service Assistants are now spending more time on sewer functions since the City has assumed responsibility for sewer billing. Since the Planner will now be increasing work on Public Works tasks, it is recommended the share of that position’s cost allocated to the Sewer Fund also increase. It is proposed that the share of each position charged to the Sewer Fund be increased by 5%.

The changes are proposed to take effect on January 26, 2026. It is recommended the potential for recruiting a Public Works Director be reevaluated after the next election depending upon the results if a revenue measure is considered. In the meantime, contracting will provide maximum flexibility for future changes depending on the needs and financial capacity of the City.

COST ANALYSIS:

The current budgeted funding includes the following approximate amounts:

Budgeted Item Total General Fund
Public Works Director $293,000 $221,250
Contract engineering services $55,000 $55,000 __
Total $348,000 $276,250
The new proposed total costs are as follows:

Budgeted Item Total General Fund
Contract City Engineer services $296,000 $222,000
Fire Services Coordinator increased cost $10,000 $10,000 Other Engineering Services $55,000 $55,000
Increased charges to the Sewer Fund -$10,000
Total $361,000 $277,000
Therefore, there will be no projected net financial impact on the General Fund.

There will likely be savings because a larger portion of the City Engineer’s cost will be charged to grant projects.

RE: CONSIDERATION OF CITY MANAGER AGREEMENT
RECOMMENDATION:

It is recommended the City Council approve and authorize the Mayor to execute an agreement with José Arreola to serve as the City of King City Manager.

BACKGROUND:

The City Manager has announced his pending retirement, which will become effective on February 6, 2026. A process for attracting and selecting his replacement was proposed and approved by the City Council at the May 27, 2025 meeting. At the July 22, 2025 meeting, the City Council approved a contract with Pekham and McKenney to provide executive search consultant services based on a recommendation from a City Council subcommittee.

Following an extensive recruitment process, José Arreola has been selected by the City of King City Council to be its next City Manager. Mr. Arreola was selected from 31 applicants and 8 finalists for the position. His first day on the job is scheduled to be February 23rd. The attached agreement was drafted by City Attorney and includes the terms agreed to by the City Council and Mr.

Arreola.

CITY MANAGER EMPLOYMENT AGREEMENT

THE CITY OF KING AND JOSE ARREOLA

1. Employment.

This City Manager Employment Agreement (Agreement) is entered into by and between the CITY OF KING (“City”), a California Municipal Corporation, and JOSE ARREOLA (“City Manager”). Under this Agreement, the City offers, and City Manager accepts, employment as City Manager of the City of King. This Agreement has been approved by the City Council on the date noted below and shall be considered effective February 23, 2026 (“Effective Date”).

2. Duties.

The City Manager shall be the chief executive officer of the City and be responsible to the City Council for the proper administration of all affairs of the City. City Manager shall administer and enforce policies established by the City Council and promulgate rules and regulations as necessary to implement City Council policies. City Manager shall perform those duties and have those responsibilities that are commonly assigned to the City Manager of a city within California, and as may be further set forth in the City’s Municipal Code. City Manager shall perform such other legally permissible and proper duties and functions consistent with the office of City Manager, as the City Council shall from timeto-time assign. City Manager shall not be absent for more than two (2) working days without prior written notice to the City Council and reasonable justification. City Manager shall provide the City Council with reasonable advance written notice of absences due to vacation or use of administrative leave and shall obtain prior approval from City Council for planned absences due to vacation or administrative leave of more than fourteen (14) consecutive working days. Absences that are not in compliance with these provisions shall be considered unauthorized absences or leaves for the purpose of Section 6.2.

3. Devotion to City Business.

City Manager agrees to devote their productive time, ability and attention to the City’s business during the term of this Agreement. It is recognized that the City Manager must devote a great deal of time to the business of the City outside of the City’s customary office hours, and to that end the City Manager’s schedule of work each day and week shall vary in accordance with the work required to be performed. City Manager shall spend sufficient hours on site to perform City Manager’s duties. In accordance with Government Code Section 1126, during the period of employment, subject to the limitations in section

4.B. of this Agreement, City Manager shall not accept, without the express prior written consent of the City Council, any other employment. City Manager may engage in other business, commercial, or professional activty, provided that it does not cause a conflictof-interest or interfere with the business or operation of City or the satisfactory performance of City Manager’s duties.
4936-2260-5440 v1 2

4. Term.

A. City Manager’s employment under this agreement will commence on the Effective Date and shall continue until February 23, 2031, (“Term”) or the date of earlier termination in accordance with provisions in this Agreement.

B. City Manager agrees to remain in exclusive employ of the City while employed by the City. This section shall not prohibit occasional teaching, writing, or speaking, for compensation, a fee or other value.

C. At the request of either party, the City and City Manager may initiate discussions on the extension of the Term at least six (6) months prior to the end of the Term for an additional five (5) year term.

5. Hours of Work.

City Manager shall devote the time necessary to adequately perform their duties. The Parties expect that a minimum of forty (40) hours per week including time outside of the normal business hours will be required to satisfy this requirement. Toward that end, City Manager shall be allowed reasonable flexibility in setting their own office hours, provided the schedule of such hours delivers adequate availability to the City Council, City staff, and members of the community during normal City business hours and for the performance of their duties and of City business. The position of City Manager shall be deemed an exempt position under California wage and hour law and under the federal Fair Labor Standards Act. City Manager’s compensation (whether salary or benefits or other allowances) is not based on hours worked and City Manager shall not be entitled to any compensation for overtime.

6. Termination; City Release; Severance.

6.1 Termination Without Cause.

The City Council may terminate this Agreement, and thereby terminate City Manager’s employment, without cause by the affirmative votes of not less than three (3) members of the City Council. Notice of termination shall be provided to City Manager in writing with thirty (30) days’ notice. The City may terminate this Agreement without cause as provided in this section 6.1 notwithstanding anything to the contrary contained in or arising from any Personnel Policies or past City practices relating to the employment, discipline, or termination of its employees. City has the right to immediately place City Manager on paid administrative leave, and such leave time shall count toward the thirty (30) day notice period. If City Manager does not challenge termination through any means, executes, and does not revoke, a Separation Agreement (“Separation Agreement”) in the form attached hereto as Exhibit “A,” City shall pay City Manager payment equal to the lesser of six (6) months, or the number of full months remaining in the term of this Agreement, of the City Manager’s then Base Salary, and shall provide commensurate number of months of health (medical, dental, and vision) benefits, if enrolled, continuing under the benefit plans in which the City Manager and his dependents are then enrolled (the cash payments and continuing benefits, collectively “Severance”). Severance does not include 4936-2260-5440 v1 3
any accrued unpaid salary, less applicable deductions, cash in lieu for health benefits, deferred compensation, benefits or any accrued compensable leave to which City Manager may be otherwise entitled under the law.

Notwithstanding the foregoing, if City Manager is hired by an employer before receiving the final Severance payment under this section, the City Manager forfeits his right under this section to receive the remaining portion of the Severance.

6.2 Termination With Cause.

The City Council may terminate this Agreement, and thereby terminate City Manager’s employment, with cause, by the affirmative votes of not less than three (3) members of the City Council. City Manager shall not be entitled to any additional compensation or payment, including Severance, but shall be entitled only to accrued Base Salary and vacation pay, and any other accrued and unused benefit as may be required by law (“Accrued Salary and Benefits”). City Manager expressly waives any rights provided for Administrative Personnel under City’s Personnel Policies, any rights provided for the City Manager or Administrative Personnel under the Municipal Code or under State or Federal law to any form of pre- or post-termination hearing, appeal, or other administrative process pertaining to termination, except when the City Manager has a California or federal constitutional right to a name clearing hearing. A. Conviction of, or plea of guilty or nolo contendre to, any misdemeanor or felony under state or federal law;
B. Proven failure, as determined at the sole discretion of the City Council, of the City Manager to observe or perform any of their lawful duties and obligations, if that failure continues for a period of seven (7) days from the date of his receipt of notice from the City Council specifying the acts or omissions deemed to amount to that failure;

M. City Manager commits a material failure to follow clear and legal directives of a majority of the City Council provided in a duly noticed public meeting, including closed session.

6.3 Elections.

City agrees not to terminate City Manager’s employment without cause within thirty (30) days before, or ninety (90) days after any municipal election for the selection or recall of one or more of the members of the City Council, at which a new member of the City Council is elected.

6.4 Death.

If, during the Term or any extended Term, City Manager dies, City Manager’s estate shall receive Accrued Salary and Benefits but shall not be entitled to any additional compensation or payment, including Severance.

6.5 Resignation.

City Manager may resign from his employment at any time, upon giving sixty (60) days written notice to the City Council. If City Manager resigns from employment, then City Manager is not entitled to Severance and will only receive Accrued Salary and Benefits upon resignation.

6.6 Termination Obligations.

City Manager agrees that all property, including, without limitation, all equipment, tangible Proprietary Information (as defined below), documents, records, notes, contracts, and computer-generated materials furnished to or prepared by him incident to his employment 4936-2260-5440 v1 5
belongs to City and shall be returned promptly to City upon termination of City Manager’s employment. City Manager’s obligations under this subsection shall survive the termination of his employment and the expiration of this Agreement.

6.7 Benefits Upon Termination.

All benefits to which the City Manager is entitled under this Agreement shall cease upon his termination in accordance with this Section 6, unless expressly continued either under this Agreement, under any specific written policy or benefit plan applicable to the City Manager, or unless otherwise required by law.

7. Proprietary Information
“Proprietary Information” is all information and any idea pertaining in any manner to the business of City (or any City affiliate), its employees, clients, consultants, or business associates, which was produced by any employee of City in the course of his employment or otherwise produced or acquired by or on behalf of City. Proprietary Information shall include, without limitation, trade secrets, product ideas, inventions, processes, formulae, data, know-how, software and other computer programs, copyrightable material, marketing plans, strategies, sales, financial reports, forecasts, and customer lists. All Proprietary Information not known outside of City’s organization, and all Proprietary Information so known only through improper means, shall be deemed “Confidential Information.” During his employment by CITY, City Manager shall use Proprietary Information, and shall disclose Confidential Information, only for the benefit of City and as is or may be necessary to perform his job responsibilities under this Agreement.

Following termination, City Manager shall not use any Proprietary Information and shall not disclose any Confidential Information, except with the express written consent of City.

City Manager’s obligations under this Section shall survive the termination of his employment and the expiration of this Agreement.

8. Conflict Of Interest.

City Manager represents and warrants to City that he presently has no interest, and represents that he will not acquire any interest, direct or indirect, financial or otherwise, which would conflict in any manner or interfere in any way with performance of their services under this Agreement.

9. Compensation and Annual Evaluation:

9.1 Initial Salary.

City Manager's initial annual Base Salary shall be Two Hundred Thirty Thousand Dollars ($230,000.00). Said amount shall be payable in installments on a semi-monthly basis.

Increases in City Manager's Base Salary may be effective at any time in the sole discretion of the City Council.
4936-2260-5440 v1 6

9.2 Salary Adjustments.

The City Council and City Manager agree to conduct an annual salary review concurrently with the annual performance evaluation set forth in Section 9.3.

9.3 Annual Performance Evaluation.

The City Council and City Manager may set mutually agreed upon written goals. Such goals will include maintaining reasonable expenditures and quarterly updates to City Council regarding the same, and strategy for achievement of such goals for each year under this Agreement. The City Council shall evaluate City Manager’s performance relative to the achievement of these goals annually (“Annual Evaluation”).

9.4 Compaction.

The Parties agree that the annual base salary of the City Manager is anticipated to be at least 5% higher than the base salary of the City’s next highest paid employee. Any increase in the City Manager’s salary under this section is subject to approval by the City Council.

9.5 No Amendment Required.

To the extent permitted by law, annual cost-of-living salary increases, pursuant to Section

9.2 of this Agreement, shall not require an amendment to this Agreement to be effective.

10. Deferred Compensation.

The City shall offer deferred compensation programs to employees as a voluntary employee election and City shall match employee contribution by the City Manager to a deferred compensation plan up to an additional four percent (4%) of salary.

11. Retirement.

City agrees to maintain City Manager as a member of the State of California Public Employees Retirement System (CalPERS). City shall give City Manager CalPERS benefits on the same terms and conditions as the City’s executive and management employees.

SEPARATION AGREEMENT

1. PARTIES.

This Separation Agreement (hereinafter referred to as the “AGREEMENT”) is entered into by and between the City of King, a California Municipal Corporation (hereinafter referred to as “CITY”), and ___, an individual (hereinafter referred to as “EMPLOYEE”).

2. RECITALS.

2.1. EMPLOYEE was hired by CITY as its permanent City Manager, to serve at the pleasure of the City Council, as of the Effective Date, through the City Manager Employment Agreement, dated _________ _____, 20xx (“EMPLOYMENT AGREEMENT”)

2.2. CITY and EMPLOYEE desire that EMPLOYEE resign and enter into this AGREEMENT, whereby EMPLOYEE receives severance compensation in exchange for executing this AGREEMENT including a City release and waiver of any and all claims that EMPLOYEE may have against CITY, including but not limited to its elected and non-elected officials, employees, attorneys, and agents.

Accordingly, the parties hereto intend by this AGREEMENT to mutually conclude any and all employment relationships between CITY and EMPLOYEE by means of EMPLOYEE’s voluntary separation as of ______, ____. This AGREEMENT sets forth the full and complete terms and conditions concluding EMPLOYEE’s employment relationship with the CITY and any obligations related thereto, including any provided under EMPLOYMENT AGREEMENT.

2.3 In accordance with this AGREEMENT and with applicable state and federal laws, EMPLOYEE acknowledges that EMPLOYEE has been advised of EMPLOYEE’s postemployment rights, including but not limited to, EMPLOYEE’s rights under the Consolidated Omnibus Budget Reconciliation Act of 1985 (“COBRA”), the Employee Retirement Income Security Act of 1974 (“ERISA”), and the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).

3. CONSIDERATION.

3.1 EMPLOYEE shall receive payment at the time of their voluntary separation all earned salary, accrued fringe benefits as detailed in the EMPLOYMENT AGREEMENT, and/or all other wage compensation/benefits owed to EMPLOYEE upon separation of employment, as required by law or the EMPLOYMENT AGREEMENT or any other agreement with CITY.

3.2. In exchange for the waivers and releases set forth herein, CITY shall also cause to be paid to EMPLOYEE an additional compensatory payment by means of severance, settlement and release in the amount of
___________________________ and __ cents ($______.00), as set forth in the 4936-2260-5440 v1 2
EMPLOYMENT AGREEMENT. Such payment will be made in equal installments at the beginning of each month and commencing on the first day of the month following the EFFECTIVE DATE of this AGREEMENT. Payments under this subsection will be made by a check payable to EMPLOYEE and mailed to their last known address on file with the CITY. CITY shall also provide commensurate number of months of health (medical, dental, and vision) benefits, continuing under the benefit plans in which the City Manager and their dependents are then enrolled, as provided in the EMPLOYMENT AGREEMENT. EMPLOYEE acknowledges, as provided in the EMPLOYMENT AGREEMENT, that if he is hired by an employer before receiving the final installment under this subparagraph, the EMPLOYEE forfeits their right under this subsection to receive the remaining installments and the commensurate remaining number of months of health (medical, dental, and vision) benefits, if applicable.

3.3 In exchange for the severance payment provided for herein, EMPLOYEE, and on behalf of EMPLOYEE’s spouse, heirs, representatives, successors, and assigns, hereby releases, acquits, and forever discharges CITY, and each of its predecessors, successors, assigns, officials, employees, representatives, agents, insurers, attorneys, and all persons and entities acting by, through, under, or in concert with any of them, and each of them (hereinafter referred to as “CITY PARTIES”), from any and all claims, charges, complaints, contracts, understandings, liabilities, obligations, promises, benefits, agreements, controversies, costs, losses, debts, expenses, damages, actions, causes of action, suits, rights, and demands of any nature whatsoever, known or unknown, suspected or unsuspected, which EMPLOYEE now has or may acquire in the future, or which EMPLOYEE ever had, relating to or arising out of any act, omission, occurrence, condition, event, transaction, or thing which was done, omitted to be done, occurred or was in effect at any time from the beginning of time up to and including _______ __, ____ (hereinafter referred to collectively as “CLAIMS”), without regard to whether such CLAIMS arise under the federal, state, or local constitutions, statutes, rules or regulations, or the common law.

EMPLOYEE expressly acknowledges that the CLAIMS forever barred by this AGREEMENT specifically include, but are not limited to, claims based upon any alleged breach of the EMPLOYMENT AGREEMENT or any other agreement of employment, any demand for wages, overtime or benefits, any claims of violation of the provisions of ERISA, COBRA or HIPAA, any alleged breach of any duty arising out of contract or tort, any alleged wrongful termination in violation of public policy, any alleged breach of any express or implied contract for continued employment, any alleged employment discrimination or unlawful discriminatory act, or any claim or cause of action including, but not limited to, any and all claims whether arising under any federal, state or local law prohibiting breach of employment contract, wrongful termination, or employment discrimination based upon age, race, color, sex, religion, handicap or disability, national origin or any other protected category or characteristic, and any and all rights or claims arising under the California Labor Code or Industrial Welfare Commission Wage Orders, the Federal Fair Labor Standards Act, the California Fair Employment and Housing Act, California Government Code section 12900 et seq., the Americans With Disabilities Act, Title VII of the Civil Rights Act of 1964, and any other federal, state, 4936-2260-5440 v1 3
or local human rights, civil rights, or employment discrimination or employee rights statute, rule, or regulation.

4. SPECIFIC ACKNOWLEDGMENT OF WAIVER OF CLAIMS UNDER ADEA AND OWBPA.

The Age Discrimination in Employment Act of 1967 (hereinafter referred to as the “ADEA”) makes it illegal for an employer to discharge any individual or otherwise discriminate with respect to the nature and privileges of an individual’s employment on the basis that the individual is age forty (40) or older. The Older Workers Benefit Protection Act (hereinafter referred to as the “OWBPA,” 29 U.S.C. section 626, et seq., Pub L 101-433, 104 Stat. 978 (1990)) further augments the ADEA and prohibits the waiver of any right or claim under the ADEA, unless the waiver is knowing and voluntary. By entering into this AGREEMENT, EMPLOYEE acknowledges that he knowingly and voluntarily, for just compensation in addition to anything of value to which EMPLOYEE was already entitled, waives and releases any rights he may have under the ADEA and/or OWBPA. EMPLOYEE further acknowledges that he has been advised and understands, pursuant to the provisions of the ADEA and OWBPA, that:
(a) This waiver/release is written in a manner understood by EMPLOYEE; (b) EMPLOYEE is aware of, and/or has been advised of, their rights under the ADEA and OWBPA, and of the legal significance of their waiver of any possible claims he currently may have under the ADEA, OWBPA and/or similar age discrimination laws;
(c) EMPLOYEE is entitled to a reasonable time of at least twenty-one (21) days within which to review and consider this AGREEMENT and the waiver and release of any rights he may have under the ADEA, the OWBPA and similar age discrimination laws; but may, in the exercise of their own discretion, sign or reject this AGREEMENT at any time before the expiration of the twenty-one (21) days; (d) The waivers and releases set forth in this AGREEMENT shall not apply to any rights or claims that may arise under the ADEA and/or OWBPA after the EFFECTIVE DATE of this AGREEMENT;
(e) EMPLOYEE has been advised by this writing that he should consult with an attorney prior to executing this AGREEMENT;
(f) EMPLOYEE has discussed this waiver and release with, and been advised with respect thereto by, their counsel of choice, and that he does not need any additional time within which to review and consider this AGREEMENT; (g) EMPLOYEE has seven (7) days following their execution of this AGREEMENT to revoke the AGREEMENT;
(h) Notice of revocation within the seven (7) day revocation period must be provided, in writing, to THE CITY pursuant to Paragraph 8.9 herein, and must state, “I hereby revoke my acceptance of our Agreement of Severance and City Release;” and 4936-2260-5440 v1 4
(i) This AGREEMENT shall not be effective until all parties have signed the AGREEMENT and ten (10) days have passed since EMPLOYEE’s execution (“EFFECTIVE DATE”).

5. UNKNOWN CLAIMS.

In relation to the release provisions of Paragraphs 3 and 4 above, EMPLOYEE understands that California Civil Code section 1542 reads as follows: “City Release--Claims Extinguished” “A City release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
EMPLOYEE hereby waives the protection of California Civil Code section 1542.

6. WAIVER OF ADDITIONAL CLAIMS.

EMPLOYEE hereby waives any provisions of state or federal law that might require a more detailed specification of the claims being released pursuant to the provisions of Paragraphs 3, 4, and 5 above.

Later Discovery: The parties are aware that they may hereafter discover claims or facts in addition to or different from those they now know or believe to be true with respect to the matters related herein. EMPLOYEE understands and agrees that he shall be exclusively liable for the payment of all taxes for which he is responsible, if any, as a result of their receipt of the consideration referred to in Paragraph 3 of this AGREEMENT. In addition, EMPLOYEE agrees fully to indemnify and hold the CITY PARTIES harmless for payment of tax obligations as may be required by any federal, state or local taxing City, at any time, as a result of the payment of the consideration set forth in Paragraph 3 of this AGREEMENT.

7.9 No Pending Claims and/or Actions: EMPLOYEE represents that he has not filed any complaints or charges against CITY or CITY PARTIES with any local, state or federal agency or court; that he will not do so at any time hereafter for any claim arising up to and including the EFFECTIVE DATE of this AGREEMENT; and that if any such agency or court assumes jurisdiction of any such complaint or charge against CITY or CITY PARTIES on behalf of EMPLOYEE, whenever or where ever filed, he will request such agency or court to withdraw from the matter forthwith.

7.10. Ownership of Claims: EMPLOYEE represents and warrants as a material term of this AGREEMENT that EMPLOYEE has not heretofore assigned, transferred, released or granted, or purported to assign, transfer, release or grant, any of the CLAIMS disposed of by this AGREEMENT. REPORT TO THE CITY COUNCIL
DATE: JANUARY 13, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: STEVEN ADAMS, CITY MANAGER

MIKE HOWARD, FINANCE DIRECTOR
RE: CONSIDERATION OF SEWER DELINQUENT ACCOUNT SPECIAL

ASSESSMENT PROCESS
RECOMMENDATION:

It is recommended the City Council approve the proposed process of levying special assessments on property owners for delinquent sewer service accounts.

BACKGROUND:

The City’s sewer service fees have historically been billed by Cal Water and added to customers’ water bills. This reduced workload for the City and made the payment process more convenient for customers. Cal Water a year ago notified the City that it would no longer provide this service. As a result, the City assumed responsibility for sewer service billing in October 2025.

One of the limitations that existed when Cal Water provided sewer service billing was that there was little effort dedicated to collect delinquent accounts for sewer charges. Payments for delinquent accounts were first applied to water charges and only credited to sewer accounts once all water charges were paid. Water service was shut off only for delinquent water charges. In addition, the City did not receive any reporting on the amount or status of delinquent sewer charges.

As a result, a significant balance of delinquent sewer charges has accumulated.

The following are delinquent sewer charge amounts categorized by the period of non-payment as of December 18, 2025:

Current $821.89
31-60 Days $12,020.49
61-90 Days $26,211.90
91-120 Days $10,001.09

CITY COUNCIL

CONSIDERATION OF SEWER DELINQUENT ACCOUNT SPECIAL

ASSESSMENT PROCESS
JANUARY 13, 2026
121-150 Days $25,629.17
151 & Over $209,701.20
Total $284,385.74
There are a total of 435 delinquent accounts. Of these, 420 are residential and 15 are commercial. There are 31 residential and 3 commercial accounts with balances over $2,000. There are 156 residential and 6 commercial accounts over $500.

The outstanding balances owed have now been removed from the Cal Water system and transferred to the City books. This represents a significant amount of unpaid revenue that ultimately results in higher costs for other customers in order to generate the revenue necessary to operate, maintain and expand the City’s wastewater collection and treatment system. As a result, staff recommend that a process be established to collect this revenue from special assessments placed on property tax bills for next year.

DISCUSSION:

Section 15.44.090 of the King City Municipal Code sets forth that all unpaid penalties, fines and costs imposed for sewer service may be confirmed by the City Council as a special assessment and collected with property taxes or as a judgement lien upon the respective premises from which sewage and/or industrial waste emanates. Levying the fees as a special assessment will likely result in complaints from landlords unaware that their tenants are not paying for their sewer service. However, unlike the ordinance adopted in 2024 to establish the special assessment for unpaid refuse and recycling collection services, this special assessment provision has existed in the Municipal Code since 1978. In addition, staff believe the majority of delinquent accounts are attributable to property or business owners.

The process recommended would be similar to the steps implemented for the special assessments for refuse and recycling delinquent accounts but with some measures added to assist customers to address their past due charges voluntarily.

In addition, less warning letters are needed because monthly delinquent account bills will be sent to both the customers and property owners. Staff recommend the following process:
• Establish program allowing customers with account balances of over $500 to enter into a 12-month payment plan. Customers agreeing to the payment plan would not be subject to the property tax assessment this fiscal year. • A notification letter would be sent to all delinquent account customers and property owners in February, including information on the special assessment process and the payment plan program.
