REPORT TO THE CITY COUNCIL
DATE: MAY 12, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: JEFF VAN DEN EIKHOF, CONSULTANT CITY ENGINEER
THROUGH: JOSE ARREOLA, CITY MANAGER
SUBJECT: CONSIDERATION OF RIVERVIEW GARDENS LANDSCAPE

MAINTENANCE DISTRICT ANNUAL ASSESSMENT FOR FISCAL YEAR
2026-27
RECOMMENDATION:

It is recommended the City Council;
a. Adopt Resolution No. 2026-5085, initiating proceedings and ordering the assessment engineer, Harris & Associates, to prepare and file a report for the Riverview Gardens Landscape Maintenance District, pursuant to provisions of the Landscaping and Lighting Act of 1972 of the Streets and Highways Code of the State of California.
b. Adopt Resolution No. 2026-5086, preliminarily approving the Engineer's Report which generally describes the improvements or any substantial changes to the improvements for the Riverview Gardens Landscape Maintenance District, pursuant to provisions of the Landscaping and Lighting Act of 1972 of the Streets and Highways Code of the State of California.
c. Adopt Resolution No. 2026-5087, announcing intention to levy and collect assessments within the Riverview Gardens Landscape Maintenance District and fixing time and place for public hearing on the levy of the proposed assessment, pursuant to Part 2 of Division 15 of the Streets and Highways Code of the State of California.

BACKGROUND:

The Riverview Gardens Landscape Maintenance District was formed in 1998 for the purpose of providing maintenance services to landscaping and appurtenant improvements for the Riverview Gardens development and assessing those properties

which benefit from this service. Each year the City Council must, by law, order the preparation of an Engineer's Report describing the existing and proposed maintenance services and conduct a public hearing to establish and order the amount of assessment for the next fiscal year.

At the time the District was formed, the engineer included an annual assessment adjustment, equal to the April Consumer Price Index for the San Francisco-OaklandHayward areas (“CPI”). Each year since the District was formed, a new maximum assessment was established by applying the April CPI to the Maximum Assessment for the prior year. The City may assess the District parcels any amount, up to the established Maximum Assessment for that year, but may not exceed that amount. Included in the Engineer’s Report is a table showing the Maximum Assessment and the Actual Assessment for each year since the District was formed.

DISCUSSION:

The Resolutions provide notice to the members of the District and citizens of the City of King of the City’s intent to again levy and collect assessments fees for the previously formed landscaping and lighting district. In addition, the Resolutions establish that the City Council: (1) finds that the public interest and convenience requires, and (2) declares its intention to order the levy of and to collect assessments against the assessable lots and parcels within an existing assessment district designated “Riverview Gardens Landscape Maintenance District” (“District”) for the fiscal year commencing July 1, 2026 and ending June 30, 2027, to pay for the costs and expenses of the improvements described in the Resolution.

In addition, the Resolution will establish the purpose of the Landscaping and Lighting District No. 2, which is for the operation and maintenance of street lighting, public landscaping and all related appurtenances located within public right-of-way, dedicated easements, or dedicated public properties of the tracts and public lands in the City of King. Lastly, it establishes the scope of improvements which will be provided within the District.

COST ANALYSIS:

The District was established to fund the ongoing maintenance and servicing of the improvement. The properties within the District are assessed annually on the Monterey County tax roll. The costs to maintain and service the improvements for Fiscal Year 2026- 27 has been estimated at $22,414.50. Each of the 45 parcels in the District benefits equally from the improvements, and as a result, each parcel is assessed the same amount. For Fiscal Year 2026-27, that amount is $498.10*. If the assessments are not charged to the properties within the District, the costs to maintain the improvements will have to be funded in some other way.

*April 2026 CPI was not available at the time this Report was produced. 4% was used as an estimate for the April CPI. This will allow the City Council to reduce the approved assessment rate at the Public Hearing without violating Proposition 218. Per Assessment Law, the City Council may reduce the preliminarily approved assessment rate but may not increase it over what was published in the Notice of Public Hearing. The actual April CPI and the appropriate change to the Adjusted Maximum Assessment will be updated for the Public Hearing and final approval of this Report.

ENVIRONMENTAL REVIEW:

The resolutions are not a project within the meaning of Section 15378 of the State of California Environmental Quality Act (“CEQA”) Guidelines, because it has no potential for resulting in physical change in the environment, directly or indirectly. Most of the terms and scope of city discretion are guided by existing State and Federal law. The resolution declares the City’s intent to levy and collect assessment fees. The resolution does not authorize any specific development or installation on any specific piece of property within the City’s boundaries. Alternatively, the resolution is exempt from CEQA because the City Council’s adoption of the resolution is covered by the general rule that CEQA applies only to projects which have the potential for causing a significant effect on the environment (State CEQA Guidelines, § 15061(b)(3)).

ALTERNATIVES:

The following alternatives are provided for Council consideration:

1. Approve staff’s recommendations;

2. Modify and approve the cost of the Assessment, which would require the City to subsidize the maintenance if the cost is reduced;

3. Direct staff to eliminate the assessment and maintenance work; or

4. Provide other direction to staff.

5 The 1972 Act requires that a special fund be set up for the revenues and expenditures of the District. Funds raised by assessment shall be used only for the purpose as stated herein. A contribution to the District by the City may be made to reduce assessments or to fund costs which are greater than revenue from the assessments, as the City Council deems appropriate. Any balance or deficit remaining on July 1 must be carried over to the next fiscal year. Estimated beginning and ending fund balances for Fiscal Year 2026-27 are shown in the following table.

Section 22569 (a) of the 1972 Act allows the District assessments to “…include a reserve (Operating Reserve) which shall not exceed the estimated costs of maintenance and servicing to December 10 of the fiscal year, or whenever the city expects to receive its apportionment of special assessments and tax collections from the county, whichever is later.”

DISTRICT FUND BALANCES

OPERATING RESERVE FUND
Estimated Reserve Fund Beginning Balance as of July 1, 2026 $6,431.11 Operating Reserve Collection/(Reduction) – Fiscal Year 2026-27 $0.00 Estimated Reserve Fund Balance Ending June 30, 2027 $6,431.11

CAPITAL RESERVE FUND
Estimated Reserve Fund Beginning Balance as of July 1, 2026 $5,313.33 Capital Reserve Collection/(Reduction) – Fiscal Year 2026-27 $9,552.27 Estimated Reserve Fund Balance Ending June 30, 2027 $18,717.04 Operating Reserve collections will continue until such time as the fund balance reaches approximately 50% of the annual budget. This is necessary to fund the District costs for the first 6 months of the fiscal year. After the Operating Reserve has been fully funded (50% of annual costs), any future collections will be to maintain the fund balance at the proper level (approximately 50% of the annual Direct Costs).

Capital Reserve collection is intended for the eventual replacement of the masonry wall at the entrance of the development. Masonry walls typically have an expected useful life of approximately 30 to 40 years. The wall was installed in 1998, leaving approximately twelve years of useful life, as of Fiscal Year 2026-27.

8 PART 4 – METHOD OF APPORTIONMENT
General
Street and Highways Code Section 22573 requires that maintenance assessments be levied according to benefit rather than according to assessed value. This section states:
“The net amount to be assessed upon lands within an assessment district may be apportioned by any formula or method which fairly distributes the net amount among all assessable lots or parcels in proportion to the estimated benefits to be received by each such lot or parcel from the improvements.”
— Streets and Highways Code Section 22573
The 1972 Act permits the designation of areas of benefit within any individual assessment district if "by reason of variations in the nature, location, and extent of the improvements, the various areas will receive different degrees of benefit from the improvements." (Sec. 22574). Thus, the 1972 Act requires the levy of a true "assessment" rather than a "special tax." In November 1996, the voters of California adopted Proposition 218, which has been codified as Articles XIIIC and XIIID of the California Constitution. Proposition 218 imposed a number of substantive and procedural requirements on taxes, assessments, and property-related fees imposed by local governments in California.

The method of apportionment described in this Report, and confirmed by the City Council, utilizes commonly accepted engineering practices established pursuant to the 1972 Act and the California Constitution for the allocation of special benefit assessments. The calculation of assessments is based upon the parcel type and the services and improvements provided to equitably apportion the costs based on the special benefit received by each lot or parcel. The special benefit received by each lot or parcel is over and above any general benefit conferred upon said lots or parcels or to the public at large.

Special Benefit
The improvements and associated costs have been allocated to the assessable properties within the District based upon the special benefit received by those properties. The improvements for which the properties are assessed have been identified as necessary, were installed and are being maintained as part of the development plans specifically for this tract.

As such, the improvements and continuing maintenance and servicing of those improvements are strictly the obligation of the properties within the District. Any benefit to adjacent parcels or passersby is strictly incidental. The improvements provide a particular and distinct benefit to the assessed parcels over and above any general benefits conferred to the public at large.

General Benefit
Although the improvements may be visible to passersby or to the public at large, they were installed as a requirement of the development of the tract and are intended to primarily benefit those properties within the District. Any access or use by properties or individuals outside the District is incidental and any resulting benefit is general in nature and not proportional to the special benefits received by the assessed parcels.

Engineer’s Report
Riverview Gardens Landscape Maintenance District
City of King
Fiscal Year 2026-27

9 Definition of Special Benefit
The method of apportionment described in this Report is based on the premise that each assessable parcel or unit receives distinct and special benefits from the improvements and services provided, including the visual desirability provided by well-maintained landscaping. In accordance with Article XIII D, Section 4 of the California Constitution (“Proposition 218):
“Special benefit means a particular and distinct benefit over and above general benefits conferred on real property located in the District or the public at large” The special benefits associated with local landscaping improvements are specifically:
• Enhanced desirability and marketability of properties due to proximity and accessibility of the improvements.
• Improved aesthetic appeal of parcels through a positive representation of the development and surrounding neighborhood.
• Reduced vandalism and other property-related criminal activity affecting parcels within the District.

ASSESSMENT RANGE FORMULA
It is generally recognized that most budgetary items will be impacted by inflation in future years. In accordance with the California Constitution, Section 53739 (b)(1), assessments “may be adjusted for inflation pursuant to a clearly defined formula…” A formula for an inflationary adjustment is therefore included as part of the maximum assessment for this District and was approved by the property owner(s) at the time of formation. The formula, as described below, allows for annual adjustments to the budget and the assessments.

To impose a new assessment or increased assessment in excess of the Maximum Assessment Rate for the current fiscal year, as provided by the following Assessment Range Formula, the City must comply with the provisions of the California Constitution, Article XIII D, Section 4c that requires a public hearing and certain protest procedures including mailed notice of the public hearing and property owner protest balloting. Property owners must approve the proposed new or increased assessment via a property owner protest balloting process before any such new or increased assessment can be imposed.

A protest occurs when, at the public hearing, the returned assessment ballots opposed to the new or increased assessment outweigh the returned ballots in favor of the new or increased assessment, weighing those assessment ballots by the financial obligation of each parcel.

The definition of new or increased assessments includes any assessment which, 1) did not previously exist or, 2) exceeds a previously approved assessment amount or assessment range formula. Any assessment range formula must have been previously adopted by the agency and approved by the property owners.

ASSESSMENT METHODOLOGY
The benefit formula used to determine the financial obligation for each parcel is based on the improvements benefiting the parcels, as well as the use, or type, of each parcel that benefits from said improvements. One of the more common approaches to fairly distributing District costs to the benefitting parcels in maintenance districts such as this utilizes a methodology referred to as the “Per Parcel” method of apportionment. This method, as confirmed by the City Council at the time the District was formed, identifies the fact that all the parcels in the District, each being single family residential, benefit equally from the improvements provided by the District.

The initial maximum assessment for this District was established at the time of formation and was assessed for the first time during the 1998-99 fiscal year. That initial maximum assessment was $221.72 per parcel. This initial maximum assessment has been adjusted each subsequent fiscal year by the following Assessment Range Formula:

Engineer’s Report
Riverview Gardens Landscape Maintenance District
City of King
Fiscal Year 2026-27

10 • The Maximum Assessment Rate allowed each fiscal year (the “Adjusted Maximum Assessment Rate”) shall be based on the initial maximum assessment established in Fiscal Year 1998-99, adjusted annually by the Bureau of Labor Statistics, Consumer Price Index for the month of April, All Urban Consumers, (“CPI”) for the San Francisco/Oakland/Hayward area. Should the Bureau of Labor Statistics revise or discontinue the preparation of such index, the City reserves the right to use such revised index or a comparable system to determine fluctuations in the annual cost of living.
• Each fiscal year, the CPI shall be applied to the Maximum Assessment Rate established the previous fiscal year to calculate the appropriate Adjusted Maximum Assessment Rate for the current fiscal year. • If the proposed annual assessment rate (levy per parcel) for the year is less than or equal to the Adjusted Maximum Assessment Rate established for that fiscal year then the proposed annual assessment is not considered an increased assessment.

Beginning in the second fiscal year after the formation of the District (1999-00) and each fiscal year since, the Maximum Assessment Rate has been recalculated and a new Maximum Assessment Rate has been established for each fiscal year using the Assessment Range Formula described above. Based on the April CPI shown in the table below, the Maximum Assessment Rate for the upcoming fiscal year (2026-27) shall be $498.10.

The Adjusted Maximum Assessment Rate has been calculated independent of the annual budget and proposed assessment rate for the given fiscal year. As stated above, if the proposed annual assessment for any fiscal year does not exceed the Adjusted Maximum Assessment Rate for that year, it is not considered to be an increased assessment under the terms of Proposition 218.

The table on the following page shows the annual April CPI increase, the Adjusted Maximum Assessment and the Actual Annual Assessment each year since the formation of the District:

Engineer’s Report
Riverview Gardens Landscape Maintenance District
City of King
Fiscal Year 2026-27

11 The City assessed the parcels in the District for the first time in seven years, in Fiscal Year 2019-20, due to the fact that there were no improvements being maintained. The improvements have now been installed and are being maintained and serviced annually.

1. April CPI was not available at the time this Report was written. 4% is being used as an estimate. The actual April CPI and the appropriate change to the Adjusted Maximum Assessment will be updated prior to the Public Hearing or when the assessments are sent to the County.

The actual April 2026 CPI increase will be published in late May.

12 APPENDIX A – ASSESSMENT ROLL
Parcel Identification for each lot or parcel within the District shall be based on available parcel maps and other property data from the Monterey County Assessor’s office as they existed at the time this Report was prepared and adopted by the City Council.

A listing of parcels assessed within the District for Fiscal Year 2026-27, along with the corresponding assessment amounts, is included on the following page. If any parcel submitted for collection is identified by the County Auditor/Controller to be an invalid parcel number for the current fiscal year, a corrected parcel number and/or new parcel numbers will be identified and resubmitted to the County Auditor/Controller. The assessment amount to be levied and collected for the resubmitted parcel(s) shall be based on the method of apportionment and assessment rate approved in this Report.

Therefore, if a single parcel has changed to multiple parcels, the assessment amounts applied to each of the new parcels shall be recalculated and applied according to the approved method of apportionment and assessment rate rather than a proportionate share of the original assessment.

Non-assessable lots or parcels include areas of public streets and other roadways (typically not assigned an APN by the County); dedicated public easements, open space areas and rights-of-way, including public greenbelts and parkways; utility rights-of-way; common areas; landlocked parcels; small parcels vacated by the County, bifurcated lots and any other property that cannot be developed or has specific development restrictions. These types of parcels are considered to receive little or no benefit from the improvements and are therefore, exempted from assessment.

15 APPENDIX B – ASSESSMENT DIAGRAM
Item No. 9 (D)

REPORT TO THE CITY COUNCIL
DATE: MAY 12, 2025
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: JOSE ARREOLA, CITY MANAGER
RE: CONSIDERATION OF KING CITY CHAMBER OF COMMERCE &

AGRICULTURE CITY-WIDE YARD SALE
RECOMMENDATION:

It is recommended the City Council: 1) approve the King City Chamber of Commerce & Agriculture special event permit request for a City-wide Yard Sale on June 19, 2026 to June 21, 2026; 2) waive all yard sale permit fees and requirements during those days; and 3) waive fees for the special event permit.

BACKGROUND:

The King City Chamber of Commerce & Agriculture has submitted a special event permit request for a City-wide Yard Sale on June 19, 2026 to June 21, 2026. A copy of the request letter is attached. They have asked for Council authorization to promote the event and to waive any garage sale permit fees and requirements during those three days. They have also requested the special event permit fee be waived.

DISCUSSION:

This event has been part of Beautification Week activities for a number of years.

Beautification Week is scheduled this year from June 20 th to June 27th
. The
purpose is to enable residents and businesses to conveniently and successfully dispose of unwanted items, while diverting them from the landfill. Meanwhile, by encouraging residents and businesses to conduct them concurrently as part of a citywide event, it will help bring customers to the City. Therefore, there is a public benefit from the program and the City has approved this event and waiving the permit fees in the past.

CITY COUNCIL

CONSIDERATION OF KING CITY CHAMBER OF COMMERCE &

AGRICULTURE CITY-WIDE YARD SALE
MAY 12, 2026
COST ANALYSIS:

The permit fee is $29. Garage sale permit fees are $17. Therefore, there will be a minor loss of revenue, but the fee is set at an amount to reimburse the City for staff costs. As a result, the loss of revenue is offset by the staff time saved in not having to process the permits.

ENVIRONMENTAL REVIEW:

The event is not considered a “project” for the purposes of the California Environmental Quality Act (CEQA). Therefore, it will not have the potential for resulting in either a direct physical change to the environment or a reasonably foreseeable indirect physical change in the environment. No further action is required under CEQA for City Council action.

ALTERNATIVES:

The following alternatives are provided for City Council consideration:

1. Approve staff’s recommendations;

2. Approve the event, but do not waive the permit fees;

3. Do not approve the event; or

4. Provide staff other direction.

Subject: City-Wide Yard Sale 2026
Honorable Mayor and Councilmembers:

The King City Chamber of Commerce & Agriculture requests permission again to promote a City-Wide Yard Sale, June 19th – June 21st. The event would coincide with Beautification Week June 20th - June 27th.

The intent of the City-Wide Yard Sale is threefold; it would allow residents and businesses to dispose of items, reducing the impact on landfill; it would attract people from neighboring areas to attend; and would kick off Beautification Week.

The Chamber requests that the City of King waive all Yard Sale fees during the event.

We request that the council consider and grant our request at its earliest convenience.

Thank you for your time and support

RE: CONSIDERATION OF AN IMPLEMENTATION AND MUTUAL

INDEMNITY AGREEMENT AS PART OF THE AFFORDABLE HOUSING

SUSTAINABLE COMMUNITIES GRANT BETWEEN CHISPA AND THE

CITY OF KING FOR THE MILLS RANCH AFFORDABLE HOUSING

PROGRAM
RECOMMENDATION:

It is recommended the City Council authorize the Mayor to sign the attached Implementation and Mutual Indemnity Agreement.

BACKGROUND:

On August 30, 2005, the City Council (Council) approved the Mills Ranch Specific Plan (Specific Plan), and Mills Ranch Design Manual. To comply with the City’s Inclusionary Housing Ordinance, the project included 15% inclusionary housing for low-incomehouseholds. This required the project to provide 60 affordable housing units. On September 1, 2005, the Council entered the Mills Ranch Affordable Housing Program Agreement (Agreement) which allowed the developer to provide 10% or at least 40 units, as affordable housing onsite. The remaining 5% obligation was met by providing $605,000 to the County Housing Authority to rehab Leo A. Meyer Senior Plaza.

Five parcels were identified in the Specific Plan for 40 or more affordable housing units.

The Community Housing Improvement System and Planning Association, Inc. (CHISPA) will be constructing the affordable housing units. To help fund the Mills Ranch Affordable Housing Project, CHISPA is applying for an Affordable Housing Sustainable Communities (AHSC) Grant. As part of the AHSC Grant, points are added for community transportation and equity projects that are administered by the local government.

• $2,827,913 of the AHSC grant funds for the purpose of reimbursing the cost of the STI Improvements;
• $732,005 of AHSC grant funds for the purpose of reimbursing the cost of the TRA Improvements; and

The Parties acknowledge and agree that the inability or failure by either of the Parties to fully and timely complete each party’s respective obligations required by the AHSC Documents may affect the timing and right of the other Party to receive disbursement of AHSC funds due the other Party notwithstanding the other Party’s full and timely performance of its obligations.

NOW, THEREFORE, in consideration of the recitals, covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereto hereby agree as follows:

AGREEMENT

1. Obligations. The City shall, as its sole responsibility, complete the Transit Obligations in accordance with the terms of the AHSC Documents, this Agreement, and the City-approved design and construction documents. The Developer shall, as its sole responsibility, complete the Developer Obligations in accordance with the terms of the AHSC Documents, this Agreement, and the approved design and construction documents. Each Party will provide the other Party with copies of all requisitions for work related to their respective work, the notice of completion, and other documents related to their respective work that another Party may reasonably request. Notwithstanding the foregoing, the City shall not commence construction of the Transit Obligations without Developer’s consent. Developer shall pay the City for the Transit Obligations in an amount not to exceed $3,199,918; provided, however, Developer will have no obligation to pay for any work until the Disbursement Agreement has been executed and HCD disburses to Developer portions of the AHSC Grants as reimbursement for such work. Notwithstanding the foregoing, the City may commence construction without Developer consent provided that City hereby acknowledges and agrees that in such event, the City would be proceeding at its own risk, and the Developer indemnity in Section 3 shall not apply to any claims by the City due to Developer’s failure to perform its obligations under the AHSC Documents because of Developer’s inability to obtain all the financing necessary to proceed with its obligations.

2. City Indemnity. City acknowledges if the Transit Obligations are not completed within the schedule of performance deadlines and otherwise in accordance with the AHSC Documents, Developer is at risk of having negative points assessed by HCD, loss of funding of AHSC Grant and/or AHSC Loan funds and the recapture of previously disbursed AHSC Grant or AHSC Loan funds, among other consequences. City is responsible for carrying out the Transit Obligations using AHSC Grant proceeds in accordance with the AHSC Documents, including, but not limited to, any disbursement and performance deadlines contained therein. City shall indemnify, defend, protect, and hold harmless Developer, and its affiliates, directors, officers, partners, members, agents and employees (each, an “Developer Indemnified Party”) against any and all claims, actions, suits, causes of action, losses, liabilities, injuries, costs, damages, or expenses (collectively, “Claims”), including, without limitation, any direct, liability, damage, or expense, court costs and attorneys’ fees, arising out of or in connection with the City’s performance of or failure to perform its obligations to complete the Transit Obligations, in the manner and within the time periods set forth in the AHSC Documents, and to otherwise perform any covenants constituting City obligations, set forth in the AHSC Documents, including any claims, losses or liabilities of the Partnership or the general partner of the Partnership caused by a breach or default under the AHSC Documents (due to City’s action or inaction) that triggers a default under the AHSC Loan. However, in no event shall any Developer Indemnified Party be indemnified hereunder for any Claims resulting from such party’s sole negligence or willful misconduct. City agrees to pay all of the Developer Indemnified Party’s costs and expenses, including reasonable attorneys’ fees, which may be incurred in any effort to enforce any term of this Agreement, including, but not limited to, all such costs and expenses which may be incurred by any Developer Indemnified Party in any legal action, reference or arbitration proceeding brought by HCD or other third party.

3. Developer Indemnity. Developer is responsible for carrying out the Developer Obligations using AHSC Grant proceeds and AHSC Loan funds in accordance with the AHSC Documents, including, but not limited to, any disbursement deadlines contained therein. Developer shall indemnify, defend, protect, and hold harmless the City and any of its affiliates, directors, officers, agents, employees, assigns and successors in interest (each, a “City Indemnified Party”) against any and all Claims, including, without limitation, any direct, indirect or consequential loss, liability, damage, or expense, court costs and attorneys’ fees, arising out of or in connection with Developer’s performance of or failure to perform its Developer Obligations, in the manner and within the time periods set forth in the AHSC Documents, and to otherwise perform any covenants constituting Developer Obligations set forth in the AHSC Documents. However, in no event shall any City Indemnified Party be indemnified hereunder for any Claims resulting from such party’s sole negligence or willful misconduct. Developer agrees to pay all of the costs and expenses of the City Indemnified Party including reasonable attorneys’ fees, which may be incurred in any effort to enforce any term of this Agreement, including, but not limited to, all such costs and expenses which may be incurred by any City Indemnified Party in any legal action, reference or arbitration proceeding brought by HCD or other third party.

4. Schedule of Performance; Progress Reports. The Parties shall comply with the schedule of performance milestone deadlines set forth in the AHSC Documents, for the completion of their respective obligations hereunder (the “Schedule of Performance”). The City shall provide Developer with a designated point of contact for all communications and shall 4 991.004/708571
4903-6235-3823v.1 0017787-000643
respond to requests information, updates or any other matter relating to the City’s performance of the Transit Obligations within three (3) business days. The City and Developer agree to give the other party a written quarterly status report on the progress toward the milestones listed in the Schedule of Performance, i.e., the Developer will report on the Developer’s progress on the Housing Project and AHSC Programs and the City will report on the City’s progress on the STI Improvements and TRA Improvements. If any Party anticipates not meeting any milestone in the Schedule of Performance, that Party will promptly notify the other party in writing at least nine months in advance of such milestone date and will meet with the other Party to discuss the reasons why the milestone dates may not be met and what actions the delaying party intends to take to meet the milestones or otherwise rectify the work schedule in order to maintain good standing with the terms and conditions established in the AHSC Documents; provided that, any plan by the non-performing Party to meet the milestones and rectify the work schedule shall be approved by the other Party in its sole but reasonable discretion. If necessary, City and Developer shall jointly request an extension from HCD of any milestone date in the Schedule of Performance as soon as the Parties agree that they are at risk of missing such milestone date. In addition, if necessary, joint notice shall be given by City and Developer to HCD and any other entity that either Party may request or require, such as the Partnership’s other lenders and tax credit investor(s), and joint responses, if requested, shall be provided to information requested by HCD, the Partnership’s other lenders or tax credit investor.

5. Delegation. Notwithstanding the obligations of each party under this Agreement, each party shall be entitled to enter into sub-agreements with each other or with other parties to provide any assistance or services needed for each party to perform its obligations under this Agreement and the AHSC Documents; provided however, any such subagreement shall not absolve or release any Party from performing its obligations hereunder or under the AHSC Documents.

6. Cost Overruns. Developer shall be responsible for paying all costs required to complete the Developer Obligations, irrespective of whether such costs exceed the portion of the AHSC Grant designated for the Developer Obligations. City shall be responsible for paying all costs required for the Transit Obligations irrespective of whether such costs exceed the portion of the AHSC Grant designated for the Transit Obligations.

7. Developer and Partnership Step In Rights.
(a) The Parties each acknowledge and agree that the inability or failure by the City to fully and timely complete the Transit Obligations required by the AHSC Documents may affect the timing and right of the Developer to receive disbursement of the AHSC Grants or AHSC Loan funds notwithstanding the Developer’s full and timely performance of its obligations, the recapture of previously disbursed AHSC Grants or AHSC Loan funds, and may result in negative points assessed against Developer, among other potential consequences. In the event of the City’s failure to perform its obligations to complete the Transit Obligations or to otherwise perform any other covenants constituting City obligations, in the manner and within the time periods specified herein and set forth in the AHSC Documents, after having been given a reasonable opportunity to cure, Developer shall have the right to sue the City for specific performance, the right to cause the City to prepare and seek HCD approval of an 5 991.004/708571
4903-6235-3823v.1 0017787-000643
alternate scope of work, and the right to step in and take over the performance of the Transit Obligations, by delivering written notice to the City (“Work Takeover Notice”). (b) Within five (5) business days of Developer delivering the Work Takeover Notice (the “Discussion Period”), City shall meet with Developer to discuss the cooperative steps to be taken by Developer to complete the Transit Obligations in accordance with the Schedule of Performance. The City hereby acknowledges and agrees that Developer’s right to step in and take over the performance of the Transit Obligations shall be effective after the expiration of the Discussion Period, without the necessity of any further notice or action by either Party. Such cooperative steps may include but not be limited to the following: Joint notice by the City and Developer to HCD and any other entity that either Party may request or require, such as the Partnership’s other lenders and tax credit investor(s); joint responses, if requested, to information requested by HCD, the Partnership’s other lenders or tax credit investor; execution, assignment and/or joint submittal by the City with Developer of any plans or other design or construction documents or changes thereto that may need to be approved prior to the commencement of construction of the City Obligations; execution, assignment and/or joint submittal by the City with Developer of any applications for governmental or other approvals that may be needed for the commencement or completion of the City work; and cooperation by the City to assist Developer in meeting all applicable State and local public works requirements for constructing the City work.
(c) If Developer takes over the performance of the Transit Obligations under this Section 7, then from and after the expiration of the Discussion Period the following provisions shall apply:
(i) Developer shall be entitled to prepare and submit all draw requests for AHSC Grant funds allocated to the Transit Obligations and apply such proceeds to pay invoices for such work.
(ii) Developer shall be responsible for the performance and completion of the Transit Obligations in accordance with the terms of the AHSC Documents and in accordance with the City's requirements for public works contracts and construction. (iii) Within five (5) business days following expiration of the Discussion Period, City shall fully and unconditionally assign to Developer all of the City’s rights and benefits under the design and construction documents as allowable under law, any and all contracts, and any and all permits and approvals related to the Transit Obligations, and shall cooperate with commercially reasonable diligence with Developer’s efforts to complete the Transit Obligations.
(iv) Within five (5) business days following expiration of the Discussion Period, City shall fully and unconditionally assign to Developer all of City’s rights and benefits with respect to any and all funds which would have been available to and used by the City to complete the Transit Obligations.
(v) The terms of any assignment described in this Section 7(c) shall be reasonably acceptable to both City and Developer. The City shall be solely responsible for obtaining any third-party consents or approvals necessary to implement the provisions of this 6 991.004/708571
4903-6235-3823v.1 0017787-000643
Section 7(c), including but not limited to approvals of architects, contractors, and funding sources.
(d) The parties hereto hereby agree that the Partnership or an affiliate thereof shall have the right to succeed to Developer’s rights hereunder as necessary to effectuate completion of the work under this Section 7. Under no circumstances shall such assumption by the Partnership be conditioned upon the assumption of the Partnership of any indemnification obligations contained herein, provided, however, that the Partnership will assume Developer’s indemnification obligations with respect to any subsequent breach by the Partnership under this Agreement first occurring after such assumption.

8. Disbursement of AHSC Grant Funds. Because the City is not a party to the AHSC Documents, the AHSC Documents require the AHSC Grant for the Transit Obligations to be paid to Developer. The City shall therefore submit to Developer all draw requests for AHSC Grant funds, including, without limitation, pictures and back-up invoices, for the costs associated with the Transit Obligations and Developer shall submit within fourteen (14) calendar days of receiving such requests to HCD and disburse to the City any such funds received from HCD immediately upon receipt; provided, however, that City acknowledges and agrees that Developer shall have no obligation and assumes no liability for any costs incurred by City unless and until the HCD disbursement agreement is fully executed, and further, Developer shall have no liability for any delay or failure to fund disbursements to the extent such delay or failure to fund results in whole or in part from any action or inaction of HCD or City. City shall apply any such proceeds received to pay the invoices submitted in connection with the draw request or to reimburse itself for such costs if City has used its funds to bridge the AHSC Grant funds. The Parties further agree that all of the AHSC Loan funds shall be disbursed directly to the Partnership.

9. Implementation Agreements. Developer and City recognize that each Party may need additional assurances from the other Parties (including assurances for the Project’s lenders and investors) regarding the specific grant award before commencement of construction of the Project. The Parties agree to cooperate in good faith to, if necessary, amend this Agreement and/or enter into an implementation agreement or other documents necessary to provide reasonable assurances and indemnifications related to the disbursement of AHSC Grant funds.

10. Notices. Formal notices, demands, and communications between the parties shall be sufficiently given if, and shall not be deemed given unless, dispatched by registered or certified mail, postage prepaid, return receipt requested, or delivered by express delivery service, return receipt requested, or delivered personally, to the principal office of the parties as follows:

11. Events of Default. The occurrence of any of the following events shall constitute an Event of Default under this Agreement:
(a) A Party fails to perform any of its obligations under this Agreement, and does not cure such failure within 30 days after written notice of such failure has been delivered to the defaulting party; or
(b) A Party purports to revoke this Agreement or this Agreement becomes ineffective for any reason.

12. Termination. This Agreement shall terminate upon the earlier of: (i) completion of all obligations under the AHSC Documents; or (ii) mutual agreement of the all of the Parties hereto.

13. Third Party Beneficiary. The Partnership shall be a third party beneficiary of this Agreement and shall be entitled to the rights and benefits hereunder and may enforce the provisions hereof as if it were a party to this Agreement. This Section 12 shall not be amended, modified or deleted without the prior written consent of the Partnership.

14. Assignment. City hereby acknowledges and approves the assignment by Developer and the Partnership to the Housing Project’s senior lender (“Construction Lender”) of all of their respective right, title and interest in, to and under the Agreement (the “Collateral”) as collateral security for the Partnership’s obligations to Construction Lender under, and in connection with Construction Lender’s loan to the Partnership. In the event Construction Lender forecloses upon the Collateral, City hereby agrees that Construction Lender shall have all of Developer’s rights and interests under the Agreement. Construction Lender is hereby made an express third party beneficiary of this Section 14, and the parties hereto shall not amend, modify or terminate this Agreement without Construction Lender’s express written consent.

15. MOU. This Agreement fully amends and restates that certain Memorandum of Understanding (Agreement) dated as of March 12, 2024 by and between the Parties (the “MOU”) and such MOU is no longer in effect.

16. Insurance. The Parties each agree that throughout the term of this Agreement, each Party will maintain its typical liability and builder’s risk insurance while constructing the Housing Project and STI Improvements and TRA Improvements, respectively. 8 991.004/708571

(b) If any party delays in exercising or fails to exercise any right or remedy against a Party, that alone shall not be construed as a waiver of such right or remedy. All remedies of any Party against the other Party are cumulative. (c) This Agreement shall be binding upon and inure to the benefit of each of the parties hereto and their respective representatives, heirs, executor, administrators, successors, and assigns. This Agreement may not be amended except by a written instrument executed by the parties hereto.

The parties hereto hereby agree that any action hereon between the parties hereto and their successors in interest may be maintained in a court of competent jurisdiction located in the State of California, and consent to the jurisdiction of any such California court for the purposes connected herewith. (e) Each party hereto intends that this Agreement shall not benefit or create any right or cause of action in or on behalf of any person other than the parties hereto. (f) This Agreement may be executed in multiple counterpart copies, any one of which when duly executed, with all formalities hereof, shall be fully binding and effective as the original of this Agreement.
(g) This Agreement shall be effective as of the date first written above. [Signatures on following page]
