City Council Special Meeting
July 21, 2026

1. CALL TO ORDER:

Special Meeting called to order at 12:00pm by Mayor LeBarre.

2. ROLL CALL:

City Council: Mayor Mike LeBarre, Council member Cullen, Council member Carlos Victoria, Council member Oscar Avalos (remote),
City Staff: City Manager Jose Arreola, City Attorney Roy Santos (Remote), City Clerk Erica Sonne

3. CONSENT:

A. Consideration of the repeal and rescission of the settlement agreement and release of all claims entered into between the City of King and SGH Holding, LLC and executed by the Parties on May 15, 2026.

B. Consideration of a settlement agreement and release of all claims between the City of King and SGH Holdings LLC arising from a dispute regarding the duration of Temporary CUP 2016-0001; the binding nature of the language within the MOU entered into between the City, Smith Monterey, and SGH; the payment of development impact fees by SGH to the City for the project; SGH's obligations in response to the extension of Broadway Street; and application of the City's Municipal Code to the project.

Mayor LeBarre stated that a letter was received yesterday and again this morning stating concerns over the items on the consent agenda today from Mr. Parkin
Mayor LeBarre opened public comment for item 3(A)
Bill Parkin for Rava Ranches and Fresh Foods thanked the Mayor for acknowledging the letter demanding resending the decision in closed session.

Mayor LeBarre closed public comment on 3(A).

Mayor LeBarre opened public comment for item 3(B)
John Baucke expressed concerns over language in section 11 on behalf of Smith Monterey as it seems to go outside of the right of way. They believe the language should clearly say that it only applies to SGH's storage, building, anything that they have in the right of way and nothing adjacent to the right of way.

SGH should be able to park their buses outside the right of way. Currently it would not allow.

Bill Parkin for Rava Ranches and Fresh Foods stated that no actual litigation pending before you he doesn't understand why the City would settle with an applicant prior to any decision on a Conditional Use Permit, and denial of a project you haven't made a decision on approve or denying the CUP he doesn't know why the City would settle this and short cut the publics right to speak and since there is not a case, by the way the allegation that SGH having vested rights to continue are wrong. There are

several cases that say they have no vested rights to continue what was a temporary use. There is no indemnity clause in this agreement that protects the City in the event of litigation and the City is already in litigation concerning this matter based on the previous closed session when you approved the settlement agreement in closed session. You can't approve a CUP via settlement agreement there must be a public hearing starting with the Planning Commission pursuant municipal code 2. 12.040c5 and there are no findings for a CUP in your settlement agreement and you couldn't approve it anyway and you must apply the Seasonal Employee Housing ordinance to this project which it doesn't comply and to approve this settlement agreement really winds up shortcutting due process for my client and members of the public and he urges council to not to vote to approve this settlement agreement. He doesn't know why council would approve a settlement agreement that exposes the City to litigation and normally in any application you would have indemnity that would protect the city.

Seeing no one else wanting to speak Mayor LeBarre closed public comment.

City Attorney Santos stated that since Smith Monterey is not a party to the agreement the agreement wouldn't apply to their property or interfere with a future use of the property as long as it is allowed by the zoning code.

Action: Motion to approve the consent calendar by LeBarre seconded by Cullen.
