PROFESSIONAL SERVICES AGREEMENT # 25-42

1. Parties and Date.

entered into this 9th day of December, 2025 by and between the City of Laguna Beach City and Intratek Computer Inc City and Consultant are sometimes individually referred
2. Recitals.
2.1 City and Consultant entered into that certain Professional Services Agreement dated 7/1/2025 Agreement #25-42, whereby Consultant agreed to provide Ongoing Desktop Support Services.
2.2 City and Consultant now desire to amend the Agreement for the First time to increase the contract amount and add one additional network engineer support staff effective 11/1/2025.
3. Terms.
3.1 Revised Scope of Services. The Services to be provided by Consultant shall be reference.
3.2 Compensation. The total compensation shall increase by $70,000 for year one through June 30, 2026 for a total not to exceed $212,000. Total compensation shall increase by $148,000 for year two for a total not to exceed amount of $296,000 and year three shall increase by $154,000 for a total not to exceed amount of $308,000.
3.3 Continuing Effect of Agreement. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after mean the Agreement as amended by this Amendment.
3.4 Adequate Consideration. The Parties stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. Consultant further accepts the terms and conditions of this Amendment as full and final resolution of any and all claims, asserted or otherwise, arising out of or related to the subject of this Amendment and acknowledges that the Attachment 2

compensation and/or additional time, if any, set forth herein is adequate and comprises the total compensation and/or time due for the change(s) included in this Amendment.
3.5 Counterparts. This Amendment may be executed in duplicate originals, each of which is deemed to be an original, but when taken together shall constitute but one and the same instrument.
