MEMORANDUM
To: City of Laguna Beach, Jeremy Frimond and Louie Lacasella From: Harris & Associates
RE: Amendment Memo– Laguna Beach Community Land Trust Project Date: Friday, November 7, 2025
CC: Mark Asturias Consulting and Redwood Public Law
Harris & Associates (Harris) was engaged by the City of Laguna Beach in March 2025 to support establishment of a Community Land Trust (CLT). The original contract amount was $94,681, and included tasks related to community engagement, feasibility analysis, organizational structuring, and regulatory compliance tasks.
On November 3, 2025, the City directed Harris to pause all other work and limit remaining efforts to the following:
1. Founding Board appointments
2. Founding Board orientation
3. IRS 1023 filing completion
Under this revised direction, remaining tasks/deliverables in the original scope that fall outside these three priorities will be paused and are not expected to be completed under the updated scope. A deliverable tracker/list is provided here to document which tasks have been completed to date under the original scope, and which tasks have been paused based on the revised direction. Any remaining balance after the three priorities are completed will be reserved for the Founding Board to determine how best to allocate at a later time.
Based on these revised priorities, and the increased need for subconsultant support, Harris proposes restructuring the remaining budget of $ 34,210.50 as follows:
• $4,500 (approximately 15 hours) added to Mark Asturias Consulting subconsultant agreement contract to assist with board appointments, orientation, and IRS application. • $3,000 (approximately 4.5 hours) added to Redwood Public Law subconsultant agreement for legal counsel during onboarding and as needed.
• $5,000 allocated to a new Task 7: Project Management for coordination, contract administration, invoicing, documentation, amendments/reallocations, etc. • $21,710.50 remaining to be held for future project needs / Founding Board direction/ additional project management (if needed).
The budget amounts above are proposed on a Time & Materials (T&M) not-to-exceed basis. The figures reflect current assumptions only and they are not a guarantee that the work associated with these three 214
2 priorities can be fully completed within these amounts, as actual support needs may vary depending on final direction and level of effort required.
The contract term remains unchanged, through March 31, 2026.
Once the City confirms agreement with the revised scope, budget allocations, and assumptions outlined above, Harris will proceed under this revised direction. 215
