1 THIRD AMENDMENT NO. 22-64 TO
PROFESSIONAL SERVICES AREEMENT
BETWEEN THE
CITY OF LAGUNA BEACH
AND
THE CODE GROUP, INC. (dba VCA CODE)
1. Parties and Date.
This Third Amendment to the Professional Services Agreement (“Amendment”) is made and entered into this _______ day of _________ 2026 by and between the City of Laguna Beach (“City”) and The Code Group, Inc. (dba VCA Code) (“Consultant”). City and Consultant are sometimes individually referred to as “Party” and collectively as “Parties” in this Amendment.
2. Recitals.
2.1 City and Consultant entered into that certain Professional Services Agreement dated August 4, 2022 (“Agreement”), whereby Consultant agreed to provide Building Plan Check, Building Inspection, Fire Code Enforcement, Permit Technician and Code Enforcement Services.
2.2 City and Consultant amended the Agreement for the First time on June 30, 2025 to extend the term.
2.3 City and Consultant amended the Agreement for the Second time on December 4, 2025 to increase the compensation up to $100,000.
2.4 City and Consultant now desire to amend the Agreement for the Third time to further increase the compensation up to $290,000.
3. Terms.
3.1 Contract Extension. The term of the Agreement shall remain the same commencing on July 1, 2025, and ending on June 30, 2026.
3.2 Compensation. The total compensation shall be increased by $190,000.
3.3 Continuing Effect of Agreement. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment, whenever the term “Agreement” appears in the Agreement, it shall mean the Agreement as amended by this Amendment.
3.4 Adequate Consideration. The Parties stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. Consultant further accepts the terms and conditions of this Amendment as full and final resolution of any and all claims, asserted or otherwise, arising out of or related to the subject of this Amendment and acknowledges that the compensation and/or additional time, if any, set forth herein is adequate and comprises the total compensation and/or time due for the change(s) included in this Amendment.

2 3.5 Counterparts. This Amendment may be executed in duplicate originals, each of which is deemed to be an original, but when taken together shall constitute but one and the same instrument.
