Any stop orders issued by the DIR against Consultant or any subconsultant that affect Consultant’s performance of services, including any delay, shall be Consultant’s sole responsibility. Any delay arising out of or resulting from such stop orders shall be considered Consultant caused delay and shall not be compensable by the City. Consultant shall defend, indemnify and hold the City, its officials, officers, employees and agents free and harmless from any claim or liability arising out of stop orders issued by the DIR against Consultant or any subconsultant.

3.7.2 Independent Contractors and Subcontracting.
3.7.2.1 Use of Consultants. Consultant is aware of statutory and case law regarding classification of workers as independent contractors, including California Labor Code Section 2750.3 and Dynamex Operations West, Inc. v. Superior Court, 4 Cal. 5th 903 (2018). To ensure that Consultant is in compliance with the California Labor Code, Consultant shall only utilize its employees to provide the Services. Consultant may not provide the services through any independent contractor, subcontractor or subconsultant (“Subcontractor(s)”) unless approved by the City as set forth in Section 3.7.2.2 below. Consultant represents and warrants that all personnel who perform the Services on Consultant’s behalf are Consultant’s employees, and that Consultant complies with all applicable laws, rules and regulations governing its employees, including, but not limited to, the California Labor Code, Unemployment Insurance Code and all applicable Industrial Welfare Commission Wage Orders. 15 -13- PROFESSIONAL SERVICES AGREEMENT
3.7.2.2 Prior Approval Required. Consultant shall not use any Subcontractor to provide the Services, or any portion of the work required by this Agreement, without prior written approval of City. In the event that City authorizes Consultant to use a Subcontractor, Consultant shall enter into a written agreement with the Subcontractor, which must include all provisions of the Agreement, including a restriction on the Subcontractor’s use of further independent contractors, subcontractors or subconsultants without the City’s prior written consent.
3.7.3 Delivery of Notices. All notices permitted or required under this Agreement shall be given to the respective parties at the following address, or at such other address as the respective parties may provide in writing for this purpose:

3.7.4 Ownership of Materials and Confidentiality.
3.7.4.1 Documents & Data; Licensing of Intellectual Property. This Agreement creates a non-exclusive and perpetual license for City to copy, use, modify, reuse, or sublicense any and all copyrights, designs, and other intellectual property embodied in plans, specifications, studies, drawings, estimates, and other documents or works of authorship fixed in any tangible medium of expression, including but not limited to, physical drawings or data magnetically or otherwise recorded on computer diskettes, which are prepared or caused to be prepared by Consultant under this Agreement ("Documents & Data"). All Documents & Data shall be and remain the property of City, and shall not be used in whole or in substantial part by Consultant on other projects without the City’s express written permission. Within thirty (30) days following the completion, suspension, abandonment or termination of this Agreement, Consultant shall provide to City reproducible copies of all Documents & Data, in a form and amount required by City. City reserves the right to select the method of document reproduction and to establish where the reproduction will be accomplished. The reproduction expense shall be borne by City at the actual cost of duplication. In the event of a dispute regarding the amount of compensation to which the Consultant is entitled under the termination provisions of this Agreement, Consultant shall provide all Documents & Data to City upon payment of the undisputed amount. Consultant shall have no right to retain or fail to provide to City any such documents pending resolution of the dispute. In addition, Consultant shall retain copies of all Documents & Data on file for a minimum of fifteen (15) years following completion of the Project, and shall make copies available 16 -14- PROFESSIONAL SERVICES AGREEMENT
to City upon the payment of actual reasonable duplication costs. Before destroying the Documents & Data following this retention period, Consultant shall make a reasonable effort to notify City and provide City with the opportunity to obtain the documents.
3.7.4.2 SOFTWARE PRODUCTS: Notwithstanding the foregoing, all software Products delivered by Honeywell to Customer or for which Honeywell provides access, including, without limitation, Honeywell’s mobile application software and Products with embedded software or firmware (collectively, “Software”) are not sold and are licensed. At all times that Customer is in compliance with the terms of these Terms and Conditions and any other agreement between the parties, Customer shall have a non-exclusive, non-transferable, fully paid license to use the Software, but only in conjunction with the Products provided by Honeywell and Customer’s fire station alerting system (the “License”). In no event shall Customer have any right to (or authorize or allow any third party to) distribute, sell, lend, rent, transfer, or convey the Software; grant any sublicense, lease, or other rights in the Software; decompile, disassemble, reverse engineer, or otherwise attempt to reconstruct, identify, or discover any source code, underlying user interface architecture or techniques, or algorithms of the Software by any means; or take any action that would cause the Software or any portion of it to be placed in the public domain. In the event of a conflict between the terms of any Software license terms provided upon download or purchase a purchase and these Terms and Conditions, the relevant Software license terms shall control solely with respect to such Software.
3.7.4.3 INTELLECTUAL PROPERTY: Customer hereby agrees and acknowledges that Honeywell owns all rights, title, and interest in and to the Intellectual Property (as defined below). Customer agrees to not remove, obscure, or alter Honeywell’s or any third party's copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through Honeywell’s Product (as defined below). Nothing herein shall be deemed to give, transfer, or convey to Customer any rights in the Intellectual Property other than the License, as set forth above. For purposes of this Section, "Intellectual Property" means any and all rights of Honeywell related to Honeywell’s Products existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all derivative works, work product, applications, renewals, extensions and restorations thereof, now or hereafter in force and effective worldwide.
3.7.4.4 Subconsultants. Consultant shall require all subconsultants to agree in writing that City is granted a non-exclusive and perpetual license for any Documents & Data the subconsultant prepares under this Agreement. Consultant represents and warrants that Consultant has the legal right to license any and all Documents & Data. Consultant makes no such representation and warranty in regard to Documents & Data which were prepared by design professionals other than Consultant or its subconsultants, or those provided to Consultant by the City.
3.7.4.5 Right to Use. City shall not be limited in any way in its use or reuse of the Documents and Data or any part of them at any time for purposes of this Project or another project, provided that any such use not within the purposes intended by this Agreement or on a project other than this Project without employing the services of Consultant shall be at City’s sole risk. If City uses or reuses the Documents & Data on any project other than this Project, it shall remove the Consultant’s seal from the Documents & Data and indemnify and hold harmless 17 -15- PROFESSIONAL SERVICES AGREEMENT
Consultant and its officers, directors, agents and employees from claims arising out of the negligent use or re-use of the Documents & Data on such other project. Consultant shall be responsible and liable for its Documents & Data, pursuant to the terms of this Agreement, only with respect to the condition of the Documents & Data at the time they are provided to the City upon completion, suspension, abandonment or termination. Consultant shall not be responsible or liable for any revisions to the Documents & Data made by any party other than Consultant, a party for whom the Consultant is legally responsible or liable, or anyone approved by the Consultant.
3.7.4.6 Indemnification. Consultant shall defend, indemnify and hold the City, its directors, officials, officers, employees, volunteers and agents free and harmless, pursuant to the indemnification provisions of this Agreement, for any alleged infringement of any patent, copyright, trade secret, trade name, trademark, or any other proprietary right of any person or entity in consequence of the use on the Project by City of the Documents & Data, including any method, process, product, or concept specified or depicted.
3.7.4.7 Confidentiality. All ideas, memoranda, specifications, plans, procedures, drawings, descriptions, computer program data, input record data, written information, and other Documents & Data either created by or provided to Consultant in connection with the performance of this Agreement shall be held confidential by Consultant. Such materials shall not, without the prior written consent of City, be used by Consultant for any purposes other than the performance of the Services. Nor shall such materials be disclosed to any person or entity not connected with the performance of the Services or the Project. Nothing furnished to Consultant which is otherwise known to Consultant or is generally known, or has become known, to the related industry shall be deemed confidential. Consultant shall not use City's name or insignia, photographs of the Project, or any publicity pertaining to the Services or the Project in any magazine, trade paper, newspaper, television or radio production or other similar medium without the prior written consent of City.
3.7.4.8 Confidential Information. The City shall refrain from releasing Consultant’s proprietary information ("Proprietary Information") unless the City's legal counsel determines that the release of the Proprietary Information is required by the California Public Records Act or other applicable state or federal law, or order of a court of competent jurisdiction, in which case the City shall notify Consultant of its intention to release Proprietary Information.
Consultant shall have five (5) working days after receipt of the release notice to give City written notice of Consultant's objection to the City's release of Proprietary Information. Consultant shall indemnify, defend and hold harmless the City, and its officers, directors, employees, and agents from and against all liability, loss, cost or expense (including attorney’s fees) arising out of a legal action brought to compel the release of Proprietary Information. City shall not release the Proprietary Information after receipt of an objection notice unless either: (1) Consultant fails to fully indemnify, defend (with City's choice of legal counsel), and hold City harmless from any legal action brought to compel such release; and/or (2) a final and non-appealable order by a court of competent jurisdiction requires that City release such information.
3.7.5 Cooperation; Further Acts. The Parties shall fully cooperate with one another, and shall take any additional acts or sign any additional documents as may be necessary, appropriate or convenient to attain the purposes of this Agreement. 18 -16- PROFESSIONAL SERVICES AGREEMENT
3.7.6 Entire Agreement. This Agreement contains the entire agreement of the Parties with respect to the subject matter hereof, and supersedes all prior negotiations, understandings or agreements.
3.7.7 Attorneys’ Fees. If either party commences an action against the other party, either legal, administrative or otherwise, arising out of or in connection with this Agreement, the prevailing party in such litigation shall be entitled to have and recover from the losing party reasonable attorneys’ fees and all costs of such action.
3.7.8 Governing Law. This Agreement shall be governed by the laws of the State of California. Venue shall be in Orange County. In addition to any and all contract requirements pertaining to notices of and requests for compensation or payment for extra work, disputed work, claims and/or changed conditions, Consultant must comply with the claim procedures set forth in Government Code sections 900 et seq. prior to filing any lawsuit against the City. Such Government Code claims and any subsequent lawsuit based upon the Government Code claims shall be limited to those matters that remain unresolved after all procedures pertaining to extra work, disputed work, claims, and/or changed conditions have been followed by Consultant. If no such Government Code claim is submitted, or if any prerequisite contractual requirements are not otherwise satisfied as specified herein, Consultant shall be barred from bringing and maintaining a valid lawsuit against the City.
3.7.9 Time of Essence. Time is of the essence for each and every provision of this Agreement.
3.7.10 City's Right to Employ Other Consultants. City reserves right to employ other consultants in connection with this Project.
3.7.11 Successors and Assigns. This Agreement shall be binding on the successors and assigns of the parties.
3.7.12 Assignment or Transfer. Consultant shall not assign, sublet, or transfer this Agreement or any rights under or interest in this Agreement without the written consent of the City, which may be withheld for any reason. Any attempt to so assign or so transfer without such consent shall be void and without legal effect and shall constitute grounds for termination.
Consultant shall not subcontract any portion of the Services required by this Agreement, except as expressly stated herein, without prior written approval of City. Subcontracts, if any, shall contain a provision making them subject to all provisions stipulated in this Agreement.
3.7.13 Construction; References; Captions. Since the Parties or their agents have participated fully in the preparation of this Agreement, the language of this Agreement shall be construed simply, according to its fair meaning, and not strictly for or against any Party. Any term referencing time, days or period for performance shall be deemed calendar days and not work days. All references to Consultant include all personnel, employees, agents, and subconsultants of Consultant, except as otherwise specified in this Agreement. All references to City include its elected officials, officers, employees, agents, and volunteers except as otherwise specified in this Agreement. The captions of the various articles and paragraphs are for convenience and ease of reference only, and do not define, limit, augment, or describe the scope, content, or intent of this Agreement.
19 -17- PROFESSIONAL SERVICES AGREEMENT
3.7.14 Amendment; Modification. No supplement, modification, or amendment of this Agreement shall be binding unless executed in writing and signed by both Parties.
3.7.15 Waiver. No waiver of any default shall constitute a waiver of any other default or breach, whether of the same or other covenant or condition. No waiver, benefit, privilege, or service voluntarily given or performed by a Party shall give the other Party any contractual rights by custom, estoppel, or otherwise.
3.7.16 No Third-Party Beneficiaries. There are no intended third party beneficiaries of any right or obligation assumed by the Parties.
3.7.17 Invalidity; Severability. If any portion of this Agreement is declared invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
3.7.18 Prohibited Interests. Consultant maintains and warrants that it has not employed nor retained any company or person, other than a bona fide employee working solely for Consultant, to solicit or secure this Agreement. Consultant warrants that it has not paid nor has it agreed to pay any company or person, other than a bona fide employee working solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. Consultant further agrees to file, or shall cause its employees or subconsultants to file, a Statement of Economic Interest with the City’s Filing Officer as required under state law in the performance of the Services. For breach or violation of this warranty, City shall have the right to rescind this Agreement without liability. For the term of this Agreement, no member, officer or employee of City, during the term of his or her service with City, shall have any direct interest in this Agreement, or obtain any present or anticipated material benefit arising therefrom.
3.7.19 Authority to Enter Agreement. Consultant has all requisite power and authority to conduct its business and to execute, deliver, and perform the Agreement. Each Party warrants that the individuals who have signed this Agreement have the legal power, right, and authority to make this Agreement and bind each respective Party.
3.7.20 Counterparts. This Agreement may be signed in counterparts, each of which shall constitute an original.
3.7.21 Survival. All rights and obligations hereunder that by their nature are to continue after any expiration or termination of this Agreement, including, but not limited to, the indemnification obligations, shall survive any such expiration or termination.

4.3. No Set Off. The terms of this Section shall prevail in the event of inconsistency with any other terms in these Terms and Conditions. Any Surcharges, as well as the timing, effectiveness, and method of determination thereof, will be separate from and in addition to any changes to pricing that are affected by any other provisions in these Terms and Conditions.

All Taxes of any kind levied by any federal, state, municipal or other governmental authority, which tax Honeywell is required to collect or pay with respect to the production, sale, or delivery of products sold to Customer, shall be the responsibility of and be invoiced to Customer, unless, at the time of Order placement, Customer furnishes Honeywell with a valid exemption certificate or other documentation sufficient to verify exemption from Taxes, including, but not limited to, a direct pay permit. Customer agrees to pay all such Taxes and further agrees to reimburse Honeywell for any such payments made by Honeywell.
8. SHIPPING/DELIVERY/RISK OF LOSS.
8.1. Delivery Liability. Delivery and shipment dates for Products are estimates only. Deliveries may be made in partial shipments. Honeywell will accept Orders with a future ship date of up to eighteen (18) months from the date of the entry of the Order. Customer agrees that in the event an Order is scheduled to be delivered more than six (6) months from the date of the entry of the Order, Honeywell may, in its sole determination and at each six (6) month anniversary of the date of the entry of the Order, adjust the pricing of the Order to conform to the then-current prices of the Honeywell Products included in the Order.

9.1.1. If Customer is purchasing a new System, i.e., the initial System for Customer, or for a new Dispatch System or Station System. subject to the terms, conditions and limitations contained herein, and unless Honeywell has otherwise provided an alternative written warranty (in which case the terms of such warranty will control), Honeywell warrants and guarantees its products will be free from defects in workmanship and materials (collectively, “Defects”) for 12 months from Customer’s “Commissioning Date” (“Warranty Period”). This limited warranty does not cover defects caused by normal wear and tear or maintenance.
For purposes of subparagraph, “Commissioning Date” shall mean means the date on which an authorized Honeywell technician has inspected and approved installations, confirmed that all connections and start-up configurations are properly working, and confirming the System can send and receive alerts through the configured communication pathways.
9.1.2. If Customer is purchasing Products or services to add to or as replacement Products for an existing System, subject to the terms, conditions and limitations contained herein, and unless Honeywell has otherwise provided an alternative written warranty (in which case the terms of such warranty will control), Honeywell warrants and guarantees its products for 12 months from the day of shipment to Customer (“Warranty Period”). This limited warranty does not cover defects caused by normal wear and tear or maintenance.
9.2. Product Defects. If a Defect with a Product arises and a valid claim is made within the Warranty Period, Customer shall initiate the RMA process as described below. Upon approval, Honeywell at its option, will either (1) repair the Product defect at no charge, using new parts or parts equivalent to new in performance and reliability or (2) exchange the Product with a Product that is new or equivalent to new in performance and reliability and is at least functionally equivalent to the original Product. Thereafter, to make a valid claim hereunder, Customer must contact Honeywell technical support and describe the problem or defect with specificity. https://buildings.honeywell.com/us/en/brands/our-brands/usdd. Customer must use their best efforts to assist in diagnosing defects, follow Honeywell’s technical instructions, and fully cooperate in the diagnostic process. Failure to do so shall relieve Honeywell of any further obligation hereunder.
33 55852.00003\42823523.1
Exhibit “A”-4 PROFESSIONAL SERVICES AGREEMENT
9.3.2. If a defect with the Hardware arises and Customer makes a valid Support Service Request within the Warranty Period, Customer shall initiate the RMA process as described below.
Upon approval, Honeywell will cause shipment of a replacement Hardware component to Customer prior to the defective Hardware component being returned to Honeywell for repair.
The replacement Hardware will be new or equivalent to new in performance and reliability and at least functionally equivalent to the original Hardware. When Hardware is exchanged, any replacement item becomes the Customer’s property and the replaced item becomes the property of Honeywell. Replaced Hardware provided by Honeywell in fulfillment of the Support Services must be used in the System to which this Agreement applies.
9.4. Return Material Authorization Process. If a Customer makes a claim for an advanced replacement of a Hardware component during the Warranty Period, Customer must initiate an RMA request. As part of this RMA process, the Customer shall provide Honeywell with the Hardware, model, serial number, and a description of the Hardware’s failure to initiate the RMA process. Upon Honeywell’s issuance of the RMA, Honeywell will send the replacement Hardware, shipped postage paid, ground shipping, to the address provided by Customer. RMA requests approved between 12:00 a.m. and 2:00 p.m. Mountain Standard Time are shipped on the same business day. After 2:00 p.m. Mountain Standard Time, the replacement Hardware will be shipped on the next business day. All RMA requests are processed on the business day on which the request was received, excluding holidays.
Included with the shipped package will be return shipment instructions and a pre-paid return shipping label for the Hardware that the Customer is returning. The original Hardware must be returned in the shipping box provided by Honeywell. No goods will be accepted for exchange or return without a preapproved RMA number, nor will goods which have not been properly packaged in Honeywell’s shipping box, as proper packaging ensures that goods are not damaged during the shipping process.
The original Hardware must be shipped back within 10 days of receiving the replacement Hardware.
Failure to return the original Hardware or failure to return the original Hardware in an appropriate manner will cause Customer to incur a replacement charge equal to full market value of the replacement Hardware.
9.5. No Fault Found. Customer understands that this fee is intended to discourage return of Products prior to proper troubleshooting or return because the product is “old.” Product returns will not be allowed if, upon examination of the returned Product, it is determined that the Product was subjected to accident, misuse, neglect, alteration, improper installation, unauthorized repair, improper testing, or poor packaging upon return. In such event, Honeywell shall invoice Customer for the full market value of the replacement Product.
9.6. WARRANTY EXCLUSIONS & DISCLAIMERS.

3. Honeywell Project Roles and Responsibility
Overview
Honeywell will assign qualified personnel to implement the System for the project. The project team will be located primarily at the USDD headquarters in Tempe, Arizona, but will travel as necessary to City’s location as necessary.
39 The following is a proposed list of Honeywell project personnel roles for this project. The list of roles may change as necessary to accommodate new project requirements.
Honeywell Project Manager
The Honeywell project manager (“Project Manager”) will have the overall responsibility for ensuring the success of Honeywell’s portion of this Project. The Project Manager will be the primary contact for project-related issues and will be responsible for issue resolution. The Project Manager will also develop an issue escalation plan in conjunction with the City’s System Administrator.
Software Engineer
The Honeywell Software Engineer will be responsible for Honeywell’s configuration of software required for the System, and for the resolution of any Honeywell software issues identified during the course of the Project.
4. City Roles and Responsibilities
City’s staff must be familiar with the City’s existing systems and needs with respect to fire station alerting. In particular, City must have subject matter experts available for consultation on the existing communications systems, both in the station and the communications center, and the current and proposed data networks.
Honeywell will need to rely on the City’s personnel for direction on equipment location in the fire stations. It is critical that personnel with both knowledge and authority be available for this direction.
City will also be required to provide any necessary third-party consultation and configuration work for systems outside the overall contract.
Project Manager
City’s Project Manager will be Honeywell’s point of contact for this project and will typically interface with the Honeywell’s Project Manager. The Project Manager should have the authority to make decisions related to project scope and schedule and should act as the starting point for issue escalation.
System Administrator
City’s System Administrator shall be the primary technical contact for the configuration of the system. The System Administrator will become the manager of the system after System Acceptance. City may replace the person serving as its System Administrator only upon prior written notice to Honeywell. City will ensure that the System Administrator is reasonably available to Honeywell and Honeywell may rely on the direction of the System Administrator in performing its duties hereunder, including without limit, direction to provide Additional Services.
5. Project Implementation
Project Planning
Project planning will begin with the initial project meeting (“Project Meeting”). Honeywell will participate in the Project Meeting (which could be web based depending on scheduling 40 constraints). This meeting is important to developing the expectations of the City and establishing the specific equipment and services to be delivered by Honeywell.
The implementation plan will list all equipment to be delivered and will detail the delivery timeframe for this equipment as well as any work to be done by City prior to or after delivery and installation. During the Project Meeting, the parties will develop an implementation plan identifying the phases and each station to be completed in the phase (each an “Implementation Phase.”)
During the initial design development, the initial Product quantities can be modified without scope impact. After the design development phase of the project, change management procedures will be used to manage changes in Product quantities or other project scope. Any equipment, software development, installation or other work that is outside the scope of the equipment and services described in the Quote will be considered out of scope and may be subject to a formal change order. After the acceptance of the design, all changes in scope will be considered subject to a formal change order.
Installation
Honeywell has arranged for Valiant, a G2 Certified Installation Contractor, to perform installation of Station-Level components in City’s Fire Stations. Notwithstanding, the City has agreed to perform certain electrical services not requiring G2 Certification, including pulling cable and installing conduit. The scope of work for each party is as follows:
City Scope of Work – City will be responsible for providing all infrastructure cabling and conduit required to support installation of the G2 FSA equipment. Responsibilities include:
a. Structured Cabling (CAT6)
• Provide all CAT6 cable runs, including installation, termination, testing, and certification.
• Provide service loops as required.
• Provide 1” drywall surface cut-outs at all device and equipment locations. b. Low-Voltage Cabling (18-4 or 16-4)
• Provide all 18 4 or 16 4 cable runs, including installation and testing. • Provide service loops at all device locations.
c. Conduit
• Provide all conduit required by City of Laguna Beach ordinance or applicable electrical codes.
Valiant Scope of Work - Valiant Technologies will install, integrate, and certify the G2 FSA system using the infrastructure provided by City, including the following:
a. Device Installation
• Install all purchased G2 FSA devices in accordance with Honeywell’s specifications.
• Test and certify final installations.
b. Back Boxes & Mounting Hardware
41 • Provide and rough in all required back boxes and mounting hardware for G2 FSA devices.
c. System Connections
• Connect all G2 FSA devices to the cabling infrastructure provided by City. d. System Testing & Certification
• Perform all required testing, configuration, and certification of the complete G2 FSA system.
Acceptance of Station Installation
Upon substantial completion of each Installation Phase, Honeywell or Valiant will prepare and deliver to City a written request for City’s acceptance of the installation (“Request for Acceptance”). Upon presentation of the Request for Acceptance, City shall inspect the station installation and (i) accept the installation as presented, or (ii) accept the installation subject to completion of specified tasks necessary for the installation to comply with this SOW (“Punch List”).
If City accepts the installation subject to a Punch List, the installation shall be deemed materially complete. The Punch List shall specifically identify each task or item that is not in compliance with the SOW and proposed dates for completion, which in all instances shall be reasonable, but not less than 14 days. Thereafter, Honeywell shall address all Punch List items in a timely and reasonable fashion and the installation shall be deemed complete and accepted.
Honeywell staff will perform final inspection and perform start-up each station as follows:
System Functionality Demonstration
Honeywell will demonstrate the functionality of the installed and configured System after the initial Installation Phase is completed.
Acceptance Test Procedures
After the Installation Phase is complete and basic functionality has been demonstrated, City and Honeywell will initiate the Acceptance Test Procedure (“ATP”). The ATP procedure will be jointly developed based on the intended functionality of the System as actually installed.
Failure of the City to participate in the development of the ATP and to jointly perform the Acceptance Test with Honeywell in good faith shall constitute City’s irrevocable acceptance of the System. If City believes the Acceptance Test was unsuccessful, City may within seven days of the date on which the Acceptance Test is complete, provide Honeywell with written notice specifying the standards or criteria not met (“Failure Notice”). If within 30 days of the Failure Notice, Honeywell has not caused the System to meet the standards and criteria set forth in the Failure Notice, City may terminate the Agreement for cause.
6. Commissioning
Honeywell will install stations with a “basic” and agreed to configuration. Upon successful completion of the Acceptance Test, City shall provide Honeywell with a Certificate of Completion in a form acceptable to Honeywell.
After the completion of functional demonstration and basic acceptance testing, the System will be considered ready to proceed with the remaining Installation Phases. The System shall be deemed to be “commissioned” after successful functional demonstration and acceptance testing for warranty purposes. After the completion of functional demonstration and acceptance testing for each of the remaining stations, each station shall be commissioned and warranty commenced on 42 the date of such commissioning.
During the Implementation Phases, Honeywell assumes that the existing alerting system will be kept in its present form, and that the new alerting equipment will be integrated in, allowing the existing system to function in parallel with the new equipment. The only time the existing equipment will not be able to alert the station is during the actual integration of the new equipment, expected to be in the neighborhood of 2-3 hours. After this integration is complete and tested, the station will again be alertable by the existing system and by the new system as well. This type of “soft cut-over” is the best way to ensure that the systems are operating properly during system implementation. Honeywell will work with City personnel to put together the exact implementation plan before any installation work is started, and will make adjustments with City personnel as necessary during the Implementation Phases.
7. Project Closure
The project closure process ensures that all outstanding issues are resolved, provides feedback on the project successes and issues to City and Honeywell, and transitions City and the System from a project to a support process.
Completion of Punch List Items
Honeywell will work with City to identify any outstanding items for resolution. A list will be made of any unresolved issues and a disposition will be created for each item.
Transition to Support
After a successful Acceptance Test and a short confirmation period, as mutually defined in the ATP process document, City will be transitioned to support from the project team. The primary contact for City may change. It is important for City to continue to provide remote access to the System after the transition to support to allow USDD support personnel to perform remote diagnostics on the System.
Project Closure
After transition of the City to technical support, Honeywell will prepare a document detailing any outstanding issues, lessons learned and other pertinent information for City and/or CAD provider.
8. Responsibility & Liability Notice
Honeywell and Valiant shall not be liable for any risk, malfunction, or harm resulting from cable or conduit failure, improper installation, or performance deficiencies related to cabling infrastructure or conduit that is not provided or installed by Honeywell or Valiant Technologies. 43
