1 AMENDMENT NO. 1 TO
THAT CONSULTANT SERVICES AGREEMENT DATED FEBURARY 1, 2021
BETWEEN THE
CITY OF LAGUNA BEACH
AND
THE BALDWIN GROUP
This First Amendment to the Consultant Services Agreement (“First Amendment”) is made and entered into this ___ day of June 2026, by and between the City of Laguna Beach (“City”) and The Baldwin Group (formerly operating as Burnham Benefits Insurance Services) (“Consultant”).
City and Consultant are sometimes individually referred to as “Party” and collectively as “Parties” in this Amendment.
1. Recitals.
1.1 City and Consultant entered into that certain Consultant Services Agreement dated February 1, 2021 (“Agreement”) whereby Consultant agreed to provide [brokerage, negotiation and implementation of employee benefit programming City-wide]
1.2 City and Consultant now desire to amend the Agreement for the first time to ratify rendered services and extend the term of the Agreement through December 31, 2026.
2. Terms.
2.1 Contract Extension. The term of the Agreement shall be extended until December 31, 2026.
2.2 Ratification of Prior Services. The original term of the Agreement expired December 31, 2023 – with an optional one-year extension. Notwithstanding this term, the Parties continued to operate pursuant to the Agreement since December 31, 2023. The Parties hereby ratify and confirm all services provided by the Consultant since December 31, 2023, notwithstanding the expiration of the Agreement. The Parties acknowledge and agree that such services were rendered as if the Agreement was still in effect and agree that all terms of Agreement — including insurance requirements, confidentiality, and indemnification obligations — shall apply to the services provided by Consultant to the City.
2.2 Compensation for Past Services and Future Services. The Parties agree that total compensation for services rendered from December 31, 2023 through December 31, 2025 (calendar years 2024 and 2025) shall not exceed the sum of $150,000.00. With an extension of the term until December 31, 2026 and a corresponding $75,000.00 in additional compensation, this brings the total compensation under this First Amendment to an amount that shall not exceed the sum of $225,000.00.
2.3 Continuing Effect of Agreement. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after 2 the date of this Amendment, whenever the term “Agreement” appears in the Agreement, it shall mean the Agreement as amended by this Amendment.
2.4 Adequate Consideration. The Parties stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. Consultant further accepts the terms and conditions of this Amendment as full and final resolution of any and all claims, asserted or otherwise, arising out of or related to the subject of this Amendment and acknowledges that the compensation and/or additional time, if any, set forth herein is adequate and comprises the total compensation and/or time due for the change(s) included in this Amendment.
2.5 Counterparts. This Amendment may be executed in duplicate originals, each of which is deemed to be an original, but when taken together shall constitute but one and the same instrument.
