INDEPENDENT CONTRACTOR AGREEMENT
FOR
LANDSCAPE MAINTENANCE SERVICES
THIS AGREEMENT is made and entered into this 28th day of October, 2020 by and between the City of Laguna Beach, a Municipal Corporation, hereinafter referred to as the "CITY," and Parkwood Landscape Maintenance, INC, hereinafter referred to as "INDEPENDENT CONTRACTOR."
RECITALS
WHEREAS, the CITY desires to engage INDEPENDENT CONTRACTOR to render certain services as more fully identified in Appendix A, Scope of Services, attached hereto and included herein;
WHEREAS, INDEPENDENT CONTRACTOR is qualified and agreeable to render the services desired by the CITY;
NOW, THEREFORE, in consideration of the foregoing and of the mutual promises hereinafter expressed and intending to be bound hereby, the parties hereto do mutually agree as follows:
Article 1.
PARTI
FUNDAMENTAL TERMS
Engagement of INDEPENDENT CONTRACTOR
The CITY hereby agrees to engage INDEPENDENT CONTRACTOR to perform the services as hereinafter set forth, and INDEPENDENT CONTRACTOR agrees to perform those services in accordance with the terms and conditions of this Agreement.
Article 2. Scope of Services
In compliance with all terms and conditions of this Agreement, INDEPENDENT CONTRACTOR shall perform all work necessary to complete, in a manner satisfactory to the CITY, the services described and set forth in Appendix A, Scope of Services, attached hereto and by reference incorporated herein and made a part hereof.
Article 3. Term and Time of Performance
The initial term of this Agreement shall commence on November 2, 2020 and shall continue and remain in effect for a period of two (2) year(s). Thereafter, the Agreement may be extended for three (3) additional ONE (1) year periods with a CPI based rate adjustment. The services of INDEPENDENT CONTRACTOR are to commence within fifteen (15) days after this Agreement has been approved by the CITY and the CITY has authorized work to start by the written issuance of a Notice to Proceed.

AMENDMENT NO. 4
TO
INEDEPENDENT CONTRACTOR AGREEMENT NO. 20-120
BETWEEN THE
CITY OF LAGUNA BEACH
AND
PARKWOOD LANDSCAPE MAINTENANCE, INC.
1. Parties and Date.
This fourth (4th) Amendment to the Independent Contractor Agreement ("Amendment") is made and entered into this day of October, 2025 by and between the City of Laguna Beach ("City") and Parkwood Landscape Maintenance, Inc. ("Independent Contractor"). City and Independent Contractor are sometimes individually referred to as "Party" and collectively as "Parties" in this Amendment.
2. Recitals.
2.1 City and Independent Contractor entered into that certain Professional Services Agreement dated September 22, 2020 ("Agreement") Agreement# 20-120, whereby Independent Contractor agreed to provide Landscape Maintenance Services.
2.2 City and Independent Contractor now desire to amend the Agreement for the fourth time to extend the term and compensation.
3. Terms.
3.1 Contract Extension. The term of the Agreement shall be extended eight (8) months commencing on November 1, 2025, and ending on June 30, 2026.
3.2 Compensation. The total compensation paid for services rendered by Independent Contractor during the term of this Amendment shall not exceed the sum of $138,330.
3.3 Continuing Effect of Agreement. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment, whenever the term "Agreement" appears in the Agreement, it shall mean the Agreement as amended by this Amendment.
3.4 Adequate Consideration. The Parties stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. Independent Contractor further accepts the terms and conditions of this Amendment as full and final resolution of any and all claims, asserted or otherwise, arising out of or related to the subject of this Amendment and acknowledges that the compensation and/or additional time, if any, set forth herein is adequate and comprises the total compensation and/or time due for the change(s) included in this Amendment. 48 3.5 Counterparts. This Amendment may be executed in duplicate originals, each of which is deemed to be an original , but when taken together shall constitute but one and the same instrument.
