12 SUBJECT: SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT WITH GENASYS, INC. FOR OUTDOOR WARNING SYSTEM REPAIRS AND

EXPANSION
RECOMMENDATION: It is recommended that the City Council:

1. Authorize the City Manager to execute Amendment No. 2 to Agreement No. 26-116 with Genasys Inc., increasing the agreement amount by $317,515 for the installation of two additional outdoor warning speaker sites and repairs and maintenance of the existing Outdoor Warning System, for a total agreement amount not to exceed $699,853;

2. Authorize the City Manager to expend up to $50,000, included within the total compensation authorized under Amendment No. 2 and the total agreement amount of $699,853, for repairs, replacement components, and maintenance of the existing Outdoor Warning System, in accordance with the City's purchasing authority and subject to available appropriations; and

3. Determine that the proposed action is not a project under the California Environmental Quality Act (CEQA) pursuant to State CEQA Guidelines Section 15378 because it consists of administrative activities that will not result in a direct or reasonably foreseeable indirect physical change in the environment and, to the extent the installation of additional outdoor warning speaker sites constitutes a project, determine that the work is exempt pursuant to State CEQA Guidelines Sections 15301 (Existing Facilities) and 15303 (New Construction or Conversion of Small Structures), as applicable.

SUMMARY OF THE MATTER
The proposed Second Amendment to Agreement #26-116 between the City and Genasys, Inc. expands the scope of services to install and maintain two additional outdoor warning speaker locations. One proposed site is in Arch Beach Heights along Barracuda and the second location is in the canyon near El Toro and Laguna Canyon Road on Phillips Road. The proposed second amendment increases the total compensation under the Agreement from $382,388 to $699,853 (inclusive of $50,000 in repair work as explained below).

The table in the discussion section of the report summarizes the original agreement and subsequent amendments.

The proposed second amendment also authorizes the City Manager to approve costs up to $50,000 to repair and maintain the Outdoor Warning System. Staff recommends that in the interest of the public’s safety, the City Manager can quickly authorize repairs to the warning system as they arise rather than being required to process a contract amendment each time. It is recommended that the authority is capped at $50,000 with larger expenses such as expanding locations still requiring staff to return to City Council.

The City utilizes the Genasys Outdoor Warning System to provide audible emergency notifications during wildfires, tsunamis, and other public safety emergencies. The system is a critical component of the City's emergency notification strategy, providing geographically targeted alerts that supplement AlertOC, Wireless Emergency Alerts (WEA), and other emergency communication methods.

In addition, the Fiscal Year 2026-27 Budget includes funding for the installation of two additional outdoor warning speaker sites to improve emergency notification coverage in areas identified through acoustic testing. The proposed speaker installations will expand the City's existing Outdoor Warning System and enhance the City's ability to provide timely emergency notifications to residents and visitors.

The proposed Second Amendment expands the scope of services to include the repairs and installation of AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT WITH GENASYS, INC. FOR

the additional speaker sites and increases the Agreement's total not-to-exceed compensation from $382,338 to $699,853.

Maintenance and Repairs of Existing System
Deficiencies or component failures may be identified during implementation of the proposed repairs, inspections, testing, or future maintenance activities. To allow the City to maintain its outdoor notification system, the proposed amendment also authorizes the City Manager to execute future amendments for additional repairs, replacement components, labor, maintenance, inspections, testing, commissioning, and related services that become necessary during implementation or operation of the Outdoor Warning System, provided sufficient appropriations are available and such amendments comply with the City's Purchasing Policy.

Approval of the proposed Second Amendment will restore and enhance the City's Outdoor Warning System, improve emergency notification coverage, and provide the flexibility necessary to efficiently address future repair needs while maintaining reliable emergency warning capabilities for the community.

FINANCIAL ANALYSIS
The proposed Second Amendment increases the Agreement's total not-to-exceed compensation by $317,515, from $382,338 to $699,853. The $267,515 funding amount for the repairs and installation of two additional outdoor warning speaker sites is included in the Fiscal Year 2026-27 adopted budget in account 1412401-72071. Any future repair work authorized under this Second Amendment (not to exceed $50,000) will be subject to the availability of appropriated funds and will not be authorized by the City Manager unless funding exists.

ENVIRONMENTAL ANALYSIS
The proposed action is not a project under the California Environmental Quality Act (CEQA) pursuant to State CEQA Guidelines Section 15378 because it consists of administrative activities that will not result in a direct or reasonably foreseeable indirect physical change in the environment. To the extent the installation of additional outdoor warning speakers constitutes a project under CEQA, the work is exempt pursuant to CEQA Guidelines Sections 15301 (Existing Facilities) and 15303 (New Construction or Conversion of Small Structures), as applicable.
