1 AMENDMENT NO.2 TO
PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE
CITY OF LAGUNA BEACH
AND
GENASYS, INC.
1. Parties and Date.
This 2nd Amendment to the Professional Services Agreement (“Amendment”) is made and entered into this_____ day of August 2026, by and between the City of Laguna Beach (“City”) and Genasys, Inc. (“Consultant”). City and Consultant are sometimes individually referred to as “Party” and collectively as “Parties” in this Amendment.
2. Recitals.
2.1 City and Consultant entered into that certain Professional Services Agreement dated May 26, 2026 (“Agreement”), whereby Consultant agreed to provide professional services regarding the installation, commissioning, setup, inspection, maintenance, repair, and expansion of the City's Outdoor Warning System.
2.2 City and Consultant now desire to amend the Agreement for the 2nd time to revise the scope of services, increase compensation, and authorize future amendments for repairs, replacement components, maintenance, and related services necessary to maintain the City's Outdoor Warning System
3. Terms.
3.1 Revised Scope of Services. The Services to be provided by Consultant shall be revised to include the Services set forth in Exhibit “1” attached hereto and incorporated by this reference.
3.2 Compensation. The compensation authorized by this Second Amendment shall increase by $267,515 for new installation along Barracuda and Phillips Road and materials and supplies. An additional $50,000 is authorized only for future repairs and related services as outlined in section 3.3 of this Second Amendment and is subject to the availability of appropriated funds. The total compensation, inclusive of the original agreement and all amendments (inclusive of the possible $50,000 on repair work) shall not exceed the sum of $699,853.
3.3 Future Repairs and Related Services. During implementation of the Services, Consultant may identify additional repairs, replacement components, labor, maintenance, inspections, testing, commissioning, or other work necessary to restore, maintain, repair, or optimize the City's Outdoor Warning System that could not reasonably have been identified at the time this Amendment was executed. The City Manager is authorized to approve such additional work, provided sufficient appropriations are available, and in no event shall any work authorized by this section exceed $50,000. Any work shall be limited to work directly related to the operation, maintenance, repair, or expansion of the Outdoor Warning System.
3.4 Continuing Effect of Agreement. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after 2 the date of this Amendment, whenever the term “Agreement” appears in the Agreement, it shall mean the Agreement as amended by this Amendment.
3.5 Adequate Consideration. The Parties stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. Consultant further accepts the terms and conditions of this Amendment as full and final resolution of any and all claims, asserted or otherwise, arising out of or related to the subject of this Amendment and acknowledges that the compensation and/or additional time, if any, set forth herein is adequate and comprises the total compensation and/or time due for the change(s) included in this Amendment.
3.6 Counterparts. This Amendment may be executed in duplicate originals, each of which is deemed to be an original, but when taken together shall constitute but one and the same instrument.

INTRODUCTION
This statement of work covers the delivery, installation, and commissioning for an individual site to add to the existing outdoor warning system for the City of Laguna Beach, CA. Genasys’ Long Range Acoustic Device speaker design provides an unmatched range and vocal intelligibility ensuring warnings, alerts, and notifications are clearly heard and understood over large areas. This solution is integrated with the existing Genasys software for remote activation and monitoring.
Genasys has reviewed the test results held in October 2025 identifying coverage gaps throughout the city. The test results were overlayed with acoustic mapping software and narrowed down to roughly six to eight additional gaps. These locations are listed in this proposal along with pricing for an individual site with installation on an existing light pole.
A site visit was conducted on April 16, 2026, to review Artisan Community and Barracuda Way Barracuda is similar in installation requirements.
SCOPE OF WORK
The outdoor Speaker locations sites will require final approval. The outdoor speakers will be connected to a highly reliable low-latency satellite network to provide a robust, high availability command and control connection. The system can be activated in emergency situations by authorized stakeholders from a computer, mobile phone, or from the system cabinet.
All the equipment listed will be delivered by Genasys.

Installation at each Outdoor site consists of:

• Install (Small cabinet and up to four 60DXL horns)
Excluded from Scope of Work
• Cutting, patching, and painting
• Landscape repair, tree trimming or removal.
• This proposal does not include PE Stamped engineered drawings or 3rd party approvals. • This is Not a Prevailing Wage project
• Permits (outside of electrical permit)
• Electrical service needs to be provided to the poles
• No pole installation (use existing pole)
• Not responsible for wind load/structural pole requirements Special Notes
• This proposal is based on all work being performed during regular business hours. • This proposal does not include inspection of work by a city or municipality. If permits and inspections are required for work associated with this project, there will be an additional charge. • This proposal does not include engineered drawings and load calculations. If these items are required, there will be an additional charge.
• Additional work, other than listed on proposal, is to be completed on a time and materials basis.
Where appropriate, an additional proposal will be provided.
Testing and Commissioning
On-site testing, commissioning, and training will be performed by a qualified Genasys technician. The technician will be on site to perform the following:
• Test and record satellite signal strength and network connectivity • Test and record solar charging system performance
• Test loudspeaker activation at each site using the local activation controls with approval from local authorities
• Setup and test of the PC system used for command and control. Record status for all systems • System deployment and operation training
• System operation training for fixed systems with manual controls • Troubleshooting and maintenance training
Warranty
* 1-year warranty is included as standard.
