City of Laguna Hills
City Council / Planning Agency
Staff Report
Date: January 13, 2026
To: Mayor and Council Members
From: Eric Hendrickson, Finance Director
Issue: Treasurer's Investment Report for November 2025
Recommendation: That the City Council receive and file the Treasurer's Investment Report for the month of November 2025.
Background:
The Treasurer’s Investment Report for the month of November 2025 is submitted herewith. The City’s total portfolio as of November 30, 2025, was $26,586,377. The pooled cash portfolio managed by the City Treasurer consisted of cash on hand, demand deposits, State Local Agency Investment Fund (LAIF) and Investment Trust of California (CalTRUST) investments and totaled $26,566,300. Restricted cash and investments totaled $20,077, and is composed of fiscal agent funds for Civic Center property management purposes.
Interest income for the month of November was $84,258. Fiscal Year 2025/2026 yearto-date pooled cash interest earnings of $475,488 are 57% of the annual budget of $828,600.
The average yield on the City’s total portfolio for the month of November was 4.04%, compared to the prior month of 4.14%. The slightly declining yield in November, as compared to the past few months, reflects a cautious approach by the Federal Reserve to start rate cuts given the current status of the economy. The City has budgeted conservatively in its expectation of interest earnings, and has built slight rate reductions into the revenue forecast.
Item No. 4.4
Fiscal Impact:
There is no fiscal impact to receive and file this report.

The performance data quoted represents past performance. Past performance does not guarantee future results and current performance may be lower or higher than the performance data quoted above. The investment return and principal value of your investment will fluctuate so that your shares, when redeemed, may be worth more or less than their original cost. You may obtain performance data current to the most recent month-end by visiting invesco.com. The SEC yield listed reflects fee waivers and/or expense reimbursements in effect for the period. Had the Adviser not waived fees and/or reimbursed expenses, your 7-day SEC yield would have been 3.81%. Average annual total returns reflect reinvested distributions, net of expenses for the periods. The 7-day SEC yield more closely reflects the current earnings of the fund than the total returns shown. 30-day simple and simple monthly yield are the sum of
the distribution rates for the number of days in the yield period annualized by 365 and divided by net asset value (NAV).

City of Laguna Hills
City Council / Planning Agency
Staff Report
Date: January 13, 2026
To: Mayor and Council Members
From: Joe Ames, Assistant City Manager
Issue: Community Development Block Grant Application for the City of Laguna Hills Public Facilities & Improvements for Fiscal Year 2026-2027 Recommendation: That the City Council adopt a Resolution entitled: “A Resolution of the City Council of the City of Laguna Hills, California, authorizing the submittal of the City of Laguna Hills Public Facilities and Improvements Application for Fiscal Year 2026- 2027 and accepting the award of Community Development Block Grant Funds, if awarded funding.”
Background:
As part of City staff’s ongoing effort to identify and apply for grant funding for infrastructure improvements, on December 4, 2025, City staff applied for Community Development Block Grant (CDBG) funding to the County of Orange during its latest call for Public Facilities and Improvements Funding Applications. City staff submitted a project for 31 curb ramp replacements and 49 curb ramp modifications at intersections in the area bounded by Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive. These ramps do not comply with current Americans with Disabilities Act (ADA) standards.
In November 2025, the County of Orange, Community Resources Department, announced a call for Fiscal Year 2026-2027 Public Facilities and Improvements project applications under the County’s Urban County Program funded by the United States Department of Housing and Urban Development (HUD). The funding available under the Urban County Program primarily comes from CDBG funds.
The Orange County Urban County Program is comprised of twelve (12) cities with
Item No. 4.5
populations under 50,000 (participating cities), two (2) cities, Placentia and Yorba Linda, with populations over 50,000 (metropolitan cities) and unincorporated areas of Orange County. The twelve (12) participating cities include Brea, Cypress, Dana Point, Laguna Beach, Laguna Hills, Laguna Woods, La Palma, Los Alamitos, San Juan Capistrano, Seal Beach, Stanton, and Villa Park. These cities are not eligible to receive Community Planning and Development (“CPD”) program funds directly from HUD and have opted to participate in the CPD programs through the Urban County Program. The cities of Placentia and Yorba Linda, with populations of over 50,000, are eligible to participate in the CPD program as an entitlement jurisdiction and have elected to join with the Urban County Program as a metropolitan city.
The Fiscal Year 2026-2027 Public Facilities and Improvements maximum funding amount with no match was $250,000 and with a 20% match was $450,000. Only one application may be submitted by each participating city. Non-profit organizations may also participate in the Urban County Program but must be sponsored by a city and the city must submit the application.
Project applications must address “high priority” Public Facilities and Improvements.
For this project call, high priority projects are, in order of preference, as follows:
1. Senior Centers
2. Homeless Facilities
3. Neighborhood Facilities
4. Water/Sewer Improvements
5. Street Improvements
6. Sidewalk Improvements
7. “Urgent Need”
Furthermore, the population to be served by the project must principally be low to moderate-income as defined by HUD. Low to moderate-income populations include census tracts that are classified by the United States Census Bureau as having a median household income (in 2022 dollars based on 2020 American Community Survey data) below the median for the area.
For this call for projects, City staff researched the United States Census Bureau’s latest data and found several low to moderate-income census tracts in Laguna Hills where 51% or more of the residential neighborhood consist of low to moderate-income persons. Two such census tract locations are comprised of the area bounded by Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive.
Therefore, given the information available and funding rules, City staff submitted a project for 31 curb ramp replacements and 49 curb ramp modifications at intersections
Item No. 4.5
in the area bounded by Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive.
City staff recommends ratifying the submittal of the grant application by adopting a resolution authorizing the submittal of the grant application and accepting grant funding, if awarded by the County.
It should be noted that last year the City successfully procured FY 2025-2026 CDBG grant funds for a similar project in the amount of $250,000. That project, which will address non-compliant curb ramps within the area bounded by La Paz Road, Cabot Road, and Paseo de Valencia, is currently under construction.
CEQA Findings:
This action is not subject to the California Environmental Quality Act pursuant to Section 15301, Class 1, “Existing Facilities” of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because the contemplated activities (curb ramp replacement/modification) consist of negligible or no expansion of existing or former use.
Fiscal Impact:
The proposed City of Laguna Hills Public Facilities and Improvements Fiscal Year 2026- 2027 project is estimated to cost a total of $300,000, comprised of $250,000 (CDBG grant funds) for construction and $50,000 (General Fund) for design. In anticipation of successful procurement of grant funding, these amounts were already included in the FY 2026-2027 CIP Budget under CIP 170.

New Performance Requirements:
The County initiated a three-year performance metric beginning in the 2025-2026 FAPP/RFA process for Public Facility and Improvement and Housing Rehabilitation/Façade Rehabilitation Applications.
Based on calculations, using three previous years, if a participating Non-Metro City has not drawn down 80% of their awarded funds excluding the current fiscal year, by the time applications are due for the RFA process (generally in October) they may not apply for funding for a one-year period for PF&I projects. Although not a part of the RFA process, Metro Cities that have not drawn down 80% of funds over the previous and current fiscal year, by the time applications are due for the RFA process (generally in October) may not request funding for a one-year period for projects other than Public Services.
Project remains in compliance with contractual milestones.

PART II: PUBLIC FACILITIES & IMPROVEMENTS
A: PRIORITY NEEDS, HUD ELIGIBILITY REQUIREMENTS AND NATIONAL OBJECTIVE Responses to all questions/sub questions in Part II are required. A separate Part II is required for each PF&I project (i.e. Primary Project and Waitlisted Project/ Expanded Scope Project).
When responding, please distinguish if the information you provided is related to the Primary Project or Waitlisted/Expanded Scope Project.
For your convenience, the Application will be available on OpenGov.com in Microsoft Word format to allow for responses to be provided directly on the Application.
1. Please provide a comprehensive description of the projects (1) priority, (2) sub-activity, (3) population(s) to be served, (4) accomplishment level, (5) services to be provided, and (6) explain how project meets the HUD Eligibility Requirements and a National Objective (LMC, LMA or LMH). Include in this Part, clear photo(s) of the project area(s) and include explanation. If this project is located in multiple areas, only submit up to four (4) photos of different project areas and include explanation.
Priority:
This project consists of 31 curb ramp replacements and 49 curb ramp modifications at intersections and driveways to comply with Americans with Disabilities Act requirements. Sidewalk improvements have been identified as a high-priority by the County.
Sub-Activity:
The City of Laguna Hills has identified 31 curb ramp replacements and 49 curb ramp modifications at intersections bounded by Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive. These existing curb ramps do not meet current design standards because they lack truncated domes or federally mandated yellow truncated domes, do not have zero-inch curb lips at the point of entry, and/or generally do not comply with required slopes/dimensions.
Populations Served:
These improvements serve low to moderate-income populations within Block Group 1, Census Tract 626.52, and Block Group 4, Census Tract 626.22, Orange County, California.
Accomplishment Level:
This work will ultimately enhance safety and create a more convenient path of travel for all pedestrians using the sidewalk system along Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive and within the neighborhood bounded by these streets. These public improvements will help meet the needs of pedestrians generally and meet the parameters for ADA compliance.

OC Community Resources Page 26 of 44 PF & I APPLICATION RFA Bid # 012-000089-NC
Services Provided:
This project will enhance safety and provide more accessible pedestrian paths of travel.
Explain how project meets the HUD Eligibility Requirements and a National Objective (LMC, LMA or LMH).
This project will meet all the eligibility requirements as identified by HUD, as well as the specified criteria for a National Objective under the subcategory of “area benefit (LMA).” Specifically, the project consists of sidewalk improvements on Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive, and within the bounded neighborhood within low to moderate income-qualified census tracts (where at least 51% of the beneficiaries of the activity are low to moderate-income persons) within Block Group 1, Census Tract 626.52, and Block Group 4, Census Tract 626.22, Orange County, California.
2. Answer the following:
a. Summarize the Scope of Work for your project.
These improvements will serve low to moderate-income populations within Block Group 1, Census Tract 626.52, and Block Group 4, Census Tract 626.22, Orange County, California. b. Describe why this project is needed and cite evidence to substantiate the need.
Pedestrian walkway design and operation must comply with the accessibility standards set forth in the Architectural Barriers Act (ABA) of 1968, the Rehabilitation Act of 1973 (Section 504), and the Americans with Disabilities Act (ADA) of 1990. Additionally, the California Department of Transportation has published an ADA compliance handbook titled Permanent Pedestrian Facilities ADA Compliance Handbook (“Handbook”) dated March 2018, which specifies the design of curb ramps necessary to comply with these accessibility standards. The Handbook specifies that flush transitions at curb ramps to walks, gutters, and streets are required, and no lips are allowed - the onequarter (1/4) inch change in surface level allowance is not allowed. The Handbook also specifies that truncated domes are required for a length and width as specified in the Handbook. Furthermore, Caltrans now requires that all truncated domes be “federal yellow” in color. Some of the curb ramps within the project limits have “baby blue” color truncated domes installed, instead. Some of the curb ramps are older and not in compliance with current standards for dimensions and slopes. Therefore, the curb ramps identified for this project do not currently comply with required design standards. c. Describe how the project preserves a low and moderate-income neighborhood or provides other community benefits.
Curb ramps provide basic access at intersections and pedestrian crossings. Without properly configured curb ramps, sidewalk travel has the potential to be dangerous, difficult, and in some cases

impossible for people who use wheelchairs, scooters, or other mobility aids. These curb ramps have been selected as priority locations due to the high volume of pedestrian crossings and use on Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive, and lack of compliant ramps that do not conform to the Handbook, and future companion residential street resurfacing work that will occur within the residential neighborhood.

a. Does this project help prevent homelessness? ☐Yes ☒No b. Does this project help the homeless? ☐Yes ☒No
c. Does this project help those with HIV or AIDS? ☐Yes ☒No d. Does this project primarily help persons with disabilities? ☒Yes ☐ No
4. Refer to Priorities below:
Projects may address more than one community development need; however, in order to be considered as addressing a “High Priority” community development need, the Application/project must meet the High Priority Needs Level identified by the Urban County, see Priority Preferences- High Priority Needs below. Projects with a low needs level may not be considered for funding this fiscal year.
A: PRIORITY NEEDS, HUD ELIGIBILITY REQUIREMENTS AND NATIONAL OBJECTIVE (Continued)

a. Based upon your description of this project in Part II.A: Priority Needs, HUD Eligibility Requirements and National Objective, state how your organization will address meeting a priority need with your performance and outcomes. In your description, state how your performance objectives and performance outcomes apply to the project’s beneficiaries and specifically explain how this project will affect the beneficiaries.
This project will meet a priority need by replacing curb ramps with compliant curb ramps at locations on Avenida De La Carlota, Lake Forest Drive, Santa Vittoria Drive and Ridge Route Drive, and within residential neighborhood(s) that are low to moderate-income populations within Block Group 1, Census Tract 626.52, and Block Group 4, Census Tract 626.22, Orange County, California. This work ensures that low to moderate-income populations can safely use the available sidewalks in the area. This project signifies the City’s commitment to becoming more ADA compliant by improving paths of travel for low to moderate-income populations and the elderly.
b. Describe what tools your organization will utilize to measure this project’s effect on the intended beneficiaries. In your description include how your organization will measure its success in meeting the needs of the project’s beneficiaries.
The City will use several tools in measuring the project’s effect on the intended beneficiaries.
City staff regularly monitors vehicular and pedestrian traffic in the proposed project area. The City will measure its success in meeting the needs of the described populations based on whether it has provided more accessible pedestrian mobility in accordance with ADA standards, specifically the Permanent Pedestrian Facilities ADA Compliance Handbook.
Engineering inspections will be performed during construction of the project and at the project’s completion.
c. Describe the specific population that your project will serve (i.e., low to m oderate-income).
This project is focused on benefiting the low to moderate income population within Block Group 1, Census Tract 626.52, and Block Group 4, Census Tract 626.22, Orange County, California. d. Describe the intended benefits to the population being served (i.e., preservation of a low to moderate-income neighborhood).
The intended benefits of this project include enhancements to access the City’s sidewalk system through the replacement of curb ramps that meet ADA requirements, which in turn provides a more barrier-free, safe, and convenient path of travel for all citizens.

City of Laguna Hills
City Council / Planning Agency
Staff Report
Date: January 13, 2026
To: Mayor and Council Members
From: Joe Ames, Assistant City Manager
Issue: Cooperative Agreement with the City of Laguna Woods for the Pavement Management Plan Project (Eastbound Santa Maria Avenue between Santa Vittoria Drive and Moulton Parkway)
Recommendation: That the City Council: 1. Approve the Cooperative Agreement for the Pavement Management Plan Project (Eastbound Santa Maria Avenue between Santa Vittoria Drive and Moulton Parkway); and 2. Authorize the City Manager to execute the Cooperative Agreement for the Pavement Management Plan Project (Eastbound Santa Maria Avenue between Santa Vittoria Drive and Moulton Parkway).
Background:
The City of Laguna Woods Pavement Management Plan identified the eastbound lanes of Santa Maria Avenue between Santa Vittoria Drive and Moulton Parkway as needing pavement rehabilitation. Accordingly, pavement rehabilitation plans were prepared. Of this 4000-foot segment of the roadway, approximately 1000 feet (between Santa Vittoria Park and Via Vista) lies within the City of Laguna Hills. See attached location map.
Laguna Woods proposes to perform the work and to be reimbursed by Laguna Hills for the improvements constructed within Laguna Hills. The proposed Cooperative Agreement defines the roles and responsibilities of each city, including estimated cost shares.
Laguna Woods took the lead on the design and bidding of the project. Bids to construct the project were solicited by Laguna Woods from October 16, 2025 through November 13, 2025. Five bids were received with base bid amounts ranging from $384,700 to
Item No. 4.6
$505,390. Hardy & Harper, Inc. was the lowest responsible bidder. Laguna Hills’ estimated cost share of the construction items per the base bid is $91,700. The total bids included several alternative bid items/amounts for improvements to the intersection of Santa Maria Avenue and Moulton Parkway, but those do not pertain to Laguna Hills and as such do not affect the Laguna Hills cost share.
The proposed improvements include asphalt concrete pavement cold milling and repaving, replacement of deficient sidewalk panels, adjusting utility manholes and water valves to grade, re-establishing survey monuments, and painting striping and pavement markings. Laguna Woods will manage the construction contract and expects to issue the Notice to Proceed no later than January 26, 2026. It is anticipated that construction will be complete within 40 working days of the date of the Notice to Proceed. Laguna Hills would issue a no-fee encroachment permit for the work within Laguna Hills.
In addition to Laguna Hills’ estimated construction cost share of $91,700, Laguna Woods is requesting a reimbursement of $2,000 for design costs already incurred. Also, the agreement provides that each city will be responsible for providing construction inspection of the improvements within its jurisdiction and that any construction cost “extras” will be mutually agreed to by both cities. Allowing a nominal construction cost contingency, it is recommended that City Council authorize reimbursement of Laguna Woods for actual costs not to exceed $110,000. The Laguna Hills construction inspection costs are not expected to exceed $10,000.
Recently, City Council approved similar cooperative agreements with Laguna Woods. In November 2024, City Council approved cooperative agreements for the Ridge Route Drive Storm Drain Repairs and for the Paseo de Valencia – Moulton Parkway Confluence Bypass Corridor Project (traffic signal improvements on Moulton Parkway, El Toro Road, and Paseo de Valencia). The storm drain repairs project was successfully completed.
The traffic signal improvement project is under design.
CEQA Findings:
The operation and maintenance of existing highways and streets is categorically exempt under the California Environmental Quality Act pursuant to Section 15301(c) of the CEQA Guidelines, Cal. Code of Regs, Title 14, Chapter 3.
Fiscal Impact:

this cooperative project with the City of Laguna Woods and includes $130,000 Gas Tax (Highway Users Tax Account) funding under CIP 180 which is sufficient to cover allowances for the reimbursement of Laguna Woods ($110,000) and construction inspection ($10,000).

Item No. 7.2.1
City of Laguna Hills
City Council / Planning Agency
Staff Report
Date: January 13, 2026
To: Mayor and Council Members
From: Holland Gannon, Community Services Director
Issue: Community Outreach and Engagement Services Agreement with the City of Mission Viejo
Recommendation: That the City Council approve the proposed Community Outreach and Engagement Services Agreement with the City of Mission Viejo for homelessness outreach services and authorize the Mayor to sign the agreement.
Background:
Mercy House Living Centers had been providing the city with homeless outreach services from September 10, 2019, through June 30,2024. In February 2024, City staff was informed by Mercy House that due to contract reductions in their South Orange County programs they were no longer able to cover administrative and management costs needed to operate their outreach programs; and consequently, they discontinued outreach services in South Orange County effective June 30, 2024.
Mercy House also provided outreach services to the cities of Mission Viejo and Rancho Santa Margarita and their respective agreements with them also end on June 30, 2024.
Although Mercy House was no longer able to provide outreach services to the City of Laguna Hills, Mission Viejo and Rancho Santa Margarita, there was still a need for homeless outreach services. In an interest to continue with homeless outreach services after June 30, 2024, the City of Mission Viejo staff reached out to the cities of Laguna Hills and Rancho Santa Margarita, to inquire about establishing a shared Community Outreach and Engagement Program (Program) for homeless outreach services. Mission Viejo staff proposed hiring outreach workers and partnering with both Laguna Hills and Rancho Santa Margarita to share costs for these workers under separate contracts. All three of these agencies saw the value in having a “team approach” to outreach services,
Item No. 7.2.1
as many homeless individuals frequently cross city boundaries. On April 23, 2024, the City of Mission Viejo Council approved establishing the Community Outreach and Engagement Program in partnership with Laguna Hills and Rancho Santa Margarita. In addition, the Mission Viejo City Council approved adding two full-time positions to perform the outreach work required for this Program. Under this Program, the City of Mission Viejo has been the primary agency and has a full-time caseworker. Both Laguna Hills and Rancho Santa Margarita share a full-time caseworker. Based on this division of personnel, Mission Viejo would be responsible for funding 50% of the Program, where Laguna Hills and Rancho Santa Margarita would each split the remaining costs and reimburse the City of Mission Viejo, each at 25% of the cost. This arrangement equates to twenty (20) hours per week of outreach work in Laguna Hills.
Staff from all three cities are recommending continuing the partnership for homeless outreach services. Attached is a proposed Community Outreach and Engagement Services (Agreement). The City of Mission Viejo will contract separately with the City of Laguna Hills and separately with the City of Rancho Santa Margarita for outreach services. The term of the proposed Agreement is for three (3) years, commencing on July 1, 2026, and ending on June 30, 2029.
Scope of Work:
The staff person provided by Mission Viejo (referred to as "Consultant" herein) to Laguna Hills shall perform the following community outreach services:
Community outreach services will primarily be targeted to persons experiencing homelessness to complete housing assessments, connect individuals to the system of care including physical and mental health services, drug and alcohol rehabilitation, provide emergency vouchers to be used as bridge housing, diversion resources to reconnect individuals and families to support systems. In other areas, housing and other social services such as General Relief, CalFresh, Medical, and address other conditions that may exist.
20 hours per week starting July 1, 2026 Outreach Worker, duties include:
• Outreach and engagement in partnership with law enforcement, City staff, adjacent cities, local faith leaders, the County of Orange, and other stakeholders; • Coordination and execution of VI-SPDAT assessments;
• On-going engagement of "By Name List";
• Housing placement strategies;
• Pro-active connections to resources to address client's needs (medical, mental

health, documentation, general relief, etc.);
• Coordination, in partnership with City staff and OCSD, to address concerns, situations and issues as needed;
• Coordination with City staff and OCSD on community outreach, communication, and education;
• Attendance at weekly case management meetings;

Reports may be modified to include additional information requested by the City; • Invoices for services to be submitted on a monthly basis Fiscal Impact:
The not-to-exceed cost under this Agreement for the City of Laguna Hills is $228,942 for the three (3) year contract. The amount of $68,600 is currently budgeted in the City’s FY2025/2026 budget. There would be an additional $5,018 needed to be budgeted in FY2026/2027 budget for a cost of 73,618 for year one (1) of the agreement. Below are the dollar amounts for each year of the 3-year agreement, which includes a 4% increase per year, to account for merit increases in staffing costs.

If TBD becomes unavailable to act as the Consultant, Mission Viejo shall provide a replacement, within a mutually agreed upon time frame, of at least equal competence and at the same rate, subject to written approval by Laguna Hills.
D. Laguna Hills may terminate this Agreement pursuant to Paragraph 2 of this Agreement if Laguna Hills determines the Consultant is not completing the Services in a satisfactory or timely manner. Laguna Hills and Mission Viejo may enter into a new Agreement if a replacement Consultant is found.

F. Mission Viejo shall, at its sole cost and expense, provide Consultant with Workers' Compensation coverage during the term of this Agreement. Mission Viejo agrees to defend, indemnify, and reimburse Laguna Hills for any and all costs associated with Workers' Compensation coverage to Consultant during the period Consultant provides Services under this Agreement.

C. Method of Payment: In any month in which Mission Viejo wishes to receive payment, no later than the tenth (10th) working day of such month, Mission Viejo shall submit to Laguna Hills, in a format approved by the Finance Director, an invoice for services rendered prior to the date of the invoice. Such requests shall be based upon the amount and value of services performed by Mission Viejo and accompanied by such reporting data including an itemized breakdown of all costs incurred and tasks performed during the period covered by the invoice. Laguna Hills shall make payments to Mission Viejo within forty-five (45) days after receipt of an invoice for services provided.
6. BINDING ARBITRATION
4 Any dispute that cannot be settled by good-faith negotiation shall be settled by binding arbitration in accordance with the Rules of the American Arbitration Association.

No addition, or alteration, of the terms of this Agreement shall be valid unless made in writing, formally approved and executed by duly authorized agents of both Parties.

10. BREACH OFAGREEMENT
Except as provided in Section 2 of this Agreement, if either Mission Viejo or Laguna Hills defaults in the performance of the terms or conditions of the Agreement, it shall have thirty (30) days after service upon it of a written notice of default in which to cure the default by rendering satisfactory performance. In the event that a Party fails to cure its default within such period of time, the other Party shall have the right, notwithstanding any other provision of this Agreement, to terminate this Agreement without further notice and without prejudice to any other remedy to which it may be entitled at law, in equity, or under this Agreement. The failure of either Party to object to any default in the performance of the terms and conditions of this Agreement shall not constitute a waiver of either the term or condition, or of any other term or condition of this Agreement.
11. ATTORNEYS’ FEES
If any legal proceeding or arbitration, including an action for declaratory relief, is brought to enforce or interpret provisions of this Agreement, the prevailing Party will be entitled to reasonable attorneys’ fees, which may be set by the court in the same action or in a separate action brought for that purpose, in addition to any other relief to which the Party may be entitled.
