CITY OF LAGUNA NIGUEL

CITY COUNCIL AGENDA ITEM
To: Honorable Mayor and Council Members
FROM: Jacki Scott, Public Works Director/City Engineer
DATE: June 21, 2022
SUBJECT: Approval of Amendment No. 2 to the Maintenance Services Agreement with Nature's Image Inc. to Provide Wetlands and Habitat Maintenance for the City of Laguna Niguel.

RECOMMENDATION
Staff recommends that the City Council:

1. Approve Amendment No. 2 to the Maintenance Services Agreement with Nature's Image Inc. to exercise Option Year 2 with a not-to-exceed amount of $163,217.00 and extend the term through June 30, 2023, and;

2. Authorize a 20% contingency of the total contract amount with Natures Image Inc., in the not-to-exceed amount of $32,643.40 for Option Year 2 to solely be used for unforeseen conditions or extra work, and authorize the Public Works Director/City Engineer to approve the use this contingency allowance. Option Year 2 shall not- exceed a total of $195,860.40 for wetlands and habitat maintenance, and;

3. Authorize the City Manager to execute Amendment No. 2 and future amendments to the Maintenance Services Agreement for wetlands and habitat maintenance subject to the City Attorney making non-substantive changes.

BACKGROUND
The California Department of Fish and Wildlife (CDFW) requires all cities to conduct routine maintenance on Wetlands in accordance with the City's approved Wetlands Operation and Maintenance (O&M) Plan and Mitigation Monitoring and Reporting Program (MMRP). In February of 2018, the City entered into a Maintenance Services Agreement with Nature's Image, Inc. to provide specialized wetlands and habitat maintenance services at various locations throughout the City as shown in Attachment "A". The wetlands and habitat maintenance services include: trim, remove and prune vegetation, removal of trash and refuse, and removal of sediment in stream beds. The term of the original Agreement was for three years, with two, one-year optional extensions

Page 2 ends

subject to City determining that the contractor's performance has been satisfactory.

Wetlands and Habitat Maintenance supports City Council Goal 3 (open Space and Environmental Preservation) of the City's Strategic Plan. The Public Works Department is responsible for the oversight of the City's wetlands and habitat areas.

ANALYSIS
Nature's Image Inc. is currently in Option Year 1 of the Maintenance Services Agreement.

Staff has determined the performance of Nature's Image Inc. is satisfactory and recommends exercising Option Year 2, to extend the Agreement through June 30, 2023 (Attachment "B").

Per the terms of the agreement, the contractor may request an economic price increase to address the economies of scale and increases in operating expenses due to inflation, labor shortages, and material costs. Nature's Image Inc. did request an economic price increase applicable to Option Year 2; however, the scope of work requested by the City has been reduced to remove maintenance of the Salt Creek Restoration site and results in a net zero increase to the requested not-to-exceed amount. The maintenance for the Salt Creek site now falls under the Salt Creek Mitigation Project awarded to Habitat Restoration Services.

In addition, Amendment No. 2 will include a not-to-exceed 20% contingency for Option Year 2 of the total contract in the amount of $32,643.40 for unforeseen conditions for a total not-to-exceed amount of $195,860.40 per year.

ALTERNATIVES CONSIDERED
The City Council may decide not to approve the Amendment No. 2 to the Maintenance Services Agreement and direct staff to issue a Request for Proposals (RFP) for Wetlands and Habitat Maintenance. Staff believes that issuing a RFP for this work will not result in more desirable proposals, pricing, or services at this time.

FISCAL REVIEW
Funds are available in the Fiscal Year 2022-23 Public Works Department budget to fund the cost of Amendment No. 2. to the Maintenance Services Agreement with Nature's Image Inc.

LEGAL REVIEW
The City Attorney's Office has reviewed Amendment No. 2 and this staff report and has approved all documents as to form.

RE: City of Laguna Niguel- Wetlands and Habitat Maintenance Agreement Cost Proposal to Extend the Maintenance Agreement for One (1) Year (FY 2022/23) NI Job #: 2809
Dear Mr. Frame:

Thank you for the opportunity to continue providing Wetland and Habitat Maintenance services for the City of Laguna Niguel. Natures Image has had the honor to consistently providing these services for the City for over eleven years. We value our partnership with the City and appreciate that the City has considered our performance satisfactory and is requesting to extend the term of the Wetlands and Habitat Maintenance Agreement for one (1) additional year.

Per section 2. Term of Amendment No. 1 the current contract term will end on June 30, 2022. For an additional one (1) year extension from July 1, 2022 - June 30, 2023 we propose an annual cost of $97,212.00. Per the City's direction this includes removal of site 13. Salt Creek Restoration Area from the project scope and payment schedule.

Additionally, the unit costs for the remaining contract items include economic price increases to address the economies of scale and increases in operating expenses due to cost inflation and labor shortages. Overall, the proposed annual cost for Wetlands and Habitat Maintenance during FY 22/23 is $18, 108.00 less than the previous fiscal period (FY 21/22).

Please review the attached Cost Proposal. Please note that the Cost Proposal does not include an allowance for Extra Work. If needed the additional amount for Extra Work can be stipulated by the City and included in the total amount for the contract extension.

Thank you for the opportunity to provide this proposal. Please feel free to contact me if you have any questions.

Sincerely,
Daniel Slinger
